i WHEREAS, the CITY OF HUNTINGTON BEACH de sires to engage the
services of an engineering consultant f,r the preparation of plans
z«nd specifications for the Gothard/Talbert storm drain and sewer
project; and
CONSULTANT has been sel acted to perform said
NOW, THEREFORZ, it is agreed by CITY and CONSULTANT as
follows:
1, WORK STATEMENT
CONSULTANT shall provide all engineering servicos as
aescribed in the do%`ilment entitled Request for Prr"pcsal
Gothard'/Talbert Storm Drain and Snwer (hereinafter referred to as
Exht4it -4"), and as amended by the letter of 9/26/83 entitled
Prd,�osal Gochard/Talbert St+orw Drain & sewer (hereinafter
referred to 48 Exhibit. '+ ") whir.h are i-especti.vely incorporated
into this agreement by this reference. Said enginirering services
0hereinaft.er referred to as "PROJECT"") shill include,, but not be
limited to surveya, investigations, c-cnjuttati.ons and advice

preparation of detail design, construction plans, estimates of
quantities and costs, prepaLation of the spacial provisions and any
other miscel aneou- eng4neering services required to permit CITY to

CONSULTANT shall attend and assist in all coordination

2, DISPOSITIOn OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original drawings, reports,
both field and office notes, ^alculations, maps and other
documents, shall be turned over to CITY upon any termination of

3. INDEMD.*T ICATION, DEF NSE, HOLD HARMLESS
CONSULTANT hereby agrees to defend, indemnify and hold
harmless CITY., its officers, agents and employees, from and
against any and all :liability, da-mages, costs, le)sses. claims and
xpenses, however caused, resulting directly or indirectly from or
connected with CONSULTANT'S performance of this agreement
(including, but not limited '°a such liability, c:st, damage, loss,
Aaim, or expense arising from the Beath or injury to an agent or
employee of ;CONG)ULTAWT; subcontractor, or of CITY or damLge to the
property of CONSULTANT,# subcontractor, or of CITY or of any agent

property damage of $300,000 per occurrence. Such policy insurance
shall specifically provide that any other insurance coverage which":
may be applicable to the loss shall be deemed excess coverage and
CONSULTANT'S insurance Shall be primary. A certificate of all such
insurance policies required by this agreement shall be delivered to
the? City Attot:ney prior to the commencement of any work and shall
bt approved by her in writing. No such insurance shall be
cancelled or modified without thirty (?0) days' prior writt•.n.

6. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the
performance of thir:s agreement as ali ind �pPndent contractor.
CONSULTANT shall secure at its expense, and be responsible for any
and all payments of all tawe ,,, social security, state disability
insurance compet.sation, unempluyme:nt compensation and ether payroll
deductions for CONSULTANTand its officers, agents, and employees
and all business licenses, if znv, in connection with the services
to be ,performed hereunder.
7. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to 'irk directly
with CONS= AN'.e in connection with the work of this agreement.

S. PROVISION FOR PAYMENT
In consideration of the pen_formance of the above
described engineering servicas, CITY agrees to pay CONSULTANT a

fee, according to the Rate Schedule founts in Exhibit 'B"; however,
total payment shall not exceed the sum of six thousand dollars

($6,w000.00) payable monthly, based upon the amount of work

9. EXTRA WORK
In the event of authorization, in writing by the City
Engineer, of changes from the work as indicated in Exhibit "A" or

contemplated herein, additional compensation Shall be allowed for

obtsined,
10. TERMINATION On CONTRACT
,All worX shall be done in a goad and workmanlike manner,
CITY may terminate CONSULTANT'S services hereunder at any time with
or without cause, and whether or rot PROJECT is fully complete.
Any termination and any special instructions hereunder from CITY
shal.L be made :through the Cit; Engineer, and in writing, which ma,;r
be delivered n persor_ to CONSULTANT or m 1d through the nrxmal:

course of mail to its now-Pntablished business address.. In the
event this agret:�":ent is terminated, all drawings, designs,
specifications atW appurtenant data may be ustd by CITY.
11. L', RATION OF CONTRACT
CONTRACTOR agrees to complete the PROJECT within three
(3 ) months of the. execution of this contract.,

The basic thrust of this project is to review and
accordingly upd-:te existing plans to reflect existing e�
conditions and current thinking. Some of the questions
to address a :e 1) what is the disposition of the Lift
station eglpment and facility?, 2) what special
requirements and restrictions will Southern Pacific
specify?, 3) what are the needs of those properties
along Gothard Street as well as their development
potential?, and 4) what affect will construction of
Reach V (54" RCP) have on the park facilities

STATEMENT C7F IS:SM:
Proposals were requested frcrn qualified civil engineering firms to prepare plans, speri-
fications an3 cost estimates for the construction of sewer and storm drain improvemnts
in the Gothard/Talbert area. Proposals were received on September 26, 3.983,
RECCREbaATICTS:
1. Approve the selection of Hall & Foreman, Inc. to prepare plans, specific „
cast estimates for the construction of sewer andstorm drain improvemEax. 1
Gothardd/Talbert area.

2. Establish a design budget of $7 200 (this will include consultant agreement ,
m,i 'cellaneous costs as required).
3. Authorize the Mayor and City Clerk to execute the appropriate consultant agreement
not to exceed $6,000.00.
ANALYSIS'-
"ais project will include a storm drain and suer main along the west side of the
Southern Pacific Railroad right-of-way to cormect existing far,:dities in. Talbert Avenue
to existing facilities 1800 feet north of Talbert- Avenue. These links will care ete the
Gothard/Talbert systems.. The se-rer connection will allow the abandonment of the sewer
pump station on 'Talbert at Redondo Circle.
Tho..., fore, pursuant to Chapter 3.03, "Professional Services" of the Municipal Cade,
requests for 'engineering services for the design of this project were distributed to
engineering farms listed on the City's professional roster. Requests were received
from thzee (3) engineering firms. Of the three, 'Hall & Foreman, Inc. su witted the
least oxpensive qualified proposal.
