B9ACK, a municipal corporation of: the State of California, it her^inafter referred to as "C'XTY," and HALL & FOREMAN, INC. a California c,4 oration, hereinatcer referred to aS "CONSULTANT." i WHEREAS, the CITY OF HUNTINGTON BEACH de sires to engage the services of an engineering consultant f,r the preparation of plans z«nd specifications for the Gothard/Talbert storm drain and sewer project; and CONSULTANT has been sel acted to perform said NOW, THEREFORZ, it is agreed by CITY and CONSULTANT as follows: 1, WORK STATEMENT CONSULTANT shall provide all engineering servicos as aescribed in the do%`ilment entitled Request for Prr"pcsal Gothard'/Talbert Storm Drain and Snwer (hereinafter referred to as Exht4it -4"), and as amended by the letter of 9/26/83 entitled Prd,�osal Gochard/Talbert St+orw Drain & sewer (hereinafter referred to 48 Exhibit. '+ ") whir.h are i-especti.vely incorporated into this agreement by this reference. Said enginirering services 0hereinaft.er referred to as "PROJECT"") shill include,, but not be limited to surveya, investigations, c-cnjuttati.ons and advice y a .4 t preparation of detail design, construction plans, estimates of quantities and costs, prepaLation of the spacial provisions and any other miscel aneou- eng4neering services required to permit CITY to �. advertise for a_.dE, for construction of PROJECT, CONSULTANT shall attend and assist in all coordination " meetings. _.)NS,ULMM'T shal.' designate a registered civil engineer who shall represent it and be its pole contact and agent in all consultations with CITY during fulfillment of the terms of this "* agreement."+ ` 2, DISPOSITIOn OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all original drawings, reports, both field and office notes, ^alculations, maps and other documents, shall be turned over to CITY upon any termination of PROJECT 3. INDEMD.*T ICATION, DEF NSE, HOLD HARMLESS CONSULTANT hereby agrees to defend, indemnify and hold harmless CITY., its officers, agents and employees, from and against any and all :liability, da-mages, costs, le)sses. claims and xpenses, however caused, resulting directly or indirectly from or connected with CONSULTANT'S performance of this agreement (including, but not limited '°a such liability, c:st, damage, loss, Aaim, or expense arising from the Beath or injury to an agent or employee of ;CONG)ULTAWT; subcontractor, or of CITY or damLge to the property of CONSULTANT,# subcontractor, or of CITY or of any agent n. The policy shall provide coverage in .not less than the t,. following amounts: Combined single limit bodily injury and/or• property damage of $300,000 per occurrence. Such policy insurance shall specifically provide that any other insurance coverage which": may be applicable to the loss shall be deemed excess coverage and CONSULTANT'S insurance Shall be primary. A certificate of all such insurance policies required by this agreement shall be delivered to the? City Attot:ney prior to the commencement of any work and shall bt approved by her in writing. No such insurance shall be cancelled or modified without thirty (?0) days' prior writt•.n. notice to CITY. 6. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of thir:s agreement as ali ind �pPndent contractor. CONSULTANT shall secure at its expense, and be responsible for any and all payments of all tawe ,,, social security, state disability insurance compet.sation, unempluyme:nt compensation and ether payroll deductions for CONSULTANTand its officers, agents, and employees and all business licenses, if znv, in connection with the services to be ,performed hereunder. 7. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to 'irk directly with CONS= AN'.e in connection with the work of this agreement. r S. Proposals were received on September 26, 3.983, RECCREbaATICTS: 1. Approve the selection of Hall & Foreman, Inc. to prepare plans, specific „ cast estimates for the construction of sewer andstorm drain improvemEax. 1 Gothardd/Talbert area. I 2. Establish a design budget of $7 200 (this will include consultant agreement , m,i 'cellaneous costs as required). 3. Authorize the Mayor and City Clerk to execute the appropriate consultant agreement not to exceed $6,000.00.
