Financial Impact: The amendment is only to allow for additional time to complete an on -going project. Funds are available in Water Fund, Well 8 GAP, Account No. 50691024.82100. Recommended Action: Approve and authorize the Mayor and City Clerk to execute "Amendment No. 2 to Agreement Between the City of Huntington Beach and Harris & Associates," to extend the existing professional service contract for two additional years. Alternative Action(s): Do not approve and direct staff on how to proceed. Analysis: Every few years, Public Works Engineering Staff solicit proposals from engineering firms for as -needed civil engineering services primarily for the purpose of preparing construction plans and specifications for a portion of the projects identified in the Capital Improvement Program in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. The term of the agreements is typically three years from the Council award date. Although staff does its best to align expected design schedules with the terms of the consultant agreements, there are circumstances such as availability of grant funds that result in project completion going past the contract terms. The following is a summary of pending work that is expected to overlap past the term of the existing contract with Harris & Associates (Harris), which expired on November 17, 2013. Harris has been assisting the City with a long-term project to convert water Well No. 8 for irrigation use at Central Park, Sports Complex, and Murdy Park. On November 7, 2011, the City Council approved Amendment No. 1 to extend the contract to November 17, 2013. Shortly afterward, due to the necessity to evaluate the feasibility of using non -potable water from Talbert Lake in Central Park for park irrigation, this Well No. 8 irrigation project was temporarily put on hold. Since then, it was determined it is not feasible to pursue the use of Talbert Lake water for irrigation. Accordingly, the Well No. 8 irrigation project is now scheduled for final design. Therefore, in order to finalize the construction documents and provide assistance during the construction phase for various Public Works Department projects, it is necessary to amend the contract to extend the term. The original Amendment No. 1 includes a task to complete preliminary engineering design for the intersection widening at Brookhurst Street and Adams Avenue. This task order is substantially complete and final invoice payment is expected to occur shortly. Item 4. - 1 HB -60- REQUEST FOR COUNCIL ACTION MEETING DATE: 11/07/2011 DEPARTMENT ID NUMBER: PW11-058 Analysis: Every few years, Public Works Engineering staff solicits proposals from engineering firms for as -needed civil engineering services primarily for the purpose of preparing construction plans and specifications for a portion of the projects identified in the Capital Improvement Program in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. If the agreements are approved by City Council, the term of the agreements is typically 3 years from the Council award date. Although staff does its best to align expected design schedules with the terms of the consultant agreements, there are circumstances such as availability of grant funds that result in project completion going past the contract terms. The following is a summary of pending work that is expected to overlap past the term of the existing contracts with AKM Consulting Engineers (AKM), Harris & Associates (Harris), and Psomas, which are set to expire on November 17, 2011. In 2009, AKM began assisting the City with identifying and evaluating design alternatives for the Warner Avenue Gravity Sewer Project to assure that the re -design of this project had the least amount of impacts. Shortly thereafter, the final design for the project was put on hold due to the uncertainty of the annexation of Sunset Beach. Annexation was important since there was a possibility that the sewer system in this area would become County's responsibility and would have to be designed to County standards if Sunset Beach remained County land. In late 2010 after it became apparent that Sunset Beach would be annexed, the City issued a Notice to Proceed to AKM to provide final design, which includes the replacement of Lift Station "C" as well as the gravity sewers upstream and downstream. In 2010, Harris began assisting the City with preliminary engineering design for the intersection widening at Brookhurst Street and Adams Avenue. Since this project was determined to require an Environmental Impact Report (EIR), Harris is not able to complete its work until the EIR is complete. Completion of the EIR, by another consultant, is expected in late 2012 and completion of Harris' scope of work expected in early 2013. In addition, Harris is also preparing a traffic analysis for the intersection at Bushard Street and Adams Avenue. The funding for this project was only recently approved by the Orange County Transportation Authority, thus additional time is required to complete this effort. Finally, Harris has also been assisting the City with a project to convert water Well No. 8 for irrigation use at Central Park, Sports Complex, and Murdy Park. Harris is currently working on the final design of these plans. In 2009, Psomas began assisting the City with the 2010 Urban Water Management Plan (UWMP) and the Water Master Plan (WMP) update. Since some of the important information contained in the WMP is dependant on the information from the UWMP, the WMP must follow the UWMP, which was completed on June 1, 2011. Due to the additional time needed to complete the 2010 UWMP, the Psomas' contract requires an extension of time in order to complete the WMP. All three current contracts with AKM, Harris, and Psomas expire on November 17, 2011. Therefore, in order to finalize the construction documents and provide assistance during the construction phase for various Public Works Department projects, it is necessary to amend all three contracts to extend the term. Projects could be delayed up to one year. Analysis: The City's Capital Improvement Program (CIP) exceeds $38 million in Fiscal Year 2008/09. Additionally, $15 million of continuing appropriations for projects approved last year will be brought forward into the new fiscal year. Transportation, water, sewer and park improvements are the largest expenditure categories. Projects include street, sewer, and water improvement projects. Design for these projects is assigned to firms specializing in these disciplines, as it is not possible to complete this large workload with just city staff. It is in the City's benefit to retain qualified firms for capital improvement project design and engineering. The contract would be for a three-year term with task order assignments awarded such that they do not exceed the specified duration and the dollar amount of the contract. Project assignments are rotated among the consultants, taking advantage of each consultant's specializations. Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Thirty-four J34) proposals were received, and ranked based on qualifications listed in the proposals. The proposed new contracts allow for a three-year term with a total not to exceed $2 million per contract. Funding sources will be from capital improvement project accounts, using the approved project budgets. Public Works Commission Action: Not required. WHEREAS, CITY desires to engage the services of a consultant to provide engineering services on an "as needed" basis; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide, on an "as -needed" basis, engineering services such as the itemized tasks set forth in Exhibit "A," which is attached hereto and incorporated by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." All engineering services shall, prior to the commencement of any work, be set forth in a written Scope of Work to be provided by CITY in advance of each PROJECT. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on 20 0 (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in the Scope of Services shall be completed no later than 3 years from the Commencement Date; however, if any tasks are not completed 3 years from the Commencement Date, the parties may mutually agree to extend this Agreement for such time as is necessary to complete such tasks. In no event shall this Agreement be extended more than two additional years from the original termination date. The time for performance of the tasks identified in the Scope of Services are generally to be shown in the Scope of Services. This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the date of final execution, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed Two Million Dollars ($2,000,000.00). 08-1814.003/26550 2 5. EXTRA WORK In the event CITY requires additional services not included in the Scope of Services or changes in the scope of services described in the Scope of Services CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall be paid pursuant to Exhibit "B." 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS To the fullest extent permitted by law (including, without limitation, California Civil Code Sections 2782 and 2782.6), CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) 08-1814.003/26550 3 negligence, recklessness or willful misconduct related to performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees. CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. CONSULTANT will conduct all defense at its sole cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000) per occurrence and in the aggregate. The above -mentioned insurance shall not contain a self -insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A claims -made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. 08-1814.003/26550 4 CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 08-1814.003/26550 5 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 08-1814.003126550 6 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement 08-1814.003/26550 8 which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY' S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, 08-1814.003/26550 9 each party shall bear its own attorney's fees, such that prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. Harris & Associates On Call Civil Engr Svcs Exhibit A Exhibit A.1 City of Huntington Beach On -Call Engineering Services Scope of Work In general, the Consultant shall perform civil engineering services on an "on call or as - needed" basis for various projects assigned by the City. The scope of work for any one project may involve all phases of project development and may include but not be limited to the following: Preliminary Engineering ® Prepare alternative preliminary layouts, surveying, geotechnical services, and estimates of probable cost for alternatives. ® Prepare engineering details and calculations. ® Present alternatives and provide recommendations and analyses of the advantages of each alternative. Permits ® Assist the City in obtaining approvals from applicable agencies including County of Orange, CALTRANS, City of Huntington Beach Planning Department for environmental, and/or other permits as may be required. Construction Documents s Prepare engineering calculations and designs, plans, specifications, cost estimates, and contract bidding documents. The City will provide the General Provisions and bid forms in a Microsoft Word and/or Excel Version 2003 format; the Consultant shall modify the documents by adding the necessary special provisions and project bid schedule. The City shall review the construction documents at the preliminary engineering, sixty (60%), ninety percent (90%), and final documents stages or as deemed necessary by the City. All project calculations, supporting/reference information, correspondence, photos, Microsoft office files, etc. shall be provided to City with the final submittal or upon request. Drawings shall be prepared in a standard engineering scale using AutoCAD version 2000, 2004, or 2007. All drawings shall have their bearings based upon and translated to be consistent with the California Coordinate System (Zone 6). Final Drawings shall be wet signed and stamped on 24-inch by 36-inch Mylar media. All project AutoCAD files (i.e. drawings, x-refs, blocks, fonts, etc.) shall be provided to the City on CD or DVD format. Construction specifications and bidding documents shall be provided in Microsoft Word Version 2003. Bidding Stage 8 Assist the City in answering bidders' questions, attend pre -bid conferences and job walks, perform constructability review of other firms or own plans and specifications, prepare addenda, analyze bids, and recommend award. Construction Stage m Attend pre -construction conference. 0 Monitor construction schedule, visit construction site as required for progress and quality of work evaluation. ® Assist the engineer, contractor, and construction manager/contract administrator with interpretation of the plans and specifications, analysis of changed conditions, development of corrective action, review of shop drawings and other submittals, and the review and negotiation of change orders. ® Upon completion of construction, the Consultant shall prepare "as -built" drawings to the satisfaction of the City. Additionally, the Consultant may also be required to perform construction staking. Special Requirement: Due to the fact that some of the City projects will be funded by Federal or State grants, the selected consulting firm must comply with requirements of Caltrans' Local Assistance Procedures Manual and the City of Huntington Beach Quality Assurance Plan for Federal and State Funded Projects and all applicable prevailing wage laws. Harris will remain on -call to prepare a project specific proposal to perform any of the engineering design services listed in the City's RFP. We take pride in preparing detailed project scopes, which are customized to meet the City's specific needs, complete with a detailed list of deliverables and project schedule. The following briefly presents Harris' typical approach to defining the scope of services for improvement projects. For simplicity sake, each task will only be briefly touched upon. Future specific projects will be more clearly detailed and customized. Our scope of design services typically consists of a four -phased approach as follows: Phase I - Orientation/Data Collection/Base Sheets Phase II - Design Development (Preliminary Engineering) Phase III - Construction Documents Phase IV - Bidding and Construction Assistance PIIASI:; I - OR:II NTA'IJION/I:)A'I'A COI:.,I.,I CTION/BASE SIII?ETS TASK A. DATA COLLECTION AND REVIEW Meet with the City staff and hold "kickoff' meeting. Define approach, goals, criteria, procedures, and schedules and collect all city record information. Direction from City staff will be obtained and the project schedule reviewed. TASK B. OUTSIDE AGENCY CONTACTS/PERMITS Contact the utility companies, bus service and all permitting and funding agencies (such as Caltrans, for encroachment permits and/or funding coordination). All required environmental clearances will also be defined at this time. TASK C. ToPOGRAPHIC BASE SHEETS Utilizing either City provided record maps, ground surveys (Harris will utilize the service of our surveying subconsultant, KDM Meridian) or aerial topographic maps, construction plan base sheets would be prepared in AutoCAD 2002 using the City's standard format on 24" x 36" size sheets. Base sheets will also include all existing R/W information, surface topography, field survey elevations and underground utility information, as required. Cross sections will also be prepared on applicable projects. TASK D. ELECTRONIC t_JTILITY DETECTION When warranted, such as underground storm drain construction, Harris will utilize the services of an Electronic Utility Detection surveyor. The result is a "313" AutoCAD drawing of the field 1 of 5 determined horizontal and vertical underground utility locations. The findings are accurate to 10% ( + 4 to 6 inches) at a cost much cheaper than potholing. PHASE II - DESIGN DEVELOPMENT (PRELIMINARY ENGINEERING) TASK A. PAVEMENT REPORT/SOILS INVESTIGATION Obtain specific recommended pavement/soils information, as confirmed by the City. Perform a comprehensive review of the data and recommendations contained in the report(s). Develop design concepts and alternative strategies as warranted (this is a Harris & Associates specialty). TASK B. FIELD REVIEW Perform a comprehensive field review to confirm the completeness/accuracy of the plans, existing project conditions, conditions that will affect design, etc. TASK C. DEVELOP PROJECT ELEMENTS Develop conceptual designs, alternative layouts, required drainage studies, typical street sections, and trench sections, related cost estimates, details and back up calculations. Economy and constructability will be key to the process. TASK D. CONCEPT MEETING Meet with City staff to present alternatives, provide recommendations and analyses of the advantages of each alternative, and reach concurrence with City staff on the final design elements. PHASE III - CONSTRUCTION DOCUMENT'S Based on the results of Phase II, the final construction documents will be prepared. The completed plans and specifications will conform to the required City, County and State requirements and latest funding guideline requirements, including but not limited to all safety concerns, DVBE goals, Federal/State wage rates and all other criteria necessary. All deliverables will be computer -generated. TASK A. CONSTRUCTION PLANS Prepare a separate project Title Sheet. Prepare construction plan sheets, plan and profile sheets and detail sheets as needed, using the previously prepared base sheets, showing construction to conform to the approved concept designs. All construction elements will be clearly defined. TASK B. CONSTRUCTION SPECIFICATIONS Prepare a complete set of project specification in the City's preferred format, using the City provided "Boiler Plate", the "Green Book" and Caltrans Standard Specifications. The Special Provisions and bid sheet will be prepared in a format consistent with current City projects. 2of5 TASK C. COST ESTIMATE Prepare itemized construction quantities and cost estimate (Excel spread sheet) with all required funding and location breakdowns. TASK D. BI-WEEKLY PROJECT STATiJS REPORT Submit written Bi-Weekly Project Status Reports to the City's Project Engineer. The reports are an additional tool, which help deliver a consistent and efficient communication of the latest project status. TASK E. CONSTRliCTION DOCUMENT PROCESSING Upon completion of the plans, specifications and cost estimate, submit sets of each to the City for review and comment at the 60%, 90%, and 100% complete stages. Upon final acceptance and approval, provide the City with utility coordination logs, original 24" x 36" plans (ink on double - matte mylar), camera ready original specifications, and computer disk of specifications, estimate and plans in formats compatible with the City's system. TASK F. UTII.XFY PERMI"r/COoRDINATION/ ENVIRONMENTAL CI.,EAR.ANCE:S Prepare and issue appropriate utility notifications and perform related follow-up coordination. Process and obtain all Caltrans Encroachment Permits, Railroad permits and other required permits and approvals from all applicable agencies and funding sources. Prepare all NPDES permit documents and water quality management plans as required. Obtain all environmental clearances. PIIASI: IV -BIDDING AND CONSTRUCTION ASSISTANCI: TASK A: BIDDING ASSISTANCE Remain available to assist the City in answering bidders' questions, attend pre -bid conference and job walks, prepare addenda, analyze bids, and recommend award. TASK B: CONSTRUCTION STAKING Provide all construction staking services (and/or engineer field marking of removals, etc.) as required. Harris will utilize the service of our survey subconsultant, KDM Meridian. TASK C: CONSTRUCTION ASSISTANCE Attend preconstruction conference. Monitor construction schedule and visit construction site as required for review of progress and quality of work. Remain available to assist the engineer, contractor, and inspector with interpretation of the plans and specifications, analysis of changed conditions, development of corrective action, review of shop drawings and other submittals, and the review and negotiation of change orders. Prepare "as -built" drawings. 3of5 DESIGN QUALITY CONTROL PLAN (DQCP) The most important quality control item the Harris team utilizes is to verify at project inception that both the City of Huntington Beach and project team fully understand the scope of services, schedule, budget and expected work product. The following management control strategies will be used to verify all elements of the design submittals are checked for quality technical accuracy and include coordination of disciplines while maintaining the project on schedule and within budget. REGULAR TEAM MEETINGS Throughout the design process, in-house engineering will be coordinated with the project team. Project memorandums and telephone conversations are all written and distributed to all project personnel. Team meetings are held bi-weekly for in-house coordination. PEER REVIEWS The Project Manager will perform a technical review to verify that the design conforms to the functional needs of the City of Huntington Beach. Support information documents, in-house drawings used for checking, and all other data will be filed in the design office for future reference and to answer questions by the City or community. SHARING OF LESSONS LEARNED We have found that each of our projects provides lessons learned, both from elements that went wrong and things that went right. We have developed a mechanism to share such information with our fellow designers so that each can benefit from one another's experience. QUALITY IMPROVEMENT PROGRAM QUALITY CONTROL MANAGER A Quality Control Manager is assigned to each design project. This individual is a person other than the project manager who is removed from the day-to-day project operations, but is responsible to review all submittals of construction documents prior to each submittal. These reviews conform to our formal QA/QC program utilizing forms; check lists, procedures and minimum standards for all the work. In addition, this process requires that the submittal is complete and all concerns and issues raised by the City during the design development phase and progress meetings are addressed. BIDDABILITY AND CONSTRUCTABILITY REVIEW (B&C) Biddability is a measure of a bidder's ability to understand the contract documents and prepare a competitive, responsive bid proposal. Wherever ambiguous contract provisions place a hint of doubt in the bidder's mind, a contingency amount is added to the bid to cover for the ambiguous information. These contingencies can add significantly to the amount of the bid price, resulting in a bid price that is higher than expected. As an element of our DQCP, we draw from our vast 4of5 resource of construction managers and inspectors to search for these problem areas and take corrective action to eliminate them. Our biddability review will also examine the "front-end" conditions or general provisions of the specifications for modifications and updating to reflect the specifics of the project. Constructability is a measure of the successful bidder's ability to build the project according to the designer's intent. Constructability covers a broad range of concepts, such as project duration, sequencing, working around existing facilities, adequacy of staging areas, drawing details, drawing conflicts, and errors and omissions in the contract documents. Problems in any of these or numerous other areas can lead to delays, change orders, and claims. Our review will be made with these concepts in mind to make modifications we believe are appropriate to eliminate problems with the contract documents. EFFECTIVE COMMUNICATION PROCESS Throughout the course of the project, the Project Manager will prepare meeting agendas and meeting minutes in addition to bi-weekly status reports. These reports will describe project progress to date, anticipated challenges, requested feedback on project elements and status of schedule. 5 of 5 10.14:251193F119 "I, Payment Schedule (Fixed Fee Payment) 1. CONSULTANT shall be entitled to monthly progress payments toward the fixed fee set forth herein in accordance with the following progress and payment schedules. See Exhibit B.1 — Proposed Hourly Fee Schedule Total fees shall not exceed Two Million Dollars ($2,000,000.00). CONSULTANT agrees to inform the CITY when CONSULTANT is at the point of reaching the maximum limit. CONSULTANT shall not continue with any work effort over the amount of the maximum limit unless first authorized in writing by City authorized representative(s). 2. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 3. CONSULTANT shall submit to CITY an invoice for each monthly progress payment due. Such invoice shall: A) Reference this Agreement; B) Describe the services performed; C) Show the total amount of the payment due and remaining balance; D) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and E) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non -approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 4. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement.
