Sincerely, Connie Brockway City Clerk Tcclvete•an 1 Telephon e : 714.53E-5227 ) • 0 AMENDMENT NO. 1 TO AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND HEIMBERGER-HIRSCH FOR LANDSCAPE ARCHITECT SERVICES THIS AMENDMENT is made and entered into the 1st I day of July _, 1996, by and between the CITY OF HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "City, and HEIMBERGER-HIRSCH, a California corporation, hereinafter referred to as ARCHITECT. WHEREAS, CITY and ARCHITECT are parties to that certain agreement, dated November 24, 1994, entitled "Agreement Between the City of Huntington Beach and Heimberger-Hirsch for Landscape Architect Services in the City of Huntington Beach," and Since the execution of the aforesaid agreement, CITY has requested additional work from ARCHITECT and ARCHITECT has performed such work; and CITY and ARCHITECT wish to amend the original agreement to reflect the additional work performed by ARCHITECT and the additional compensation to be paid in consideration thereof by CITY to ARCHITECT, NOW, THEREFORE, it is agreed by CITY and ARCHITECT as follows: CHANGES TO SCOPE OF WORK ARCHITECT shall adhere strictly to the Scope of Work set forth in the Statement of Work attached as Exhibit "A" to the Agreement Between the City of Huntington Beach and Heimberger-Hirsch for Landscape Architect Services dated November 21, 1994, unless a change therefrom is authorized in writing by CITY pursuant to Paragraph No. 1, under no condition shall ARCHITECT make any changes without the written consent of CITY, and CITY shall not pay any extra charges made by ARCHITECT that have not been agreed upon in writing by CITY. Survey youth sports groups, including total number of youth and number of Huntington Beach residents in each group and verify number of youth by providing copy of youth group's mailing list. Determine frequency of use and the impact, i.e., hours needed for practice and game schedules. 2 weeks Meet with all school districts (6), sports organizations (6) and city to establish working relationships, communications, review and finalize data, and determine representatives for each school district and sports group (6 meetings). Collect all data from school districts, city and sports groups. Review all data collected and determine if additional information is needed. Task 2. Identify issues and possible solutions relative to youth sports such as facility development and maintenance, lights, parking, restrooms, etc. 1 week Develop matrix for existing school sites and parks showing current and future facilities. Task 3. Evaluate current and future needs of each sport and the corresponding impact on parks and school sites. This will include examining alternative scenarios as to which school sites are used for youth sports field space and identifying alternative sites for field space when a school is going to be reused as residential or commercial. 2 weeks Visit parks and school sites, and review plans provided by school districts and city. Obtain copy of city's general development plan indicating current and proposed residential, commercial and industrial development and demographics. Indicate existing and proposed park and school facilities development and school closures. Task 4. Evaluate the need for neighborhood parks in quarter sections with closed schools (include acreage). Evaluate the need for neighborhood parks if there is no park in the quarter section or if the existing park space is inadequate. Compare sections of the city where no closed school site is available, to other sections where potential school space is available. Use city wide map developed in Task 3 to graphically illustrate neighborhood and community park evaluation and needs. 2 weeks Task 5. Provide recommendations and solutions for reuse of school sites, parks and other recreation open space and the impact of future development on youth sports and recreation open space. 2 weeks Meet with representatives of city, school districts and sports groups to discuss findings and recommendations (1 meeting). Task 6. Develop a cost analysis and funding method for recommended solutions for Alternative 1. 1 week ALT__ RNATiyE 2 Task 1. Revise as needed (2 meetings). Present draft report to Park and Recreation Commission for review and comments. Revise as needed (2 meetings). Prepare final report and present to City Council for review and comment. Revise as needed (2 meetings). TOTAL TIME ALLOWANCE ADDITIONAL SERVICES 18 weeks Additional meetings may be required during project development. We establish 3 meetings should be sufficient to satisfy this requirement. REPORT PREPARATION The draft report, final report and all graphic illustrations will be computer generated in AUTO CAD or Macintosh format as requested by the City. The following copes of the draft and final report will be provided. Provide all park and school facility plans. 2 Provide project objectives and give direction. 3. Provide meeting rooms and pay all costs for rooms. 4. Pay all cost for mailing. 5. Provide legal services for the project. TRAVEL All authorized travel to and from the project site are included within our fees, excluding travel associated with extra or additional services beyond scope of work. ABANDONMENT OF PROJECT After written notice has been issued to Heim bergerlHirsch & Associates Inc. of the abandonment of the project, HeimbergerlHirsch & Associates Inc. shall be paid for all work completed. Items not completed but upon which work has been performed, shall be paid upon the basis of a mutually agreed extent of completion. If this project is suspended or abandoned, in whole or part, for more than three (3) months, HeimbergerlHirsch & Associates Inc. shall be compensated for all services performed prior to receipt of written notice of such suspension or abandonment, together with all reimbursable expenses then due. If the project is resumed after being suspended for more than three (3) months, compensation shall be equally adjusted to include project start-up meetings and additional services which may be required. OWNERSHIP OF DOCUMENTS Original documents and report are instruments of services and shall remain the property of HeimbergerlHirsch & Associates Inc. until final payment by City. QUESTIONS IN DISPUTE All questions in dispute under this agreement may be submitted to arbitration when practical, and in accordance with the provisions of the American Arbitration Association. The prevailing party shall be entitled to reasonable attorney fees, to be fixed by the Arbitrator, in the event there are judicial proceedings instead of arbitration, reasonable attorney fees shall be fixed by the court. Landscape Architects are licensed and regulated by the California Board of Landscape Architects. Any questions concerning any Landscape Architect may be answered by calling (916) 445-4954. PAYMENT Detailed statements will be submitted monthly based upon actual work completed. Payments are due and payable each month as invoiced in percentage of the proportion of work completed and expenses accumulated. ADDITIONAL SERVICES If the City requests additional services not originally part of the project scope, Heimberger/Hirsch & Associates Inc. shall receive additional compensation based upon actual hours worked at the hourly rates stated or an agreed upon fee. Additional services and costs will be approved by the City prior to performance of services. Council needs to approve an amendment to the current consultant contract with Heimberger Hirsch to include the new scope of work. Funding Source: Not Applicable Recommended Action: Approve the amendment and authorize the Mayor to sign this amendment to expand the existing consultant contract with Heimberger Hirsch for park design services to include the scope of services to analyze surplus schools, youth sports and recreation space needs for the community. Alternative Action[s]: Reverse April 1, 1996 decision to hire Heimberger Hirsch to perform this needs study and not move forward. Analysis: On April 1, 1996, City Council approved $28,600 from the Park Acquisition and Development Fund to be used to analyze surplus schools sites, youth sports and recreation spaces needs for the community. This study will include a recreation master plan for the city. The city will be reimbursed $12,600 of the $28, 600 by the school districts. The city has been working with the Huntington Beach Union High School, Huntington Beach City, Ocean View, Westminster and Fountain Valley School Districts on youth sports and park issues as they relate to citywide recreational open space including closed school sites. Such study will be especially useful as closed schools are being considered for residential and commercial. use. City Council has previously approved the consultant and funding. The City Attorney has indicated that an amendment to the consultant's agreement is required for this additional scope of work. Utilize General Fund Unappropriated Fund Balance to fund study. +. } R�QUEST FOR COUNCIL ACTIN MEETING DATE: April 1, 1996 DEPARTMENT ID NUMBER: CS 96-015 Analysis: The city has been working with the Huntington Beach Union High, Huntington Beach City, Ocean View, Westminster, and Fountain Valley school districts on youth sports and park issues as they relate to citywide recreational open space including closed school sites. It -was determined that a consultant was required to evaluate existing facilities and analyze current and future needs of the community. Such study will be especially useful as closed schools are being considered for residential and commercial use. Such use could result in the loss of community recreational space and could impact a considerable number of youths who participate in organized sports as well as individual neighborhoods that utilize school sites for recreational open space. A committee of school district and city representatives prepared a task list for the Request for Proposal and forwarded it to Council for approval to solicit bids on November 20, 1995. The proposals were received January 30, 1996. The school district/city committee reviewed the proposals and recommended the selection of Heimberger-Hirsch. (See attached matrix of consultant fees.) Heimberger-Hirsch has an existing contract with the city to provide consulting services; therefore, a new agreement will not be necessary if Council approves Heimberger-Hirsch. The issue of joint payment of the consultant was presented to the City Council at the time that permission was solicited for sending out the RFP. At that time, it was suggested that the city match funds with the school districts for consultant work relating to closed schools. This is still the recommendation of the committee; that the school districts and city split 50150 the cost of Task 1 and Task 3. Since Task 2 takes the process one step further to complete the citywide Recreation Master Plan and is essential to the process for the city, this fee should be paid solely by the city. The Recreation Master Plan is required in the General Plan and completing it now would be cost effective for the city. All parties will provide information and data but the committee felt that a neutral party must review and present the data. It should be noted that this study was originally estimated at a cost between $80,000 and $100,000 because of all the field data collection required. INTRODUCTION AND OBJECTIVE The City of Huntington Beach, Ocean View School District, Huntington Beach City School District, Huntington Beach Union High School District, Fountain Valley School District, and the Westminster School District are soliciting proposals to study the reuse of school sites, parks and other recreation open space and the impact of future development on youth sports and recreation open space. A financial analysis and an examination of recommended alternatives will be included as part of the study. In addition to this study, a facilitator is being requested as part of the project to assist in identifying and -explaining the issues and recommendations to the public. The Request for Proposal is presented in three sections or alternatives. Each alternative is divided into tasks. Proposals from consultants should also be submitted with the costs listed for each task in each of the three alternatives. This will enable the city and school districts to decide if all, or part, of the proposal will be considered. One reason this approach is being taken is due to the limited funds available for this study. The city and the school districts will submit to the consultant an inventory of youth sports facilities on city and school property, including acreage, type of fields, and number of fields. The school districts will provide the consultant with the current school facilities. master plans to determine projected demographics and future utilization of school sites. II. SCOPE OF WORK ALTERNATIVE 1 TASK 1. Survey youth sports groups, including total number of youth and number of Huntington Beach residents in each group and verify number of youth by providing copy of youth group's mailing list. Determine frequency of use and the impact, i.e., hours needed for practice and game schedules. TASK 2. Identify issues and possible solutions relative to youth sports such as facility development and maintenance, lights, parking, rest rooms, etc. TASK 3. Evaluate current and future needs of each sport and the corresponding impact on parks and school sites. This will include examining alternative scenarios as to which school sites are used for youth sports field space and identifying altemative sites for field space when a school is going to be reused as residential or commercial. Page two TASK 4. Evaluate the need for neighborhood parks in quarter sections with closed schools (include acreage). Evaluate the need for neighborhood parks if there is no park in the quarter section or if .the existing park space is inadequate. Compare sections of the city where no closed school site is available to other sections where potential school space is available. TASK 5. Provide recommendations as solutions for reuse of school sites, parks and other recreation open space and the impact of future development on youth sports and recreation open space. TASK 6. Develop a cost analysis and funding method for recommended solutions for Alternative 1. ALTERNATIVE 2 TASK 1. Ill. CONSULTANT'S REPRESENTATIVE The consultant will assign a responsible representative and an alternate, both of whom shall be identified in the proposal. The consultant's representative will remain in charge of the consultant's duties from contract negotiations through project completion and shall be available to the city upon minimal notice. If the consultant's primary representative should be unable to complete the project, the alternate will become the primary representative. Any other changes in representative must be approved by the city. The city will have the right to reject other proposed changes in personnel and may consider any other changes in responsible personnel as a breach of contract. IV. CITY'S REPRESENTATIVE The city will assign a responsible representative to administer the contract, answer questions, and assist the consultant in obtaining information regarding the project. Each school district will also designate a representative, but the city will be the primary contact for the consultant. V. MEETING ATTENDANCE AND INTERVIEW The consultant shall attend meetings and conduct interviews with city staff, school staff and the public including youth sports groups. A recommendation on the number and types of meetings needed shall be included in the proposal as well as which consultant representatives) are recommended to attend. Payments for meetings shall be included in the cost of each task in the proposal. Recommendations on facilitator meeting(s) shall also be included. VI. EXPENSES No additional expenses are authorized. The city will not pay for unauthorized expenses. The consultant's expenses for travel, in-house reproduction, other reproduction used in the project, or any other expenses should be included in each task_ as part` of the consultant's proposal. VII. SCHEDULE The proposal shall include a schedule of work showing the number of hours or days to accomplish completion of each task. The schedule should include the items listed under "Scope of Work." The city and school districts will provide the inventory of youth sports facilities on city and school properties, including acreage, type of fields, number of fields and the school districts will provide the consultant with the current school facilities master plans by February 15, 1996. During our service to Calmark, we were requested by Mr. Christopher Skiff of Calmark Development to meet with Mr. Tom Duchene and the Board members of Rancho View Little League to formulate a master plan for a potential sports park on a vacant parcel of land within Central Park. Toe proposed closure and development of Rancho View School would mean the elimination of the current little league fields. The Sports Park master plan was developed through a series of meetings between the School District, City Staff, Calmark Development Company and Rancho View Little League Board members. Upon completion, HeimbergerlHirsch & Associates presented the master plan to the Park and Recreation Commission and City Council for review and comment. Although the idea of a city owned and operated sports complex won unanimous support from all parties, a source for construction funds and a final location could not be agreed upon. RECOMMENDED ACTION Authorize the Mayor to execute the landscape architectural service agreements with Purkiss-Rose r.s.i., Nuvis, and Heimber r-Hirsch. ANALYSIS For the past three years, the city has been working with three landscape architectural firms to provide design services for beach and park projects. The three companies are Purkiss-Rose r.s.i., Heimberger-Hirsch, and Nuvis (formerly Cardoza DiLallo Harrington). In past years, the city has utilized one company for this purpose. There currently are more projects on line that require such services, and the city found that it received competitive prices by utilizing three firms instead of one. There are also many times when the city re- quires landscape architectural services for preliminary designs and estimates in prepara- tion of bringing a project on board. By having a contractual relationship with three land- scape architectural firms, the city can expedite the project by getting cost estimates and preliminary design work completed without having to use a bid process on each individual project. The city originally utilized a formal bid process to select these firms. All three firms have agreed to continue with the same fee schedule as in their original contracts. Staff has been extremely satisfied with the firms' design skills, conscientiousness, expertise and overall working relationships. Therefore, staff is recommending that the city contract with these firms for an additional three years. FUNDING SOURCE Not applicable. WHEREAS, CITY desires to engage the services of a landscaped architect on a contractual basis with terms and conditions as provided herein; and ARCHITECT shall be employed by CITY as an independent contractor; and In its search to fulfill the position of landscape architect, CITY has complied with the provisions of HBMC Chapter 3.03 relating to procurement of professional service contracts, NOW, THEREFORE, it is agreed by CITY and ARCHITECT as follows: EMPLOYMENT ARCHITECT is hereby engaged to perform those architectural services as are more fully described in Exhibit "A," which is attached hereto and incorporated hereby by reference as though fully set forth herein. Additionally, ARCHITECT shall perform such other work as may be assigned to him by CITY, subject to the article of this Agreement which provides for changes to the scope of work to be performed hereunder. ARCHITECT hereby designates Pat Hirsch, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 2. TERM Subject to prior termination of this Agreement as hereinafter provided, and subject to the maximum number of hours of service permitted to be provided per paragraph 4 herein, the work to be performed hereunder shall be performed by ARCHITECT at such times as are desired by CITY subsequent to the effective date hereof. TERMINATION CITY may terminate this Agreement at any time after the effective date of this Agreement upon written notice to ARCHITECT for cause when in its sound discretion it - determines that ARCHITECT is not progressing or proceeding with the work in an orderly or deliberate manner or when it determines after due consideration that ARCHITECT's performance of the work is unsatisfactory or for its own convenience due to lack of funds or upon the determination that the work is not necessary. Upon termination for convenience, ARCHITECT will be entitled to claim for the reasonable value of its expended or committed work and materials, a reasonable fee or profit based upon work actually performed but not for loss of prospective profit or for any incidental damages. 4. COMPENSATION As compensation for services under this Agreement, ARCHITECT shall be entitled to receive from CITY the percentage fees shown on Exhibit "B," attached hereto and incorporated by reference herein. For such additional services which are performed at the specific request of CITY's Director of Community Services, ARCHITECT will receive compensation at the hourly rates as shown on Exhibit "B." (a) Billings shall occur monthly on a percentage of work accomplished. Total payment is not to exceed the designated fee for such park. (b) There shall be a retention of 2-1/2 percent of assigned development project fees for on -site observation as required in Exhibit "A" until such time as said observation has been performed. If construction does not commence within six months after submittal of final construction documents to CITY, project observation shall be paid for on an hourly basis as requested in writing by CITY. 5. AUTHORIZATION TO PROCEED WITH PHASES OF WORK ARCHITECT understands and agrees that the work to be performed hereunder will be performed in increments, as determined by CITY, and that CITY will incur no liability for 2 61k/heimbW 7M • any work performed prior to receipt of a written authorization to proceed issued by the Contract Administrator. 6. ADMINISTRATION OF CONTRACT. The CITY's Director of Community Services is designated as CITY's Contract Administrator for this Agreement. 7. ENTIRETY This written Agreement contains the sole and entire Agreement between the parties. It supersedes any and all other Agreements, either orally or in writing, between the parties. The parties acknowledge and agree that neither of them has made any representation with respect to the subject matter of this Agreement or any representations including the execution and delivery hereof except such representations as are specifically set forth herein, and each party acknowledges that it has relied on its own judgment in entering in to this Agreement. The parties further acknowledge that any statements or representations that may have heretofore been made by either of them to the other are void and of no effect and that neither of them has relief thereon in connection with the dealings with the other. B. INDEMNIFICATION AND HOLD HARMLESS ARCHITECT hereby agrees to indemnify, defend, and hold and save harmless CITY, its officers and employees from any and all liability, including any claim of liability and any and all losses or costs arising out of the negligent performance of this Agreement by ARCHITECT, its officers or employees. 9. WORKERS COMPENSATION ARCHITECT shall comply with all of the provisions of the Workers Compensation Insurance and Safety Acts of the State of California, the applicable provisions of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney fees and costs presented, brought or recovered against CITY, 3 81Wheimb/8/17/84 • for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by ARCHITECT under this Agreement. ARCHITECT shall obtain and furnish evidence to CITY of maintenance of statutory workers compensation insurance and employers liability in an amount of not less than $100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each employee, and $250,000 bodily injury by disease, policy limit. 10. INSURANCE In addition to the workers compensation insurance and ARCHITECT's covenant to indemnify CITY, ARCHITECT shall obtain and furnish to CITY the following insurance policies covering the project: A. General Liability Insurance A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify ARCHITECT, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the project shall be deemed excess coverage and that ARCHITECT's insurance shall be primary. B. Professional Liability Insurance. ARCHITECT shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for ARCHITECT's professional liability in an amount not less than $500,000 per claim. A claims made policy shall be acceptable. 4 6/k/heimb/8/17194 11. CERTIFICATES OF INSURANCE: ADDITIONAL INSURED ENDORSEMENTS Prior to commencing performance of the work hereunder, ARCHITECT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the '-.foregoing insurance coverages as required by this Agreement; said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be canceled or modified without thirty (30) days prior written notice of CITY. ARCHITECT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by ARCHITECT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. ARCHITECT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. A separate copy of the additional insured endorsement to each of ARCHITECT's insurance policies, naming the CITY, its officers and employees as Additional Insureds shall be provided to the City Attorney for approval prior to any payment hereunder. 12. INDEPENDENT CONTRACTOR ARCHITECT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. WAIVER No waiver or subsequent modifications of this Agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charge therewith. Furthermore, no evidence of any waiver or modification shall be offered or received in evidence in any proceeding, arbitration, or litigation between the parties arising out of or affecting this Agreement, or the rights or obligations of any party hereunder, unless such waiver or modification is in writing, duly executed as aforesaid. The provisions of this paragraph may not be waived except as herein set forth. 14. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by ARCHITECT to any other person or entity without the consent of CITY. 15. COPYRIGHTSMATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 16. CITY EMPLOYEES AND OFFICIALS ARCHITECT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. ARCHITECT will perform professional landscape architectural services fore neighborhood parks, community parks, and for various elements in CITY's Central Park which may be designated from time to time. ARCHITECT will make itself thoroughly familiar with on - site conditions by visiting and adequately observing each project site. 2. It is contemplated that the actual park development will be performed by contract entered into after receipt of public bids. fin this connection, ARCHITECT wiif provide the following at a minimum to the satisfaction of the contract agreement: A. ARCHITECT shall perform all necessary duties required to prepare master plans, preliminary plans, and final working drawings/specifications, including soil testing and surveying. The ARCHITECT shall, during bid advertisement and construction, provide support, including: 1) Interpretation of plans and specifications; 2) Review of all shop drawings; 3) Review of and recommendations on change orders; and 4) Attendance at weekly meetings at the job site during construction. NOTE: In the event that the CITY goes out to bid with a project and there is not at least one acceptable bid within ten percent of the ARCHITECT's cost estimate, the ARCHITECT will revise the bid package to allow for receipt of an acceptable bid or bids at no cost to CITY and any such modification shall be subject to approval and acceptance by CITY.
