The contractor shall furnish the Director such facilities and labor necessary for making and maintaining points and lines as he may require. The contractor shall preserve all stakes and points set for lines, grades, or measurements of the work in their proper places until authorized to remove them by the Director. All expenses incurred in replacing stakes that have been removed without proper authority shall be paid by the contractor. The contractor shall be responsible for the miring of a • registered Civil Engineer and/or licensed Land :purveyor to layout entire work and provide all necessary staking when special provisions so indicate. 5-k. Final Inspection Whenever the work provided for and contemplated by the contract i shall have been satisfactorily completed and the final cleaning performed, the Directcz will make the final inspection. 6. Control of Materials 6--a. Quality of Material i Materials shall be new, and of specified kind and quality and fully equal to samples when samples are required, When the quality or kind of material or articles shown and required under the contract is not particularly specified, the contractor shall estimate that the City will require articles or materials repzesentinct the best of its class or kind or a: least equal • to the class; or quality of similar articles or materials that arr- specified. i 0 Materials shall be furnished in ample quantities and at such times to insure uninterrupted progress ol the work. Same shall be stowed properly and protected as required. The contractor shall be entirely responsible for damage or loss by weather or otter cause. 6-6. Trade Names or Fqual.s It is the intent of these specifications to permit the con- tractor to supply an;, of the materials specified or offer an equivalent. The engineer shall determine whether the material offered is equivalent to that specified. Adequate time shall be allowed for the engineer to make this determination. Wherever any particular material, process, or equipment is indicated by patent, proprietary or brand name, or by name of manufacturer, such wording is used for the purpose of facil- itating its description and shall be deemed to be followed by the words "or approved equal". A listing of materials is not intended to be comp:ehensive,or in order of preference. The contractor may offer for approval any material, process, or equipment which he considers to be equivalent to that indicated. Unless otherwise authorized by the engineer the substantiation of offers must be sub- mitted within 35 days after award of contract. The contractor shall, at his expense, furnish da:� a concerning items offered by him as equivalent to those specified. He shall have the material tested as required by the engineer to determine that the quality, strength, physical, chemical, or other characteristics, including durability, finish, efficiency, dimensions, service, and suitability are such that the item will fulfill its intended function. Test methods shall be subject to the approval of the engineer. Test results shall be reported promptly to the engineer, who will evaluate the re...ults and determine if the substitute item is equivalent. His findings shall be final. Installation and use of a substitute item shall not be made until approved by the engineer. If a substitute offered by the contractor is found to be not equal to Lhe specified material, the contractor shall furnish and install the specified material. The specified contract, Completion time shall not be affected by any circumstance developing from the provisions of this subsection. 6-c. Samples and Vests At the option of the Director, the source of supply of each of the materials shall be approved by the Director befcra delivery is started and before such material is used in the work. Upon request or tha Director of Public Works, representative preliminary material samples of the character and quality prescribed sh�.11 be s+ibmitted, by the contractor producer or manufacturer of all materials to be used in the work, for such testing or examination deemed necessary by the Direc :or of Pul3lic Works. Alltests of materials furnished by the contractor shall be made in accordance with commonly recognized standards of national organization, and such special methods and tests as are prescribed in these specifications. :he contractor shall furnish, at no cost to the City, such samples of materials as are requested by the Director of Public Works. "No material shall be used until it has been approved by the Director of Public Works. Materials requiring test shall be delivered in ample time before intended use to a12.ow for testing, and none may be used before receipt of approval. All approvals or decisions w,': be rendered in writing. n i 0 • L i Samples that are of value after testing shall remain the i property of the contractor. 6--d. Defective Materials All. materials not conforming to the zequirements of these specifications shall be considered as defective, and all i such materials, whether in place or not, shall be rejected and shall be removed immediately from the site of the work unless otherwise permitted by the Director of Public Works. No rejected material, the defects of which hilve been sub- sequently corrected, shall be used until approved in writing by the Director of Public Works. Upon failure on the part of the contractor to comply with any order of the Director of Public Works made kinder the provisions of this article, the Director of Public Works shall have authority to remove and replace defective material and to deduct the cost of removal and reflacement from any monies due or to become due the contractor. 7. Legal Relations and Responsibilities 7-a. General compliance with Law The contractor shall keep informed and observe, and comply with, and cause all of his agents and employees to observe and comply with, all prevailing Federal, State and Municipal Laws, Ordinances, Rules and Regulations which in any way affect the conduct of the work of this contract. If any conflict arises between provisions of the plans and specific- ations and any such law above referred to, *:hen the contractor shall notify the City at once in writing. 'rre contractor shall protect and indemnif- ..he. City or any of .its officers, agents, and employees against aay claim or liability arising from or based on the violation of any such law, ordinance, rule or regulation, whether by himself or his agents employees. i 7-b. Regis :rat1 on of Contractor Prior to the ai:•..rd of contract, the: contractor shall be licensed in accordance wit;-. the provisions of Article 1 to 9 inclusive of Chapter 9, Division 3 of the Business and Professions Code of the State of California and Amendment: thereof, providing for the registration of contractors, and defining the term con- tractor; providing a method of obtaining licenses to engage in the business of contracting and fixing the fees for such licenses; and prescribing the punishment for violation of provisions thereof, as amended. • 7-c. Permits and Licenses The contractor shall procure all permits and licenses, pay all charges and fees, and give all notices necessary and incidental to the due and lawful prosecution and romp.letion of the work. E 71 7-d. Patents 0 The contractor shall assume all liability arising from the use of patented materials, equipment, devices, or processes used on or incorporated in the work. 7-e. California Fair Employment Practice Act The contractor shall utilize fair employment practices in accordance with California Labor Code Section 14-10 et seg. 7-f. Prevailing Wage The contractor shall forfeit as penalty twenty-five dollars • ($25.00) for each laborer, workman or mechanic employed for each calendar day or portion thereof, such laborer, workman or mechanic is paid less than the general prevailing rate of wages stipulated for any work done by him, or by any subcontractor under him in violation of the provisions of the Labor Code, particularly Section 1770 to 1781 thereof, • both inclusive, providing for the payment of not less than the general ;prevailing rate of wages for legal holiday and overtime work on public work, providing for the ascertain- ment of such general prevailing rate by the public body awarding the contract, providing for the keening of records of the wages paid all workers engaged in public work and the inspection of such records by the proper officials, providing for forfeiture for each calendar day, or portion thereof, any worker is paid less than the said rate and for a stipulation to this effect in the contract, and providing other penalties for violation of the provisions. • 7-g. Hours of Labor The contractor shall forfeit, as penalty, twenty-five dollars ($25.00) for each laborer, workman, or mechanic employed in the execution of the contract by him, or by any subcontractor under him for each calendar day during which said laborer., � workman, or mechanic is required or permitted to labor more than eight (8) hours .in violation of the provisions of the Labor Code, particularly Section 1810 to 1816 thereof, both inclusive, relating to the hours of labor on public works, by requiring contractors to file with the awarding body a verified report as to the nature of any extraordinary � emergency when their employees are permitted to work over eight (8) hours per day, together with the names of the said employees, and the hours worked per day mak.tng failure to file said report with.ir thirty (30) days prima facie proof that no extraordinary emergency existed, also making it a misdemeanor for any contractor or subcontractor on public work, or agent thereof, to fail to keep an accurate record showing the name of and the actual hours worked by each workman employed by him in connection with public work. • 7-h. l.pprentice on Public Works The contractor shall utilize apprentices on public works in accordance with California Labor Code Section 1777.5. 7-i. Public Convenience and Safety_ The contractor shall so conduct his operations as to cause the least possible obstruction and inconvenience to public traffic. Residents along the road, street, or other alignment of improvements shall be provided convenient access to driveways, houses, and buildings along the road or street, and temporary crossings shall be provided and maintained in good condition. Not more than one cross street or intersecting street or road shall be closed at any one time without the approval of the Director of Public Works. 46 The contractor shall furnish, erect, and maintain such fences, barriers, lights, and signs as are necessary to give adequate warning to the public at all times that the road or street is under construction and of any dangerous conditions to be encountered as a result thereof, and he shall also erect and maintain such warning and directional signs as may be furnished by the City. St-rict prohibition against committing any nuisance in or about the work must be maintained. Coueniences shall be provided for employees and maintained in sanitary conditions. At street crossings and where existing driveways occur, the contractor shall make provision for ditch crossings at these paints either by means of backf.ills or temporary bridges as the Director of Public Works may direct. Free access must be provided to all fire hydrants, water gates, meters and private drives, and means shall be provided whereby all storm and waste water can flow in the gut`ers uninterrupted. 7-j. Accident Prevention Precaution shall be exercised at all times for the protection of persons (including employees) and property. The safety provisions of applicable laws, nuilding and construction codes shall be observe:. Machinery equipment, and other hazards shall be guarded or eliminated in accordance with the safety provisions of the California Industrial Accident Commission, Federal and California OSHA, State Industrial Safety and the "Manual of Accident Prevention in Construction" published by the Associated General Contractors of America, to the extent that such provisions are not in contravention of applicable law. i 7-k. Location and Protection of Underground Utilities The City has shown on the plans, the approximate location of known underground utilites, however, the contractor is responsible to notify owners of all power, telephone, gas, oil or other utility lines or structures before starting to mark out in the field the locations of their facilities in the vicinity of the work and shall notify the City of any interference with the construction of project and to protect in place and/or request relocation of, or otherwise prevent damage to these facilities. In the event that every precaution is not exercised to avoid such damage, the contractor shall be liable for all damage due to his operations_ 7-1. Responsibility for Damage The City of Huntington Beach, the City Council, appointed or elected officials, commissions, boards, any City employee or servant shall not be liable for any loss or damage to the work performed pursuant to the contract or any part thereof, or for any material or equi.Fment used in performing the work, or .for injury or damage to any person or persons, either workmen or the public, or for damage to property adjoining the property on which the work is being; performed from any • causes whatsoever during the progress of the work or at any time before final acceptance by the City. The contractor shall indemnify and save harmless the city of Huntington Peach, the City Council, appointed or elected officials, commissions, boards, City employees or servants ! from any suits, claims, or actions brought by any person or persons for or on account of any injuries or damages sustained because of or arising out of the performance of the work contemplated or in consequence thereof. The City Council may retain so much of the money due the contractor as shall be considered necessary for payment of the claims and attorneys fees until disposition has been made of such suits or claims for damaqes. 7-m. Public Liability► and Property Damage Insurance The contractor shall furnish to the City and mulntain during the life of the contract a protective liability policy in which the City is named as an additional insured. The policy shall insure and hold harmless the City, its officers and employees while acting within the scope of their duties, against all claims arising out of or in connection with the work to be performed. The policy shall provide for not less than the following amounts: Coi;ibined Single Limit Body Injury and/or Property Damage Including Product, Liability 1,00 ,000aggregate per occurrence r Such policy shall provide coverage at least as broad as that provided in the Standard Form approved by the National Bureau i of Casualty Underwriters together with such endorsements as are required to cover the risks involved. The contractor shall arrange for the policies to be so con- ditioned as to cover the performance of "Extra Z1ork", should such work become necessary. i Prior to the commencement of work, under the contract, P:idence of insurance shall be furnished on a form provided by the City, and no other form will be accepted. In addition, the con- tractor shall Alurnish evidence of a commitment by the insurance company to notify the City of the expiration or cancellation of ♦ any of the insurance policies required hereunder not less than 30 days before any change in coverage, expiration or cancell- ation is effective. The contractor will be required to secure the payment of Workmen's Compensation to his employees in accordance with the • provisions of Section 3700 of the Labor Code. Prior to the commencement of work, the contractor shall sign and file with the engineer a certification in the following form: i I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for Workmen's Compensation or to undertake self- insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract. • Said certification is included in the contract, and signature and return of the contract as provided in Section 3-1.03, "Execution of Contract", shall constitute signing and filinq of the said certificate. r The cost of this insurance shall be included in the prices bid for the various items of work and ne additional compensation will be made therefor. 7-n. Cooperation Between Contractors S Where two or more contractors are employed on related or adjacent work, each shall conduct his operations in such a manner as not to cause any unnecessary delay or hindrance to the other. Each contractor shall be responsible to the other for all damage to work, the person or property, or for loss caused by failure to finish the work within the time specified • for completion. .0 7-o. Contractor's Responsibility for Work 40 Until the formal acceptance of the work by the City, the contractor shall have the charge and care thereof and shall bear the risk of damage to any part of the work by the action of the elements or from any other cause, whether arising from the execution or from the non -execution of the work. The contractor shall rebuild, repair restore and make good all damages to any portion of the wozK occasioned by any of the above causes before its completion and acceptance and small bear the expense thereof, except for such damages as are occasioned by ,.cts of the Federal Government and/or public enemy. In case of suspension of word: from any cause whatever, the � contractor shall be responsible for all materials and shall properly store tn.em if necessary, and shall provide suitable drainage and erect temporary structures where necessary. 7-p. Non -Responsibility of the City The City shall twit be responsible for damage or loss from any cause to the wcrk or site, or other property, or for injury or loss of life to persons employed, or to the public. The contractor shall take out and pay for all accident, com- pe:;sation and fire insurance necessary, according to law and assume all risk and responsibility until the work is finally accepted by the City, all as hereinafter specified. Indebtedness incurred for any cause in connection with this work must be paid by the contractor and the City is hereby relieved at all times from any indebtedness or claim other than payments under terms of the contract. � 7-q. No Personal Liability Neither the City Council, the Director of Public Works or any other officer or authorized assistant or agent shall De personally responsible for any liability arising under the contract. i-r. Property Rights in Materials Nothing in the contract shall be construed as vesting in the contractor any right of property in the materials used after they have been attached or affixed to the work or the soil. 0 All such materials shall become the property of the City upon being attachel or affixed. 7-s. Conduct of Work The contractor shall observe that the City reserves the right to do other work in connection with the project. by contract or otherwise, and he shall at all times conduct this work so as to impose no hardship or, the City or others engaged in the worm. He shall adjust, correct dnd coordinate his work with the work of others so that no discrepancies shall result in the whole work. 0 The contract,,)r shall provide, at his own risk, all touts, machinery, scaffolding, false work, forms and centers for the execution of the work. EgLipment shall be adequate and as approved. The contractor shall layout and supervise the construction for correctness of which he shall be responsible. Where work of one trade joins or is on other work, there shell be no discrepancy when same is completed. In engaging work with other materials, marring or damaging same will not t,e permitted. Should improper work or any trade be covered by another which results in damage or defects, the whale work affected shall be made good without expense to the City. 8. Prosecution and I)rrgress 8-a. Progress Schedule When, in the judgement of the City, it becomes necessary to accelerate the work, the contractor, when ordered, shall cease work at any particular point and concentrate his for. --es at such other point or points as directed; and exenute such portions of his work as may be requ..red to enable others to hasten and properly engage and carry on their work. 8-b. Working_ Days r� Every calendar day except Saturdays, Sundays and legal holidays is counted a full working day in figuring the working days allowed under the contract. No work may be performed on Sundays and holidays, except as other wise provided for herein. See paragraph 2, Section a-g, page 8. 8-c. Labor The contractor shall observe stricly that each and every kind of work shall be performed by workmen, lc:horers, or mechanics especially skilled in the class of work required and that workmanship shall be of the best regardless of -the quality of material. The contractor shall provide, at all times, sufficient com- petent labor to properly accomplish the wort: and to insure completion of each part in accordance with schedule and with the time agreed to. The contractor shall retain a compete-nt superintendent to direct the work constantly during construetlon and to represent the contractor at all times in connection with the contract. 8-d. Subletting and Assignment The contractor shall give his personal attention to the fulfillnment of the contract and shall keep the work under his control. The specifications are in "Schedules" divided and arranged according to various trades. No obligation is inferred to sublet the work as divided, nor is the contractor relieved of fully performing and completing any part of the work. Subcontractors will not be recognized as such, and all. persons engaged in the work of construction will be i considered as employees of the contractor, and he will be held responsible for their work, which shall be subject to the provisions of the contract and specifications. The contractor submitting a bid for the work, covered by these General Requirements and Special Provisions, shall perform, with his own labor forces or organization, work of a value amounting to not less than 50 percent of the remainder obtained by subtracting from the total original contract value the sum of any items that may be designated as specialty items in the special provisions. i The contractor shall, in his proposal, set forth the name and the location of the place of business of each subcontractor who will perform work or labor or render service to the contractor in or aboutthe constructions of the work or improve- ment in an amount in excess of one half of one percent of the contractor's total. bid; and shall set forth the description 40 of the portion o� the wort: which will be done by each subcontractor. The contractor agrees that he is fully qualified to perform the balance of oll work which is not set forth ,to be performed by subcontractors, and that he shall perform such � balance of work. The contractor further agrees to fur^ish the City copies of all subcontractors bonds and insurance certificates which have been required by the contractor. Where a portion of the work, sublet by the contractor is not being prosecuted in a manner satisfactory to the Director o: i Public Works, the :subcontractor shall be removed immediately on the request of the Director of Public Works and shall not again be employed on the work. +s signment of the obl:.gations and/or duties of the contractor in the whole or any part of the contract shall be made only i upon the consent and approval of the City Council of a written request by the contractor. 8-e. Proqress of the. Work and Time for Completion The contractor shall begin work within ten (10) days after « receiving notice that the contract has been execu"ed by the City and shall diligently prosecute the same to completion ber'ore the expiration of the time specified in the proposal, specifications, and/or contract. E 8-f. Character of Workmen i IY any subcontractor or person employed by the contractor zither fail or refuse to carry out the directions of the P_rector of Public Works or shall appear to the Director of Public Works to be incompetent or to act in a disorderly or improper manner, he shall be discharged immediately upon request of the Director of Public Works, and such person shall not again be employed on the work. 8-g. Temporary Suspension of Work. The Director of Public Works shall. have the authority to suspei,d the work wholly or in part, for st:ch period as he 0 may deem necessary, due to unsuitable weather, or to such other conditions as are considered unfavorable for the prosecution of the work, or for such time as he may deem necessary, due to the failure on the part of the con- tractor to carry out orders give, or to perform any provisions of the work. The contractor shall immediately obey all orders of the r:rector of Public Works and shall not resume the work until ordered to do so in writing by the Director of Public Works. 8-h. Time of Completion and Li uidated Rama gas 0 It is agreed by the partias to t-he contract that in case all work called for under the contract is not completed before or upon the expiration of the time limit as set forth in these specifications, damage will be sustained by the City of Huntington Beach and that it ?.s and will be impracticable to determine the c,�tual damage which the City will sustain in the event of and by reason of such delay; and it is therefore agreed that the contractor will pay to the City of Huntington Beach the sum of one hundred dollars ($100.00) per day for each and every day's delay beyond the time prescribed to complete the work, or any approved extension thereof, and the contractor agrees to pay such liquidated damages as herein provided and in case the same are not paid, agrees that the City of Huntington Beach may deduct the amount thereof from any money due or that may become due the contractor under the contract. It is further agreed that in case the work called for under i the contract is not finished and completed in all parts and re^,uirements within the time specified the Director shall have the right to extend the time for completion. If the Director extends the time limit for the completion of the contract, the City shall further have the right to charge to thq contractor, his heirs, assigns or sureties, and to deduct from the final payment for the work, all or any part, as it may deem proper, of the actual cost of engineering, inspection, superintendence, and other c•verhead expenses which are directly chargeable to the contract, and which aces-je during the period of such extension, except that the cost of final surveys and preparation of final estimate shall not be included in such. charges. The contractor shall not be assessed with liquidation i damages nor the cost of engineering and inspection during any delay in the completion of the work caused by acts of God or of public, e.neiny, c.cts of the City, fire, floods epidemics, quarantine restrictions, strikes, freight embargnes, and un12sually severe weather or delays of sub- contractors due to such causes; provided, that the i contractor shall within ten (la) days from the beginning of any such delay notify the Director of Public Works in writing of the causes of delay. The Director of Public Worts shall ascertain the facts and the extent of delay, and his findings of the facts thereon shall be final and conclusive. • 8-i. Suspension of a Cash Contract If at any time in the opinion of the City Council the contractor has failed to supply an adequate working force, or material of proper quality. or has failed in any other respect to prosecute +-.he !cork with the diligence and force • specified and intended by the terms of the contract, notice thereof in writing will be ser%-Pd upon him, and should he neglect or refuse to provide ;nears for a satisfactory compliance with the contract, as 3irected by the Director of Public Works, within the time specified in such ,notice, the City Council shall have the power to suspend the operation • of the contract. Upon recei.vinq noti;:^ of such suspension, the contractor shall discontinue performance of said work, or sucks parrs of it as the City Council may designate. Upon such suspension, the contractor's control shall ter- minate and thereupon the City Council or its duly authorized representative may take nossessior, of all or any part of the r contractor's materials, tools, equipment and appliance upon the premises, and use the same for the purpose of completion of said contract, and hire such labor and buy or rent such additional machinery, tools, appliances, and equipment, at the contractor's expense as may be, necessary for the proper conduct of the work and :or the completion thereof, or may • employ other parties to carry the contract to completion, or employ the necessary workme-,, substitute other machinery or materials, and purchase the materials contracted for by contractor, in such manner as the City Council may Cleem proper; or the City Council. may annul and cancel the contract and relet the work or any part thereof. Any excess of cost i arising therefrom over and above the contract price will be charged against the contractor and his sureties, who will be liable therefor. In the even of such suspension, all money due the contractor or retained under the terms of this contract shall be forfeited to the City; but such forfeiture will not release the contractor or his sureties from liability by i failure to fulfill the contract. The contractor and his sureties will be credited wiHL the amount of money so forfeited toward any excess of cost of completion of the work over and 0 above the contr&et price arising from the suspension of the operations of the operations of the contract and the comple'ion of the work by the City as above provided, and the contractor will be paid any surplus remaining after all just claims for such completion have been paid. In ::he determination of the question whether there has been atij• such non-compliance with the contract as to warrant the suspension or annulment thF-reof, the decision of the City Council is final and shall be binding on all parties to the contract. 8-j. Termination of a S2ecial Assessment District Contract Failure to prosecute work diligently is p.. g y ground for termination of the contractor's control. over the work and taking over the work by the City of due process of law. 8-k. Right-of-S-lay The right of way for the work to be constructed will be provided by the City. The contractor shall make his own arrangements, and pay all expenses for additional area required by him outside of the limits of right of way. 8-1. Preservation and Cleaning The contractor shall properly preserve and clef n the work as it progresses. At regular intervals, or when directed, rubbish shall be collected anti removed, and at completion the whole work shall be cleaned and all tools, false work, equipment and rubbish shell be removed from the site, which shall be left in clean and proper condition as directed. 8-m. Acceptance Should it become necessary, dice to developed condition, to occupy any portion of ;:he work before contract is fully com- pleted, such occupancy shall not constitute acceptance. 9. Measurement Lind Payment for a Cash Contract 9-a. Extra and Force Account Work Extra work as defined, when ordered and accepted, shell. be paid for under a written: change order in accordance with the terms therein provided. The price paid for labor shall include any compensation insurance paid by the contractor. All extra work and force account shall be recorded daily upon report sheets prepared by the Director of Public Works and furnished to the contractor and signed by both parties, • which daily reports shall thereafter be considered the true record of extra work or fo,._e accuunt work done. 9-b. Progress Payments The City shall, once in each month, cause an e:a-timate in writing to be made by the Director of Public Works of the • total amount of work done and the acceptable materials furnished and delivered by the contractor to the job site and not used as of the time of such estimate and the value thereof. The City shall retain mo.iey in the amount of ten percent (10%) of the progress payment unless approval of Director ::or greater percent of such estimated value of the • work done. The City shall retain :coney in the amount of fifty percent (50%) of the value of the materials so estimated to have been furnished and delivered and unused provided the materials were fabricated specifically for the project. No payment will be made for standard stock items that have not been incorporated in the work. The City shall monthly pay It to the contractor while performing the work, the progress payment balance, after deducting therefrom all previous payments and all sums to be kept or retained under the provisions of the contract. No estimate or payment shall be required to be made when in the judgement of the Director of Public Works, the work is not proceeding in accordance a with the provisions of the contract or when in his judgment the total value of the work done since the last estimate amounts to less than three hundred dollars ($300). Progress payments shall he submitted to the Department of Public Works on the Monday before each City Council meeting • for monthly progress payment or final payment. City Council meetings are held on the first and third Monday of each month. Progress payment shall also be typed written on form furnished by the City (see forms) . g..c. Final Payment The Director of Public Works shall, after completion of the contract, make a final estimate of the amount of work done thereunder and the value of such work, and the City of Huntington ©each shall pay the entire sum found to be due after deducting therefrom all previous payments and all amounts to be kept and all amounts to be retained under the provisions of the contract. All prior partial estimates and payments shall be subject to correction in the final estimates and payment. The final payment shall not be due and payable until after the expiration of thirty-five (35) days from the date of recording a Notice of Completion. • i It is mutually agreed between the parties to the contract that no certificate given or payments made under the con- tract, except the final certificate of final payment, shall be evidence of the performance of the contract, either wholly or in part, against any claim of the party of the first part, and no payment shall be construed to be an acceptance of any defective work or unacceptable materials. 10. Payments for a Special Assessment District Contract Final Payment The Street Superintendent, after the completion of all work to be done under the contract, shall forthwith make an assess- ment to cover the sum due for the work performed and specified in said contract (including all. incidental expenses chargeable to the proceedings) in conformity with the provisions of the "Improvement Act of 191111, Division 7, of the Streets and Highway Code of -the Ltate of California. I� Note This paragraph is not applicable when other methods for pay- ments are stated in the contract. 11. Bid Price The contractor shall for the price bid, furnish all equipment, labor and materials and do all incidental work necessary to deliver all of the improvements complete in place in accord- ance with the specifications, special provisions, ordinances, plans, cross sections detail drawings and City standard plans. 12. Guarantee The contractor, by submission of a bid for this project, expressly agrees to the herein stipulated guarantee of materials, products, workmanship, and installations incorporated lntj this project, All work performed in accordance with these general require- ments, special provisions, specifications, and plans, including, but not limited to, workmanship, installation, fabrications, materials, and structural, mechanical, or electrical facilities shall be guaranteed for a period of one year, commencing at the recorded date of filing the notice of completion of the contract by the City. Unless specific areas are to be guaranteed longer as provided in special provisions. Security of this guarantee xhall be tur. ninhod to the City In the form of a bond in favor of the City for an amount equal to 10% of the final adjusted and agreed upon contract price. Notification will be given to the contractor of the date of anticipated Council acceptance and the expected date of filing of Notice of Completion in order that he may arrange for the bond. The bond must be delivered to the Director of Public Works prior to the regular scheduled meeting, of the City Council, at which the final acceptance is proposed or recommended. e The contractor, by agreeing to this latent defect guarantee, � also agrees that within 10 days, after notification of a failure or deterioration, of a facility or work covered under this contract, he will effect repair or replacement or show reasonable cause as to reason for further delay. Refusal or failure to commence action will result in the City arranging for the repairs or replacement and filing claim against the bond. Excepted from the guarantee will be destructions caused by acts of God or by acts of the City, or by acts of public enemy, or by acts of vandals, or by results of major disaster. i 13. Conflict with Special Assessment District Law In the event any of the general provisions shall be in conflict with or not permitted by the provisions of the Improvement Act of 1911, or the Municipal Act of 1913, the provisions of the applicable Improvement Art shall control. 14. Belsito f�-- •`'� City Administrator Subject: Purchase of Traffic Signal Controllers CC-389 Dear Council Members: Transmitted herewith are specifications for the purchase of three (3) traffic signal controllers for two new signal. installations and the replacement of an existing unit. The new signal. installations are scheduled for the inter- sections at Bushard Street and Indianapolis Avenue, and Bustard Street and Yorktown Avenue. The average daily traffic counts are sufficient to warrant these new installations. The third unit will be installed at the intersection of Newland Street and Warner Avenue and is required due to the age of the existing equipment. By purchasing this equipment under separate contract, the City will be able to save approximately 30% in cost since the contractor performing the installation will not be able to add on his markup for handling. Another benefit is that the City can deal directly with the manufacturer in order to maintain uniformity of equipment. The estimated cost for these three units is $30,000 and will be funded from City Gas Tax. Upon receipt of this equipment a separate contract will. be prepared for the actual installation. The City's Environmental Resources Department has granted a Notice of Exemption (76-46) for these traffic signals. It is, therefo, , recommended that the City Council approve the project specifi(.:,ttions and instruct the City Clerk to publish the Notice Inviting Sealed Bids.
