W I T N E S S E T H WHEREAS, in accordance with the provisions of Section 1770 of r the Labor Code, the City Council of the City of Huntington Beach, California, has ascertained the general prevailing rate of wages applicable to the work covered by this contract.,as more particularly set forth in a resolution of the City Council of the City of Huntington Beach, a certified copy of.which resolution is on file in the office of the City Clerk and made a part hereof and designated as Resolution . No. 4249 , entitled: "A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HUNTINGTON BEACH SPECIFYING THE PREVAILING RATES OF PER DIEM WAGES FOR PUBLIC WORKS CONTRACTS." S WHEREAS, the City Council of the City of Huntington Beach, County of Orange, State of California, pursuant to statutes in such cases made and provided, duly and regularly caused a notice to be published, �i calling for bids for labor, material, tools and equipment for the supply of traffic controllers and cabinets at Indianapolis at Bushard, Yorktown at Bushard, and Warner Street at Newland Avenue, CC-389, in said City of Huntington Beach, California, said work to be constructed according to plans, specifications, general requirements, and special provisions for same on file in the office of the Director of Public Works and adopted by the City Council of said City of -Huntington Beach on the 7th day of September , 19 76 , to which said plans, specifications, general requirements, and sp ciecie al provisions reference is hereby made, and by such reference they are made a part of this contract as if.herein set out in full; and Rev. 12-76 r WHEREAS, the City Council at a regular meeting thereof and at the time and place appointed therefore received the report of the results of the bids submitted by the respective bidders for the . construction and completion of the above mentioned work, and after careful consideration of all bids submitted the City Council awarded the contract therefor to the CONTRACTOR therein named at the prices set forth in his bid, it being the lowest and best bid received by the said City Council. NOW, THEREFORE, in consideration of the convenants and agreements herein contained, being done and performed by the parties hereto, it is hereby agreed as follows: I. By my signature hereunder, as Contractor, I certify that I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for workmen's compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract. II. Contractor agrees to receive and accept as.full compensa- tion for furnishing all materials and for doing all the work contemplated and.embraced in this agreement, the unit prices Con- tractor submitted in his Proposal which was accepted by the City Council. A copy of said Proposal is attached hereto and incorporated herein by reference and made a part hereof. Contractor further agrees that said payment by City shall include all payments for all loss or damage arising out of the nature of the work aforesaid, or from the action of the elements, or from any unforeseen difficulties or obstructions which may arise or be encountered in the prosecution or the work until its acceptance by the City, and for all risks of every description connected with the work; also for all expenses incurred by or in consequence of the suspension or discontinuance of work and for well and faithfully completing the work, and the whole thereof, in the manner and according to the plans and specifi- cations, and the requirements of the Engineer under them. III. City agrees with the said Contractor to employ, and does hereby employ, the said Contractor to provide the materials and to do the work according to the terms and conditions herein contained and referred to, for the prices aforesaid, and hereby contracts to pay the same at the time, in the manner and upon the conditions set forth in the general requirements and the said parties for themselves, their heirs, executors, administrators, successors and assigns, do hereby agree.to the full performance of the convenants herein contained for the, contract bid amount of $ 23,lO8.00 which amount is subject to adjustment upward or downward dependent upon inplace quantity were applicable. IV. It is further expressly agreed by and between the parties hereto that should there be any conflict between the terms of this instrument and the bid or proposal of said Contractor, then this instrument shall control and nothing herein shall be considered as an acceptance of the said terms of said proposal conflicting herewith. The amount of the.bid for c,zmparison purposes will be the total of all items. The total of unit basis items will be determined by extension of 1 the item price bid on basis of the estimated quantity setforth for the item. The bidder shall setforth for each item of work, in clearly legible figures, an item price and a total for the item in the respective spaces provided for this purpose. DESCRIPTION OF WORK The equipment manufacturer or supplier shall furnish complete traffic control cabinets and controllers for traffic signals at Bushard/Indianapolis, Bushard/Yorktown and Warner/Newland. SECTION II. SPECIAL PROVISIONS FOR THE SUPPLY OF TRAFFIC SIGNAL CONTROLLERS 0 1.1 - GENERAL The General Requirements and Special Provisions of the first section of these Special Provisions shall apply to this / Schedule. 2.0 - SUPPLY OF TRAFFIC SIGNAL.CONTROL SYSTEMS 2.1 - General Requirements 0 2.1.0 - Application of Standard Specifications Unless specifically modified or deleted by these Special Provisions, all portions of Section 86, "Signals and Lighting", of the Standard Specifications, which are relative to the work to be done, shall apply. All references of the type "Section 86 refer to the specified section of State Standarr Specifications,. dated January, 1975. 2.1.2 - Description The description of the work shall conform to Section 86 - 1.01 of State Standard Specifications and these Special Provisions. The work to be done consists in general of furnishing 1 the traffic signal controller systems for the following inter- sections: 1. Indianapolis at Bushard 2. Yorktown at Bushard 3. Warner St. at Newland Ave. The Contractor shall request a pre -job conference to be held not later than five (5) working days prior to commencing the project for the purpose of reviewing the work to be done with members of the Public Works Department Staff. 2.1.2 - Regulations and Code 1 All electrical equipment shall conform to Section 86-1.02 of the State Standard Specifications and these Special Provisions. 2.1.3 - Equipment List and Drawings 1 Equipment list and drawings of electrical equipment_.and material shall conform to the provisions in Section 86-1.03, 1- Page -1- D D 0 0 P 1 "Equipppment List and Drawings«, of'the Standard Specifications and these Special Provisions'. The first sentence of the second paragraph of Section 86-1.63, "Equipment List and Drawings", of the Standards Specifications is amended to read: "The contractor shall furnish 5 sets of cabinet schematic wiring diagrams made by the (1) wet blueprint, white background process using iron - sensitized paper, (2) offset lithograph process, or (3) electrostatic copier process." The controller cabinet schematic wiring diagram and inter- section sketch shall be combined into one drawing, so that, when the cabinet door is fully.bpen, the.drawing'is.­6riented. with the intersection. The Contractor shall furnish a maintenance manual for all controller units, auxiliary equipment, and vehicle detector sensor unit, control units and amplifiers. The maintenance manual and operation manual may be combined into one manual. The maintenance manual or combined maintenance and operation manual shall be submitted at the time the controllers are delivered for testing or, if ordered by the Engineer, prior to purchase. The maintenance manual shall include, but need not be limited to, the following items: (a) Specifications (b) Design characteristics (c) General operation theory (d) Function of all controls (e) Trouble shooting procedure (f) Block circuit diagram (diagnostic routine) (g) Geographical layout of components (h) Schematic diagrams (i) List of replaceable component parts with stock numbers 2.1.4 - Warranties, Guarantees, and Instruction Sheets Manufacturers' warranties and guarantees furnished for materials used in the work and instruction sheets and parts lists supplied with materials shall be delivered to the Engineer prior to acceptance of the project.. The Contractor shall include, as part of the equipment list to be provided under Section 2.1.3 of these Special Provisions, information setting forth the warranty or guarantee period associated with each item to be supplied as part of the work to be done under this schedule. Page -2 - 1 11 2.2.3 - General Requirements 1 ._ Controller assemblies shall conform to Section 86-3.10, "General Requirements", and these Special Provisions. The list of control priorities shown in Section 86-3.10A, "Control Priorities", is amended by the addition of the words 1 "Monitoring Device" between the words "Flashing" and "Railroad .Pre-empter". The second paragraph of Section 86-3.10B, "Operating Voltage", is amended to read as follows: 1 "During a power interruption not exceeding 0.S second duration, the solid-state controller assembly shall continue in cyclic operation and shall retain all actuations registered prior to the interruption. Following a power interruption exceeding 1.0 second duration, signal operation shall begin in the Phase A 1 amber vehicle change interval and calls shall be placed on all phases. Following -a power interruption of less than 1.0 second; but greater than 0.5 second, the con- troller assembly shall continue in cyclic operation or shall begin in Phase A yellow change interval". 1_ 2.2:4 - Type 100 Controller Assembly Type 100 controller assembly shall not be supplied. 2.2.5 - Microprocessor Controller Assembly 1 The Contractor shall supply a controller which utilizes a microprocessor, programmable memory circuits, and computer - type programming to operate the traffic signal system. Specifications for the microprocessor controller are described in Section of these Special Provisions. 2.3 - DETECTORS Vehicle detectors shall conform to Section 86-5, "Detectors", and these Special Provisions. Lead-in cables shall be continuous from pull box where splice to road wires is made to controller terminals. Vehicle detector amplifiers for loop -type detectors only shall be provided. The number of amplifiers furnished shall be as specified in Section of these Special Provisions. Page -3- 1 2.4 - TESTING Testing shall conform to Section 86-2.14, "Testing", and these Special Provisions. Testing will be performed by a test facility designated by the City. Testing will be paid for by the City. The Contractor shall notify the City fifteen (15) days prior to date of availability of controllers for testing. Test procedures shall conform to Section, 2.19 of these Special Provisions. 2.5 - EQUIPMENT TO BE SUPPLIED Contractor shall supply traffic signal controller(s), in a fully wired "P" type cabinet, complete with load switches, sixteen (16) vehicle detector amplifiers,.conflict monitor (32 channel), and all appurtenant equipment necessary to operate eight (8) phases of traffic signals. All of the equipment ' supplied shall conform to the pertinent portions of Section 86 of the Standard Specifications and to these Special Provisions. The following equipment shall be supplied configured for shelf mounting: 1. 'Controller unit (s) 2. Detector amplifiers 3. Conflict Monitor (s) The equipment supplied shall permit eight (8) vehicle - movements and four (4) pedestrian movements to be programmed for operation. 0 Contractor shall supply all equipment required to accomp- lish the tasks and operations specified in the Standard Specifi- cations and in these Special Provisions, although such equip- ment is not specifically specified, as though it was so stated end specified. 0 Contractor shall also supply one (1) Emergency Replacement Controller (ERC). The ERC shall be four (4) phase, solid state construction, capable of operation of eight (8) phases -as a fixed time, four (4) phase intersection. 0 The ERC shall be connected to the field terminals through a cable harness (NEMA standard) provided in each cabinet supplied under this contract. Flashing operation of the intersection signals shall not be interrupted by connection of the E.R.C.. 0 Disconnection of the intersection controller prior to con- nection of the ERC will be permitted to prevent feed -back of control voltages. 1 Page -4- L 2.8. MICROPROCESSOR CONTROLLER A microprocessor shall be supplied to meet the Type 90 b Traffic Controller requirements of the Special Prov- isions,. The microprocessor shall meet the State of California Type 90 Function Specifications (1975). The controller assembly supplied with the micro- processor shall be as specified in the State of California Specifications, (1975) Section 86-3. In ut/Out ut Connectors e input/output connector shall be a NEMA Type TS-1- 1976. The Program panel shall be clearly labeled to indicate principle of operation. Programming Functions and Timing Programming ,unctions and timing shall be entered utilizing a pushbutton keyboard. The logic circuits for all programmable functions, timing functions, and special operations s all be internal to the controller. No external logic or mechanism shall. be provided to achieve these operations. Programming capabi�lit shall be provided to allow time of day and day of week special conditions. Controller shall, as part of its operation, maintain a time of day and day of week clock, which shall be generated by and. stored in logic circuits internal to the controller. The clock shall be accessible for readout, use of the program currently operating and resetting. ------- e�neral--Requirements _ -- a equipment furnished under these Specific- ations shall be of the solid state design. The use of vacuum or gaseous tubes or electro- mechanical devices within the equipment will not be acceptable unless otherwise indicated. (b) Requirements outlined in California State Specifications are applicable to auxiliary and associated solid state electronic field apparatus whether or not setforth in detailed Specifications. (c) The operation and maintenance manuals shall be supplied for microcomputer items required. Operation and Maintainence Manuals shall include the following: 1. General Description 2. General Characteristics 3. Installation 4. Adjustments 5. Theory of operation a. Systems description (include block diagram b. Field Trouble Analysis c.. Bench Trouble Analysis Page -5- d. Trouble Shooting -Analysis Chart e. Wave forms. f. Voltage Measurements g. Voltage Measurement Charts h. Alignment 7. Parts List (to include circuit and board . designation, part type and class, power rating and component manufacturer). 8. Electrical Interconnection Drawing 9. Schematic and Logic Diagram 10. Assembly drawings and a pictorial diagram showing physical locations and identific7. . ation of each component. The flashing operation shall be as specified in Section 86.3.03. The controller timing shall be as specified in Section 86-3.06B. The provisions of Section 86-3.06B(2) is not a requirement. Memory Features - Vehicle detector acutations received pertaining to phase of traffic when red or yellow in- dication for that traffic phase is displayed shall be remembered and shall cause the microprocessor to provide right of way indications for that traffic phase at the next opportunity in the normal phase sequence. A method shall be provided to disable the memory function. Pedestrianpush-button actuations received for a traffic prase during stea y or flashing "Don't Walk" indication for that traffic phase shall be remembered and shall cause the microprocessor to provide "Walk« indications at the next opportunity in the normal phase sequence of the microprocessor. The recall of vehicle and pedestrian for a traffic phase shall a controllable. (a) The recall for vehicle shall have a condition defined as "Off", the traffic phase shall operate normally with the right-of-way granted to the traffic phase only upon a vehicle or pedestrian actuation or both. When the recall is programmed to vehicle recall the affect of a remembered vehicle detector actuation shall be attained. (b) With pedestrian recall programmed to "On" the effect of a remembered pedestrian push button actuation shall be obtained. (c) The microprocessor shall be programmable to obtaiTi, in any phase, the maximum green inter- val. (d) The features in this paragraph must be pro- grammable in the field without special equip- ment. Switches on the controller face maybe used to achieve these functions. Time setting for any interval shall be readable from the ront of the controller. Page -6- All illuminated displays shall be controlled by a common 3-position switch which shall turn the displays ON and OFF and show all displays when placed in the "Test" position. The "Test" position shall not be a locking position,.and the switch shall automatically return to one of the other positions. 2.9 Controller Cabinets shall conform to Section 86-3.01 "Controller Cabinet.", and these Special Provisions. The rain tight, screened vent holes described in the sixth (6) paragraph of Section 86-3.07, "Controller Cabinet" shall not be provided. All controller cabinets shall be supplied with louvered vents with a glass fiber air filter as described. All cabinets supplied under this contract shall be Type "P" cabinets per Standard Plans. Each cabinet shall be supplied with a fully wired cable connector capable of accepting a four (4) phase solid state Emergency Replacement Controller (ERC). The ERC shall be wired directly to the field terminals. No detector inputs are required for ERC operation. 2.10 Auxilliary equipment shall conform to Section 86-3.08, uxiliary Equipment", and these Special Provisions. The following equipment shall not be furnished unless shown on the plans: 1. Interconnect Isolation Relay Unit 2. Pre-emption Equipment 3. Time Switch The convenience receptacle shall have ground -fault circuit interruption as defined by the Code. Circuit interruption shall occur on 6 milliamperes of ground -fault current. 2.11 Components shall conform to Section 86-3.09, "Components", And these Special Provisions. All fuse holders shall be provided with a protective device designed to prevent accidental body contact across the fuse body from end to end or from holder to holder. The device provided shall allow examination of the fuse without removal of the device (applies to clear -bodies fuses only). 2.12 Electrical Requirements 1. Constancy of Intervals a. All equipment shall be designed so that Page -7- the length of any timed period shall be within the maximum allowable timing. deviations. As the applied line voltage varies between 95 volts and 135 volts, and ambient temperature within the cabinet housing the equipment varies between minus 350F, and plus 1650F; and the humidity varies between 5 and 95%, this performance shall include cold and hot starts, and shall. be obtained without the use o,f any heating.or cooling elements. 2:13 Humidity - The relative humidity and ambient temper- ature values shall not be exceeded. Frequency of 57 Hertz to 63 Hertz. 2. Applied voltage of 95. volts to 135 volts single phase. 3. Ambient temperature of -35oF to 1650F. 4. Humidity of 5 to 95% (as per chart given in this section). (b) All circuits shall commence operation on or before 95 volts as the applied votage is brought from 50 to 95 volts at a rate not to exceed 3 volts per second. (c) All cabinets shall be unaffected by trans- ient voltages normally experienced in Page commercial power lines. (d) The protection shall enable the unit being tested to withstand the discharge of a 25 microfarad capacitor charged to plus and m nus (±) 2000 volts applied directly across the AC line at a rate of once every ten (10) seconds for a maximum of 50 occurrences per test. The unit; under,�est shall be operatingat room temperature and at 120 volts. (e) All equipment in cabinets shall be unaffected by power line noise transients. 1. This protection shall enable the unit or equipment being tested to withstand the discharge of one pulse plus or minus 300 volts,synchronously added to the A.C. line and moved uniformly over the full wave across 3600 of line cycle once every three seconds. Peak noise power shall be 5 kilowatts with a pulse rise time -of 500 nanoseconds. Equip- ment under test shall maintain all of its programmed functions. (f) All equipment,shall be capable of normal operation following rapid opening and ' closing of contacts in series with the applied line for any number of occurrences. (g) All equipment shall be capable of normal operation following a period of at least five (5) hours at minus 35OF and less than 10% humidity, before applying 95 volts "applied line. Electrical connections to and from all equipment shall be in accordance with the detailed specification. (a) The printed circuit connector shall meet or exceed the following: 1. Operating Voltage: 600 VAC (RMS) at 2. Current rating: 5 amperes 3. Insulation resistance: 5000 megohms 4. Contact material: Copper alloy with 0.00002011 gold over copper alloy 5. Contact resistence: 0.006 ohms 2.16 Power Supply (a), An integral and FUulated power supply shall Page -.9 be designed to generate all DC voltages required for operation of all equipment when necessary. This power supply shall provide the internal and external voltage and current requirements for normal oper- ation of the equipment supplied. (b) The maximum DC voltage generated within any and all equipment shall not exceed 45 volts except when used for indicator dis- E play. Cc) The primary side of all power supply cir- cuits sued within equipment supplied shall be fused with an approved MDL type slow blow fuse. The secondary side of the power supply circuits and any appropriate output control circuits may be fused with. either MDL or AGC type fuse. 2.17 All wiring within the cabinet shall be neat and firm ,and shall e color coded or have numbered leads and terminals. Insulation parts and wire insulation shall S be of suitable materials and insulated for a minimum of 600 volts and shall conform to Military Specific- ations, MIl-W-16878D, Type B or D, Vinyl -Nylon Jacket, or Irradiated cross -linked polyvinylchloride, or UL Type TH.HN. Wire size shall be no smaller than No. 14 AWG stranded copper conductor, except that circuits carrying less than 0.25-amperes shall be No. 22 AWG or larger -tranded copper conductor. 2.18 Components 2.18.1 General Requirements - a No component shall be of such design, fab- rication, nomenclature, or other identific- ation as to preclude the purchase of said component from any wholesale electronics distributor, or from the component manu- facturer. M 1. When monolithic integrated circuits are,provided, or such special design that they preclude the purchase of identical components from any wholesale electronics distributor or component manufacturer, one exact duplicate mono- lithic integrated circuit shall be furnished with each twenty monolithic integrated circuits provided, in order, to' facilitAte ,repair. ' ' Page -10- P L` 0 D i i C 0 N 0 (b) Electronic components of two or more leads shall not be socket or jack mounted, except for large scale integrated (LSI) circuits having 24 or more leads which shall be socket or jack mounted. (c) All circuits shall be designed for reliab- ility and maximum performance. Electro- lytic capacitors shall be used only in power accessible for testing and maintenance. (d) All components, such as resistors, capac- itors, diodes, transistors and intergrated circuits, shall be individually replaceable. (e) All components shall be downrated by 20 percent with regard to ambient temperature and applied voltage and power dissipation so material shortening of life or shift in values is minimized. (f) The design life of all components, under 24 hours a day operating conditions in their circuit application, shall be not less than ten years. (g) The circuit reference symbol for each component part shall be clearly marked. (h) Encapsulation of two or more discrete components into circuit modules is pro- hibited. (i) Top quality electronic components shall be used. 1. The City, at its option, may require the equipment manufacturer to submit detailed engineering technical data on any component part. A signed letter from the component manufacturer may be submitted with the detailed engineering data when the proposed application of the component alters the technical data. (j) Capacitors. 1. The R.C. and A.C. voltage ratings as well as the dissipation factor.of a capacitor shall meet;.the worst case design parameters of the circuitry. 2. The effect of change in capacitance due to environmental changes shall not cause circuit malfunctions. 3. A capacitor which may be damaged by shock or vibration (See Section XI) Page ­11:— _ shall be supported mechanically by a clamp or fastener. 4. Capacitor encasements shall be resist- ant to cracking, peeling and discolor- ation due to humidity and changes in I-cmperature. S. Capacitors ased shall be the best Quality industrial grade, military style, available for the application and shall have a design life of at least fifteen years. 6. All capacitors must operate continuous- ly at a tempeerature of .(minus) -350 to (plus) +165 F. 7. All capacitors shall be insulated and shall be marked with their capacitance value, working voltage and when applic- able indicate polarity. 2 Potentiometers a Potentiometers with power ratings of from one to two watts shall be the commercial equivalent of Military Type RV4. (b) Potentiometers (excluding trimmer type potentiometers) of less than one watt power rating shall not be used' (c) The power rating of any potentiometer used shall be at least 100% greater than the maximum power requirements of.the circuit. (d) The potentiometers used shall be the best quality industrial grade, military style, and shall have a design lift of at least fifteen years. 2.18.3 Resistors a Fixed composition insulated resistors shall be used conforming to the performance require- ments of MIL-R-11. 1. All resistors shall be insulated and shall be marked with their resistance value. Resistance values may be indic- ated by the Elecronics Industries Association (EIA) color codes. 2. Resistors used shall be of 10% tolerance or less. 3. The value of.the resistors shall not vary by more than 5% between the ranges of -.35OF and 1650F. Page P 4. No resistors of a power rating exceeding two watts shall be used unless special ventilation or heat sinking is provided. When used they shall be insulated from the printed circuit board. 5_. Resistors used shall be the best quality industrial grade, military style, and shall have a design life of at least, fifteen years. 2.18.4. Semiconductor Devices a All power, as well as forward and reverse current and voltage ratings of semiconductor devices used shall be at least 20% greater than the actual maximum design requirements of the circuit with regard to the parameter specified. (b) Semiconductor devices .used shall be the best quality industrial grade, military style, available for the application and shall have a design life of at least fifteen.years. (c) The integrated circuit manufacturers fan - out rating shall not be exceeded. (d) All solid state devices shall be of the <, silicon type. (e) All transistors, integrated circuits, and diodes, when used, shall be equal to a Standard type listed by EIA (Electronic f Industries Association) and clearly identi- fiable to this standard. ff) Germanium diodes will be permitted only when a low forward voltage drop is required in logic circuit applications. Justification of this use must be furnished: (g) Protection shall be provided for all metal oxide 'semiconductors (MOS) which shall enable any input or output pin with respect to any pin of the device to withstand the discharge of a 200 picofarad capacitor charged to ±750- volts through a 1500 ohm resistor directly across said pins. 2.18.5 Transformers and Inductors a Transformers�iall have the manufacturer's part number clearly and legibly printed on the case or frame. (a) Apparatus: 1. Environmental cabinet capable of attaining -35OF to +165°F with up to 95% humidity, large enought to accept the test specimen, including equipment cabinet. 2. A programmable microcomputer tester shall t, be used in the simulation of traffic in- put signals (vehicle and pedestrain calls) and the evaluation of equipment under test. The tester shall list the history surrounding any defects. 3. Adjustable transformer (variac) with voltage range 0 vac to 135 vac, capable of supplying 20 amps. 4. A recording voltmeter capable of indicat- ing and recording voltages from 0 to 150 A.C.. S. A voltmeter capable of indicating and recording voltages from 0 to 100 volts D.C. with resolution of one -tenth volt. 6. A.C. test loads consisting of tungsten filament lamps capable of loading each output circuit of the test specimen with 10 amperes maximum of tungsten lamp load. 7. Noise transient generator capable of supplying transients as outlined• 8. A multiple -.channel recording thermocouple temperature meter capable of measuring and recording sequentially up to 16 channels from minus 50°F. to plus 3500 with an accuracy of +. 2 1/20 F. 9. Miscellaneous: Test switches, cables, 120 v.a.c. service. Cb) Limits 1. The upper temperature extreme for this test purposes shall be 165OF to 90% Page -14-. i 0 humidity. 2. The lower temperature extreme for this test's purposes shall be -350F. . 3. The upper limit of line voltage to be tested shall be 135 vac. at 60 Hz. 4. The lower limit of line voltage to be tested shall be 95 vac at 60.Hz. (c) Test Specimens T. Test specimen shall consist of a complete . microprocessor assembly, or any component thereof, including signal load switches, processor unit, detector, and signal con- flict monitor in a waterproof equipment cabinet (Refer to diagram A). (d) Procedure 3Control System Ta-T Prepare e the unit for operation by setting the timing controls and/or tuning controls according to and within the limits provided or by "h" detailed specifications to determine duration, sequence and gen general functional compliance with the specification. (b) Place the model to be tested in an enfironment of 75oF + 100 F under humidity conditions of 500 + 100. (c) Verify the test hook-up. Adjust the variac to 60 v.a.c. and apply power to the test specimens.' Raise applied power to 95 v.a.c. at a rate of 3 volts per second. Observe that the con- troller goes Lhrough its prescribed start-up sequence on or before 95 v.a.c. and that it cycles properly' in accordance with the operation in this specification and the simulated input traffic program. (d) After a warm-up period of at least 1/2 hour, the programmed inout and corresponding output shall be recorded. Ce) All functions shall be performed and recorded while the supply line volt- age is maintained at 115 vac. (f) Each test specimen not having exceeded failures of 2 plus 1 per phase, the Page a • maximum number of failures permitted, shall have completed satisfactorily the environmental temperature testing. A failure shall be any occurrence . which results in other than normal operation. If a failure occurs, the test during which such occurrence took place shall be repeated from the beginning of that test'. (e) Test System TfLe model being considered shall undergo a total of 14 days of testing; one seven day period shall be devoted to the program- med cycling at the high temperature ex- treme specified and the second seven days shall be devoted to cycling at the low temperature extreme specified. 2. During each seven day period, one full day of cycling shall be performed at the minimum line voltage extreme specified and one full day of cycling shall be . performed at the maximum line voltage extreme specified. 3. The remaining cycling shall be performed at the specified control line voltage. 4. All functions shall be tested at all temperature and voltage combinations previously stated. 5. All timing intervals shall be evaluated" by the microcomputer tester. 6. Locate in free -space, within the weather- proof equipment cabinet, six thermo- couples to monitor maximum ambient temp- erature inside the cabinet: 1. Proposal Requirements 2-a. Examination of Plans, Specifications, Special Provisions and Site of work The bidder shall examine carefully the site of the work con- templated and the proposal, plans, specifications and contract forms therefore. It will be assumed that the bidder has inves- tigated and is satisfied as to the general and local conditions to be encountered; as to the character, quality and quantities of the work to be performed and materials to be furnished; as to the character of equipment and facilities needed preliminary to and during the prosecution of the work; and as to the requirements of these specifications. It is mutually agreed that submission of a proposal shall be considered prima facie evidence that the bidder has made such examination. No verbal agreement or conversation with any officer, agent or employee of the City either before or after the execution of this contract shall effect or modify any of the terms or obligations herein contained. 2-b. Rejection of Proposals Containing Alterations Erasures or Irregularities Proposals may be rejected if they show any alterations of form, additions not called for, conditional or alternative bids, incomplete bids, erasures, or irregularities of any kind. Any mistakes and their subsequent corrections shall. be initialed by the bidder. The right is reserved to reject any or all proposals. 2-h. Disqualification of Bidders More than one proposal from an individual, a firm, a partner- ship, a corporation, or an association under the same of different names will not be considered. Reasonable ground for believing that any bidder is interested in more than one proposal for the work contemplated will cause the 4 r 6 rejection of all proposals in which such bidder is interested. If there is reason for believing that collusion exists among any or all bidders, any or all proposals may be rejected. Proposals in which the prices obviously are unbalanced may be rejected. 3. Award and Execution. of Contract 3-a. Award of Contract The right is reserved to reject any and all proposals. The award of the contract, if it be awarded, will be to the lowest responsible bidder whose proposal complies with all the requirements prescribed. All bids will be compared on the basis of the City's estimate of the quantities of work to be done. 3-b. Return of Bidder's Guarantee Within ten (10) days after the award of the contract, the City of Huntington Beach will return the proposal guarantee accompanying such of the proposals which are not be be con- sidered in making the award. All other proposal guarantee will be held until the contract has been finally executed, r after which they will be returned to the respective bidders whose proposal they accompany. 3-c. Contract Bonds The contractor shall furnish the three good and sufficient bonds in accordance with the requirements of the State Contract Act, the Improvement Act of 1911, or the Municipal Improvement Act of 1913, whichever Act is applicable. Said bonds shall be cash, Cashier's Check, Certified Check, surety bonds,,subject to State or Federal regulation. One of the said bonds shall be executed in a sum equal to 100% of the contract price to guarantee the faithful performance of said contract by the contractor. The second bond shall be executed in a sum equal to at least 50% of the contract price to guarantee payment of the claims of laborers or mechanics who perform work under the contract, 1' and the claims of persons who furnish materials, supplies, manufactured articles, equipment or machinery used or consumed by the contractor in the performance of the contract. The third bond shall be executed in accordance with Section 12 of these General Requirements. 0 Whenever the City of Huntington Beach has cause to believe that any such bond has become insufficient, a demand in writing may be made of the contractor for such further or additional bond as is considered necessary, considering the extend of the work remaining to be done. Thereafter no payment shall be made upon such contract to the contractor or any assignee of the contractor until such further or - additional bond has been furnished. 3-d. Execution of a Cash Contract The contract shall be signed by the successful bidder within ten (10) working days after award and returned together with the contract bonds, to the City Clerk's office. Work shall commence within 20 working days, after the contract has been awarded. No proposal shall be considered binding upon the City until the complete execution of the contract by the contractor and the City. The contract time shall start on day of contract execution by the City. 3-e. Execution of a Special Assessment District Contract The contract shall be signed by the successful bidder in duplicate counterpart and returned, together with the con- tract bonds, within twenty-five (25) days from the first publication of the notice of award of contract. The contractor shall also sign a set of the plans and specifications for filing with the contract. No proposal shall beybinding upon the City until the contract has been completely executed by the contractor and the City. 3-f. Failure to Execute Contract Failure to execute a contract and file acceptable bonds as provided herein within the time specified for the applicable contract category shall be just cause for the ammulment of the award and the forfeiture of the proposal guaranty. I J 4 4. Scope of Work a. Work to be Done The work to be done consists of furnishing all labor, materials, methods and processes, equipment, tools and machinery, except as otherwise specified, which are necessary and required to fabricate, install, or to construct and put in complete order for use the improvements and appurtenances described and designated in the special provisions and in the contract. 4-b. Changes in Work for a Cash Contract Project The Director reserves the right to make such alterations, deviations, additions to or ommissions from the plans and specifications, including the right to increase or decrease without limitation the quantity of any time or portion of the work or to omit any item or portion of the work, as may be deemed by the Director to be necessary or advisable and to • require such extra work as may be determined by the Director to be required for the proper completion or construction of the whole work contemplated. , Any such changes will be set forth in a contract change order which will specify, in addition to the work to be done in connection with the change made, adjustments of contract time, if any, and the basis of compensation for such work. A contract change order will not become effective until approved by the Director or Engineer. New and unforseen work will be classed as extra work when such work is not shown on the plans or set out in the specifications and special provisions. The contractor shall do no extra work except upon written order from the Director of Public Works. For such extra work the contractor shall receive payment as previously agreed upon in writing, or he shall be paid by force account. 4-c. Changes in Work for a Special Assessment District Contract Project Increases and decreases in the work shall be done in conformity with the provisions of Sections 5230 to 5236, inclusive, of Chapter 8.5 of Division 7 of the Streets and Highways Code of the State of California, with reference to a special assessment project performed under the provisions of the Improvement Act of 1911, or in accordance with the provisions of Sections 10350 to 10358, inclusive, of Chapter 4.5 of Division 12 of said Streets and Highways Code, with reference to a special assessment project performed under the provisions of the Municipal Improvement Act of 1913. The inclusion or deletion of any such work shall be at the bid prices if there are unit prices for such work in the bid on file, or otherwise at prices to be agreed upon between said contractor and said Street Superintendent 5. Control of the Work 5-a. Authority of the Director The Director shall decide any and all questions which arise as to the quality or acceptability of materials furnished and work performed, the manner of performance and rate of progress of the work, the interpretation of the plans and specifications, the acceptable completion of the contract by the contractor, and all questions as to claims and compensation. The Director's decision shall be final and he shall have executive authority to enforce and make effective such decisions and orders. The contractor shall carry out promptly all decisions or orders of the director, affecting the work. P • 5-b. Drawings and S ecifications figured dimensions of the Trawings shall govern work indicated but not particularly detailed or specified shall be equal to similar parts that are detailed or specified, or as directed. Full size details shall take precedence over scale drawings as to shape and details of construction. It is intended that scale drawings, full size details and specifi- cations should agree, but should any discrepancy or apparent error occur in plans and specifications or should any work of others affect this work, the contractor shall notify the Director at once; if the contractor proceeds with the work affected without instruction from the Director, he shall make good any resultant damage or defect. Any work called for by the drawings and not mentioned in the specifications, or vice versa, is to be furnished as if set forth by both. Where not specifically stated otherwise, all work and materials necessary for each unit of construction, including special construction of any specific brand or shape of material called for, even if only briefly mentioned or indicated, shall be furnished and installed fully and completely as a part of the contract. Standard drawings of the Department of Public Works, lists, rules and regulations referred to are recognized printed standards and shall be considered as one and a part of these specifications within the limits specified. All drawings and specifications are City property and must be returned when ordered. Additional Details: The City may furnish additional details to more fully exp ain the work and same shall be considered part of the contract documents. Where the work is not sufficiently detailed or clearly shown, the contractor, before proceeding, shall apply in writing for additional details. Any work done by the contractor before receipt of such details, if not in accordance with same, shall be removed and replaced or adjusted, at his own expense. 5-c. Working Drawings Working drawings or plans for any structure, item of work, or facility, not included in the plans furnished by the Director of Public Works shall be approved by the Director before any work involving these plans shall be performed, unless approval is waived in writing by the Director of Public Works. It is mutually agreed, however, that approval by the Director of the contractor's working plans does not relieve the con- tractor of any responsibility for accuracy of dimensions and details, and that the contractor shall be responsible for 4 -1 4 4 agreement and conformity of his working plans with the approved plans, and specifications. 5-d. Conformity with Plans and Allowable Deviation Finished surfaces in all cases shall conform with the lines, grades, cross-section, and dimensions shown on the approved plans. Deviations from the approved plans, as may be required by the exigencies of construction, will be determined in all cases by the Director and authorized in writing. 5-e. Coordination of Plans and Specifications These general requirements, specifications, special provisions, the plans, and all supplementary documents are essential parts of the contract, and a requirement occurring on one is as binding as though occurring in all. They are intended to be cooperative,'to describe, and to provide for a complete work. Plans shall govern over specifications. 5-f. Interpretation of Plans and Specifications Should it appear that the work to be done, or any matter relative thereto, is not sufficiently detailed or explained in these specifications and plans, the contractor shall apply to the Director for such further explanations as may be necessary, and shall conform, to such explanations or inter- pretation as part of the contract. The decision of the Director shall be final. 5-g. Inspection The Director or his authorized agent shall at all times have access to the work during construction and shall be furnished with every reasonable facility for ascertaining full know- ledge respecting the progress of the work, workmanship, and the character of materials used and employed in the work. Whenever the contractor varies the period during which work is carried on each day he shall give adequate notice to the Director of Pulic Works, so that proper inspection may be provided. Any work done on holidays, (holidays defined as those in Labor Agreements), weekends or unusual hours beyond the normal 40 hour week will require prior approval of the Engineer and application and fee for special inspection at contractor's expense (see special forms) unless ordered by the City. Any work done in the absence of the inspector will be subject to rejection. The inspection of the work shall not relieve the contractor of any of his obligation to fulfill the contract as pre- scribed. Defective work shall be made good, and unsuitable materials may be rejected, not withstanding the fact that such defective work and unsuitable materials have been previously accepted or estimated for payment. 0 The contractor shall prosecute work on any State Highway or within any railroad right of way only in the presence of the inspector representing the State Division of Highways or the railroad Company and any work done in the absence of said inspector will be subject to rejection. The con- tractor shall make the appropriate notification according to the instruction given on the State Encroachment Permit or railroad permit for all inspections, and shall post all bonds and Certifications required by the permit. The permit shall be acquired by the City. However, the contractor may also be required to secure additional permits under his own name, which permits shall be processed at the contractor's expense. The contractor shall pay for all testing and inspections required by a State Encroachment Permit or a railroad permit. 5-h. Removal of Defective and Unauthorized Work All work which is defective in its construction or does not meet all of the requirements of these plans and/or specifications shall A be remedied, or removed and replaced by the contractor in an acceptable manner, and no compensation will be allowed for such correction. Any work done beyond the limits of the lines and grades shown on the plans or established by the Director of Public Works, or any extra work done without written authority, will be considered as unauthorized and will not be paid for. Upon failure on the part of the contractor to comply forth- with with any order of the Director made under the provisions of this article, the Director shall have authority to cause defective work to be remedied, or removed and replaced, and unauthorized work to be removed, and to deduct the costs thereof from any moneys due or to become due the contractor. 5-i. Superintendence Whenever the contractor is not present on any part of the 1 work where the City desires to give direction, orders will be given by the Director in writing, and shall be received and obeyed by the contractor's superindentent or foreman in charge of the particular work in reference to which orders are given. 5-j. Lines and Grades All distances and measurements are given and will be made in a horizontal plane. Grades will be given from and referenced to the top of stakes or points, unless otherwise noted on the plans. The contractor shall give at least 24 hours notice in writing when he will require the services of the Director ' for laying out any portion of the work. The contractor shall furnish the Director such facilities and labor necessary for making and maintaining points and lines as he may require: The contractor shall preserve all stakes and points set for lines, grades, or measurements of the work in their proper places until authorized to remove them by the Director. All expenses incurred in replacing stakes that have been removed without proper authority shall be paid by the contractor. The contractor shall be responsible for the hiring of a registered Civil Engineer and/or licensed Land Surveyor to layout entire work and provide all necessary staking when special provisions so indicate. 5-k. Final Inspection Whenever the work provided for and contemplated by the contract shall have been satisfactorily completed and the final cleaning performed, the Director will make the final inspection. 6. Control of Materials 6-a. Quality of Material / Materials shall be new, and of specified kind and quality and fully equal to samples when samples are required. When the quality or kind of material or articles shown and required under the contract is not particularly specified, the contractor shall estimate that the City will require articles or materials representing the best of its class or kind or at least equal to the class or quality of similar articles or materials that are specified. Materials shall be furnished in ample quantities and at such times to insure uninterrupted progress of the work. Same shall be stowed properly and protected as required. The contractor shall be entirely responsible for damage or loss by weather or other cause. 6-b. Trade Names or Equals It is the intent of these specifications to permit the con- tractor to supply any of the materials specified or offer an equivalent. The engineer shall determine whether the material offered is equivalent to that specified. Adequate time shall be allowed for the engineer to make this determination. Whenever any particular material, process, or equipment is indicated by patent, proprietary or brand name, or by name of manufacturer, such wording is used for the purpose of facil- itating its description and shall be deemed to be followed by the words "Or approved equal". 0 A listing of materials is not intended to be comprehensive,or in order of preference, The contractor may offer for approval any material, process, or equipment which he considers to be equivalent to that indicated. Unless otherwise authorized by the engineer the substantiation of offers must be sub- mitted within 35 days after award of contract. The contractor shall, at his expense, furnish data concerning items offered by him as equivalent to those specified. He shall have the material tested as required by the engineer to determine that the quality, strength, physical, chemical, or other characteristics, including durability, finish, efficiency, dimensions, service, and suitability are such that the item will fulfill its intended function. Test methods shall be subject to the approval of the engineer. Test results shall be reported promptly to the engineer, who will evaluate the results and determine if the substitute item is equivalent. His findings shall be final. Installation and use of a substitute item shall not be made until approved by the engineer. If a substitute offered by the contractor is found to be not equal to the specified material, the contractor shall furnish and install the specified material. The specified contract, completion time shall not be affected by any circumstance developing from the provisions of this subsection. 6-c. Samples and Tests At the option of the Director, the source of supply of each of the materials shall be approved by the Director before delivery is started and before such material is used in the work. Upon request of the Director of Public Works, representative preliminary material samples of the character and quality prescribed shall be submitted, by the contractor producer or manufacturer of all materials to be used in the work, for such testing or examination deemed necessary by the Director of Public Works. Alltests of materials furnished by the contractor shall be made in accordance with commonly recognized standards of national organization, and such special methods and tests as are prescribed in these specifications. The contractor shall furnish, at no cost to the City, such samples of materials as are requested by the Director of Public Works. No material shall be used until it has been approved by the Director of Public Works. Materials requiring test shall be delivered in ample time before intended use to allow for testing, and none may be used before receipt of approval. All approvals or decisions will be rendered in writing. 4 1 4 In Samples that are of value after testing shall remain the property of the contractor. 6-d. Defective Materials All materials not conforming to the requirements of these specifications shall be considered as defective, and all such materials, whether in place or not, shall be rejected and shall be removed immediately from the site of the work unless otherwise permitted by the Director of Public Works. No rejected material, the defects of which have been sub- sequently corrected, shall be used until approved in writing by the Director of Public Works. Upon failure on the part of the contractor to comply with any order of the Director of Public Works made under the provisions of this article, the Director of Public Works shall have authority to remove and replace defective material and to deduct the cost of removal and replacement from any monies due or to become due the contractor. 7. Legal Relations and Responsibilities 7-a. General Compliance with Law The contractor shall keep informed and observe, and comply with, and cause all of his agents and employees to observe and comply with, all prevailing Federal, State and Municipal Laws, Ordinances, Rules and Regulations which in any way affect the conduct of the work of this contract. If any conflict arises between provisions of the plans and specific- ations and any such law above referred to, then the contractor b shall notify the City at once in writing. The contractor shall protect and indemnify the City or any of its officers, agents, and employees against any claim or liability arising from or based on the violation of any such law, ordinance, rule or regulation, whether by himself or his agents employees. 7-b. Registration of Contractor Prior to the award of contract, the contractor shall be licensed in accordance with the provisions of Article 1 to 9 inclusive of Chapter 9, Division 3 of the Business and Professions Code of ! the State of California and Amendments thereof, providing for the registration of contractors, and defining the term con- tractor; providing a method of obtaining licenses to engage in the business of contracting and fixing the fees for such licenses; and prescribing the punishment for violation of provisions thereof, as amended. 7-c. Permits and Licenses The contractor shall procure all permits and licenses, pay all charges and fees, and give all notices necessary and incidental to the due and lawful prosecution and completion of the work. ! 7-d. Patents The contractor shall assume all liability arising from the use of patented materials, equipment, devices, or processes used on or incorporated in the work. 7-e. California Fair Employment Practice Act The contractor shall utilize fair employment practices in accordance with California Labor Code Section 14-10 et seg. 7-f. Prevailing Wage The contractor shall forfeit as penalty twenty-five dollars ($25.00) for each laborer, workman or mechanic employed for each calendar day or portion thereof, such laborer, workman or mechanic is paid less than the general prevailing rate of wages stipulated for any work done by him, or by any subcontractor under him in violation of the provisions of the Labor Code, particularly Section 1770 to 1781 thereof, both inclusive, providing for the payment of not less than the general prevailing rate of wages for legal holiday and overtime work on public work, providing for the ascertain- ment of such general prevailing rate by the public body awarding the contract, providing for the keeping of records of the wages paid all workers engaged in public work and the inspection of such records by the proper officials, providing for forfeiture for each calendar day, or portion thereof, any worker is paid less than the said rate and for a stipulation to this effect in the contract, and providing other penalties for violation of the provisions. 7-g. Hours of Labor The contractor shall forfeit, as penalty, twenty-five dollars ($25.00) for each laborer, workman, or mechanic employed in the execution of the contract by him, or by any subcontractor under him for each calendar day during which said laborer, workman, or mechanic is required or permitted to labor more than eight (8) hours in violation of the provisions of the Labor Code, particularly Section 1810 to 1816 thereof, both inclusive, relating to the hours of labor on public works, by requiring contractors to file with the awarding body a verified report as to the nature of any extraordinary emergency when their employees are permitted to work over eight (8) hours per day, together with the names of the said employees, and the hours worked per day making failure to file said report within thirty (30) days prima facie proof that no extraordinary emergency existed, also making it a misdemeanor for any contractor or subcontractor on public work, or agent thereof, to fail to keep an accurate record showing the name of and the actual hours worked by each workman employed by him in connection with public work. J C7 41 CM 111 .i i P b 1 7-h. Apprentice on Public Works The contractor shall utilize apprentices on public works in accordance with California Labor Code Section 1777.5. 7-i. Public Convenience and Safety The contractor shall so conduct his operations as to cause the least possible obstruction and inconvenience to public traffic. Residents along the road, street, or other alignment of improvements shall be provided convenient access to driveways, houses, and buildings along the road or street, and temporary crossings shall be provided and maintained in good condition. Not more than one cross street or intersecting street or road shall be closed at any one time without the approval of the Director of Public Works. The contractor shall furnish, erect, and maintain such fences, barriers, lights, and signs as are necessary to give adequate warning to the public at all times that the road or street is under construction and of any dangerous conditions to be encountered as a result thereof, and he shall also erect and maintain such warning and directional signs as may be furnished by the City. Strict prohibition against committing any nuisance in'or about the work must be maintained. Coveniences shall be provided for employees and maintained in sanitary conditions. At street crossings and where existing driveways occur, the contractor shall make provision for ditch crossings at these points either by means of backfills or temporary bridges as the Director of Public Works may direct. Free access must be provided to all fire hydrants, water gates, meters and private drives, and means shall be provided whereby all storm and waste water can flow in the gutters uninterrupted. 7-j. Accident Prevention Precaution shall be exercised at all times for the protection of persons (including employees) and property. The safety provisions of applicable laws, building and construction codes shall be observed. Machinery equipment, and other hazards shall be guarded or eliminated in accordance with the safety provisions of the California Industrial Accident Commission, Federal and California OSHA, State Industrial Safety and the "Manual of Accident Prevention in Construction" published by the Associated General Contractors of America, to the extent that such provisions are not in contravention of applicable law. P i 7-k. Location and Protection of Underground Utilities The City has shown on the plans, the approximate location i of known underground utilites, however, the contractor is responsible to notify owners of all power, telephone, gas, oil or other utility lines or structures before starting to mark out in the field the locations of their facilities in the vicinity of the work and shall notify the City of any interference with the construction of project and to protect in place and/or request relocation of, or otherwise prevent damage to these facilities. In the event that every precaution is not exercised to avoid such damage, the contractor shall be liable for all damage due to his operations_ 7-1. Responsibility for Damage The City of Huntington Beach, the City Council, appointed or elected officials, commissions, boards, any City employee or servant shall not be liable for any loss or damage to the work performed pursuant to the contract or any part thereof, or for any material or equipment used in performing the work, or for injury or damage to any person or persons, either workmen or the public, or for damage to property adjoining the property on which the work is being performed from any causes whatsoever during the progress of the work or at any time before final acceptance by the City. The contractor shall indemnify and save harmless the City of Huntington Beach, the City Council, appointed or elected officials, commissions, boards, City employees or servants from any suits, claims, or actions brought by any person or persons for or on account of any injuries or damages sustained because of or arising out of the performance of the work contemplated or in consequence thereof. The City Council may retain so much of the money due the contractor as shall be considered necessary for payment of the claims and attorney's fees until disposition has been made of such suits or claims for damages. 7-m. Public Liability and Property Damage Insurance The contractor shall furnish to the City and maintain during the life of the contract a protective liability policy in which the City is named as an additional insured. The policy shall insure and hold harmless the City, its officers and employees while acting within the scope of their duties, against all claims arising out of or in connection with the work to be performed. The policy shall provide for not less than the following amounts: Combined Single Limit Body Injury and/or Property Damage Including Products Liability 1,000,000 aggregate per occurrence Such policy shall provide coverage at least as broad as that provided in the Standard Form approved by the National Bureau of Casualty Underwriters together with such endorsements as are required to cover the risks involved. The contractor shall arrange for the policies to be so con- ditioned as to cover the performance of "Extra Work", should such work become necessary. Prior to the commencement of work under the contract, evidence of insurance shall be furnished on a form provided by the City, and no other form will be accepted. In addition, the con- tractor shall furnish evidence of a commitment by the insurance company to notify the City of the expiration or cancellation of. �. any of the insurance policies required hereunder not less than 30 days before any change in coverage, expiration or cancell- ation is effective. The contractor will be required to secure the payment of Workmen's Compensation to his employees in accordance with the provisions of Section 3700 of the Labor Code. Prior to the commencement of work, the contractor shall sign and file with the engineer a certification in the following form: I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for Workmen's Compensation or to undertake self- insurance in accordance with the 'provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract. Said certification is included in the contract, and signature and return of the contract as provided in Section 3-1.03, "Execution of Contract", shall constitute signing and filing of the said certificate. The cost of this insurance shall be included in the prices bid for the various items of work and no additional compensation will be made therefor. 7-n. Cooperation Between Contractors Where two or more contractors are employed on related or adjacent work, each shall conduct his operations in such a. manner as not to cause any unnecessary delay or hindrance to the other. Each contractor shall be responsible to the other for all damage to work, the person or property, or for loss caused by failure to finish the work within the time specified for completion. 0 7-o. Contractor's Responsibility for Work 4 Until the formal acceptance of the work by the City, the contractor shall have the charge and care thereof and shall bear the risk of damage to any part of the work by the action of the elements or from any other cause, whether arising from the execution or from the non -execution of the work. The contractor shall rebuild, repair restore and make good all damages to any portion of the work occasioned by any of the above causes before its completion and acceptance and shall bear the expense thereof, except for such damages as are occasioned by acts of the Federal Government and/or public enemy. In case of suspension of work from any cause whatever, the contractor shall be responsible for all materials and shall properly store them if necessary, and shall provide suitable drainage and erect temporary structures where necessary. 7-p. Non -Responsibility of the City ' The City shall not be responsible for damage or loss from any cause to the work or site, or other property, or for injury or loss of life to persons employed, or to the public. The contractor shall take out and pay for all accident, com- pensation and fire insurance necessary, according to law and assume all risk and responsibility until the work is finally accepted by the City, all as hereinafter specified. Indebtedness incurred for any cause in connection with this work must be paid by the contractor and the City is hereby relieved at.all times from any indebtedness or claim other than payments under terms of the contract. 7-q. No Personal Liability Neither the City Council, the Director of Public Works or any other officer or authorized assistant or agent shall be personally responsible for any liability arising under the , contract. 7-r. Property Riahts in Materials Nothing in the contract shall be construed as vesting in the contractor any right of property in the materials used after they have been attached or affixed to the work or the soil. All such materials shall become the property of the City upon being attached or affixed. 7-s. Conduct of Work The contractor shall observe that the City reserves the right to do other work in connection with the project, by contract or otherwise, and he shall at all times conduct this work so as to impose no hardship on the City or others engaged in the work. He shall adjust, correct and coordinate his work with the work of others so that no discrepancies shall result in the whole work. ' The contractor shall provide, at his own risk, all tools, machinery, scaffolding, false work, forms and centers for the execution of the work. Equipment shall be adequate and as approved. The contractor shall layout and supervise the construction for correctness of which he shall be responsible. Where work of one trade joins or is on other �. work, there shall be no discrepancy when same is completed. In engaging work with other materials, marring or damaging same will not be permitted. Should improper work or any trade be covered by another which results in damage or defects, the whole work affected shall be made good without expense to the City. r 8. Prosecution and Progress 8-a. Progress Schedule When, in the judgement of the City, it becomes necessary to accelerate the work, the contractor, when ordered, shall cease work at any particular point and concentrate his forces at such other point or points as directed; and execute such portions of his work as may be required to enable others to hasten and properly engage and carry on their work. 8-b. Working Days Every calendar day except Saturdays, Sundays and legal holidays is counted a full working day in figuring the working days allowed under the contract. No work may be performed on Sundays and holidays, except as other wise provided for herein. See paragraph 2, Section 5-g, page 8. r 8-c. Labor The contractor shall observe stricly that each and every kind of work shall be performed by workmen, laborers, or mechanics especially skilled in the class of work required and that workmanship shall be of the best regardless of the quality of material. 1 1 The contractor shall provide, at all times, sufficient com- petent labor to properly accomplish the work and to insure completion of each part in accordance with schedule and with the time agreed to. The contractor shall retain a competent superintendent to direct the work constantly during construction and to represent the contractor at all times in connection with the contract. 8-d. Subletting and Assignment The contractor shall give his personal attention to the fulfillment of the contract and shall keep the work under his control. 0 A The specifications are in "Schedules" divided and arranged according to various trades. No obligation is inferred to sublet the work as divided, nor is the contractor relieved of fully performing and completing any part of the work. Subcontractors will not be recognized as such, and all persons engaged in the work of construction will be considered as employees of the contractor, and he will be held responsible for their work, which shall be subject to the provisions of the contract and specifications. The contractor submitting a bid for the work, covered by these General Requirements and Special Provisions, shall perform, with his own labor forces or organization, work of a value amounting to not less than 50 percent of the remainder obtained by subtracting from the total original contract value the sum of any items that may be designated as specialty items in the special provisions. i The contractor shall, in his proposal, set forth the name and the location of the place of business of each subcontractor who will perform work or labor or render service to the contractor in or aboutthe construction of the work or improve- ment in an amount in excess of one half of one percent of the contractor's total bid; and shall set forth the description 4 of the portion of the work which will be done by each subcontractor. The contractor agrees that he is fully qualified to perform the balance of all work which is not set forth to be performed by subcontractors, and that he shall perform such balance of work. The contractor further agrees to furnish the City copies of all subcontractors bonds and insurance certificates which have been required by the contractor. Where a portion of the work sublet by the contractor is not being prosecuted in a manner satisfactory to the Director of Public Works, the subcontractor shall be removed immediately on the request of the Director of Public Works and shall not again be employed on the work. Assignment of the obligations and/or duties of the contractor in the whole or any part of the contract shall be made only upon the consent and approval of the City Council of a written request by.the contractor. 8-e. Proaress of the Work and Time for Completion The contractor shall begin work within ten (10) days after receiving notice that the contract has been executed by the City and shall diligently prosecute the same to completion before the expiration of the time specified in the proposal, specifications, and/or contract. C■ 8-f. Character of Workmen If any subcontractor or person employed by the contractor either fail or refuse to carry out the directions of the Director of Public Works or shall appear to the Director of Public Works to be incompetent or to act in a disorderly or improper manner, he shall be discharged immediately upon request of the Director of Public Works, and such person shall not again be employed on the work. 8-g. Temporary Suspension of Work The Director of Public Works shall have the authority to suspend the work wholly or in part, for such period as he r may deem necessary, due to unsuitable weather, or to such other conditions as are considered unfavorable for the prosecution of the work, or for such time as he may deem necessary, due to the failure on the part of the con- tractor to carry out orders give, or to perform any provisions of the work. The contractor shall immediately obey all orders of the Director of Public Works and shall not resume the work until ordered to do so in writing by the Director of Public Works. 8-h. Time of Completion and Liquidated Damages It is agreed by the parties to the contract that in case all work called for under the contract is not completed before or upon the expiration of the time limit as set forth in these specifications, damage will be sustained by the City of Huntington Beach and that it is and will be impracticable to determine the actual damage which the City will sustain in . the event of and by reason of such delay; and it is therefore agreed that the contractor will pay to the City of Huntington Beach the sum of one hundred dollars ($100.00) per day for each and every day's delay beyond the time prescribed to complete the work, or any approved extension thereof, and the contractor agrees to pay such liquidated damages as herein ' provided and in case the same are not paid, agrees that the City of Huntington Beach may deduct the amount thereof from any money due or that may become due the contractor under the contract. It is further agreed that in case the work called for under the contract is not finished and completed in all parts and requirements within the time specified the Director shall have the right to extend the time for completion. If the Director extends the time limit for the completion of the contract, the City shall further have the right to charge to the contractor, his heirs, assigns or sureties, and to deduct r from the final payment for the work, all or any part, as it may deem proper, of the actual cost of engineering, inspection, superintendence, and other overhead expenses which are directly chargeable to the contract, and which accrue during the period of such extension, except that the cost of final surveys and preparation of final estimate shall not be included in such charges. The contractor shall not be assessed with liquidation damages nor the cost of engineering and inspection during any delay in the completion of the work caused by acts of God or of public enemy, acts of the City, fire, floods epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather or delays of sub- contractors due to such causes; provided, that the , contractor shall within ten (101 days from the beginning of any such delay notify the Director of Public Works in writing of the causes of delay. The Director of Public Works shall ascertain the facts and the extent of delay, and his -findings of the facts thereon shall be final and conclusive. , Suspension of a Cash Contract If at any time in the opinion of the City Council the contractor has failed to supply an adequate working force, or material of proper quality, or has failed in any other respect to prosecute the work with the diligence and force specified and intended by the terms of the contract, notice thereof in writing will be served upon him, and should he neglect or refuse to provide means for a satisfactory compliance with the contract, as directed by the Director of Public Works, within the time specified in such notice, the City Council shall have the power to suspend the operation of the contract. Upon receiving notice of such suspension, the contractor shall discontinue performance of said work, or such parts of it as the City Council may designate. Upon such suspension, the contractor's control shall ter- minate and thereupon the City Council or its duly authorized representative may take possession of all or any part of the contractor's materials, tools, equipment and appliance upon the premises, and use the same for the purpose of completion of said contract, and hire such labor and buy or rent such additional machinery, tools, appliances, and equipment, at the contractor's expense as may be necessary for the proper conduct of the work and for the completion thereof, or may ! employ other parties to carry the contract to completion, or employ the necessary workmen, substitute other machinery or materials, and purchase the materials contracted for by contractor, in such manner as the City Council may deem proper; or the City Council may annul and cancel the contract and relet the work or any part thereof. Any excess of cost ! arising therefrom over and above the contract price will be charged against the contractor and his sureties, who will be liable therefor. In the event of such suspension, all money due the contractor or retained under the terms of this contract shall be forfeited to the City; but such forfeiture will not release the contractor or his sureties from liability by / failure to fulfill the contract. The contractor and his sureties will be credited with the amount of money so forfeited toward any excess of cost of completion of the work over and above the contract price arising from the suspension of the operations of the operations of the contract and the completion of the work by the City as above provided, and the contractor will be paid any surplus remaining after all just claims for such completion have been paid. In the determination of the question whether there has been any such non-compliance with the contract as to warrant the suspension or annulment thereof, the decision of the City Council is final and shall be binding on all parties to the contract. 8-j. Termination of a Special Assessment District Contract Failure to prosecute work diligently is ground for termination of the contractor's control over the work and taking over the work by the City of due process of law. 8-k. Right -of -Way The right of way for the work to be constructed will be provided by the City. The contractor shall make his own arrangements, and pay all expenses for additional area required by him outside of the limits of right of way. 8-1. Preservation and Cleaning The contractor shall properly preserve and clean the work as it progresses. At regular intervals, or when directed, rubbish shall be collected and removed, and at completion the whole work shall be cleaned and all tools, false work, equipment and rubbish shall be removed from the site, which shall be left in clean and proper condition as directed. 8-m. Acceptance Should it become necessary, due to developed condition, to occupy any portion of the work before contract is fully com- pleted, such occupancy shall not constitute acceptance. 9. Measurement and Payment for a Cash Contract 9-a. Extra and Force Account Work Extra work as defined, when ordered and accepted, shall be paid for under a written change order in accordance with the terms therein provided. Payment for extra work will be made at the unit price or lump sum previously agreed upon by the contractor and the Director of Public Works; or by force account. If the work is done on force account the contractor shall receive the actual cost of all materials furnished by him as shown by his paid vouchers, plus fifteen percent (15%), and for all labor and equipment necessary he shall receive the current prices in the locality, which shall have been pre- viously determined and agreed to in writing by the Director of Public Works and contractor, plus fifteen percent (15%); Provided, however, that the City reserves the right to furnish such materials required as it deems expedient, and the contractor shall have no claim or profit on the cost . of such materials. The price paid for labor shall include any compensation insurance paid by the contractor. All extra work and force account shall be recorded daily upon report sheets prepared by the Director of Public Works and furnished to the contractor and signed by both parties, , which daily reports shall thereafter be considered the true record of extra work or force account work done. 9-b. Progress Payments The City shall, once in each month, cause an estimate in writing to be made by the Director of Public Works of the total amount of work done and the acceptable materials furnished and delivered by the contractor to the job site and not used as of the time of such estimate and the value thereof. The City shall retain money in the amount of ten percent (10%) of the progress payment unless approval of Director for greater percent of such estimated value of the work done. The City shall retain money in the amount of fifty percent (50%) of the value of the materials so estimated to have been furnished and delivered and unused provided the materials were fabricated specifically for the project. No payment will be made for standard stock items that have not been incorporated in the work. The City shall monthly pay to the contractor while performing the work, the progress payment balance, after deducting therefrom all previous payments and all sums to be kept or retained under the provisions of the contract. No estimate or payment shall be required to be made when in the judgement of the Director of Public Works, the work is not proceeding in accordance with the provisions of the contract or when in his judgment the total value of the work done since the last estimate amounts to less than three hundred dollars ($300). Progress payments shall be submitted to the Department of Public Works on the Monday before each City Council meeting for monthly progress payment or final payment. City Council meetings are held on the first and third Monday of each month. Progress payment shall also be typed written on form furnished by the City (see forms). 9-c. Final Payment The Director of Public Works shall, after completion of the contract, make a final estimate of the amount of work done thereunder and the value of such work, and the City of Huntington Beach shall pay the entire sum found to be due after deducting therefrom all previous payments and all amounts to be kept and all amounts to be retained under the provisions of the contract. All prior partial estimates and payments shall be subject to correction in the final estimates and payment. The final payment shall not be due and payable until after the expiration of thirty-five (35) days from the date of recording a Notice of Completion. It is mutually agreed between the parties to the contract that no certificate given or payment's made under the con- tract, except the final certificate of final payment, shall be evidence of the performance of the contract, either wholly or in part, against any claim of the party of the first part, and no payment shall be construed to be an acceptance of any defective work or unacceptable materials. 10. Payments for a Special Assessment District Contract Final Pa ment The Street Superintendent, after the completion of all work to be done under the contract, shall forthwith make an assess- ment to cover the sum due for the work performed and specified in said contract (including all incidental expenses chargeable to the proceedings) in conformity with the provisions of the "Improvement Act of 1911", Division 7, of the Streets and Highway Code of,.the State of California. Note This paragraph is not applicable when other methods for pay- ments are stated in the contract. 11. Bid Price The contractor shall for the price bid, furnish all equipment, labor and materials and do all incidental work necessary to deliver all of the improvements complete in place in accord- ance with the specifications, special provisions, ordinances, plans, cross sections detail drawings and City standard plans. 12. Guarantee The contractor, by submission of a bid for this project, expressly agrees to the herein stipulated guarantee of materials, products, workmanship, and installations incorporated into this project. All work performed in accordance with these general require- ments, special provisions, specifications, and plans, including, but not limited to, workmanship, installation, fabrications, materials, and,structural, mechanical, or electrical facilities shall be guaranteed for a period of one year, commencing at the recorded date of filing the notice of completion of the contract by the City. Unless specific areas are to be. guaranteed longer as provided in special provisions. Security of this guarantee shall be furnished to tho City In the form of a bond in favor of the City for an amount equal r to 10% of the final adjusted and agreed upon contract price. Notification will be given to the contractor of the date of anticipated Council acceptance and the expected date of filing of Notice of Completion in order that he may arrange for the bond. The bond must be delivered to the Director of Public Works prior to the regular scheduled meeting, of the City Council, at which the final acceptance is proposed or recommended. The contractor, by agreeing to this latent defect guarantee, also agrees that within 10 days, after notification of a failure or deterioration, of a facility or work covered under this contract, he will effect repair or replacement or show reasonable cause as to reason for further delay. Refusal or failure to commence action will result in the City arranging for the repairs or replacement and filing claim against the bond. Excepted from the guarantee will be destructions caused by acts of God or by acts of the City, or by acts of public enemy, or by acts of vandals, or by results of major disaster. 13. Belsito City Administrator GoU�GiL D BY C rr APp.ROVE cI�'Y Subject: Purchase of Traffic Signal Controllers CC-389 Dear Council Members: Transmitted herewith are specifications for the purchase of three (3) traffic signal controllers for two new signal installations and the replacement of an existing unit. The new signal installations are scheduled for the inter- sections at Bushard Street and Indianapolis Avenue, and Bushard Street and Yorktown Avenue. The average daily traffic counts are sufficient to warrant these new installations. The third unit will be installed at the intersection of Newland Street and Warner Avenue and is required due to the age of the existing equipment. By purchasing this equipment under separate contract, the City will be able to save approximately 30% in cost since the contractor performing the installation will not be able to add on his markup for handling. Another benefit is that the City can deal directly with the manufacturer in order to maintain uniformity of equipment. The estimated cost for these three units is $30,000 and will be funded from City Gas Tax. Upon receipt of this equipment a separate contract will be prepared for the actual installation. The City's Environmental Resources Department has granted a Notice of Exemption (76-46) for these traffic signals.
