meeting held May 3, 1982 approved a parking agreement between the
City and the Huntington Beach Union High School District.
Enclosed is a duly executed copy of said agreement and a copy of
your insurance for your file.

STATEMENT OF ISSUE
Last December, when the city received title from the Huntington Beach
Company to the seven acre Huntington Beach Community Park site, which
is south and adjacent to Huntington Beach High School, it inherited
Huntington Beach Company's temporary student parking allowance policy
with the Huntington Beach Union High School District (HBUHSD). In
order to protect the city frcm liability claims which might arise from
continued use of the park site for temporary student parking, the
City Attorney prepared the attached lease agreemeent which has been
executed by the HBUHSD Board of Trustees.
RECOMMENDATION
Approve the attached lease agreement which will allow the H31JHSD to
continue to park cars on the city-owred Huntington Beach Community Park
site on a month -to -month basis.
ANALYSIS
The city and the `71UHSD have agreed to jointly develop the seven acres
of city property ,d the five acres of district property as "Huntington
Beach Community Park" in the 1982/83 fiscal year on a 7/12th's/5/12th's.
basis. The district has agreed to maintain the .retire site with tote
city supplying (/12th's of the water. Witl.in the approved design plan
will be permanent parking space for 291 cars on the school property and
53 spaces on city property.

ALTERNATIV_3
1. Do not allow high school students to park on the city park site;
2. Allow high school students to continue to park on the city park
site ant' accept the liability.

LEASE AGREEMENT
THIS AGREEMENT is made and entered into on the 3
day of , 1982, between the CITY OF HUNTINGTON
BEACH, a municipal-::rporation of the State of California,
hereinafter celled "LESSOR", and HUNTINGTON BEACH UNION HIGH'
SCHOOL DISTRICT, a political subdivision of the State of California,
hereinafter called "LESSEE".
WHEREAS, LESSOR owns certain real property ;sear the corner of
17th and Main Streets in the City of Huntington Beach, and LESSEE
desires to use subject property for purposes set out below;
NOW, THEREFORE, subject to the following terms and conditions
LESSOR leases the following described property to LESSEE
That portion of Parcel 1, in the State of California,
County of 07anga; City of Huntington Beach, as per map
recorded in Book 40, page 40 of Parcel Maps, I:etords of
said County, more particularly described as follows:
Cor^mencing at the centerline intersection of Palm Avenue '
and 17th Street as shown on referenced Parcel Map; thence
along said centerline of 17th Street North 41939,491, East,
1627.90 feet; thence leaving said centerline North 48°21125"
Wect, 45.00 feet t- the Northwesterly right of way line of
17th Street and the True Point of Beginning; thence North
118"21125" West, 341.52 feet to a point on tie boundary line
between parcels 1 and 2 of said Parcel Kab. .hence along
the boundary line between parcels 1 and 2 said Parcel
Map North 41039135" East, 9.18 feet; thence North 1039135"
East, 150.01 feet; thence leaving said boundary line South

1. USE OF PREMISES
LESSEE may park vehicles on said parcel in an orderly
fashion.
2. RENT
LESSEE shall pay a nominal rental fee of One Dollar ($1.00)
per month, due. -on the :first day of each month during the entire
term of this Lease Agreement at the office of LESSOR, 2000 Main
Street, City of Huntington Heath, or to any other person or agent
that LESSOR may designate.
3. TERM
This lease is for an indefinite period., subject to terms
and conditions set out herein and subject to the termination clause
herein next below.
4. TERMINATION
The obligations under this agreement are to be from month
to month, commencing upon execution of this lease, and continuing
until one of the parties gives the other thirty (30) days' written
notice terminating the tenancy.

5. ASSIGNMENT AND SUBLETTING
Without the prior written consent of the LESSOR, LESSEE'
shall not assin this lease, or sublet, or grant any license to
use the premises or any part thereof. Consent by LESSOR to one
assignment, subletting or license shall not be deemed to be a
consent to any subsequent assignment, subletting or license. An

j assignment, subletting, or license without prior written consent
of LESSOR, or an assignment or subletting by operation of law,
shall be void and shall, at LESSOR'S option, terminate this lease.
6. INSURANCE AND HOLD HARMLESS
LESSEE agrees to provide liability insurance and to hold
LESSOR harmless as required by LESSOR'S Resolution No. 4337, a
copy of whichh is attached hereto and incorporated herein. Satis-
factory compliance with this requirement is a condition precedent
to the execution of this leave by LESSOR.
7. CARE OF PREMISES
LESSEE shall at all times maintain the leased premises
in conformity with all State and local laws and regulations. At
all times during the term of this Lease Agreement, LESSEE, at his
own cost and expense, shall keep and maintain the premises in a
neat, clean and orderly condition.
8. IMPROVEMENTS
LESSEE shall not make any alterations, additions or
improvements to the property without the prior written consent of
LESSOR.

9 . SIGNS
All signs to be used and utilized by LESSEE must first
be approved in writing by LESSOR.
10. INSPECTION
LESSOR and LESSOR'S agents shall have the right to enter
the leased premises at all reasonable times to inspe same.

RESOLUTION NO. 4337
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF HUNTINGTON BEACH ESTABLISHING A MINIMUM
LIABILITY INSURANCE LIMIT
WHEREAS, there are persons engaged in various activities
in the city which subject the city to poss"ole liability for
damage to property and injury to persons; and
For the protection of the public health, safety and wel-
fare, the city requires such persons to maintain insurance
naming the city additional insured; and
The city desires to establish uniform minimum liability
limits for all such persons engaged in said various activities
who are required by ordinance, resolution or otherwise to
provide such liability Insurance,
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Huntington Beach that the minimum liability limits
shall be as follows:
1, Combined Single Limit Bodily Injury and/or Property
Damage including Products Liability: $300,000 combined limit
per occurrence, except as otherwise provided by ordinance or
contract.
2, Additional Insured Endorsement: The insured agrees
that the City of Huntington Beach City Council, and/or all
City ,Council appointed groups, committees, commissions, boards
and any other City Council appointed body, and/or elective and
appointive officers, servants or employees of the City of
Huntington Beach when acting as such, are additional assureds
hereunder.
3. Any person engaging in any activity determined by
ordinance, resolution or the City Administrator to subject the
city to a possibility of liability shall provide the city with
a certi"irate of insurance containing the additional insured
endorsement and the hold harmless agreement.
