[X] Yes [ ] New Policy or Exception Statement of Issue, Recommendation, Analysis, Funding Source,Alternative Actions, Attachments: STATEMENT OF ISSUE: Based on recent communication with the Public Works Department, the north of the pier parking structure is no longer needed to satisfy replacement parking requirements for the Pacific Coast Highway expansion. Approximately $10.2 million in Certificate of Participation (COP) debt proceeds are reserved for the north of the pier parking structure. RECOMMENDATION: 1. Cancel the north of the pier parking structure project. 2. Authorize the Director of Public Works to send a 30-day cancellation notice to International Parking Design Corporation, thereby canceling the $759,000 north of the pier parking structure design contract. i^ y Q a '�� -tte ()p 4R,5 , 3. The CIP list will be used by Council to consider options and alternatives for allocation of the $10.2 million in COP proceeds. ANALYSIS: North of Pier Parking Structure Project: The Coastal Commission staff has indicated that the North of the Pier Parking Structure Project will no longer be necessary for mitigation of the 521 parking stalls to be removed from Pacific Coast Highway as a result of the widening project . This is because of the development of the 830 stall Main Promenade Parking Structure and the new parking lot to be constructed along the top of the bluffs between 11 th Street and Golden West. This will gain an additional 300-550 stalls. The City contracted with International Parking Design (IPD) for the north of the pier parking structure. IPD has completed the conceptual design and was asked to delay development of the final plans. The city has spent approximately $125,000 thus far, of the $759,000 fee. There is a clause in the contract with IPD that would allow the City to cancel the project at this point, without penalty. That would leave approximately $634,000 unexpended. I P10 5/85 ` OQUEST FOR COUNCIL ACTION , Certificate of Participation Debt: The city issued $35.3 million in Certificates of Participation (COP) Debt in 1986 and 1989 for the purpose of building two parking structures in the downtown Main-Pier Redevelopment Project Area, and to retire outstanding prior debt. As indicated above, of the $2.6 million annual debt service, $1,746,000 is increased costs. Parking revenues were projected to increase gradually and totally offset this new cost in the General Fund by the 1997/98. Attached to this report is the current updated parking revenue projections for the Main Promenade parking structure. That attachment shows that the portion of the new annual debt service cost that is related to the Main Promenade parking structure will require a General Fund subsidy through the year 1997/98. Parking revenues do not cover the $900,000 debt service for the remaining unused $10.2 million of unused proceeds. This $900,000 cost continues to be an annual General Fund expense. If the parking structure north of the pier is not constructed and, therefore, does not generate revenue to pay this $900,000 annual debt service, the cost will continue to be paid out of other General Revenue sources such as sales tax, property tax and utility tax. Funding Plan for Main-Pier Redevelopment Projects: The proposed downtown redevelopment projects identified as Abdelmuti Development Company and Pierside Restaurants will be funded with the remaining balance of Main-Pier Redevelopment funds. 2 9023r &QUEST FOR COUNCIL ACTION • Abdelmuti Development Company will require $4,810,000 to cover the building construction loan of $3 million, potential business interruption losses of $1,560,000 and offsite improvements of $250,000. Sources of funds for the $4,810,000 include Main—Pier unencumbered funds of $1,530,000, redevelopment bond proceeds of $2,045,000 and payment by Robert J. Koury as land sales proceeds of $1,235,000. Pierside Restaurants will require $3,000,000 to cover underground parking costs. If Pierside Restaurants does not gain approval from the voters in November, the relocation and new construction of Maxwells and other improvements to Pier Plaza and the parking lots would also require an estimated $3,000,000. The source of funds is the repayment of the $3,000,000 Abdelmuti Development Company construction loan. Options for Use of $10.2 Million in COP Proceeds: The $10.2 million in unused COP proceeds is costing the General Fund $900,000 per year (see above analysis); therefore, any of the city's unfunded capital improvement projects could be eligible for consideration when allocating the $10.2 milion in unused COP proceeds if the north of the pier parking structure is not constructed. The most current citywide unfunded CIP list is from fiscal year 1989/90, and lists over $100 million in unfunded projects in priority order. Staff's recommendation is to update the unfunded CIP priority list by receiving input from all departments, and schedule a study session for City Council review of the priority list in late August. As the City Council may recall, the proposed budget for 1991/92 proposes a loan of up to $5 million of the unused $10.2 million of COP proceeds to the Library Service Fund for the library expansion project construction costs that will be incurred in 1991/92. This loan would then be repaid in 1992/93 by the issuance of new COP debt to repay the amount loaned from the prior COP debt. The library expansion project has been proposed and approved with new revenues to pay the increased debt service. These new revenues are intended to 1) pay interest on the amounts loaned from prior COP debt proceeds, and 2) pay increased debt service and other increased operating costs once the library expansion project is completed and new COPS are issued. If the City Council were to decide to utilize a portion of the $10.2 million of unused proceeds for permanent financing of the library expansion project, then the new revenues from the Library Project would be used to pay a portion of the $900,000 annual debt service on the unused proceeds. When the CIP priority list is reviewed- in August, this option will be further reviewed and analyzed for the City Council. FUNDING SOURCE: None required as a result of this action. RECOMMENDATION: Approve International Parking Design's Professional Liability coverage with the $50,000.00 deductible. ANALYSIS: On July 17, 1989, the City Council approved the selection of International Parking Design to prepare, plans, specifications, and cost estimates for the construction of a Parking Structure on the north side of the Pier. On October 12, 1989, International Parking Design's Professional Liability Insurance was rejected by staff because coverage included a $50,000.00 deductible. Resolution 6073 (Establishing Insurance and Indemnity Requirements for Contractors, Permit Applications, and Professional Services Contractors) while not addressing the issue of deductible limits on Professional Liability Insurance, does permit the modification or waiver of any and all requirements as approved by Council. Based on the qualifications of the firm, its personnel and financial statement, the Director of Public Works, the Risk Manager and the City Administrator recommend acceptance of their coverage with a $ 50,000.00 deductible. We have based our technical scope of work on our understanding of the project and our experience on previous and on-going projects of a similar nature. As shown in Figure 1, there are four main phases to the • I - project with two sub-phases during design/engineering and L— during construction. Key features of our approach include: • Performing an in-depth evaluation of the concept plans already developed for the site and identifying solutions for the deficiencies; • Frequent reviews and client meetings, with well- documented products; and x • Using proven, state-of-the-art cost, schedule, and quality control methods. The work scope comprises ten principal tasks as described in the following section of our proposal. RECOMMENDATION: 1. Approve the contract with International Parking design and authorize the Mayor to execute the contract on behalf of the City. �. Approve a design budget of $759,000.00. ANALYSIS: Pursuant to the Municipal Code, the City requested proposals for the preparation of plans specifications and estimates for the North of the Pier Parking Structure. The proposals were based on the conditions of approval of Conditional Use Permit No. 87-39/Coastal Development Permit No. 87-29. Conceptual drawings of the proposed structure, previously approved by the City Council, were also provided to the firms submitting proposals. The City received four proposals which were reviewed by the Economic Development Department, the Community Development Department and the Public Works Department. Three firms were selected for interviews as a result of this initial review. The same three City Departments interviewed the consultants. Based on the qualifications of the firm and its personnel, the interview committee selected International Parking Design to prepare construction drawings for the North of the Pier Parking Structure. (hereinafter referred to as "ENGINEER"), and City of Huntington Beach, 2000 Main Street, Huntington Beach, California (hereinafter referred to as "CLIENT") hereby modify and amend the Agreement between them for the rendition of structural engineering services entitled **North of Pier Parking Structure, and dated , 1989, (hereinafter referred to as "AGREEMENT") , for valid consideration consisting of executing said Agreement, as follows. 1 . INDEMNITY Any provision in the Agreement which requires ENGINEER to indemnify and/or hold harmless CLIENT from and against any claims arising out of or relating to any services to be performed by ENGINEER shall be 'reciprocal . That is, if said Agreement contains any indemnification or hold harmless Agreement in favor of the CLIENT for claims and/or expenses arising out of the services to be performed by ENGINEER, CLIENT hereby also agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless ENGINEER, its employees and agents from and against all claims, damages, losses, expenses (including but not limited to attorney' s fees) , judgments, penalties, liabilities or losses of any kind whatsoever which may be sustained by or secured against ENGINEER, its employees and agents, provided that any such claim, damage, loss or expense is: a. FOR PREPARATION OF CONSTRUCTION PLANS, SPECIFICATIONS AND ESTIMATES FOR THE' NORTH OF THE PIER PARKING STRUCTURE THIS AGREEMENT, made and entered into this 17th day of ,,Tul_y_— 1989, by and between the REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH, hereinafter referred to as "AGENCY" , and INTERNATIONAL PARKING DESIGN, INC. , a California corporation, hereinafter referred to as "CONTRACTOR. " WHEREAS, AGENCY desires to engage the services of a parking design contractor to provide construction plans, specifications and estimates for the north of the pier parking structure in the City of Huntington Beach; and pursuant to the documentation on file in the City Clerk' s office, the provisions of Chapter 3 . 03 relating to Professional Services contracts have been followed, and CONTRACTOR has been selected to perform said services, NOW, THEREFORE, it is agreed by AGENCY and CONTRACTOR as follows : 1 . WORK STATEMENT CONTRACTOR shall provide all services described in the scope of services, which is attached hereto and incorporated into this Agreement by this reference as Exhibit "A. " Said services shall sometimes hereinafter be referred to as "PROJECT. " CONTRACTOR hereby designates Richard Choate, Vice President, who shall represent it and be its sole contact and agent in all consultations with AGENCY during the performance of this Agreement . -1- 2 . AGENCY STAFF ASSISTANCE AGENCY shall assign a staff coordinator to work directly with CONTRACTOR in the performance of this Agreement . 3 . TIME OF PERFORMANCE Time is of the essence of this Agreement . The services of the CONTRACTOR are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than two (2) years from the date of this Agreement. These times may be extended with the written permission of the AGENCY. The time for performance of the tasks identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the AGENCY and CONTRACTOR. 4 . COMPENSATION In consideration of the performance of the planning services described in Section 1 above, AGENCY agrees to pay CONTRACTOR a fee of not to exceed $759, 000 including expenses all as a set forth in Exhibit "A" hereto. 5 . EXTRA WORK In the event of authorization, in writing by the AGENCY, of changes from the work described in Exhibit "A" , or for other written permission authorizing additional work not contemplated herein, additional compensation shall be allowed for such Extra Work, so long as the prior written approval of AGENCY is obtained. 6 . METHOD OF PAYMENT A. CONTRACTOR shall be entitled to progress payments toward the fixed fee set forth in Section 4 herein in accordance -2- i • with the progress and payment schedules set forth in Exhibit A" . B. Delivery of work product : A copy of every technical memo and report prepared by CONTRACTOR shall be submitted to the AGENCY to demonstrate progress toward completion of tasks . In the event AGENCY rejects or has comments on any such product, AGENCY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by AGENCY shall be deemed accepted. C. The CONTRACTOR shall submit to the AGENCY an invoice for each progress payment due. Such invoice shall : 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONTRACTOR' S firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if AGENCY is satisfied that CONTRACTOR is making satisfactory progress toward completion of tasks in accordance with this Agreement, AGENCY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days ' of receipt of the invoice by AGENCY. Such approval shall not be unreasonably withheld. If the AGENCY does not approve an invoice, AGENCY shall notify CONTRACTOR in writing of the reasons for non-approval, within seven (7) calendar days of receipt -3- of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONTRACTOR is in, or has been brought into compliance, or until this Agreement is terminated pursuant to Section 12 hereof . D. Any billings for extra work or additional services authorized by the AGENCY shall be invoiced separately to the AGENCY. Such invoice shall contain all of the information required under paragraph 6C, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by AGENCY if the work performed is in accordance with the extra work or additional services requested, and if AGENCY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement . 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONTRACTOR agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notes, calculations, maps and other documents, shall be turned over to AGENCY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first . In the event this Agreement is terminated, said materials may be used by AGENCY in the completion of PROJECT or as it otherwise sees fit. Title to said materials shall pass to the AGENCY upon payment of fees determined to be earned by CONTRACTOR to the point of termination or completion of the PROJECT, whichever is applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder. -4- 8 . INDEMNIFICATION. DEFENSE, HOLD HARMLESS CONTRACTOR hereby agrees to indemnify and save and hold harmless AGENCY, its officers and employees, from any and all liability, including anylaim of liability and any and all losses #T,Ae!5i' -r CARLs or costs arising out of the Aperformance of this agreement by CONTRACTOR, its officers or employees . 9 . WORKERS' COMPENSATION CONTRACTOR shall comply with all of the provisions of the Workers ' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless AGENCY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney' s fees and costs presented, brought or recovered against AGENCY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONTRACTOR under this Agreement. CONTRACTOR shall obtain and furnish evidence to AGENCY of maintenance of statutory workers ' compensation insurance and employers ' liability in an amount of not less than $100, 000 bodily injury by accident, each accident, $100, 000 bodily injury by disease, each employee, and $250, 000 bodily injury by disease, policy limit . 10 . INSURANCE In addition to the workers ' compensation insurance and CONTRACTOR' S covenant to indemnify AGENCY, CONTRACTOR shall obtain and furnish to AGENCY the following insurance policies covering the PROJECT: -5- A. General Liability Insurance. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall Cover cw$ ia? j CONTRACTOR, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount : combined single limit bodily injury and property damage, including completed operations liability and blanket contractual liability, of $1, 000, 000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1, 000, 000 . Said policy shall name AGENCY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONTRACTOR' S insurance shall be primary. B. Professional Liability Insurance. CONTRACTOR shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR'S professional liability in an amount not less than $500, 000 per occurrence and in the aggregate. A claims made policy shall be acceptable. -6- • 0 Certificates of Insurance for said policies shall be approved in writing by the City Attorney prior to the commencement of any work hereunder. All Certificates of Insurance (and the policies of insurance or endorsements thereof) shall provide that any such Certificates and policies shall not be cancelled or modified without thirty (30) days ' prior written notice to AGENCY. CONTRACTOR shall notify AGENCY immediately if and when any of said policies is reduced in coverage or limits due to payment of a claim by its insurance carrier. 11. INDEPENDENT CONTRACTOR CONTRACTOR is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be responsible for any and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONTRACTOR and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 12 . TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. AGENCY may terminate CONTRACTOR' S services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by AGENCY shall be made in writing through the Deputy City Administrator, notice of which shall be delivered to CONTRACTOR as provided in Section 16 herein. 13 . ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the -7- • ! supervisory work hereunder shall not be delegated by CONTRACTOR to any other person or entity without the consent of AGENCY. 14 . COPYRIGHTS/PATENTS CONTRACTOR shall not apply for a patent or copyright on any item or material produced as a result of this Agreement, as set forth in 41 CFR 1-9 . 1 . 15 . CITY EMPLOYEES AND OFFICIALS CONTRACTOR shall employ no AGENCY official nor any regular AGENCY employee in the work performed pursuant to this Agreement . No officer or employee of AGENCY shall have any financial interest in this Agreement in violation of California Government Code Sections 1090 et seq. 16 . NOTICES Any notices or special instructions required to be given in writing under this Agreement shall be given either by personal delivery to CONTRACTOR' S agent (as designated in Section 1 hereinabove) or to the Deputy City Administrator, as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Services, addressed as follows : TO CITY: TO CONTRACTOR: Mr . Although, WALKER is prepared to work on any mutually acceptable fee arrangement, we prefer to convert this percentage to a lump sum basis. It removes all conflict of interest and results in a project that is in the long term best interest of the City of Huntington Beach. We also firmly believe in the selection of professional services based upon qualifications and, in accordance with state law, the subsequent negotiation of "equitable" fees for services rendered. We are prepared to provide the services described within the attached proposal for the following fees without further discussion. However, based upon changes in the scope of services, or the mutual understanding thereof, we remain available to further discuss and negotiate a final fee structure. BASIC SERVICES PHASE I . FIELD ENGINEERING Time and expenses - based on standard billing rates - plus reimbursable expenses. * (This also can be converted to a fixed fee or weekly basis) At the appropriate time, lump sum fees for Phases II and III will be negotiated based on the final scope the project, final scope of services and the project schedule. * Reimbursable Expenses are over and above basic fees and shall mean: 1 . 1 times the actual costs of travel , food and lodging for project meetings and site visits, toll telephone calls, telegrams , postage, express package charges , project photographic charges, reproductions ( reports , drawings, specifications, etc. ) and similar related items; and, the actual cost of overtime paid to employees by law. Within the above fee structures, we have included allowances for two specific task/discipline areas of service - $27 ,000 for Traffic and Civil Engineering and $14,400 for Utilities Relocation Engineering. Because the work involved in these services is still indeterminate in nature, we propose to provide these services and to monitor the time involvement for each on an individual basis. Should the time and the resulting charges, on an hourly basis at standard WALKER rates, against these accounts exceed the allowances quoted above, we would look to the City of Huntington Beach for additional compensation on an hourly basis as required for the successful completion of the project. Within the above fee structures, we have included $14,400 for Utilities Relocation Engineering and $18 ,000 for Plumbing and Mechanical Engineering for the parking structure itself . We realize that the Request For Proposal asks for the identification of "sewer and water work" . We look forward to being more specific when we have the opportunity to discuss this item with the City. ADDITIONAL SERVICES SPECIAL CONSULTANTS: Special Consultants are identified in the "Consultants" section of the attached proposal , and there may be other special consultants identified, with the involvement of the City's Project Manager, during the course of the work. These are consultants required for services outside of basic services identified within the proposal and other than normal structural , architectural , mechanical and electrical disciplines. For the services of special consultants, the City will be invoiced a multiple of one and one tenth ( 1 . 10) times the amounts billed to WALKER for such services. For project representation beyond basic services , as defined herein and in the attached proposal , and for additional services, as defined in standard AIA and EJCDC documents ( identified in the Scope of Services Section of the proposal ) , compensation shall be on an hourly basis at standard WALKER rates as attached to this Professional Fee Structure. Or, at the desire of the City, a mutually equitable lump sum fee may be negotiated for any additional services identified during the course of the project. Sandoval City Administrator Director of Public Works Subject Selection of International Parking Design Date July 11, 1989 to Prepare Plans, Specifications and Estimates for the North of the Pier Parking Structure Mayor Bannister has asked for a summary of the bids received for the design of the North of the Pier Parking Structure. As you know, Federal and State law (Brooks Bill and Chapter 10 Section 4525 of the California State Code) requires that contracts for professional services be awarded on the basis of qualifications rather than fee. The general policy for selection of professional consultants is as follows: Consultants are employed to augment the City's professional capabilities and to provide special expertise where needed. Historically and universally, professional consultant services have been obtained by selecting consultants on the basis of professional conduct; qualifications and performance. The City intends to employ individuals and firms of high ethical and professional standing to perform to the highest standards and codes of conduct and ethics of the profession in the City's behalf. It is the policy of the City to obtain such consultant services as may be desirable or necessary on such basis. The procedures employed by the City-for the selection of professional consultant services are intended to emphasize those factors which demonstrate an ability to provide high quality professional services rather than the fee to be charged. Sound professional services assure the City of maximum value for each dollar expended in total project costs. A strict' cost competitive basis for the selection of professional consultant services tends to lower the quality and thoroughness of the services provided which can result in unnecessary additional costs to City for the construction, operation and maintenance of its facilities. It is intended that the Consultant will be reimbursed for his reasonable costs and be provided an appropriate margin of profit. In keeping with this general policy the City asks that professional consultants submittinq proposals place their estimated fees in a separate sealed envelope. The proposals are reviewed by City staff, selected consultants are interviewed and a "best qualified" consultant is selected prior to opening the fee envelope. The fee is a cost estimate prepared by the consultant and based on the consultant's anticipated level of effort. The cost-estimate is considered a "not to exceed" figure since the City pays consultants based on their actual documented time and materials costs. The firms submitting proposals were: International Parking Design, Inc.. Robert Englekirk Consulting Structural Engineers, Inc. IBI Group Walker Parking Consultants After a review of the proposals by staff representing the Economic Development Department, the Community Development Department and the Public Works Department, three firms were selected for interviews. The three.firms interviewed were: International Parking Design, Inc. Robert Englekirk Consulting Structural Engineers, Inc. IBI Group The interview team consisting of Lou Sandoval, Mike Adams, Stephen Kohler and Les Evans selected the firm of International Parking Design as best qualified to perform the , desired design services.
