Agency staff tries to ininimize the use of consultants where possible, d.-Dending on the number of projects that are brought to the Agency for review. 'Nf. 7 The relatively high use of Stra.-.ling, Yocca, Carlson, & Rauth and Keyser Marston x, �.y Associates on legal and financial sr.nalysis services Is the direct result of cnntinving Intense review of the Waterfront, PlerAde Restaurants, and M.On-Pier Phase 11 projects. Each consultant is used to provide the following services: I=Wia- Ygraca. Carlsou- & Rauth - Prepares Enclusive Negotiation Agreements (ENA), Disposition and Development Agreements (DDA) and assists staft" In negotiating with developers: provides legal counsel as needed. X= Assorfpte3 - Provld;- 33433 Reports, (a report which describes the cost of the sale agreement to the Agency, the estimated value of the property to be conveyed determined at its highest uses permitted under the redevelopment plan, and the pw-chase price to be paid by the developer), conducts financial and pro formr, analysis or proposed development. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor.. Personally negotiate with the property owners and business tenants (or their appointed representatives) for the purchase of the required property rights. The Agency's written offer to purchase will be presented to the apprnpriate owners representatives in person, when possible, anywhere in the United States. w 3 Upon the initiation of negotiations, rec:eipted offer letters will be transmitted to the Agency as soon as possible. In instances where the property owner declines to receipt for the offer to purchase, a certification of presentation will be forwarded to the Agency. 3. Personal negotiations will continue with the property owners and tenants until every reasonable effort has been expended and it appears chat the only remaining method of acquisition.is through eminent domain proceedings. 4. At such time that negotiation appear to be unsuccessful and eminent domain proceedings have commenced, assistance necessary to aid the Agency's A condemnaticn counsel will be provided. Negotiations will continue after the filing of condemnation action if it is the desire of the Agency's legal counsel, :'- 5. During the time that negotiations with the property owners and tenants are proceeding, consultant will provide all necessary information to and work with the Agency's relocation consultant or staff member, in order to expeditiously and professionally complete the project. r• 6. If required, a written summary of the statue of the acquisition of each parcel will be provided to the Agency on a monthly basis. The additional services consist, in part, of the following: 1. Review and analyze litigation guarantees in order to identify thuse specific title exceptions, (i.e. (lasements, oil rights etc.,) that may nave to be eliminated prior to the conveyance to the redeveloper. Also, provide the assistance to the Agency necessary to eliminate these adverse items. Z. Review and analysis of the fixtures and equipment appraisals in order to establish the list of compensable items. 3. Prepare all offer letters, summary statements, and lists of compensable items of fixtures and equipment, in accordance with state and federal regulations and approval of the Agency'L counsel. k. Prepare all acquisition agreements, deeds, and other documents necessary to complete the acquisition. S. Processing of acquisition documents within the Agercy'a offices and transmittal of the executed and accepted documents to the appropriate_ parties (i.e. escrow, property owner, Agency's file, relocation consultant). r r 6. This schedule is for bath full and partial takings. In addition to the above scheduled fee. on parcels that neceEsi.tate separate negotiations for the acquisition of tenant's/lessee's interest in the property and/or improvements pertaining to the realty (fixtures and equipment) from more than three tenant, a fee of $300.00 per tenant, in excess of three, will be added to the above schedule. In Instances where only tenant's interests are being acquired, a maximum of $750.00 per tenant will apply. On projects that include multiple parcels, billing will he on a project basis with the maximum calculated by 'ie aggregate of the parcel foes from the above schedule. Ass was indicated previously in this proposal, it is our customary procedure to meet with the property owners anywhere in the United States. If travel outside the Southern California area is necessary to meet with owners, expenses incurred by Consultant will be reimbursed by the Agency. If your Agency prefers a flat f:e per parcel, instead of a contract based on an �• hourly rate, we are willing to provide the above mentioned •acquisition .� consulting services on a fea per parcel based upon ninety percent (90%) of the above referenced schedule. If the fee per parcel is employed, the following will apply: Any and all travel expenses necessary to meet with the property t owners outside the Southern California area will be born by Consultant. At such time the t all necessary acquisition documents have been obtained and forwarded to the Agency for acceptance or the acquisition has been completed through the actions, of the Agency's condemnation counsel, without going to Trial, the remaining balance will ba due Consultant. if it is necessary to acquire the property through an actual trial, Consultant's fee will only be ,seventy-five percent (75%) of the scheduled fee. If unusual situations occur, such as a change of ownership or extremely complicated title clearance problems, special arrangements regarding compensation will be necessary.
