CONTRACTOR, within ten (1U) days after notice by CITY of any defect in the worK, shall have the option to make appropriate repairs or replace the defective item of items. Upon expiration of such ten (W) day period, CITY may then make appropriate repair or replacement at CONTRACTOR'S S risk and expense. 9. CONTRACTOR will be granted an extension of time and will not be assessed with damages for any portion of the delay in completion of the work due to unforeseeable causes beyond the control and without the tault or negligence of CONTRACTOR, including but. not restricted to acts of cod or of they public enemy, fire, floods, opideruics, quarantine restrictions, strikes, and unsuitable weather, or delays of subcontractors due to such causes. COMPENSATION CITY agrees to pay and CONTRACTOR agrees to accept as full compensation for the faithful performance of this contract, subject to any additions or deductions as provided in the Contract Docu- ments, the :gum of twc• hundred sixty six thousand, seven hundred dollars ($26617UU. PROGRESS PAYMENTS Each month, the DPW will make an estimate in writing of that work performed and the value thereof. From each proyress estimate, ten percent (10%) will be deducted and retained by CITY, and the remainder, less the amount ­J all previous payments since commencement of the work, will be pitid to CUNTRAC ,'Qt<. CONTRACTOR will defend any such suits at the sole cost and expense of CONTRACTOR when requested by CITY, and any costs of defense or attorney's foes incurred by CITY in enforcing this obligation will be reimbursed to CITY or may be awarded to CITY by a court of competent jurisdiction. 17. WORKERS' COMPENSATION CUNTRACTUR Acknowledges and undertakes its duty under the provisions of Section 37UU et seq. of the Labor Code to insure against liability for. Workers' Compensation and covenants to comply with such provisions prior to commencing the performance of the work hereunder. CUNTttAC;TUR shall maintain Workers' Compensation Insurance and otherwise comply with all of the provisions of the Workers' Compensation and Safety Acts of the State of California, the appli- cattle provisions of Divisions 4 and 5 (it the California Labor Coda and all amendmenLs thereto; and all similar State or Federal acts or laws applicable and shall furnish to is ITY a certificate, of Workers' Compens,ation Insurance evidencing such compliance. CONTRACTiUit'S Workers' Compensation Insurance shall be in forms and underwritten by insurance companies satisfactory to CITY. Said insurance shall remain in force until the work under this contract is fully completed and accepted by CITY. Said insurance shall not derogate from the provisions for indemnification of CITY by CONTRACTOR under section 16 of this contract. CONTRACTOR shall, notwithstanding nor diminishing the foregoing obligations, subscribe for and maintain in full force and effect during the life of this contract a Worker!:' Compensation liability policy, in accordance with the World: � ,;' Compensation Act of the State of California, of not less than Cane hundred thousand dollars ($100,OUO). 18. IN5' TRANCE CONTRACTOR shall at all t irnes carry on all operations hereunder, bodily injury and property damage liability insurance, including automotive bodily injury and property damage liability insurance, in forms and underwritten by insurance companies satisfactory to CITY for: all operations, subcontract work, con-- trai,tual obligations, product or completed operation, all owned vehicles and non -owned vehicles. Said insurance coverage obtained by the CONTRACTOR shall name the CITY, its ofticars, agents and employees and all public agencies as determined by the CITY as additional insureds on said policies. CONTRACTOR shall require its insurer to waive its subrogation rights against CITY and agrees to provide certificates evidencing the same. beforeoC���� NTRACTOR performs any A at, or prepares or delivers materials to the site of construction, COMACTUR shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages and such certificates shall Provide the name and policy number of each carrier and policy and that the insurance is in force and will not be cancelled without thirty (30) days written notice to CITY. CONTRACTUR shall maintain all of the foregoing insurance coverages in force until the work under this contract is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance shall not derogate from the provisions for indemnification of CITY by CUNTRACTuk under :section 16 of this contract. Notwithstanding or diminishing the obligations of CONTRACTOR with respect to the foregoing, CONTRAC,roR shall subscribe for and maintain in full torce and effect during the life of this; contract the following insurance amounts: not less than one million dol larn ($ 1, ODU, U0U) combined single limit coverage for Item. CONTRACTOR shall maintain all of the Loregoing insurance coverages in force until the work under this contract is fully completed and accepted by CITY. The requirement for carrying the toregoing insurance shall not derogate from the provisions for indemnification of CITY by CONTRACTUR under S,,,tion 16 of this contract. Notwithstanding or diminishing the obligations of CONTRACTUR with respect to the foregoing, CUNMACTUR shall subscribe for and maintain in full torce and effect during the life of this contract the following insurance amounts: not less than one million dollars ($1,000,000) combined single limit coverage for Items A and H. A. Bodily Injury Liability and Automotive Bodily Injury Liability (Including non - ownership and hired cars) H. DEFAULT AND TERMINATION If CONTRACTOR fails or refuses to prosecute the work with diligence, or fails to complete the work within they time specified, or is adjudged a bankrupt, or makes an assignment for the benefit of creditors, or becomes insolvent, or violates any provision of the Contract Documents, CITY may give notice in writing of its intention to terminate the contract. Unless the violation is cured within ten (W) days after said notice of intention has beein served on CONTRACTOR, CITY way terminate this agreement upon the expiration of that time. 2U. DISPUSITION OF PLANS, ESTIMATES AND OTHER DUC:UKENTS CONTRAC'TUit agree, that upon completion of the work to be performed hereunder or upon earlier termination of this agreement, all original drawings, reports, calculations, maps and other documents, pert.ainiru, to said contract, shall t)e delivered to CITY and become its sold property at no further c(.)gt. 21. Meek Construction Company has completed the Municipal Pier repairs, to an agreed to suspension point pending further decisions and designs. RECOMMENDATION: Accept the work, and approve Change Order No. 1; and direct the City Clerk to file the Notice of Completion. ANALYSIS: The subject contract, entered into on June 6, 1983, to repair the Municipal Pier has been completed in so far as installation of piling and bracing for structural integrity is concerned. However, due to pending decisions on the proposed boat ramp and restaurant, the work has been directed to cease at a reasonable completion point, since designs could warrant additional work which will be more economically performed without original con- tract items interfering. These latter items are basically the timber and concrete decking. The total deletions to the contract work were $32,461.00 and the additions were $36,335.90, for a net increase of S3,874.90. FUNDING SOURCE: Insurance receipts and unencumbered balance funds have been previously designated for this project. RECOMMENDATION: Authorize the transfer of $270,000 from the City's general fund unencumbered balance into the appropriate account. ANALYSIS: On June G. 1983 the City Council entered into a contract wllt:i John L. Meek for the reconstruction of the municipal pier. The amount of the contract is $266,700. To this we must now add $25,000 for the removal of additional debris left by storms prior to March 1983, and a 20% constructi.:,n col.tingency of $53,300 for any additional work or change orders which may be required. This raises the total funding for the project to $345,000. To date, however, only $75,000 of the total funding h.�s been authorized for expenditure by the Council. The bulk of the total, some $270,000, remains unappropriated. This condition needs to he corrected before the project can continue. FUNDING SOURCE: Insurance receipts totaling $425,000 are now on deposit in the City's general fund unencumbered balance (F301). Funds totaling $210,000 are to be transferred into account 486637 for. expenditure. Funds of $75,000 ($50,000 insurance and $25,000 City declu:-tible) have already been encum- bered by earlier Council action.
