HomeMy WebLinkAboutJoseph Young - 1972-08-07CIVIC ART PROGRAM CONSULTANT AGREEMENT THIS AGREEMENT entered into this/5'��day of 197 Z, by and between the CITY OF HUNTINCTON BEACH, a municipal corporation, hereinafter referred to as CITY,' and:JOSEPH.YOUNG, 1434 South.Spauld- { ing Avenue, Los Angeles, California 900193 hereinafter. called CONSULTANT. WITNESSETH: WHEREAS, it is the desire of. CITY to enhance the image of CITY through beautification'by creating a cul- tural atmosphere, and to create, encourage'and promote cultural activities, and WHEREAS; CITY has determined that there is a need for a proposal to develop a civic 'art ten year growth pro- gram, and WHEREAS, it is the desire of CITY to engage the serv- ices of CONSULTANT to.prepare said proposal, and WHEREAS, CONSULTANT agrees to render, furnish and supply its services in preparing said proposal, and desires to receive therefor, the remuneration hereinafter stated; NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the parties agree as follows: 1. CONSULTANT shall make himself available, at reason- able times, to consult with the Allied Arts Commission of Huntington Beach in interpreting.the City of Huntington Beach community goals as established by the Allied Arts Commission, 2. CONSULTANT shall prepare a proposal as outlined in Exhibit "A" attached hereto and by reference made a 1. part hereof. 3. CITY shall pay CONSULTANT a total sU"M of Two Thousand Six Hundred `i+ifty Dollars ($2,650) for CONSULTANT'S aforementioned serviceU. "and proposal, One .'Thousand Dollars ($13obo) Within ten days ' of the . execution of this. agree-- merit -and -the balance at the completion' of CONSULTANT'S obligations under this agreement. Final payment to CON - is conditioned upon acceptance.of`proposal`by CITY,to its reasonable satisfaction. 4. Time is of.the essence. CONSULTANT'S estimated time of completion - of - the proposal is five months. 5. CONSULTANT does not have the authority to;contraet on behalf of CITY. If CONSULTANT deems it'necessary to have the aid of assistants or the services. 'of other persons in order to properly perform the duties and obligations required of CONSULTANT under this agreement, the cost for said services shall not be chargeable to CITY. 6. CONSULTANT agrees to indemnify, save and hold harmless CITY against any and all liability which might Arise or occur against CITY by reason of CONSULTANT'S acts or failure to act, during the term of this agreement. 7. Any controversy or claim arising out of or relat- ing to the terms of this agreement shall be settled by arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator or arbitrators may be entered in any court having jurisdiction thereof.
