BEACH, a municipal corporation, hereinafter referred to as
"CITY". and Junior Chambex of Commerce ,
hereinafter referred to as "LESSEE",
W I T N E :S S E T H
WHEREAS, the GITY owns certain improved real property
located in the vicinity of Main and Pecan Streets in the, City of
Huntington Beach, said property formerly used for Gity Hall pur-
poses; and
Said property is not present'<y needed for CITY purposes
and the CITY desires to lease said property,
NOW, IrHERFrORE, IN CONSIDERATION OF THE MUTUAL 'COVENANTS
AND PROMISES OF 1.,hR PARTIES HERETO, IT !S HEREBY AGREED by-
and b-;tween them as follows:
1. CITY hereby leases to LESSEE, on the germs and con
ditlons set 2orth herein, a portion of the premises formerly
used for City Hall purposes, specifically described as follows
the building formerly known as the Administrative Annex, totalling

2. The term of this lease shall to for a period of one

year commencing on November 1 , '1977
3, The rent ,.hall be the sum of $691, 20
payable on or before the 1.0th day of each month, at ,the rate of
$57. 60 per month, All rent not paid within ten (10) days
of due date shall include a 10% penalty.
4. CITY shall maintain the exterior o, the structure,
including the grounds of the leased premises, and LESSEE shall
maintain the .nter;ior of the leased premises. If LESSEE fails
to mai. in the interior of the leased premises, the CITY may, at
its option, perform necessary gaintenance and bill LESSEE for the
cost of the service rendered. LESSEE shall reim'hurse CITY for the
cost of the services within ten (10) days after receipt of billing.
I During the uerrin of this lease, LESSEE agrees to indem-
nify and defend and save CITY harmless from any and all claims
arising from any act, omission or negligence of LESSEE or its con-
tractors, sublessees, licensees, agents, servants, or employees
arising from any accident,, injury, or damage whatsoever caused
to any person or property occurring in, on, or about the leased
premises, and from and against all costs, expenses and liabilities
incurred in or in connection with any such claim or proceeding
brought thereon. LESSEE shall obtain for the entire term of this
lease, minimum insurar. ,: liability limits as follows Combined
Single Limit Bodily Injury and/or Property Damage including Pro-
ducts Liability of Three Hundred Thousand Dollars ($300,000)

Said insurance shall include the City Council, all City--appointed
groups, committees, boards and commissions, and all elective and
appointive officers, servants or_enpluyees of CITY as named addi-
tional insureds under such policy. LESSEE shall provide CITY
with a certificate of insurance or. a form approved and provided
by CITY". Such insurance shall be primary to any, insurance CITY
has in effect.
6. Dining the term of this lease, LESSEE shall nct make
any alterations to the leased premises without I-'- written con-
sent of CTTY:
7. CITY agrees to pay all utility bil16 applicable to the
leased_premises dur'.;rig the term of the lease, except telephone
service shall be separately charged to and the sole responsibility
of LESSEE.
8. LESSEE skull not assign the lease or sublet the premises
except with the written permission of CITY, and CITY expressly
reserves the right of re-entry for any violation of this section,
or ether,-condition of the lease
9. CITY reserves the right to enter and inspect the pre-
mises at all reasonable times
1C. LESSEE, shall not permit any acts to be done on the
leased premises which are in violation of any laws or ordinances.
+ 11. LESSEE hereby accepts th,-� premises in their present
condition and hereby waives any claim against CITE for the pre-
sent condition or the future condition of the leased premises

12. LESSEE Ahall pay any taxes assessed on its personal
property located in the leased premises, and shall pay, if
assessed, an aliquot p, rtion of any possessory interest taxes
on the premises
13• Either party may terminate this lease by giving thirty
(30) days written notice to the other party.
4. LESSEE shall have the right of reasonable at, :ss of

15. CITY shall provide baoic janitorial services during

In accordance with Resolution 4535, the Huntington Beach Junior
Chamber of Commerce will be charged $0.06 per s-»are foot which reflects
the costs of the Administrative Annex. The lease will be effective

SUBJECT: PROGRESS REPORT: SENIOR CITIZENS HOUSING AND RECREATIONAL
FACILITY ON OLD CIVIC CENTER SITE
I would like to take this opportunity to provide the following informa-
tion on the progress of the subject project and request your assistance
in forwarding this information to the City Council.
1: PARTICIPATION AGREEMENT
This agreement will be the primary mechanism for governing the actions
of both the City and the development team. This agreement specifies
the responsibilities and financial commitments of both parties and
provides a schedule of performance for all actions through construction
and occupancy of the facilities. The draft agreement has been reviewed
by the City Attorney and a final document is being prepared. It is
planned to present this agreement to the City Council for approval on
July 16, 1979.
2. CALIFORNIA HOUSING FINANCE AGENCY
The development team has submitted a "Stage I" application to the
California Housing Finance Agency (CHFA) and has received notice of
approval of both the site and the developer. This completes Stage I.
In addition, CHFA has racked this project as a "Priority Two, " the
highest priority assigned to any project not of an emergency nature.
The development team will submit a "Stage II" application within 30 to,
60 days.
3. SITE SURVEY
The City has contracted with the firm of Enterald Engineering of
Huntington Beacn to conduct a complete topographic su—tey Of the site.
This will provide precise information about the location of utilities,,
buildings, palm trees, and the current grading of the sit( . This
information is necessary to prepare the working drawings for the new
facilities.
The survey will also provide a precise legal description of the por-

4. SPECIFIC PLAN AMENDMENT TO THE ZONING ORDINANCE
A_draft of a specific plan amendment to the .zoning ordinance has
been prepared and is under review by City staff of the Planning and
Building divisions of Development Services; Public Works; Fire;
Library; Harbors, Beaches, Recreation and Parks; and Administration.
It is planned to schedule a Planning Commission public hearing on
this amendment in September 1979.
5. ENVIRONMENTAL IMPACT REPORT
The City has contracted with tY ._ firm of Pacific Environmental Services
of Santa Monica to prepare the environmental impact report for this
project. The document will assess the impacts of the zone change,
demolition, and new construction components of the project and is in-
tended to undergo public hearing before the Planning Commission in
September 1979 along with the Specific Plana
The cost of this work will be shared on a pro-rata basis between the
j City and the development team. Each entity will pay that share of
costs incurred by the consultant's assessment of its actions.
6. COASTAL COMMISSION REVIEW
The City staff and development team have met with the South Coast
Regional Coastal Commission Director and staff and with the City's
Local Coastal Program Citizens Advisory Committee and have found the
project favorably received by both groups.
Formal review of the project by the Coastal Commission will not occur
until all required City approvals are granted. It is planned to
submit an application for a Coastal Permit in October 1979.
7 ARCHITECTURAL SERVICES (CITY FACILITIES)
I
City staff is negotiating for a separate contract for architectural
services with the firm of Kamnitzer, Cotton, Vreeland of Los Angeles
for the preparation of working drawings for the City's new senior
center and library remodeling. Consider<-ble cost savings should be
accrued here since the development team prepared the design and schem-
atic drawings for the projects as part of the competition submittal.
This agreement Will be submitted for Council consideration in
August 1979.
8. CONSTPUCTION START
If the various governmental �:ipL-,royal processes go smoothly, it is

occupancy of the Senior housing and recreational facilities in the

citizen housing at the old Civic Center site for quite some time. In recent months,

been followed as planned. You will note that demolition of the buildings on the site
are scheduled for October or November of this year.
Since budget preparation time for the new fiscal yecr is drawing near,I am informing

old administrative annex until November in order to give you

his proposal..

As you know the City is developing a comprehensive uniform system of
leasing space at the old civic center.. We must charge- at least $0. 06
per square foot t,; cover the basic costs to the City of the adminis-
trative annex. Since the annex covers 920 squ.:�re feet, your monthly
rent would be $55 . 20 . The yearly rate is $662.40.
The Community Service Center at the old civic 'center must rent for $0 . 31
per square foot to cover the costs , but the administrative annex involves
less expense to the City. Since you perform needed janitorial services
yourself, the $0. 06 per square foot accounts only for electricity, build-
ing maintenance, and fire insurance .
if the City were to charge for landscaping, administration, and include
an inflation factor, the cost would, be $0.`09 per square foot. But be-
cause we would like the space to remain available for non-profit org'-111-
izations with small budgets, the decision was made to charge only those
directly incurred costs mentioned above.
If this rate is satisfactory to you and your organization, please let
me know as soon as possible. We would like to have the lease agreement
on the 0rtober 3rd Council agenda and my deadline for submission of
items for the agenda is September 26. Enclosed is a proposed lease
agreement for your review.
