STATEMENT OF ISSUE:
On August 6, 1984, the City Council authorized the staff to
distribute a request for proposals for a consultant to assist with
preparation of the required redevelopment documents for the proposed
Huntington Center Commercial District and Talbert Gap Flood Control
project areas. Staff has received proposals and selected the
consultant named in the attached contract to perform the necessary
work.
The contract between the City and the consultant has been prepared
by the City Attorney's office and is attached for your approval.

Approve the attached contract for assistance with the preparation of
redevelopment documents.
ANALY SI S :
No 4181
Recent State legislation will significantly alter the process
through which local jurisdictions designate Redevelopment Project
Areas. This legislation will become effective January 1, 1985, and
if the Huntington Center and Flood Control Areas are to become
adopted and effective Redevelopment Project Areas prior to this
date, it is necessary to move forward with all possible speed.
To assure that this plan adoption process goes as smoothly and
expeditiously as possible, the City will secure the services of a
reputable consultant firm to assist in the preparation of the
"Report to City Council" and ether documents necessary for plan
adoption, and to assure that the schedule of this plan adoption will
allow the Project Areas to become effective prior to January 1, 1985.
The consultant will be performing specific tasks in this process to
augment City staff efforts in areas where technical expertise may be
needed. These areas will probably include traffic circulation,
finance, biology and documentation of blight. Most of the work,
however, will be done by staff.

FUNDING SOURCE:
The cost of consultant services is outlined in the attached
contract. It is recommended that the City Council authorize a loan
from the City unappropriated fund balance to the Redevelopment
Agency for this purpose and that repayment of this loan be subject
to the terms and conditions of the current Cooperation Agreement
between the Ctiy and the Redevelopment Agency.
ALTERNATIVE ACTION:
Do not approve the attached contract. In this case. staff will
attempt to complete all necessary work preparing the redevelopment
project documents. This may result in the documents being less
comprehensive and more vulnerable to legal challenge.

STATEMENT OF ISSUE:
Proposals have been received from consulting firms seeking to provide fiscal consultant
services to the Redevelopment Agency. As a result of a review of these proposals, the
attached contract with Katz -Hollis Coren to provide such services is submitted for the
Redevelopment Agency's consideration.
RECOKMENDATION:
Approve and authorize the clerk to execute the attached contract between the
Redevelopment Agency and Katz -Hollis Coren to provide consultant services assessing
the fiscal status of the Redevelopment Agency.
ANALYSIS:
As the Redevelopment Agency approaches the point in time when Disposition Development
Agreements or Owner Participation Agreements will be signed for major projects, it
becomes particularly important to assess the Redevelopment Agency's current fiscal
status as well as anticipated future Agency revenues. Due to the limited amount of
time available prior to the execution of these DDA's, it's recommended that staff
be assisted with the consultant services of the Katz -Hollis Coren firm.
The attached contract will procure the services of the Katz -Hollis firm on an as
needed basis for the Redevelopment Agency at,the firm's standard rates.- Most -importantly,
the -scope of-workasdefined in the contract (and as -an immediate task for the -firm)
provides -that its representatives will 3ssess-all current financial obligations' ---
incurred by the -agency through the Cooperative Agreement with the City and previously
approved Owner Participation Agreements and assess likely Agency revenues over a
five year period. The results of this Investigation will form the basis for preparing
a financial plan to meet currently knows and future Redevelopment Agency obligations
and a strategy through which the proposed development within the Agency's project
areas may be effectuated.
Staff has reviewed proposals from other firms to provide similar services and
interviewed representatives of these firms. The staff's recommendation is that
Katz -Hollis can best provide the scope of services required by the Agency and will
be of most assistance in the activities described above.

FISCAL IMPACT•
Katz -Hollis immediate assessment of Agency obligations and future revenues as
known at this time, will be performed.fbr a not to exceed amount of $7,000
within a 45 day period. Should additicnal services of the firm be required,
payment would be in accordance with the firms standard schedule of payment for
staff and out-of-pocket expenses from the Redevelopment Agency budget.

AGREEMENT FOR CONSULTING SERVICES
THIS AGREEMENT is entered into on this ,1� day of
of 1985, by and between the Redevelopment Agency of the City of Huntington
Beach (hereinafter referred to as the "Agency") and KATZ, HOLLIS, COREN &
ASSOCIATES, INC., a California corporation (hereinafter referred to as the
"Consultant").
W I T N E S S E T H
WHEREAS, the Agency has undertaken certain activities pursuant to the
California Community Redevelopment Law necessary to the planning and execution
of redevelopment projects; and
the Agency desires to engage the Consultant to render certain technical
advice and assistance on financial matters in connection with such undertakings
of the Agency; and
the Consultant represents that it is qualified to perform such services
under this Agreement.
NOW, THEREFORE, THE PARTIES FERETO DO MUTUALLY AGREE AS FOLLOWS:
I. SCOPE OF SERVICES
The Consultant shall perform all of the necessary services provided
under this Agreement in connection with and respecting the undertakings of the
Agency.
The Consultant, when requested by the Agency, shall confer with and
advise the Agency regarding the various aspects of its plan and programs.
The scope.of services for Consultant initial task is.additionally.
defined in the attached Exhibit -A, which is incorporated herein as if fully
set forth herein.
Services to be performed hereunder do not include services directly
related to the sale of a bond issue by the Agency.
II. ASSISTANCE, DATA AND INFORMATION TO BE FURNISHED BY THE AGENCY
The Agency shall provide the Consultant with any plans, publications,
reports, statistics, records or other data or information pertinent to
services to be performed hereunder, which are reasonably available to the
Agency.
The Agency shall additionally provide Consultant appropriate staff
assistance and shall take prompt and appropriate action when it will assist
• in insuring proper and timely perfomance by the Consultant hereunder.
III. COMPENSATION AND METHOD OF PAYMENT
A. Compensation
The Agency will compensate the Consultant for services performed in
accordance with the following schedule:

The Agency will compensate the Consultant for out-of-pocket expenses
incurred by the Consultant in connection with services performed hereunder
in accordance with the following schedule:
Incurred Expenses - by an amcunt equal to actual incurred expenses.
Automobile Mileage - at the rate of $0.20 per mile.
Photocopies - at the rate of $0.10 per page for each document copy
in excess of five (5) document copies.
"Incurred expenses" include, but are not limited to, authorized
travel by common carrier; long distance telephone calls; commercial
reproduction; shipping and messenger services; and other similar expenses.
Incurred expenses do not include nornal overhead expenses.
B. Method of Payment
Within thirty (30) days after the last day of any month in which
services have been performed hereunder, the Consultant shall submit an
invoice to the Agency stating the amcunt due Consultant for such services,
and containing a breakdown of the charges by Project, compensation, hourly
rate and number of hours worked. The invoice shall also contain an
itemization of out-of-pocket expenses incurred by the Consultant and for
which compensation is due.
Payment of the invoice will to made after acceptance and approval
by the Agency within thirty (30) days of receipt of such invoice. Agency's
approval of the invoice shall not be unreasonably withheld.
IV. RIGHT OF TERMINATION
This Agreement may be termine.ted by either party on thirty (30) days
written notice to the other, the effective date of cancellation being the
30th day of said written notice without further action by either party.

V. NON-DISCRIMINATION
Consultants agree that in the performance of the terms of this
Agreement, they will not engage in, nor permit their agents to engage in,
discrimination in employment of persons because of race, religious creed,
color, national origin, ancestry, physical handicap, medical condition,
marital status, or sex of such person-;, except as provided in Labor Code
1420. Violation of this provision may result in the imposition o
penalties referred to in Division 2, Part 7, Chapter i of the California
Labor Code.
VI. INDEMNIFICATION, DEFENSE, HOLD HARMLESS
Consultants shall defend, ind?mnify and hold harmless Agency, its
officers, agents and employees, from and against any and all liability,
judgments, damages, costs, losses, claims, including Workers' Compensation
claims, and expenses resulting from or connected with Consultants' negligence
or other tortious conduct in the performance of this Agreement.
VII. WORKERS' COMPENSATION
Consultants shall comply with all of the provisions of the Workers'
Compensation Insurance and Safety Acts of the State of California, the
applicable provisions of Division 4 and 5 of the California Labor Code
and all amendments thereto; and all similar state or federal acts or laws
applicable; and shall indemnify, defend and hold harmless Agency from and
against all claims, demands, payments, suits, actions, proceedings and
Judgments of every nature and description, including attorneys' fees and
costs, presented, brought or recovered against Agency, for or on account of
any liability under any of said acts which may be incurred by reason of any
work to be performed by Consultants under this Agreement.
VIII. INDEPENDENT CONTRACTOR
It is further understood and agreed that Consultants are, and shall
be, acting at all times as independent contractors herein and not as employees
of Agency. Consultants shall secure at their expense, and be responsible for
any and all payment of income tax, so:ial security, state disability insurance
compensation, unemployment compensation and payroll deductions for Consultants
and their officers, agents and employ?es and all business licenses, if any, in
connection with the services to be performed hereunder.
IX. INSURANCE
In addition to the Workers' Compensation Insurance and Consultant's
conversant to indemnify City, Consultant shall obtain and furnish to City the
following insurance policies covering the Project:
A. General Liability Insurance. A policy of general public liability
insurance, including motor vehicle coverage. Said policy shall
indemnify Consultant, its officers, agents and employees, while
acting within the scope of their duties, against any and all
claims arising out of or in connection with the Project, and
shall provide coverage in not less than the following amount:

combined single limit bodily injury or property damage of $300,000
per occurrence. Said policy shall specifically provide that any
other insurance coverage which may be applicable to the Project
shall be deemed excess coverage and that Consultant's insurance
shall be primary. And City its officers, agents and employees,
while acting within the scope of their duties, shall be additionally
named as co -insureds in any such policy and indemnified in the same
manner as is Consultant.
Certificates of Insurance for said policies shall be approved in writing
by the City Attorney prior to the commencement of any work hereunder. All
Certificates of Insurance (and the policies of insurance or endorsements thereof)
shall provide that any such Certificates and policies shall not be cancelled or
modified without thirty (30) days' prior written notice to City.
X. NOTICES
Notices to the parties, unless otherwise requested in writing, shall
be sent to the Agency at 2000 Main Street, Huntington Beach, California,
92648 and the Consultant at 550 South Hill Street, Suite 980, Los Angeles,
California, 90013-2410.
IN WITNESS WHEREOF, the Agency and the Consultant have executed this

Subject: Proposal for Initial Financial Consulting Services
Dear Mr. Kohler:
Per your request we are submiti.ing the enclosed contract for the
provision of financial consulting services for the Redevelopment Agency
of the City of Huntington Beach and, as described below, a proposal for
the initial services our firm would provide if the contract is approved
by the Agency. The proposal is based on conversation with you and
other Agency/City staff and reflect:; the indication of the complexity of
current Agency undertakings provided in those conversations.
Scope of Initial Services
Our intent in performing the initial services would be the provision of
an overview of the current fiscal status of the Agency and a projection,
over a five to ten year period, of the future status of the Agency given
currently anticipated activities. The overview would focus on and
emphasize the Main Pier Project based on our understanding that
activities in this Project constitute the Agency's highest priority.
The overview of current Agency status would be performed through a
review of existing Agency obligations under disposition and development
agreements, agreements with the City of Huntington Beach, loans,
advances and other commitments. The review of obligations would be
complemented by a similar review of the resources of the Agency. A
comparison of the findings of the two reviews would constitute the
statement of current Agency status.
The cash flow projection of the Agency's status in future years would
be prepared by scheduling expenditures to be made under currently -
anticipated Agency activities and comparing these expenditures to
estimated future Ievels of resources available to the Agency. With -
regard to future tax increment, a major resource for funding Agency
activities, we will use, at least initially, the projections already prepared
by Agency staff. We will, however, advise you if we believe that actual
revenues may vary significantly from the staff projection either because
of technical assumptions used in preparation of the projection or
changes in the scope and scheduling of future development on which
the projection is based.

Both the overview of current status and the cash flow projection will be
accompanied by our commentary find suggestions as to how the Agency
can more effectively implement its plans and programs. It is our intent
that this commentary be presented in an interactive way, particularly
with regard to the cash flow, to enable the incorporation of suggestions
acceptable to staff and thereby produce a projection which can also
serve as a general financial plan for the Agency's undertakings.
Compensation
We estimate that our provision of the services discussed above would
cost the Agency between five thousand and seven thousand dollars,.
Actual compensation for the services would be based on actual hours
expended and the hourly rates shown in the enclosed contract.
Schedule of Performance
We will perform the initial services described above within forty-five
days of receipt of a contract approved and executed by the Agency and
a written notice to proceed.
