Yes [ j New Policy or Exception Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions, Attachm r STATEMENT OF ISSUE: The Redevelopment Agency has previously contracted with the firm of Katz Hollis to provide technical assistance in the adoption process for the Proposed Beach Boulevard Redevelopment Project Area. Attached is a Proposed Amendment to this Contract increasing the not -to -exceed amount of compensation. RECOMMENDATION: Approve and authorize the City Clerk to execute the attached Amendment No. 2 to the Contract between the Redevelopment Agency and Katz, Hollis, Coren & Associates for services rendered in connection with the Proposed Beach Boulevard Redevelopment Project Area. ANALYSIS: A Contract between the Redevelopment Agency- and Katz, Hollis, Coren be Associates for consultant services in connection with the adoption of a Proposed Redevelopment Project Area for Beach Boulevard was originally approved in October, 1995. This Contract carried a not -to -exceed amount of $53,000. Subsequently, as the adoption process continued, it was necessary to amend this Contract to increase the not -to -exceed amount of compensation to $63,000. During the last month prior to the Joint Public Hearing on the Proposed Redevelopment Project Area, which was conducted on July 6, 1997, Agency staff and Katz Hollis were Involved in an extensive outreach campaign to provide information about the proposed project area to the community. As a result of this intensive effort, the "administrative coordination" portion of the budget for Katz Hollis services has been exceeded. To date, Katz Hollis provided services by attending meetings at the Civic Center with various Agency staff members and Special Agency Counsel in preparation for the Joint Public Hearing and provided staff with assistance in the preparation for the number of community forums which were conducted as well. While Amendment No. 2 to this Contract would Increase the total compensation by $5,000 to $68,000; the total due to Katz Hollis is $4,116.41. O� C;Ac, ti Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions, Att4climents: STATEMENT OF ISSUE: The Redevelopment Agency currently maintains a contract for consultant services with the firm of Katz Hollis to assist in preparation of documents for the adoption of the proposed Beach Boulevard Redevelopment Project Area. Due to the extensive involvement of Katz Hollis in the Project Area Committee and information to taxing agencies, the Administrative Services portion of the budget for this contract has been exceeded. Attached is an amendment to the contract to extend these services. RECOMMENDATION: Approve and authorize the City Clerk to execute the attached amendment to the contract between the Redevelopment Agency and Katz Hollis for assistance in the preparation and adoption of the proposed Beach Boulevard Project Area to increase the administrative coordination budget by $10,000. ANALYSIS: The current contract between the Redevelopment Agency and Katz Hollis for consultant services in their preparation of Redevelopment Plan documents was approved by the Agency in the Fall of 1985. The current process to prepare documents for the adoption of the proposed Beach Boulevard Redevelopment Project Area officially commenced with the Planning Commission's approval of the Preliminary Plan of October, 1986. Katz Hollis provides a variety of services for the plan adoption process relating to the preparation of the major documents necessary to carry forward this process. These documents principally include: The Owner Participation and Preference Rules, the Preliminary Report, the Preliminary Plan, the Redevelopment Plan, and the Environmental Impact Report. In addition to the preparation of these documents, Katz Hollis provides assistance in scheduling the principal activities necessary to adopt a Redevelopment Plan, provides staff services for field investigations within the proposed project area, and, provides G/ 0 R H 87-22 March 26, 1987 Page Two tax increment projections and other pertinent information for the Redevelopment Agency staff to negotiate with affected taxing agencies regarding the fiscal impact of the proposed project area. Katz Hollis also provides technical services and information to staff through the review process by the Project Area Committee, Planning Commission, and all other interested parties. Those services beyond the preparation of the documents are covered by a portion of the contract with Katz Hollis known as "Administrative Services." Since the commencement of this adoption effort, it has been necessary to request the assistance of Katz Hollis to an extent which exceeds the originally proposed budget for this contract. These services primarily concern revisions to the adoption schedule predicated by review of, and alterations to, the d cuments by the Redevelopment Agency and Planning Commission, and to accommodate the maximum possible amount of time for review of the documents by the Project Area Committee. In addition, through the process of negotiating with affected taxing agencies, it became clear that the additional information regarding tax increment projections and the impact to the Redevelopment Agency of potential pass-throughs of tax increment to agencies was necessary to adequately participate in these negotiations. For these reasons, the original contract amount for "Administrative Services," has been exceeded, and the attached amendment provides the authority for additional funds in this regard. FUNDING SOURCE: Project adoption services under this contract are paid from a "Beach Boulevard Studies" project, funded through the Community Development Block Grant Program. (Original contract $53,000; recommended increase $10,000). ALTERNATIVES: Do not approve the attached contract amended. This will prevent payment for services to Katz Hollis now due. ATTACHMENTS: 1. As shown on the billing's contract statue summary, with this billing we have exceeded our contract authority for hourly rate Administrative Coordination Services by $632.00. As you are aware, plan adoption efforts were commenced in October, 1986. As a first step in the process we prepared and submitted a Schedule of Actions to guide the process. As requested by City/Agency staff, the schedule assumed a 1985/86 base year, which required the plan to be adopted by July, 1986. As you are further aware, Katz Hollis completed a boundary survey and recommended boundaries which would likely have precluded creation of an official Project PAC. City/Agency staff, after Consideration of the issues, determined to proceed with somewhat larger boundaries and ' the creation of a PAC. These boundaries were later twice amended to add even more area. By this point in time we had completed our field survey of Project land uses, building conditions, etc, the data from which then had to be updated by further field inspections. In addition, because of the delay in deciding PAC and boundary issues, the 1985/86 base year was lost and a revised schedule had to be prepared based upon an assumed 1986/87 base year. With the recent formation of the PAC, we have had W prepare a second revised schedule. In summary, boundary and PAC -related issues have made heavy demande, both directly and indirectly, upon our hourly rate time, and have depleted the contract budget set for such services. Now that PAC formation and operating status have been accomplished, and with our recent delivery of the preliminary draft of the Preliminary Project Report for affected taxing agencies and Cotton/Beland's submission of the screen -check Draft EIR, the Project is in position to move forward to successful adoption. plan adoption by July and a 1986/87 base year can be achieved if City/Agency staff, legal counsel, and Katz Hollis continue to cooperate and make every effort to proceed in accord with the recently delivered revised schedule. In the meantime, since we are just entering the fiscal review portion of the adoption process, and since other such hourly rate services will be required prior to completion of project adoption (further hatzHollis Mr. Steven V. We estimate that such services could range from $5,000 to $10,000, depending upon the extent we are involved in meetings and additional scheduling, report preparation, and fiscal analyses. To preclude potential further amendments in the future, we suggest that the larger figure be used. Your early attention to this request would be appreciated. ASSOCIATES, INC., a California corporation (hereinafter referred to as "Katz Hollis"). W I T N E S S E T H WHEREAS, the Agency has undertaken certain activities pursuant to the California Community Redevelopment Law necessary to the planning and execution of a new redevelopment project; and WHEREAS, the Agency desires to engage Katz Hollis to render certain technical advice and assistance in connection with such undertakings of the Agency; and WHEREAS, Katz Hollis represents that it is qualified to perform such services under this Agreement. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS: I. SCOPE OF SERVICES AND TIME OF PERFORMANCE Katz Hollis shall provide professional and/or technical services to the Agency in accordance with Exhibit "A," Scope of Services and Time of Performance (Katz Hollis) and Exhibit "B", EIR Services (CBA), attached hereto and made a part hereof. The EIR services to be provided hereunder shall be rendered by Cotton Beland Associates (hereinafter referred to as "CBA") under subcontract to Katz Hollis. Katz Hollis will be fully responsible for such services and for the compensation therefor. II. ASSISTANCE, DATA AND INFORMATION TO BE FURNISHED BY THE AGENCY The Agency shall provide Katz Hollis and CBA with any plans, publications, reports, statistics, records or other data or information pertinent to services to be performed hereunder, which are reasonably available to the Agency. r r N9 The Agency shall additionally provide Katz Hollis and CBA appropriate staff assistance and shall take prompt and appropriate action when it will assist in insuring proper and timely performance by Katz Hollis and CBA hereunder. 111. COMPENSATION AND METHOD OF PAYMENT A. Compensation 1. Administrative Coordination Services The Agency shall compensate Katz Hollis for Administrative Coordination Services in accordance with the following schedule: Principals $95 per hour Senior Associates $80 per hour Associates $65 per hour Senior Analysts $55 per hour Analysts $40 per hour Secretarial/Administrative $28 per hour -2- f 4. EIR Services The Agency shall compensate Katz Hollis for EIR Services in accord with the compensation schedules and rates set forth in Exhibit "B". 5. Out -of -Pocket Expenses The Agency shall compensate Katz Hollis for out-of-pocket expenses incurred in connection with services performed hereunder in accordance with the following schedule: Incurred Expenses - by an amount equal to actual incurred expenses. Automobile Mileage - at the rate of $0.20 per mile. Photocopies - at the rate of $0.10 per page for each docu- ment copy in excess of five (5) document copies. "Incurred expenses" include, but are not limited to, authorized travel by common carrier; long distance telephone calls; graphics and commercial reproduction; shipping and messenger services, and other similar expenses. Incurred expenses do not include normal overhead expenses. 6. Maximum Compensation Subject to the exceptions set forth herein, the maximum compensation which may be paid to Katz Hollis for services rendered hereunder shall not exceed the sum of FIFTY-THREE THOUSAND DOLLARS ($53,000.00), excluding out-of-pocket expenses, without approval of the Agency. Out-of-pocket expenses shall not exceed the sum of TWO THOUSAND DOLLARS ($2,000.00) without approval of the Agency. The foregoing maximum compensation limit contemplates that $6,000 will be available for Administrative Coordination Services. In the event that this amount is determined to be insufficient to complete all such services as may be required, Katz Hollis will advise the Agency that an amendment to this Agreement to increase the compensation limit is required. B. Method of Payment Within thirty (30) days after the last day of any month in which services have been performed hereunder, Katz Hollis shall submit an invoice to the Agency for such services. Except for preparation of resolutions, legal notices, and other such documents under Minor Document Preparation Services, the invoiced amounts for Major and Minor Document Preparation Services shall correspond to the amounts shown in sections III.A.1. and III.A.2. above. For preparation of resolutions, legal notices, etc., a prorata amount will be billed each month, based upon time expended. The amount billed will be at Katz Hollis' option, the only limitation being that the total for all such billings shall not exceed the total amount to be paid for such services or shown in III.A.1. above. For Administrative Coordination Services, the invoice shall state the amount due for such services, and shall 511 contain a breakdown of the charges by staff position, hourly rate and number of hours worked. All invoices shall also contain an itemization of out-of-pocket expenses incurred for which reimbursement compensation is due. Invoiced amounts for EIR Services shall correspond to the compensation schedules and rates set forth in Exhibit "B." Payment of invoices will be made after acceptance and approval by the Agency within thirty (30) days of receipt of such invoice. The Agency's approval of invoices shall not be unreasonably withheld. IV. RIGHT OF TERMINATION This Agreement may be terminated by either party on ten (10) days written notice to the other, the effective date of cancellation being the loth day of said written notice, without further action by either party. In the event this Agreement is terminated by either party prior to completion of the tasks identified in the Scope of Services, Katz Hollis will be compensated as follows: A. Katz Hollis will be compensated for all documents completed and submitted to the Agency to the date cf such termination, plus expenses, in accordance with the schedules contained in paragraphs III.A.1.9 III.A.2., III.A.5 and Exhibit "B". B. Katz Hollis will be compensated for documents not yet completed on the date of such termination based upon the percentage of completion of such documents as determined by mutual agreement. C. Katz Hollis will be compensated for Administrative Coordination Services on the basis of time expended and expenses incurred to the date of such termination in accordance with paragraphs III.A.3 and III.A.5. V. NON-DISCRIMINATION Katz Hollis agrees that in the performance of the terms of this Agreement, they will not engage in, nor permit their agents to engage in, discrimination in employment of persons because of race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, or sex of such persons, except as provided in Labor Code 1420. Violation of this provision may result in the imposition of penalties referred to in Division 2, Part 7, Chapter 1 of the California Labor Code. VI. IDEMNIFICATION, DEFENSE, HOLD HARMLESS Katz Hollis shall defend, indemnify and hold. harmless Agency, its officers, agents and employees, from and against - any and all liability, judgements, damages, costs, losses, claims, including Worker's Compensation claims, and expenses resulting from or connected with Katz Hollis' negligence or other tortious conduct in the performance of this Agreement. -4- VII. WORKERS' COMPENSATION Katz Hollis shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Divisions 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless Agency from and against all claims, demands, payments, suits, actions, proceedings and judgements of every nature and description, including attorney's fees and costs, presented, brought or recovered against Agency, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by Katz Hollis under this Agreement. VIII. INDEPENDENT CONTRACTOR It is further understood and agreed that Katz Hollis is, and shall be, acting at all times as independent contractors herein and not as employees of Agency. Katz Hollis shall secure at their expense, and be responsible for any and all payment of income tax, social security, state disability insurance compensation, unemployment compensation and payroll deductions for their officers, agents and employees and all business licenses, if any, in conection with the services to be performed hereunder. IX. INSURANCE In addition to the Workers' Compensation Insurance and Katz Hollis conversant to indemnify Agency, Katz Hollis shall obtain and furnish to Agency the following insurance policies covering the Project: A. General Liability Insurance. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify Katz Hollis, its officers agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with the Project, and shall provide coverage in not less than the following amount: combined single limit bodily injury or property damage of $300,000 per occurrence. Said policy shall specifically provide that any other insurance coverage which may be applicable to the Project shall be deemed excess coverage and that Katz Hollis' insurance shall be primary. As a first step within the adoption process, a detailed Schedule cf Actions will * be prepared to: denote each required step, the responsible entity involved, the document(s) involved (including all documents covered under this Agreement), and the proposed action date. Such Schedule will be structured and sequenced as necessary to comply with all Community Redevelopment Law and CEAA requirements, and to accommodate insofar as possible the regular meeting dates of the involved City entities, including the City Council, Redevelopment Agency, and City Planning Commission. - Preliminary___ Redevelopment Plzen, establishing project area boundaries and satisfying the minimal requirements of the Community Redevelopment Law (CRL). City/Agency staff will be advised and assisted in preparing a boundary, map and legal description complying with regulations adopted by the State Board of Equalization. - Owner Participation and Preference Rules required to be adopted by CRL Sections 33339.5 and 33345. - Resolutions, Legal Notices and Ordinances required during the adoption process. Agency staff will be responsible for publishing and mailing legal notices. MAJOR DOCUMENT PREPARATION SERVICES Four major documents (Preliminary Project Report, Redevelopment Plan, Agency Report to City Council, and EIR) will be involved in putting the new project in place. Katz Hollis will prepare three of these documents, and CBA will prepare the Project EIR, as described in Exhibit "B". Katz Hollis will prepare the other three major documents as follows: Preliminary Project Report containing, as required by CRL 'amendments contained within AB 203, the following sections: - Reasons for selection of the project area - Description of the physical, social and economic conditions existing in the project area ("blight report") i - Preliminary assessment of proposed method of fi- nancing and economic feasibility, with reasons for Including tax increment provisions in redevelopment plan - Description of specific projects to be pursued by the agency in the project area - Description of how the projects to be pursued will improve or alleviate the project area's conditions of blight. The Preliminary Project Report will involve a field survey of the project area to take photographs and to document existing conditions. As noted below, the Preliminary Project Report will be used for and in effect will become key sections of the Agency's Report to City Council on the proposed project redevelopment plan. An administrative draft of the Preliminary Project Report will be prepared, and following review and comment by City/Agency staff and Iegal counsel, a final draft of the report will be submitted. - Redevelopment Plan, containing project goals and objectives; agency powers and authorities in project area; permitted land uses; general development requirements; public improvements necessary or of benefit to the project; tax increment and bond limitations; and other provisions as needed or desired. The Plan will be prepared and submitted in preliminary draft form, and, following review and comment by City/ Agency staff and legal counsel, a final draft plan will be submitted. - Report_to City Council. The Agency's Report to City Council on the proposed project Redevelopment Plan will conform with the requirements of Section 33352 of the Community Redevelopment Law. The initial sections of the Report will consist of: - Reasons for selection of the project area; a description of specific projects proposed and a description of how such projects will alleviate blight conditions; and an explanation of why public improvements to be made by the Agency cannot be reasonably expected to be accomplished by private enterprise acting alone - Description of the physical, social and economic conditions existing in the project area ("blight report") - Proposed method of financing the project - Relocation plan - Neighborhood impact report The previously prepared Preliminary Project Report will become the textual basis for the first three items listed above, and will be used directly or updated as necessary for such purpose. ii The remaining sections of the Report required by the Community Redevelopment Law are either the responsibility of others and will be incorporated into the final Report upon receipt by Katz Hollis through the Redevelopment Agency, or are the Agency's responsibility and will be prepared by Katz Hollis when needed data is available or required base documents have been received by the Agency. The remaining sections to be prepared by others and incorporated into the final Report upon receipt by Katz Hollis include: - Report and recommendations of Planning Commission on proposed Redevelopment Plan - Environmental impact report (to be prepared by CBA) - Report of the Orange County Auditor -Controller on project area taxable values - Report of the fiscal review committee regarding fiscal impact of project on the members thereof The remaining sections of the Report to City Council to be prepared by Katz Hollis include: - Project Area Committee (PAC) record (or, if no PAC, then a summary of alternative activities) - Analysis of County Auditor -Controller's report - Summary of Agency's consultations v-ith affected taxing agencies regarding fiscal impact of the project (This section is in addition to the fiscal review committee report.) - Analysis of and response to the report of the fiscal review committee After all initial and remaining sections have been received or prepared, and following review and comment by City/Agency staff and legal counsel, a final Report to City Council will be prepared and submitted. Included within the provision of Major and Minor Document Preparation Services (and the compensation to be paid therefor) will be a maximum of four visits to Huntington Beach (or vicinity) by one Katz Hollis staff person for purpose of data aggregation and report presentation. ADMINISTRATIVE COORDINATION SERVICES When and as necessary for Plan adoption schedule purposes, and upon request of the City/Agency staff, Katz Hollis will provide Administrative Coordination Services needed or related to the plan adoption process. Such services include: - Monitoring adoption progress as compared to actions and dates identified in the Schedule of Actions, and working with City/Agency staff to keep on schedule and to adjust scheduled action dates when necessary or desired. iii - Attending staff and public meetings or hearings, including City Council, Agency, and Planning Commission meetings, or other meetings as may be necessary or desired. - Assisting with fiscal review committee matters and consultations with affected taxing agencies, including attendance at meetings and assistance in analyzing fiscal impact of various funding scenarios. - Providing fiscal analysis services, if any, in excess of the minimal level normally involved in preparing the Redevelopment Flan, the Preliminary Project Report, and the Report to City Council, and the requirements of fiscal review/taxing agency consultations. - Coordination of public hearings. - Providing other advice and assistance regarding plan adoption policies and procedures. - Alterations and revisions to documents prepared under Document Preparation Services, if requested or required after final drafts have been prepared and approved. TIME OF PERFORMANCE The Schedule of Actions will be prepa.red and delivered within 15 days of receipt of a fully executed copy of this Agreement. Major and Minor Documents will be prepared and delivered in accord with agreed upon action dates contained in the approved Schedule of Actions. Administrative Coordination Services will be provided as needed and upon request. iv EXHIBIT B SCOPE OF SERVICES AND TIME OF PERFORMANCE (Cotton/Beland/Associates) Cotton/Beland/Associates (C/B/A) will provide the following basic services in preparation of the Environmental Impact Report for the Beach Boulevard Redevelopment Project. Task 1. Reconnaissance Objective The purpose of this task is to familiarize the project team with the project, existing conditions in the project area and the available data base. The mockup will be provided to the Agency for review within 7 days of project initiation. 1.2. Review Available Documentation. Cotton/Beland/Associates will collect necessary available information related to the project from City and Agency staff. Materials to be reviewed include the City General Plan, Redevelopment Plan, other project EIRs, zoning maps and ordinance, utility maps, aerial photos and other available information. 1.3. Inspect Project Area. C/B/A will survey the project area and surrounding areas to identify local conditions of the natural environment, land use, building condition, traffic and general environmental setting of the project. 1.4. -Agency Correspondence C/B/A will correspond with appropriate agencies and individuals as identified by the Agency regar- ding potential impacts of the project on that agency, in order to obtain information for the Draft EIR. B-1 Task 2. Prepare Administrative Draft EIR Objective The purpose of this task is to prepare complete draft of the project EIR for review by the City staff prior to publication. The administrative draft will include all text$ tables and figures. Products Product Project Day Project Description Memo 14 Administrative Draft EIR (3 copies) 60 Subtasks 2.1. Prepare Administrative Draft EIR. C/B/A will prepare an administrative draft EIR in accordance with CEQA and Agency EIR guidelines. The administrative draft will be provided for staff review prior to publication of the official draft EIR. The EIR will be formatted to include the following sections: Executive Summary. The Executive Summary will identify each significant effect of the project, with proposed mitigation measures which would reduce that effect; areas of controversy including issues raised by agencies and the public; and issues to be resolved including the choice among alternatives and whether or how to mitigate signi- ficant effects. Introduction. The Introduction will summarize the legal role of the EIR in the development process. Section 1. Description of the Proposed Project. The project description will include description of the project and key project alternatives. The' project description will include maps or diagrams illustrating the proposed project and may include table summarizing the differences among the pro- ject alternatives. Agency Staff and C/B/A will meet by Project Day 14 to agree on a specific project description for the proposed project and key alternatives. This pro- ject description will be summarized in a project description memorandum. The memorandum will de- scribe the proposed project in terms of land use and floor area ratio by subarea within the project area. Phasing of developments will also be estimated. Section 2. Description of Environmental Setting. B-2 This section will briefly describe the environ- mental setting of the proposed project. A more detailed description of the environmental setting will be included in the following section discus- sing project impacts and mitigation measures. Section 3. Environmental Impact. This section will discuss the environmental set- ting, significant environmental effects, mitiga- tion measures and appropriate Agency findings for each of the project impacts outlined below, orga- nized in accordance with the environmental impact checklist in CEQA guidelines. C/B/A recoruiends this organization for the EIR in order to clearly demonstrate compliance with CEQA in reviewing complete list of project impacts. 3.1. Earth. No significant impacts. Grading impacts including disruptions, displacements, com- paction and overcovering of the soil in the pro- ject area will be briefly reviewed. 3.2. Air. Existing and historic air quality in the Huntington Beach area will be discussed, and the potential for this project (individually and cumulatively with other projects) to adversely affect air quality will be estimated using recog- nized air quality impact assessment techniques. C/B/A's impact assessment model will be used to identify pollutant emissions from natural gas com- bustion, electric power generation and motor vehicle trips. Emissions will be related to esti- mated emissions from the source/receptor area in which the project is located. Tables and/or graphs will be included to illustrate historic air quality, emission factors, emission estimates, and the relation of emissions to source/receptor area emissions. The California Line Source Model will be utilized to estimate air pollutant concentrations on Beach Boulevard. Concentrations will be related to ambient air quality standards to indicate poten- tial increases in number of days exceeding stan- dards. The relation of the project to SCAG and other agency growth projections for employment and housing will be compared to proposed development to indicate relation to the regional Air Quality Management Plan. B-3 Mitigation measures in accordance with ARB and South Coast Air Quality Management District guide- lines will be identified. 3.3. Water. No significant impact. Environmental concerns in this category will be identified and this conclusion reported. 3.4. Plant Life. No significant impacts. The environmental issues considered under this cate- gory will be identified and this conclusion repor- ted. 3.5. Animal Life. No significant impacts. The environmental issues considered under this cate- gory will be identified and this conclusion reported. 3.6. Noise. Construction noise impacts will be briefly discussed and construction noise mitiga- tion measures identified. The potential noise impact resulting from traffic increases on Beach Boulevard will be estimated using C/B/A's computerized version of the Federal Highway Administration Highway Traffic Noise Model. Mitigation measures to reduce noise impacts will be identified and their effectiveness discussed. 3.7. Light and Glare. Light and glare impacts will be briefly discussed and mitigation measures identified. Light and glare will also be dis- cussed under Aesthetic Impacts, section 3.19 below. 3.8. Land Use. Effect of the project in intensi- fying uses in the project area will be identified. Anticipated development will be compared to general plan, redevelopment plan and zoning capa- city. Conflicts between proposed uses and adja- cent uses will be identified and mitigation measures proposed. Maps of existing land use, zoning and general plan designations in the project area will be included. 3.9. Natural Resources. No significant impact. The environmental issues considered under this category will be identified and this conclusion reported. B-4 3.10. Risk of Upset. No significant impact. The environmental issues considered under this cate- gory will be identified and this conclusion repor- ted. 3.11. Population. The potential for the project, together with similar projects in the surrounding area under General Plan land use controls, to result in increases in population density will be discussed. Direct, indirect and induced employ- ment generated by the project will be estimated based on the SCAG regional input/output model. Impact of this employment on population in an appropriate housing/employment market area will be identified. 3.12. Housing. Project impacts on housing supply and demand will be briefly discussed. Employment demand will be used to estimated housing demand in an appropriate housing/employment market area for the proposed project.. 3.13. Circulation and Parking. C/B/A will utilize the Orange County Transportation Commission's data base, project reports and EIR to identify traffic impacts of the project. Traffic analysis will be summarized in the EIR and these reports refe- renced. The following exhibits will be included in the traffic impact section to the extent available from OCTC: (1) Trip generation rates, (2) Trip generation for project alternatives, (3) Existing traffic and intersection levels of service, (4) Future "no project" traffic and intersection levels of service, (5) Future "proposed project" traffic and intersection levels of service, (6) mitigation measures and levels of service for key intersections. 3.14. Public Services. The potential for the project, cumulatively with similar projects in the vicinity, to add fire, police and other service requirements will be identified through discus- sions with the appropriate agencies. Specific mitigation measures will be identified based on agency discussions. 3.15. Energy. Energy consumption of the project including energy used for space heating, lighting, air conditioning, internal uses and motor vehicle transportation will be estimated. Energy conser- B-5 vation measures based on California requirements and potential trip reduction measures will be identified and their effectiveness discussed. 3.16. Utilities. Utility impacts, particularly those on water, sewer, storm drains, power, natural gas and solid waste disposal systems, will be identified based on discussions with service providers. System demand will be estimated based on recognized engineering design factors, and demands related to available system capacity to identify deficiencies. Specific mitigation measures for each system will be identified based on discussions with service providing agencies. 3.17. Human Health. No significant impact. The environmental issues considered under this cate- gory will be identified and this conclusion repor- ted. 3.18. Aesthetics. Potential aesthetic impacts will be identified and discussed. The existing aesthetic character of the project area and related developments will be documented with photographs. The relation of the proposed development to neigh- boring development in terms of scale, form, mate- rials and design standards, landscaping and other factors will be reviewed. Mitigation measures to deal with potential impacts will be identified and methods of implementing mitigation measures recommended. 3.19. Recreation. No significant impacts. The environmental issues in this category will be identified and this conclusion reported. _ 3.20. Archaeological/Historical. An archaeologi- cal records search will be conducted to determine whether or not archaeological sites have been found and are likely to be found in the project area. Mitigation measures in accordance with CEQA requirements will be identified. Historic or culturally significant structures in the project area will be identified based on Agency records. Mitigation measures to deal with potential impacts on historic structures will be identified. RMA Section 4. Unavoidable summarized above. Unavoidable Adverse Impacts. adverse impacts of the project will be from impacts identified in Section 3 Section 5. Mitigation Measures. Mitigation measures included in the proposed pro- ject will be summarized from the discussion in Section 3 above. Section 6. Alternatives. The impacts of key project alternatives will be addressed in discussion and summary table. Alternatives addressed will include the no project alternative, projects involving greater or less development, and projects involving alternative plans for the project area. Alternatives will be reviewed with the agency, and minimum of three alternatives will be discussed in some detail in the EIR. Section 7. Areas of No Significant Impact. This section will include identification of those impacts not found to be significant and not further discussed in the EIR. Section B. Short and Long Term Environmental Impact. The potential for the project to achieve short-- term objectives at the expense of long-term goals will be reviewed. Section 9. Significant Irreversible Environmental Changes. This section will identify significant irrever- sible environmental changes which may result from' the proposed project. Section 10. Growth -Inducing Impacts. The potential for the project to induce growth or remove barriers to growth will be identified. Section 11. Cumulative Effects. The cumulative impact of this project with other known projects and development in accordance with the General Plan will be identified. Specific areas to be emphasized in discussing cumulative impacts include traffic, air quality, population, housing and public facilities and services impacts. Section 12. C/B/A will attend two public hearings or meetings to present the findings of the Draft EIR and respond to questions from the public and City officials. If additional hearings are required, these hearings will be attended as additional services not included in the fixed fee proposal amount. Task S. Response to Comments, Final EIR Objective The purpose of this task is to prepare responses to comments by the public and public agencies on the Draft EIR, and to prepare a supplement to the draft EIR listing changes in response to comments received, and summarizing comments on the draft EIR and responses to those comments. Administrative Coordination Services The Agency shall compensate Katz Hollis for Administrative Coordination Services in accordance with the following schedule: Principals $95 per hour Senior Associates $80 per, hour Associates $65 per hour Senior Analysts $55 per hour Analysts $40 per hour Secretarial/Administrative $28 per hour -2- 4 4. EIR Services The Agency shall compensate Katz Hollis for EIR Services in accord with the compensation schedules and rates set forth in Exhibit "B". 5. Out -of -Pocket Expenses The Agency shall compensate Katz Hollis for out-of-pocket expenses incurred in connection with services performed hereunder in accordance with the following schedule: Incurred Expenses - by an amount equal to actual incurred expenses. Automobile Mileage - at the rate of $0.20 per mile. Photocopies - at the rate of $0.10 per page for each docu- ment copy in excess of five (5) document copies. "Incurred expenses" include, but are not limited to, authorized travel by common carrier; long distance telephone calls; graphics and commercial reproduction; shipping and messenger services; and other similar expenses. Incurred expenses do not include normal overhead expenses. 6. Maximum Compensation Subject to the exceptions set forth herein, the maximum compensation which may be paid to Katz Hollis for services rendered hereunder shall not exceed the sum of FIFTY-THREE THOUSAND DOLLARS ($53,000.00), excluding out-of-pocket expenses, without approval of the Agency. Out-of-pocket expenses shall not exceed the sum of TWO THOUSAND DOLLARS ($2,000.00) without approval of the Agency. The foregoing maximum compensation limit contemplates that $6,000 will be available for Administrative Coordination Services. In the event that this amount is determined to be insufficient to complete all such services as may be required, Katz Hollis will advise the Agency that an amendment to this Agreement to increase the compensation limit is required. B. Method of Payment Within thirty (30) days after the last day of any month in which services have been performed hereunder, Katz Hollis shall submit an invoice to the Agency for such services. Except for preparation of resolutions, Iegal notices, and other such documents under Minor Document Preparation Services, the invoiced amounts for Major and Minor Document Preparation Services shall correspond to the amounts shown in sections III.A.1. and III.A.2. above. For preparation of resolutions, legal notices, etc., a prorata amotint will be billed each month, based upon time expended. The amount billed will be at Katz Hollis' option, the only limitation being that the total for all such billings shall not exceed the total amount to be paid for such services or shown in III.A.1. above. For Administrative Coordination Services, the invoice shall state the amount due for such services, and shall -3- contain a breakdown of the charges by staff position, hourly rate and number of hours worked. All invoices shall also contain an itemization of out-of-pocket expenses incurred for which reimbursement compensation is due. Invoiced amounts for EIR Services shall correspond to the compensation schedules and rates set forth in Exhibit "B." Payment of invoices will be made after acceptance and approval by the Agency within thirty (30) days of receipt of such invoice. The Agency's approval of invoices shall not be unreasonably withheld. IV. RIGHT OF TERMINATION This Agreement may be terminated by either party on ten (10) days written notice to the other, the effective date of cancellation being the 10th day of said written notice, without further action by either party. In the event this Agreement is terminated by either party prior to completion of the tasks identified in the Scope of Services, Katz Hollis will be compensated as follows: A. Katz Hollis will be compensated for all documents completed and submitted to the Agency to the date of such termination, plus expenses, in accordance with the schedules contained in paragraphs III.A.I., III.A.2., III.A.5 and Exhibit "B". B. Katz Hollis will be compensated for documents not yet completed on the date of such termination based upon the percentage of completion of such documents as determined by mutual agreement. C. Katz Hollis will be compensated for Administrative Coordination Services on the basis of time expended and expenses incurred to the date of such termination in accordance with paragraphs III.A.3 and III.A.5. V. NON-DISCRIMINATION Katz Hollis agrees that in the performance of the terms of this Agreement, they will not engage in, nor permit their agents to engage in, discrimination in employment of persons because of race, religious creed, color, national origin, ancestry, physical handicap, medical condition, marital status, or sex of such persons, except as provided in Labor Code 1420. Violation of this provision may result in the imposition of penalties referred to in Division 2, Part 7, Chapter 1 of the California Labor Code. VI. IDENINIFICATION, DEFENSE, HOLD 11AMMLESS Katz Hollis shall defend, indemnify and hold. harmless Agency, its officers, agents and employees, from and against any and all liability, Judgements, damages, costs, losses, claims, including Worker's Compensation claims, and expenses resulting from or connected with Katz Hollis' negligence or other tortious conduct in the performance of this Agreement. -4- VII. WORKERS' COMPENSATION Katz Hollis shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Divisions 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless Agency from and against all claims, demands, payments, suits, actions, proceedings and judgements of every nature and description, including attorney's fees and costs, presented, brought or recovered against Agency, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by Katz Hollis under this Agreement. VIII. INDEPENDENT CONTRACTOR It is further understood and agreed that Katz Hollis is, and shall be, acting at all times as independent contractors herein and not as employees of Agency. Katz Hollis shall secure at their expense, and be responsible for any and all payment of income tax, social security, state disability insurance compensation, unemployment compensation and payroll deductions for their officers, agents and employees and all business licenses, if any, in correction with the services to be performed hereunder. IX. INSURANCE In addition to the Workers' Compensation Insurance and Katz Hollis convenant to indemnify Agency, Katz Hollis shall obtain and furnish to Agency the following insurance policies covering the Project: A. General Liability Insurance. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify Katz Hollis, its officers agents and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with the Project, and shall provide coverage in not Iess than the following amount: combined single limit bodily injury or property damage of $300,000 per occurrence. Said policy shall specifically provide that any other insurance coverage which may be applicable to the Project shall be deemed excess coverage and that Katz Hollis' insurance shall be primary. And City its officers, agents and employees, while acting within the scope of their duties, shall be additionally named as co -insureds in any such policy and indemnified in the same manner as is Katz Hollis. X. NOTICES Notices to the parties, unless otherwise requested in writing, shall be sent to the Agency at 2000 Main Street, Huntington Beach, California, 92648 and' the Katz Hollis at 550 South Hill Street, Suite 980, Los Angeles, California, 90013-2410. -5- r`. As a first step within the adoption process, a detailed Schedule of Actions will be prepared to: denote each required step, the responsible entity involved, the document(s) involved (including all documents covered tinder this Agreement), and the proposed action date. Such Schedule will be structured and sequenced as necessary to comply with all Community Redevelopment Law and CEQA requirements, and to accommodate insofar as possible the regular meeting dates of the involved City entities, including the City Council, Redevelopment Agency, and City Planning Commission. - Preliminary Redevelopment Plan, establishing project area boundaries and satisfying the minimal requirements of the Community Redevelopment Law (CRL). City/Agency staff will be advised and assisted in preparing a boundary map and legal description complying with regulations adopted by the State Board of Equalization. Owner Partici ation and Preference Rules required to be adopted by CRL Sections 33339.5 and 33345. - Resolutions Legal Notices and Ordinances required during the adoption process. Agency staff will be responsible for publishing and mailing legal notices. MAJOR DOCUMENT PREPARATION SERVICES Four major documents (Preliminary Project Report, Redevelopment Plan, Agency Report to City Council, and EIR) will be involved in putting the new project in place. Katz Hollis will prepare three of these documents, and CBA will prepare the Project EIR, as described in Exhibit "B". Katz Hollis will prepare the other three major documents as follows: Preliminary Project Report containing, as required by CRL amendments contained within AB 203, the following sections: - Reasons for selection of the project area - Description of the physical, social and economic conditions existing in the project area ("blight report") r - Preliminary assessment of proposed method of fi- nancing and economic feasibility, with reasons for including tax increment provisions in redevelopment plan - Description of specific projects to be pursued by the agency in the project area - Description of how the projects to be pursued will improve or alleviate the project area's conditions of blight. The Preliminary Project Report will involve a field survey of the project area to take photographs and to document existing conditions. As noted below, the Preliminary Project Report will be used for and in effect will become key sections of the Agency's Report to City Council on the proposed project redevelopment plan. An administrative draft of the Preliminary Project Report will be prepared, and following review and comment by City/Agency staff and legal counsel, a final draft of the report will be submitted. - Redevelopment Plan, containing project goals and objectives; agency powers and authorities in project area; permitted land uses; general development requirements; public improvements necessary or of benefit to the project; tax increment and bond limitations; and other provisions as needed or desired. The Plan will be prepared and submitted in preliminary draft form, and, following review and comment by City/ Agency staff and legal counsel, a final draft plan will be submitted. - Report to City Council. The Agency's Report to City Council on the proposed project Redevelopment Plan will conform with the requirements of Section 33352 of the Community Redevelopment Law. The initial sections of the Report will consist of: - Reasons for selection of the project area; a description of specific projects proposed and a description of how such projects will alleviate blight conditions; and an explanation of why public improvements to be made by the Agency cannot be reasonably expected to be accomplished by private enterprise acting alone - Description of the physical, social and economic conditions existing in the project area ("blight report") - Proposed method of financing the project - Relocation plan - Neighborhood impact report The previously prepared Preliminary Project Report will become the textual basis for the first three items listed above, and will be used directly or updated as necessary for such purpose. ii The remaining sections of the Report required by the Community Redevelopment Law are either the responsibility of others and will be incorporated into the final Report upon receipt by Katz Hollis through the Redevelopment Agency, or are the Agency's responsibility and will be prepared by Katz Hollis when needed data is available or required base documents have been received by the Agency. The remaining sections to be prepared by others and incorporated into the final Report upon receipt by Katz Hollis include: - Report and recommendations of Planning Commission on proposed Redevelopment Plan - Environmental impact report (to be prepared by CBA) - Report of the Orange County Auditor -Controller on project area taxable values - Report of the fiscal review committee regarding fiscal impact of project on the members thereof The remaining sections of the Report to City Council to be prepared by Katz Hollis include: - Project Area Committee (PAC) record (or, if no PAC, then a summary of alternative activities) - Analysis of County Auditor-ControIler's report - Summary of Agency's consultations with affected taxing agencies regarding fiscal impact of the project (This section is in addition to the fiscal review committee report.) - Analysis of and response to the report of the fiscal review committee After all initial and remaining sections have been received or prepared, and following review and comment by City/Agency staff and legal counsel, a final P.eport to City Council will be prepared and submitted. Included within the provision of Major and Minor Document Preparation Services (and the compensation to be paid therefor) will be a maximum of four visits to Huntington Beach (or vicinity) by one Katz Hollis staff person for purpose of data aggregation and report presentation. ADMINISTRATIVE COORDINATION SERVICES When and as necessary for Plan adoption schedule purposes, and upon request of the City/Agency staff, Katz Hollis will provide Administrative Coordination Services needed or related to the plan adoption process. Such services include: - Monitoring adoption progress as compared to actions and dates identified in the Schedule of Actions, and working with City/Agency staff to keep on schedule and to adjust scheduled action dates when necessary or desired. iii - Attending staff and public meetings or hearings, including City Council, Agency, and Planning Commission meetings, or other meetings as may be necessary or desired. - Assisting with fiscal review committee matters and consultations with affected taxing agencies, including attendance at meetings and assistance in analyzing fiscal impact of various funding scenarios. - Providing fiscal analysis services, if any, in excess of the minimal level normally involved in preparing the Redevelopment Plan, the Preliminary Project Report, and the Report to City Council, and the requirements of fiscal review/taxing agency consultations. - Coordination of public hearings. - Providing other advice and assistance regarding plan adoption policies and procedures. - Alterations and revisions to documents prepared under Document Preparation Services, if requested or required after final drafts have been prepared and approved. TIME OF PERFORMANCE The Schedule of Actions will be prepared and delivered within 15 days of receipt of a fully executed copy of this Agreement. Major and Minor Documents will be prepared and delivered in accord with agreed upon action dates contained in the approved Schedule of Actions. Administrative Coordination Services will be provided as needed and upon request. iv EXHIBIT B SCOPE OF SERVICES AND TIME OF PERFORMANCE (Cotton/Beland/Associates) Cotton/Beland/Associates (C/B/A) will provide the following basic services in preparation of the Environmental Impact Report for the Beach Boulevard Redevelopment Project. Task 1. Reconnaissance Objective The purpose of this task is to familiarize the project team with the project, existing conditions in the project area and the available data base. Products Product Project Day EIR Mockup (1 copy) 7 Agency contact list (agency task) 7 Subtasks 1.1. Prepare Mockup. Cotton/Beland/Associates will prepare mockup of the Draft EIR indicating all figures, maps and tables. The mockup will indicate the approximate anticipated length of each section of the docu- ments. The mockup will be provided to the Agency for review within 7 days of project initiation. 1.2. Review Available Documentation. Cotton/Beland/Associates will collect necessary available information related to the project from City and Agency staff. Materials to be reviewed include the City General Plan, Redevelopment Plan, other project EIRs, zoning maps and ordinance, utility maps, aerial photos and other available information. 1.3. Inspect Project Area. C/B/A will survey the project area and surrounding areas to identify local conditions of the natural environment, land use, building condition, traffic and general environmental setting of the project. 1.4. 'Agency Correspondence C/B/A will correspon3 with appropriate agencies and individuals as identified by the Agency regar- ding potential impacts of the project on that agency, in order to obtain information for the Draft EIR. B-1 kwJ l.� Task 2. Prepare Administrative Draft EIR Objective The purpose of this task is to prepare complete draft of the project EIR for review by the City staff prior to publication. The administrative draft will include all text, tables and figures. Products Product Project Day Project Description Memo 14 Administrative Draft EIR (3 copies) 60 Subtasks 2.1. Prepare Administrative Draft EIR. C/B/A will prepare an administrative draft EIR in accordance with CEQA and Agency EIR guidelines. The administrative draft will be provided for staff review prior to publication of the official draft EIR. The EIR will be formatted to include the following sections: Executive Summary. The Executive Summary will identify each significant effect of the project, with proposed mitigation measures which would reduce that effect; areas of controversy including issues raised by agencies and the public; and issues to be resolved including the choice among alternatives and whether or how to mitigate signi- ficant effects. Introduction. The Introduction will summarize the legal role of the EIR in the development process. Section 1. Description of the Proposed Project. The project description will include description of the project and key project alternatives. The' project description will include maps or diagrams illustrating the proposed project and may include table summarizing the differences among the pro- ject alternatives. Agency Staff and C/B/A will meet by Project Day 14 to agree on a specific project description for the proposed project and key alternatives. This pro- ject description will be summarized in a project description memorandum. The memorandum will de- scribe the proposed project'in terms of land use and floor area ratio by subarea within the project area. Phasing of developments will also be estimated. Section 2. Description of Environmental Setting. B-2 This section will briefly describe the environ- mental setting of the proposed project. A more detailed description of the environmental setting will be included in the following section discus- sing project impacts and mitigation measures. Section 3. Environmental Impact. This section will discuss the environmental set- ting, significant environmental effects, mitiga- tion measures and appropriate Agency findings for each of the project impacts outlined below, orga- nized in accordance with the environmental impact checklist in CEQA guidelines. C/B/A recommends this organization for the EIR in order to clearly demonstrate compliance with CEQA in reviewing complete list of project impacts. 3.1. Earth. No significant impacts. Grading impacts including disruptions, displacements, com- paction and overcovering of the soil in the pro- ject area will be briefly reviewed. 3.2. Air. Existing and historic air quality in the Huntington Beach area will be discussed, and the potential for this project (individually and cumulatively with other projects) to adversely affect air quality will be estimated using recog- nized air quality impact assessment techniques. C/B/A's impact assessment model will be used to identify pollutant emissions from natural gas com- bustion, electric power generation and motor vehicle trips. Emissions will be related to esti- mated emissions from the source/receptor area in which the project is located. Tables and/or graphs will be included to illustrate historic air quality, emission factors, emission estimates, and the relation of emissions to source/receptor area emissions. The California Line Source Model will be utilized to estimate air pollutant concentrations on Beach Boulevard. Concentrations will be related to ambient air quality standards to indicate poten- tial increases in number ofIdays exceeding stan- dards. The relation of the project to SCAG and other agency growth projections for employment and housing will be compared to!proposed development to indicate relation to the regional Air Quality Management Plan. B-3 �.Ol Mitigation measures in accordance with ARB and South Coast Air Quality Management District guide- lines will be identified. 3.3. Water. No significant impact. Environmental concerns in this category will be identified and this conclusion reported. 3.4. Plant Life. No significant impacts. The environmental issues considered under this cate- gory will be identified and this conclusion repor- ted. 3.5. Animal Life. No significant impacts. The environmental issues considered under this cate- gory will be identified and this conclusion reported. 3.6. Noise. Construction noise impacts will be briefly discussed and construction noise mitiga- tion measures identified. The potential noise impact resulting from traffic increases on Beach Boulevard will be estimated using C/B/A's computerized version of the Federal Highway Administration Highway Traffic Noise Model. Mitigation measures to reduce noise impacts will be identified and their effectiveness discussed. 3.7. Light and Glare. Light and glare impacts will be briefly discussed and mitigation measures identified. Light and glare will also be dis- cussed under Aesthetic Impacts, section 3.19 below. 3.8. Land Use. Effect of the project in intensi- fying uses in the project area will be identified. Anticipated development will be compared to general plan, redevelopment plan and zoning capa- city. Conflicts between proposed uses and adja- cent uses will be identified and mitigation measures proposed. Maps of existing land use, zoning and general plan designations in the project area will be included. 3.9. Natural Resources. No significant impact. The environmental issues considered under thi's category will be identifiedjand this conclusion reported. ' B-4 3.10. Risk of environmental gory will be ted. Upset. No significant impact. The issues considered under this cate- identified and this conclusion repor- 3.11. Population. The potential for the project, together with similar projects in the surrounding area under General Plan land use controls, to result in increases in population density will be discussed. Direct, indirect and induced employ- ment generated by the project will be estimated based on the SCAG regional input/output model. Impact of this employment on population in an appropriate housing/employment market area will be identified. 3.12. Housing. Project impacts on housing supply and demand will be briefly discussed. Employment demand will be used to estimated housing demand in an appropriate housing/employment market area for the proposed project. 3.13. Circulation and Parking. C/B/A will utilize the Orange County Transportation Commission's data base, project reports and EIR to identify traffic impacts of the project. Traffic analysis will be summarized in the EIR and these reports refe- renced. The following exhibits will be included in the traffic impact section to the extent available from OCTC: (1) Trip generation rates, (2) Trip generation for project alternatives, (3) Existing traffic and intersection levels of service, (4) Future "no project" traffic and intersection levels of service, (5) Future "proposed.project" traffic and intersection levels of service, (6) mitigation measures and levels of service for key intersections. 3.14. Public Services. The potential for the project, cumulatively with similar projects in the vicinity, to add fire, police and other service requirements will be identified through discus- sions with the appropriate agencies. Specific mitigation measures will be'identified based on agency discussions. 3.15. Energy. Energy consumption of the project including energy used for space heating, lighting, air conditioning, internal uses and motor vehicle transportation will be estimated. Energy conser- B-5 klol vation measures based on California requirements and potential trip reduction measures will be identified and their effectiveness discussed. 3.16. Utilities. Utility impacts, particularly those on water, sewer, storm drains, power, natural gas and solid waste disposal systems, will be identified based on discussions with service providers. System demand will be estimated based on recognized engineering design factors, and demands related to available system capacity to identify deficiencies. Specific mitigation measures for each system will be identified based on discussions with service providing agencies. 3.17. Human Health. No significant impact. The environmental issues considered under this cate- gory will be identified and this conclusion repor- ted. 3.18. Aesthetics. Potential aesthetic impacts will be identified and discussed. The existing aesthetic character of the project area and related developments will be documented with photographs. The relation of the proposed development to neigh- boring development in terms of scale, form, mate- rials and design standards, landscaping and other factors will be reviewed. Mitigation measures to deal with potential impacts will be identified and methods of implementing mitigation measures recommended. 3.19. Recreation. No significant impacts. The environmental issues in this category will be identified and this conclusion reported. _ 3.20. Archaeological/Historical. An archaeologi- cal records search will be conducted to determine whether or not archaeological sites have been found and are likely to be found in the project area. Mitigation measures in accordance with CEQA requirements will be identified. Historic or culturally significant structures in the project area will be identified based on Agency records. Mitigation measures to deal with potential impacts on historic structures will be identified. B-6 Section 4. Unavoidable Adverse Impacts. Unavoidable adverse impacts of the project will be summarized from impacts identified in Section 3 above. Section 5. Mitigation Measures. Mitigation measures included in the proposed pro- ject will be summarized from the discussion in Section 3 above. Section 6. Alternatives. The impacts of key project alternatives will be addressed in discussion and twmary table. Alternatives addressed will include the no project alternative, projects involving greater or less development, and projects involving alternative plans for. the project area. Alternatives will _be reviewed with the Agency, and minimum of three alternatives will be discussed in some detail in the EIR. Section 7. Areas of No Significant Impact. This section will include identification of those impacts not found to be significant and not further discussed in the EIR. Section 8. Short and Long Term Environmental Impact. The potential for the project to achieve short- term objectives at the expense of long-term goals will be reviewed. Section 9. Significant Irreversible Environmental Changes. This section will identify significant irrever- sible environmental changes which may result from' the proposed project. Section 10.-Growth-Inducing Impacts. The potential for the project to induce growth or remove barriers to growth will be identified. 1 Section 11. Cumulative Effects. The cumulative impact of this project with other known projects and development in accordance with the General Plan will be identified. Specific areas to be emphasized in discussing cumulative impacts include traffic, air quality, population, housing and public facilities and services impacts. Section 12. Publication Draft EIR Objective The purpose of this task is to prepare final Draft EIR for publication by the Agency. C/B/A will incorporate comments and prepare a final draft within 10 working days of receipt of comments on the Administrative Draft EIR. 0 B-9 Task 4. Hearings Objective The purpose of this task is to provide expert testimony at public hearings on the Draft EIR. Subtasks 4.1. Hearings. C/B/A will attend two public hearings or meetings to present the findings of the Draft EIR and respond to questions from the public and City officials. If additional hearings are required, these hearings will be attended as additional services not included in the fixed fee proposal amount. Task 5. Response to Comments, Final EIR Objective The purpose of this task is to prepare responses to comments by the public and public agencies on the Draft EIR, and to prepare a supplement to the draft EIR listing changes in response to comments received, and summarizing comments on the draft EIR and responses to those comments.
