HomeMy WebLinkAboutKeith and Associates - 1984-04-16CONSULTANT AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND KEITH AND ASSOCIATES FOR DESIGN OF NEWLAND STORM DRAIN IMPROVEMENTS THIS AGREEMENT, made and entered into this b day of 194, by and between the CITY OF HUNTINGTON BEACH, a municipal corporation of the State of California, hereinafter referred to as "CITY," and KEITH AND ASSOCIATES, a California corporation, hereinafter referred to as "CONSULTANT." WHEREAS, the CITY OF HUNTINGTON BEACH desires to engage the services of an engineering consultant to prepare plans, specifications and cost estimates for the Newland Storm Drain, CC-615; and WHEREAS, CONSULTANT has been selected to perform said services; NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. WORK STATEMENT CONSULTANT shall provide all of the engineering services (hereinafter referred to as "PROJECT") described in the document entitled "Request for Proposal; Newland Storm Drain" (hereinafter referred to as Exhibit "A"), as supplemented and amended by the letter from Keith and Associates, dated February 13, 1984, entitled "Newland Storm Drain" (hereinafter referred to as Exhibit "B"), each document hereby incorporated into this Agreement by this reference. Said services shall include, but not be limited to surveys, investigations, consultations, and advice, preparation of detail design, construction plans, quantities and costs, preparation of special provisions and any other miscellaneous 1. engineering services required to permit CITY to advertise for bids for construction of PROJECT. CONSULTANT shall attend and assist in all coordination meetings. CONSULTANT shall designate a registered civil engineer who shall represent it and be its sole contact and agent in all consultations with CITY during fulfillment of the terms of this Agreement. 2. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all original drawings, reports, both field and office notes, calculations, maps and other docu- ments, shall be turned over to CITY upon any termination of PROJECT. 3. INDEMNIFICATION, DEFENSE, HOLD HARMLESS CONSULTANT hereby agrees to defend, indemnify and hold harmless CITY, its officers, agents and employees, from and against any and all liability, damages, costs, losses, claims and expenses, however caused, resulting directly or indirectly from or connected with CONSULTANT's performance of this, Agreement (including, but not limited to such liability, cost, damage, loss, claim, or expense arising from the death or injury to an agent or employee of CONSULTANT, subcontractor, or of CITY or damage to the property of CONSULTANT, subcontractor, or of CITY or of any agent or employee of CONSULTANT, subcontractor, or of CITY), regardless of the active or passive negligence of CITY, except where such liability, damages, costs, losses, claims or expenses are caused solely by the negligent or wrongful acts of CITY or any of its 2. agents or employees including negligent omissions or commissions of CITY, its agents or employees, in connection with the general supervision or direction of the work to be performed hereunder. 4. WORKER'S COMPENSATION CONSULTANT shall comply with all of the provisions of the Worker's Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement. 5. INSURANCE In addition to the Worker's Compensation Insurance and CONSULTANT's Agreement to indemnify CITY, CONSULTANT shall furnish to CITY and maintain in force until the completion of PROJECT a policy of general liability insurance in which CITY is named as an additional insured. The policy shall indemnify CITY, its officers and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with PROJECT. The policy shall provide coverage for combined single limit bodily injury and/or property damage of at least $300,000 per occurrence. CONSULTANT shall also obtain errors and omissions 3. insurance coverage of at least $300,000. Such policies of insurance shall specifically provide that any other insurance coverage which may be applicable to the loss shall be deemed excess coverage and CONSULTANT's insurance shall be primary. A certificate of all such insurance policies required by this Agreement shall be delivered to the City Attorney prior to the commencement of any work and shall be approved by her in writing. No such insurance shall be cancelled or modified without thirty (30) days prior written notice to CITY. 6. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be responsible for any and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other pay- roll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 7. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in connection with the work of this Agreement. 8. PROVISION FOR PAYMENT In consideration of the performance of the above described engineering services, CITY agrees to pay CONSULTANT a fee according to the schedule of hourly rates set out in Exhibit "B" payable monthly based upon the amount of work performed as determined by CITY. Total payment shall not exceed sixteen thousand dollars ($16,000). 4. r 9. EXTRA WORK In the event of authorization, in writing by the City Engineer of changes from the work as indicated in Exhibit "A" or for other written permission authorizing additional work not contemplated herein, additional compensation shall be allowed for such extra work, so long as the prior written approval of CITY is obtained. 10. TERMINATION OF CONTRACT All work shall be done in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination and any special instructions hereunder from CITY shall be made through the City Engineer, and in writing, which may be delivered in person to CONSULTANT or mailed through the normal course of mail to its now -established business address. In the event this Agreement is terminated, all drawings, designs, specifications and appurtenant data may be used by CITY. 11. DURATION OF CONTRACT CONSULTANT agrees to complete the PROJECT within four (4) months of the date of execution of this Agreement. 12. SUBCONTRACTORS This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated to any person or entity without the consent of CITY. 13. ADDITIONAL PROVISIONS CONSULTANT agrees that no regular employee of CITY shall be employed by its firm during the times that this Agreement is in effect. 61F IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by and through their authorized officers the day, month and year first above written. Grand Avenue Santa Ana, CA 92705 February 6, 1984 Public Works Department (714) 536.5431 Subject: Request for Proposal; Newland Storm Drain File CC-615 (Consultant) Gentlemen: The City of Huntington Beach, Department of Public Works is requesting proposals from qualified civil engineering firms for the preparation of plans, specifications and cost estimates for the subject project; including: 1. Construction of a 60" storm drain and appurtenances from the Newland Pump Station, northerly (approx. 400 feet) to Hamilton Avenue then westerly in Hamilton Avenue (approx. 600 feet) to the intersection of Newland Street. From the intersection of Hamilton Avenue and Newland Street proceed northerly in Newland Street (approx. 1200 feet) with a 42" storm drain and appurtenances to St. Augustine Drive. 2. Construction of a 24" storm drain and appurtenances which will tie into tiie existing manhole in the intersection of Hamilton Avenue and Newland Street. This storm drain will run south in Newland Street and tie into a section of 24" storm drain of undetermined length that is proposed to run under the County's DO1 Flood Control Channel in Newland Street. It is proposed that this section of storm drain be constructed by the County in conjunction with their demolition and reconstruction of the DO1 culvert crossing Newland Street. The 24" storm drain and appurtenances will be continued south in Newland Street to Edison Way. (NOTE: See Attachment "A" - Project Location Map.) 3. Construction of a concrete deflection wall in the DO1 Flood Control Channel opposite the Newland Pump Station. The Orange County E.M.A. must approve the design and construction of this portion of the project. The scope of work for which proposals are being solicited includes the followiny tasks: 1. Investigate drainage patterns of properties to determine where inlets witl be required or if additional facilities are needed to provide drainage to the area. 2. Contact utilities, public and private, to determine location of all substructures. 5. Prepare plans, specifications and cost estimates for construction of the project. 6. Furnish t300,000 of errors and omissions insurance and all other insurances as noted in attached sample Consultant Contract (Attachment "B".) NOTE: All printing expenditures required for the completion of above work shall be included in the consultant's "not to exceed" quote. . Proposals for this project are to be submitted to my attention by February 20, 1984, with the notation "Newland Storm Drain" on the envelope. Each proposal should include the following information: 1. A list of similar projects. 2. A statement of your understanding of the scope of the work. 3. A list of personnel, including the proposed project manager who will be assigned to work on this project. 4. A brief outline of how you propose to handle this project, if awarded to your firm, and a time of completion for this project. 5. Your fee based on an hourly rate. A maximum not -to -exceed fee should also be specified. Certain consultants may be interviewed prior to the final selection. Enclosed for your information is a copy of the City's Standard Consultant Contract (Attachment "B") and a Certificate of Insurance form (Attachment "C"). This sample contract and insurance form are for your use in developing a proposal. Standard Form 254, "Architect -Engineer and Related Services Questionnaire" is provided for that purpose. Interested A-E firms (including new, small, and/or minority firms) should complete and file SF 254's with each Federal agency and with appropriate regional or district offices for which the A-E is qualified to perform services. The agency head for each -proposed project shall evaluate these qualification resumes, together with any her performance data on file or requested by the agency, in relation to the ,,ropowd project. The SF 254 may be used as a basis for selecting firms for discussions, or for screening firms preliminary to inviting submission of addi- tional information. "Parent Company" is that firm, company, corporation, association or con- glomerate which is the major stockholder or highest tier owner of the firm completing this questionnaire, i.e. Firm A is owned by Firm B which is, in turn, a subsidiary of Corporation C. The "parent company" of Firm A is Corporation C. Orincipale" are those individuals in a firm who possess legal responsibility )r its management. They may be owners, partners, corporate officers, associates, administrators, etc. "Dlsciplini', as used in this questionnaire, refers to the primary technological capability of individuals in the responding firm. Possession of an academic degree, professional registration, certification, or extensive experience in a particular field of practice normally reflects an individual's primary technical discipline. "Joint Venture" is a collaborative undertaking by two or more firms or individuals for which the participants are both jointly and individually responsible. "Consultant", as used in this questionnaire, is a highly specialized individual or firm having significant input and responsibility for certain aspects of a project and possessing unusual or unique capabilities for assuring success of the finished work. If firm has one or more capabilities not included on fist, insert same in blank spaces at end of list and show numbers in question 10 on the form. In such cases, the filled -in listing must accompany the complete SF 254 when submitted to the Federal agencies. . Using the "Experience Profile Code" numbers in the same sequence as ,tered in item 10, give details of at least one recent (within last five years) representative project for each code number, up to a maximum of thirty (30) separate projects, or portions of projects, for which firm was responsible. (Project examples may be used more than once to illustrate different services rendered on the same job. Example: a dining hall may be part of an auditorium or educational facility.) Firms which select less than thirty "profile codes" may list two or more project examples (to illustrate specialization) for each code number so long as total of all project examples does not exceed thirty (30). After each code number in question 11. show: (a) whether firm was "P," the prime professional, or "C." a consultant or "JV," part of a joint venture on that particular project (New firms, in existence less than five (5) years may use the symbol "IE" to indicate "Individual Experience" as opposed to firm experi- ence.); (b) provide name and location of the specific project which typifies firm's (or individuals) performance under that code category; (c) give name 'and address of the owner of that project (if government agency indicate re- sponsible office), (d) show the estimated construction cost (or other applicable Standard Form 254 General Services Administration, Washington, D. Additional data, brochures, photos, etc. should not accompany this form unless specifically requested. NEW FIRMS (not reorganized or recently -amalgamated firms) are eligible and encouraged to seek work from the Federal Government in connection with performance of projects for which they are qualified. Such firms are encouraged to complete and submit Standard Form 254 to appropriate agencies. Ques- tions on the form dealing with personnel or experience may be answered by citing expertence and capabilities of Individuals in the firm, based on performance and responsibility while in the employ of others. In so doing, notation of this fact should be made on the form. In question 9, write In "N/A" to indicate "not applicable" for those years prior to firm's organization. RI= M ENDATIONS : 1. Approve the selection of Keith and Associates to prepare plans, specifications, and cost estimates for the construction of storm drain improvements adjacent to Newland Street. 2. Establish a design budget of $17,500 (this will include consultant agreement and miscellaneous costs as required). 3. Authorize the Mayor and City Clerk to execute the attached consultant agreement with Keith & Associates for a fee not to exceed $16,000.00. ANALYSIS: The approved Master Plan of Drainage for the City specifically addresses the need for additional storm drain facilities in the vicinity of Newland Street and Hamilton Avenue. The construction of a 60 inch storm drain fran the Newland pump station northerly to Hamilton Avenue, then westerly in Hamilton to the intersection of Newland Street, is essential. Secondly, fran the intersection of Hamilton Avenue and Newland Street, a 42 inch storm drain must be installed northerly to St. Augustine Drive. A third improvement will be the installation of a 24 inch storm drain line in Newland Street frcan an existing manhole at the intersection of Hamilton Avenue and Newland Street south to D01 County channel. Plans, specifications and cost estimates for these improvements have not been prepared and, therefore, pursuant to Chapter 3.03, "Professional Services" of the Municipal Code, requests were solicited frcrn qualified engineering firms to prepare the construction drawings. Requests were received on February 20, 1984. Staff reviewed each of the proposals received and recommends the selection of Keith and Associates. FUNDING SOURCE: Cost of Plans & Specifications $16,000 Miscellaneous Costs: 1,500 Total: $17,500 Revenue Source: Funds are budgeted for this project in Drainage District Budget Account #826150 (Newland Storm Drain). ALTERNATIVE ACTIONS: Deny approval of Keith and Associates and direct staff on how to proceed with these essential master planned storm drain improvements.
