WHEREAS, the CITY OF HUNTINGTON BEACH desires to engage the service- of an engineering consultant to prepare plans, specifications and Cost estiµAtes for the Newland Storm Drain, CC-615 ,,nd WHEREAS, CONSULTANT has been selected to perform said services; NOW, THEREFORE, it is -,greed by CITY and CONSULTANT -as follows: 1. WORK STATEMENT CONSULTANT shall prov--de all of the engineering services (hereinafter referred to ac "PROJECT") described in the document enti.tl ed "Request for proposal; N-w.la..nd Storm Dian" (hereinafter referredto as Exhibit "A"), as supplemented and amended by the letter from Keith and Associates, dat:;d February 13, 1984, entitled "Newl aid storm Drain`.' (hereinafter referred L_7 as Exhibit "B"), each document hereby incorporated into this Agreement by this reference. Said services shall include, but not be l'mited to surveys, investigations, consultations, and advice, preparation of detail design, construction plans-, qL+.n.t ties and costs, preparation of special provisions and any other miscellaneous x l ' h engineering services required to permit CITY to advertise for 'oids for construction of PROJECT. CONSULTANT shall attend and. assist in all coordination meetings. CONSULTANT shall. designate a registered civil engineer who shall represent it and be its sole contact and agent in ail consultations with CITY during fulfillment of the terms of this Agreement. 2. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS COT'.;ULTANT agreers that all original drawings, reports, both field and office notes, calculations, maps and other_ docu- ments, shall be turned over to CITY upon. any termination. of PROJECT. 3. INDEMNIFICATION, DEFENSE, HOLD HARMLESS CONSULTANT hereby agrees to defend, indemnify and hold harmless CITY, its officers, agents and employees, from z:.nd against any and all liability, damages, casts, losses, claims and expenses, however caused, resulting directly or indirectly from or connected with CONSULTANT"s performance of this Agreement (including, but not li,ited -o such liability, cost, damage, loss, claim, or expense arising from _ae death or in)ury to an agent or employee o E CONSULTANT, subcontractor, or .�f CITY or damage to the property of CONSULTANT, subcontractor, or of CITY or of any agent or employee of CONSULTANT, subcontractor, or of CITY) , regardless of the active or passive negligence of CITY, except where such liability, damages, costs, losses, claims or expenses are ,aused .solely by the negligent or wrongful acts of CITY or any of its 2 agents or employees including negligent omissions or commissions of CITY, its agent -"or employees, in connection with the general supervision or direction of the work to be performed hereunder. 4 WORKER'S M PENSATION CONSULTANT shall comply with all of the provisions of the Worker's Compensation Insurance and Safety Acts of the St-=te of California, the applicable provisions of Division 4 and 5 of the Califvrn*,.a Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable, and shall indemnify, defend and hold =iarmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments, of every nature and description, including attorney's fee! and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason, of any work to be performed by CONSULTANT under this Agreement. 5. INSURANCE In addition to the Worker's Compensation Insurance and CONSULTANT's Agreement to indemnify CITY, CONSULTANT shall furnish to CITY and maintain in force until the completion of PROJECT a policy of general: liability insurance in which CITY is named as an additional insured. The policy shall indemnify CITY, its officers and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with PROJECT. The policy shall provide coverage for combined single .limit bodily injury and/or property damage of at least t300.,000 per occurrence. CONSULTANT shall also obtain errors and omissions :3 t _insurance coverage of at least $300,000. Such policies of :insurance shall specifically providethat any other insurance coverage which may be applicable to the loss shall be (Teemed excess coverage and CONSULTANT's insurance shall be primary. A certificate of all such insurance policies required by this Agreement shall be delivered to the City Attorney prior to the commencement of any work and shall be approved by her in writing. No such insurance shall be cancelled or modified without thirty (30) days prior written notice to CITY. 6 INDEPENDENT CONTRACTOR CONSULTANT is, and sr be, acting at all times in the performance of this Agreement as an independent contractor. CONSULTANT shall secure at its expense, and bp responsible for any and all pacymenx4s of all taxes, soci,�L security, state disability insurance compensation, unemployment c;,mpensacion and other pay- roll deductions for CONSULTANT and its offi�:ers, agents and employees and all. business 'Licenses, if any, in connActiori with the services to be performed hereunder. 7. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT ,in connection with the work of this Agreement. 8. PROVISION FOR PAYMENT In )nsideration of the performance of the above, described engineering services, CITY agrees to pay CONSULTANT a, fee according to the schedule of hourly rates set out in E :hibit "B"' payable monthly based upon the amount of work performed as determined by CITY. Total payment shall not exceed sixteen thousand' dollars (t16,000). 4 g . EXTRA WORK In the event of authorization, in writing by the City Engineer of changes from the work as indicated in Exhibit "A" or for oLler written permission authorizing additional work not contemplated herein, additional compensation shall he allowed for such extra work, so long as the prior wri+-ten approval of CITY is obtained. 10. TERMINATION OF CONTRACT All work shall be ;lone in a good and workinanlike manner. CITY may terminate CONSULIANT's services hereunder at any time with or without cause, cad whether or not PROJECT is fully complete. Any termination and any special instructions hereunder from CITY shall be made through the City Engineer, and in writing, which may be delivered in person to CONSULTANT or mailed through the normal course of mail to its how -established business address. In the event this Agreement is terminated, all drawings, designs, specifications and appurtenant data may be used by CITY. 11 DURATION OF CONTRACT CONSULTANT agrees to complete the PROJECT within four (4) ,aonths of the date of execution of this Agreement. 12.- SUBCONTRACTORS This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated to any person or entity without the consent of CITY. 13. ADDITIONAL PROVISIONS CONSULTANT a5rees that no regular employee of CITY shall be employed by its firm duzing the times that this Agreement is in effect. Establish a deign budget of $17,50G (this will include consultant agreement and miscellaneous costs as required). 3. Authorize the tiayor and City Clerk to execute the attached consultant agreement with Keith & Associates for a fee not to exceed $16.000.00. ANALYSIS: t The approved ;Master Plan of Drainage for the City s e-cifically addresses the need for additional storm drain facilities in the vicinity of Newland Street and Hamilton Avenue. The construction of a 60 inch storm drain from the Newland pump station northerly to Hamilton Avenue, then westerly in Hamilton to the intersection of Newland Street, is essential. Secondly, frcm the intersection of Hamilton Avenue and Newland Street, a 42 inch storm drain imst be installed northerly to St. Aum_, Stine Drime. A.third improveTent will be the installation of a 24 inch storm drain line in Newland Street from an existing manhole at the intersection of Hamilton Avenue and Newlc d. Street south to D01 County channel. Plans, specifications and cost estimates for these improvewmts have not been prepared and, therefore, pursuant to Chapter 3.03, "Professional Services" of the Code, requests were solicited from qualified engineering firms to prepare the construction drawings. llequests were received on February 20, 1984. Staff reviewed each of the proposals received and reommends the selection of Keith and Associates.
