WITNESSETH: WHEREAS, the Congress of the United States hart in the Federal -Aid Highway Act of 1968 declared it to be in the national interest for Federal Furds to be expanded for a "TOPICS" pregrrim which consists of making traffic operations improvements on a aystomati.�- basis in accordance with ar areawide plan over a network of arterial and other major streets '..v:thin urban are&s; and WHEREAS, ;he Legislaturo of the State of California has onacted Chapter 1141 of the Statutes of 1780, by which the federal funds authorixod may be made available for use on county highways, city atreets, and state highways to reduce traff is congestion and to facilitate the flow of traffic in urban rreas in accordance with the intent of the federal act; and WHEREAS, there exists a co. -,polling need for traffic oporatior, improve:nenta on existing streets within the boundaries of LOCAL AGENCY; and WHIEREAS, LOCAL AGENCY and STATE therofore desire to make use of such TOPICS funds as may be made t<vaiiable within the jurisdictional boundaries of said LOCAL AGENCY; and WHEREAS, before Federal -aid will be made available for a TOPICS program, LOCAL ► AGENCY and STATE are required to enter into an agreement with respect to the preparation of an area -wide TOPICS plan and with respect to the conaruetion, maintenance and evaluation of such TOPICS improvement projects ab may be financed in part with fede, al TOPICS funds. I �� TOPICS AGREEMENT ARTICLE I — CONDITIONS 1. As a condition for Federal "TOPICS" Funds participation in an Areawide "TOPICS" Plan and Study RepottL or in a TOPICS improvement LOCAL AGENCY shall prepare a general plLn of highway improvements on local roads and streets and State Highways within the bwund- cries of the urban area designated by STATE and approved by the U.S. Bureau of Public Roads based upon a continuing comprehensive transportation planning process meeting the requirements of Section 134 of Title 23, United States Code. 2. Any such transportation planning process within an urban area of over 50,000 popu- le+tiot or which will soon be over 50,000 population shall be conducted in substantial conformance with Bureau of Public Roads Policy and Procedure Memorandum .50-9 and any such 'Transportation planning process with a smaller urban area shall conform substantially with BPR Instructional Memorandum 50-3-69. The U.S. Bureau of Public Roads will determine which category applies to an urban area and E1"An will furnish LOCAL AGENCY with copies of the applicable Pro- cedural or Instructional Nfemorwndum. 3. Except for those functions specified in PPhl 21-18 TOPICS finds may° not participate in LOCAL AGENCY expenditures for t-he continuing comprehensive transportation planning process nor in the preparation of the general plan. When approved by the BPR and agreed between STATE and LOCAL AGENCY icderal highway planning funds may participate in the cost of such planning. Federal TOPICS funds may participate only in the areawide TOPICS plan and study report or in TOPICS improvement projact~s as provided hereit,. 4. Federal funds may participate only in work which haE been officially programmed to and approved by the U.S. Bureau of Public Roads in advance of it3 performance. AI'TICLE II — AREAWIDE TOPICS PLAN' AND STUDY REPORT 1. LOCAL AGENCY shall with or without federal -aid prepare or arrange fcr the prepa- ration of an Areawide TOPICS Plan and Study Report conforming to the provisions of PPAI 21-15 and this agreement. The area to be covered, the ostimat.ed cost and the inethod of financing are Get forth in the attached Exhibit "B". 2. The unit, designated in Exhibit "B" will serve as s COORDINATING AGENT to represent LOCAL AGENCY in transactions with STATE describers herein as being the responsi- hility of COORDINATING AGENT. 3. COORDINATING AGEIsT will be responsible for coord;natir,g tho following operations ' within the boundaries of LOCAL AGENCY and where applicable wish similar operations in 1 jurisdictions contiguous to LOCAL AGENCY. (n) the selection of it Type I: Federal-nid primary system, (b) the conduct of comprehensive traffic engineering studies, (.c) :he preparation of a general plan of highway improvements, (d) the preparation of an Areas: ide TOPICS Clan and Study Report. (e) the selection of TOPICS IMPROVEMENTS, and (f) the d,_AP mineion of TOPICS 1 IMPROVEMENT priorities. PPM 21.18 is to he furniP::pd by LOCAL AGENCY, or by a consultant under nontrant to or :n agreement with LOCAL AGENCY or its agent. 5. When a portirn of the Aroswide TOPICS P3dn pnd Study Report is to be done by a consultant with federal -aid, the agreement or contra;_-t with tho consultant shall be subject ;,o Article VI, Paragraph 3, of this agreement. E. Capon completion of the General Plan of Highway Improvements, the Areawide TOPICS Plan and Study Report, The Primary Type 1I System and the list of traffic oporation impro-ement priorities, they shall be adopted by the local governing body end submitted to STATE in sap- t; tuplieate with the following: (a) With respect to urban areas in excess of 50,000 popu►ativi a statement by policy comrnit,es of the local Urban Transportation PIanning Study allc:eting to comparability of tho proposed Type 11 System o,nd improvement program with overall urban planning. (b) Assurance that the TOPICS plan and Typc II System has bE,on coordinated with con- tiguous jurisdictions whoro applicable and that the recommended plan of development nas been coordinated with plans for local public or mass transportation services with possible plans for i fringe parking, and with airport access planning. (c) Assurrcnce that whether or not federal -aid is g:a>>ted for the purpose, LOCAL AGENCY intends to implement the adopted plan of traffic operation improvements within a reaclonable period to tl:e extent that same may be done with available funds. T. STATE will review submitted material for conformance with federal-equiremenis and obtain approval of the U.S. Bureau of Public Roads. S. LOCAL .AGENCY shall retain approved T01,71CS plan, report, and rll supplemental data fcr STATE or F,-deral inspection for a period of three years following final pay►ner.t of any federal fui►ds which nav participate in the TOPICS plan or improvementr, ;ncluded in the plan. I G 7 i TOPICS AGREEMt;NT ARTICLE IV — RIGHTS OF WAY 1. No contract for the construction of a TOPICS IMPROVEMENT shall boy awarded until the necessary rights of way have been sscured. Prior to the advertising of a protect on to local titreet, LOCAL AGENCY shall certify and upon request shell furnish STATE with evidence that necessary rights of way are available for construction purlx►ses or will be available by the time of contract award. 2. LOCAL AGENCY agrees to hold STATE harmless from any liability which may result in the evont the right of way is not clear as certified. The furnishing of right of way as r,rovided (or herein included, in addition to all real property required for the improvement, free and clear of obstructions and encumbrances, the payment of damages to real propsrty not actually taken but injuriously affected by the proposed improvement. LOCAL AGENCY shall pay from i6 funds any costs which arise out of delays to the contractor becaus3 utility facilities have not been removed or relocated, or because rights of way have riot been !:ride available to the contractor for the orderly prosecution of the work. 3. Subject to STATE approval and such supervision over LOCAL AGENCY's right of way acquisition procedures as STATE: may determine is necessary, LOCAL AGENCY may claim reimbursement from Federal fonds for expen� ituros to purcht.so rights of way included in an approved program. 4. When any portion of a LOCAL AGENCY project is performed by STATE, charges therefor shall include an assessment on direct labor costs in accordarce with Section 8755.1 of the Sure Adminiavative Manual. The portion of such charges not financed with Federal funds shall be paid from funds] of FOCAL AGENCY. 8. Deposits of LOCAL AGENCY with STATE determined to be in excess of project needs will bc refunded. ARTICLE YI -- MISCELLANEOUS PROVISIONS 1. This agreement. shall have no force or effect unless and until its provisiono and the projects have hoer, approved by the U.S. Bureau of Public Roada. 2. The Congress of the United States, the Legislature of the State of California, and the Governor of the Stato of California, each within their respective jurisdiction, havo pro4cribed certain employment practices with respect to contract and other work financed w;th Federal or State funds. LOCAL AGENCY shali insure that work performed under this; agreement is done in conformance with rules and iogtilaticns embodying such requirements where they are applicable. Any agreement or �iervice contract entered into by a LOCAL AGENCY for the performance of work connected with this agreement shall incorporate Exhibit "A" attachod hereto. or such other provisions as STATE or U.S. Buru-au of Public Roads snay prescribes. 3. (a) Neither STATE not any officer or employee thereof shall be responsible, for any damage or livability occurring by reason of anything done or omitted to be done by a LOCAL AGENCY under or in connection with any work, authority or jurisdiction delegated to it LOCAL AGENCY under th'sS agreement. It is also understood and agreed that, pursuant to Government Code Section 865.4, LOCAL AGENCY shall fully indemnify and hold STATE harmless from r.ny liability imposed for injury (its defined by Government Code Section 810.8) occurring by reLinon of anything done or omitted to be done by LOCAL. AGENCY under or in connection with Lny work, authority or jurisdiction delegated to LOCAL:, AGENCY undor this agreement. (b) Neither LOCAL AGENCY nor any officer or employee thereof, shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by STATE tinder or in connection with any work, authority or jurisdiction not delegated to LOCAL AGENCY under this agreement. It is also understood and agreed that, pursuant to Governmea Code Section 895.4, :STATE shall fully indemnify and hold LOCAL AGENCY harmless from any liability im- posed for injury (as defined by Governmen( Code Section. 810.8) occurring by reason of anything done or omitted to be (lure 'r;y STATE under or in connection with eny work, authority or juris- diction not delegated to LGC:j;L AGENCY under this agreement, ,. There is a need for measures to increase the capacity and safety of this street system. Box i90), Huntington Beach, California 5+2548, a political subdivision of the State of California, herein called "City", and LAMPMAN AND ASSOCIATES, a California corporation, located at 2100 East 4th Street, Santa Ana, California 92705 (Consulting Engineers engaged in the business of performing and furnishing engineering services), hereinafter called "Engineer"; WITNESSETH: WHEREAS, the City Council of the City of Huntington Beach is authorized to engage the services of a professional or technical expert on a temporary basis for the performance of necessary services for and on behalf of the City; and WHEREAS, it ;s necessary and desirable that engineering services be performed for the City in the preparation of plans, reports, and specifications for the proposed improvement of Edinger Avenue from Beach Boulevard to Golden West Street (here- inafter called "Project").; and WHEREAS, Project is the proposed modernization and inter- conn.ection of signal equipment, street widening, and land- scaping described in the TOPICS Project Report for Edinger Avenue dated September 5, 1972, as approved by the State Divi- sion of Highways and Federal Highway Administration; and WHEREAS, Engineer is qualified to prepare plans, reports, and specifications for the Project and is willing to perform ...a. s..�r�..�. ..._ .. �. .. .. .. • �1..•.. ......�_. ...... ..... .. _ .... .. ..._. _�..—•.....rr+.._...♦..�.�.AM.�r.rw..-..w�..►wrwl. Engineer shall furnish and perform the hollowing ser- vices: a. Perform all professional engineering services neces- sary to prepare contract plans covering all details neces- sary for the completion of the Project. The final plans shall be developed to meet the requirements and approval of the California State Division of Highways Standard Plans, Standard Specifications for Road and Bridge Construction, supplemental specifications, required special provisions, and special provisions currently in force for the proposed work. The drawings shall conform to the standard procedures of the State of California, Division of Highways, b. Prepare a detailed estimate of the construction cost of the 'Project. c. Coordinate all plans, designs, and specifications and all phases,of the work connected with the Project which are to be furnished or performed by the Engineer, with the City, the Division of Highways of the State of California (herein called "State"), the FHWA, and any other affected agencies, and attend neetings that may be called from time to time concerning the project. d. Furnish to the appropriate persons and agencies any revisions or supplemental data needed by such persons or agencies during and throughout the submittal and submission to the State of any plans, specifications, designs, and estimates. In the event that it begomes n3cessary for the State of California, FHWA, or- the City to make a special field inspection trip during the progress of the design or during construction, it shall be the duty of the Engi noter• to accompany the inspection party when requested. In addition, it shall be the duty of the Engineer to review special conditions that may arise during construction of the Project. f. Check Any shop drawings or construction drawings that may be required daring the construction of the Pro- ject. g. All negotiations required for the relocation of utilities that may require relocation. h. Furnish plans, special provisions, estimates, etc., to the State of Call i forni a, MIA, and the City as required for checking and processing. Furnish all required r.vpies of plans and specifications for bidding and construction purposes. 2. The City shall Furnish and provide the customary coop- eration to the Engineer in the course of performance by the Engineer of its obligations under this agreement. 3. Work provided for in this agreement shall be completed by February 1, 1973, unless an extension of time is granted by the city. 4. The City agrees to pay the Engineer, and the Engineer agrees to accept, as full consideration for the services rendered hereunder, the following: $22,510 which includes a 10% prof t for Engineer. I s submittal of the preliminary plans, an additional 25% upon submission of the final plans, an additional 5O upon approval of the final plans, and the final 5% of this lump sum fee upon the completion of the construction of the Project. S. The right is reserved by the City to terminate the con- tract at any time upon written notice in the event they Project is to be abandoned or indefinitely postponed, or in the case the Engineer's services, in the judgment of the City, are unsatis- factory or because of the Engineer's failure to prosecute the work with diligence or within the time limits specified; or be- cause of his disability or death. In any such case, the Engi- neer shall be paid the reasonable value of the services rendered up to the time of the termination on the basis of the payment provisions of this contract. If the services of the Engineer are terminated for fault on his part, the City may procure the c:ompie*•ion of the services or work in such manner as it deems best and shall charge to the Engineer any excess cost over that provided for in the contract or any damages the City may sustain by reason of the drefaul t. 6. All documents including tracings, drawings, estimates, reports, investigations, computations, and ideas shall be de - 'livered to and become the property of the City. 7. Engineer shall not assign, sublet, or transfer this agreement or any part thereof. C. Engineer will at all times indemnify City and hold and save City harmless from and against any and all actions or causes of action, claims, demands, liabilities, losses, damages, or expenses of whatsoever kind and nature including attorney's fees, which City may sustain or incur as a consequence of erroes or omissions in the Engineer's design of Project.
