G4927t8 ~ yE��- ' and Ter 714 753-0201 Fax71a 753-0221 REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH �® AGREEMENT FOR SERVICES 1® �0 THIS AGREEMENT is made on March 4, 1991, between Redevelopment ..i I Agency of The City of Huntinggtton Beach, whose address is 2000 Main Street, Huntington Beach, CA 92648, (hereinafter "Owner"), and David Lang and Christine Lampert, doing business as Land Lampert Architects, a Partnership whose address is 199 Technology, Suite 110, Irvine, California 92718, (hereinafter "Architect'). The Owner and the Architect agree as set forth below: I. PROJECT: Three design alternatives for the Northeast corner of Pacific Coast Highway and Main Street, comprising 18,000 square feet of retail below with a restaurant, of ice, or residential component above. Also, a preliminary layout of the parking lot at the rear of the project 11. ARCHITECT'S SERVICES A. The Architect's Basic Services consist of: 1. Schematic Design Phase: Consulting with the Owner regarding Owner's design requirements. Preparing a Schematic Design of each of the three alternatives, as well as a layout for the proposed parking lot at the rear of the project. Ill. OWNER RESPONSIBILITIES: A. Owner shall provide to the Architect and/or pay for: 1. Design requirements, program and budget. 2. All information pertaining to the site, certified survey of site including utility information, soils investigation and foundation recommendatsons, as available. 3. All studies, plans, drawings, calculations, data, and information (except those to be provided by Architect), as available. 4. Pay for all blueprintin delivery charges, travel expenses, computer plotting, mileage an long distance telephone charges, with an estimated maximum of $500.00. 5. Rendering by outside artists, if required. 6. Consultants, if desired by Owner, to estimate costs of construction. B. Owner shall give prompt written notice to the Architect should the Owner become aware of any fault or defect in the Project or non-conformance with the documents. C. Owner may appoint an individual who shall be authorized to act on behalf of Owner, with whom Architect may consult at all reasonable times, and whose instructions, requests and decisions will be binding upon the Owner. IV. COMPENSATION: A. The fees for the above services are: Schematic Design Phase 3 Alternative Designs Hourly to an estimated maximum of $8,500.00 Parking Lot Layouts Hourly to an estimated maximum of $ 500.00 Miscellaneous costs {see section III.AA $ 500.00 Total Estimated Maximum $9,500.00 B. A retainer of 10 percent is required upon execution of this agreement. C. Statements may be presented bi-monthly in proportion to the amount of work completed to date. Following is our payment schedule: 10% due at the signing of the contract; 80% due within 75 days; final 10% due within 45 days after completion. D. If extra services are requested by the Owner or in the event of any extra work created by changes in the design from the originally agreed upon contract by the Owner, or the city of Huntington Beach, the payment for the extra work shall be agreed upon by written addendum to the contract. E. In the event of any dispute or controversy between the parties concerning the interpretation, performance or breach of this agreement, whether or not litigation be commenced, the prevailing party shall be entitled to all reasonable costs and attorneys fees incurred in connection with such a dispute. Page 2 of 4 F. All bills not paid within thirty (30) days over payment schedule (see item C) will accrue interest at the maximum rate allowed by law. V. GENERAL PROVISIONS: A. All Documents, including drawings, plans and specifications, as instruments of service, are the copyrighted property of the Architect and shall not be used for any other work or project without his written permission, payment of additional compensation and indemnification of the Architect for loss or liability relating to or arising from their other use. B. The Owner agrees to limit the Architect's liability to the Owner and to all construction contractors and consultants due to the Architect's negligent act;, errors or omissions, such that the total aggregate liability of the Architect to Owner, construction contractors and consultants shall not exceed the total charges by the Architect for services rendered and invoiced or the sum of twenty-five thousand dollars ($25,000), whichever amount is less. C. In the event of termination or suspension of the work, Lang Lampert Architects shall be compensated for services rendered to the date of termination or suspension.
