THIS AGREEMENT, made and entered into this � day of

BEACH, a municipal corporation, hereinafter referred to as "CITY,"

and LOWRY & ASSOCIATES, a corporation, hereinafter referred to as
"CONSULTANT."

WHERErAS, the CITY OF. HUNTINGTON BEACH desires to en -gage the
services of an engineering consultant for the designing of plans
and specifications for structural lining portions of the Slater
Channel, and
CONSULTANT has been selected to perform said services,
NUW, THERE FORE:, it is agreed by CITY and CONSULTANT as
follows:
1. WORK STATEMENT
CONSULTANT shall provide all engineering services as

described in the document entitled Request for Proposal: C5-SC4
Flood Control Channel Lining; (hereinafter referred co as Exhibityyt.
"A") which is incorporated into this agreement by this reference.
Said engineering services (hereinafter referred to as "PROJECT")
shall include, but not be limited to surveys, investigations,
consultations and advice.

CONSULTANT shall attend and assist in all coordination

meetings. .-
4CONSULTANT shall designate a registered civil engineer
who shall represent it and be its sole contact and agent in all
consultations with CITY during fulfillment of the terms of this
agreement.
2. DISPOSITION UH PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that all original drawings, reports, Pie
both field and office notes, calculations, maps and other

documents, shall be turned over to CITY upon any termination of�
PR(;JECT.
3. INDE:MNIFICATION, DEFENSE, HGLD HARMLESS
CONSULTANT hereby agrees to detend, indemnify and hold
harnsless CITY, its officers, agents and employees, from and
against any and all liability, damages, costs, losses, claims and
expenses, However caused, resulting directly or indirectly from
or connected with CONSULTANT'S performance of this agreement
(including, but not limited to such liability, cost, damage,
loss, claim, or expense arising from the death or injury to an
agent or employee of CONSULTANT, subcontractor, or of CITY or

damage to the property of CONSULTttNT, subcontractor, or of CITY ^<'
or of any agent *r employee of CONSULTANT, subcontractor, or of
CITY), except where such liability, damages, costs, losses, claims
or expenses are caused sole?y by the negligent or wrongful

connection with the general super%!isi.on or direction of the work to
be performed hereunder.,

4. WORKERS' CUMPUNSATION
CONSULTANT shall comply with all of the provisions of

the Workers' Compensation Insurance and Safety Acts of the State

of California, the applicable previsions of Division 4 and 5 of
the California Government Code and all amendments thereto; and all
similar state or federal acts or laws applicable; and shall

indemnify, defend and hold harmless CITY from and against all
claims, demands, payments, suits, actions, proceedings and'^
judgments of every nature and description, including attorney's
fees and costs presented, brought; or recovered against CITY, for or
on account of any liability under any ot said acts which may be
incurr,:d by reason of any work to be performed by CONSULTANT under
this agreement.
5. INSURANCE
In addition to the Workers' Compensation insurance and
CONSULTANT'S agreement to indemnify CITY, CONSULTANT shall
furnish to CITY and maintain in force until the completion of
PROJECT a policy of general liability insurance in which CITY ;s

named as an additional insured. The policy shall indemnify CITY,

its officers and employees, while acting within the scope of
their duties, against any and :ill claims arising cut of or in
connection with PRUJlCT. The policy shall provide coverage in
not less than the following amounts: Combined single limit bodily
injury and/or property damage of 5300,000 per occurrence. Such

policy insurance shall specifically provide that any other
insurance coverage which may be appl i caDie to the loss shall be
deemed excess coverage and CUNSULTANT'S insurance shall be
primary. A certificate of all such insurance policies required by
this agreement shall be delivered to the City Attorney prior to the
commencement of any work and shall be approved by her in writing.
No such insurance shall be cancelled or mod i f ied without thirty
(30) days' prior written notice to CITY.
6. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting .at all times in the
performance of this agreement as an independent contractor.
CONSULTANT shall secure at its expense, and be responsible for any
and all payments of all taxes, social security, state disability
insurance compensation, unemployment compensation and other payroll
deductions for CONSULTANT
and
its
officers, agents and
employees
and all business licenses,
if
any,
in .connection with the
services
to be performed hereunder,
7. CITY STAFF ASSISTANCE
CITY shall assign a statt coordinator to wort, directly
with CONSULTANT in connection with the wort: of this agreement.
B. PROVISION FOR PAYMENT
In c^nsideration of, the performance of the above
Described engineering services, CITY agrees to pay CONSULTANT
according to the schedule of compensation found in Exhibit "Bl" but
not to exceed, the sum of nine thousand eight hundred fifty dollars
($9,850.00) payable upon acceptance of the design survey by the
CITY.

.Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions, Attaehmeu:ts:
STATEMENT OF ISSUE:
Proposals were requested from qualified civil/structural engineering con-
sultants to provide the City with a structural design for the subject channel
lining and conduct a comprehensive hydraulic analysis for the channel and
drains discharging into the channel. Proposals were received on June 20, 1983
and have been reviewed by the City staff.
RECWDIENDAT TON :
Approve the selection of Lowry & Assor?ates to prepare the necessary struc-
tural design and hydraulic analysis ,..%- the subject project, and authorize
the Mayor and City Council to executz! the agreement and establish a design
budget of $9,850.00.
ANALYSIS:
This section of flood control channel requires lining to be improved to
its ultimate design. Pursuant to Chapter 3.03 "Professional Services"of
the Municipal Code, engineering services for performing a structural design
and hydraulic analysis were solicited, and proposals were received from
three engineering firms. Based on the estimate of the City staff, cost for
this work and the proposals received, Lowry & Associates is being recommended
for selection.
FUNDING SOURCE:
Account No. 936130 - Slater Flood Control Chanel Lining
ALTERNATIVE ACTIONS:
Y. Deny approval of Lowry & Associates and select one of the other firms
having submitted a proposal.
2. Deny approval of all firms who submitted a proposal and solicit addi-
tional proposals.
3. Take alternate direction from the Council.
