Cook, Director of Public Work Subject: Parkway License Agreement for Parcel Statement of Issue, Recommendation, Analysis, Funding Source, Alternative Actions, Attachments: STATEMENT OF ISSUE: In order for Mansion Hill to provide and maintain landscaping in conjunction with Parcel 1 of Parcel Map 83-562 (portion of Tentative Tract 11716) within public right-of-way, a Parkway License Agreement must be executed between the developer and the City. RECOMMENDATION: Execute the Parkway License Agreement between the City and Mansion Hill . ANALYSIS: A condition of approval for Tentative Tract 11417 (The Ranch Development) required Mansion Hill to enter into an agreement with the City for maintenance of lanscaping and other improvements within the public right-of-way of Huntington Street, Clay Avenue and Main Street. This allows the developer to integrate his on-site landscape scheme into the public right-of-way resulting in a more aesthetically pleasing landscape appearance. FUNDING SOURCE: None required. " WHEREAS, LICENSEE is the owner of that certain real property located in the City of Huntington Beach, County of Orange, State of California, hereinafter referred to as "PROPERTY, " more particularly described as follows: 1 ) Parcel 1 of Parcel Map No. 83-562 in the City of Huntington Beach, County of Orange, State of California, as shown on the Map filed in Book 183, Pages 44 to 46, inclusive, of Parcel Maps in the office of the County Recorder of Orange County, California; and WHEREAS, in connection with the development of the PROPERTY, LICENSEE will be required by the Department of Public Works of the CITY to provide landscaping and other improvements in public rights-of-way in accordance with plans and specifications This document is solely for the official business of the City of Huntin--ton Beach, as contem- plated under Government Code 1 . Sec. 6103 and should be recorded free of charge. I submitted by LICENSEE and approved by the CITY. Such improvements are located in the portion of the public rights-of-way adjacent to the PROPERTY (hereinafter referred to as "IMPROVEMENT AREA" ) more particularly described in the attached Exhibit A which is incor- porated herein by this reference; and WHEREAS, LICENSEE and the CITY desire to specifically delin- eate their respective obligations with respect to the maintenance of the improvements in IMPROVEMENT AREA, THEREFORE, the parties covenant and agree as follows : 1 . LICENSE CITY grants to LICENSEE a non-exclusive license in, to, over and across IMPROVEMENT AREA for purposes of installation, construction, maintenance, repair and replacement of landscaping improvements . This license shall be perpetual provided that CITY may, at any time, terminate this license upon thirty (30 ) days written notice to LICENSEE. 2. MAINTENANCE OF IMPROVEMENT AREA LICENSEE, its successor and assigns shall maintain the improvements within IMPROVEMENT AREA in good and satisfactory condition. Maintenance shall include, but shall not be limited to, watering, repairing and adjusting irrigation systems when failures occur, fertilizing, cultivating, edging, performing general planting and trimming or other corrective gardening, spraying grass and plants with both insecticides and herbicides, and generally keeping the landscaped area in a clean, safe and attractive condition, taking into consideration normal growth of the landscape material and a continuation of the aesthetic quality 2 . of the area. The growth of all plant materials shall be controlled so that none protrudes into walkways , bikeways or streets so as to obstruct or hinder walking, bicycling or driving traffic. Water, soil or other materials shall not be allowed to flow or spray across or onto any walkway, bikeway or street area from the edge of the curb/gutter to the center of the street as designated on Exhibit A. IMPROVEMENT AREA shall be maintained free of weeds, debris and harmful insects at all times . All such gardening and maintenance practices so performed shall conform to the best maintenance practices and to the Arboricultural and Landscape Standards and Specifications issued by the Department of Public Works of CITY. 3 . WALKWAYS AND BIKEWAYS CITY shall be responsible for maintenance, repair and replacement as necessary of the walkways and bikeways in IMPROVEMENT AREA. Notwithstanding the foregoing, if any damage is caused to the walkways , bikeways , curbs , streets or utilities in IMPROVEMENT as a result of the installation, maintenance, repair and replacement of landscaping improvements in IMPROVEMENT AREA by LICENSEE, its successors and assigns, then LICENSEE, its successors and assigns shall repair the same at no expense to CITY. 4. ENFORCEMENT BY CITY If LICENSEE, its successors and assigns, do not maintain IMPROVEMENT AREA as required hereunder , CITY shall cause such maintenance to be performed adequately and all costs incurred therein by CITY shall be assessed to and billed directly to LICENSEE, its successors and assigns . Payment shall be due within ten (10) days after receipt of the billing from CITY. 3 . 5 . MODIFICATIONS LICENSEE and its successors and assigns shall make no material change in the placement or type of landscaping improve- ments utilized within IMPROVEMENT AREA or in the design of IMPROVEMENT AREA without the prior written consent of CITY. 6. ASSOCIATION The parties acknowledge that LICENSEE shall organize a nonprofit mutual benefit corporation (hereinafter referred to as "ASSOCIATION" ) consisting of the owners of dwelling units within PROPERTY to assume responsibility for the maintenance of IMPROVEMENT AREA. The ASSOCIATION shall be deemed to have assumed LICENSEE ' s obligations hereunder upon occurrence of all of the following events: a) Recordation of a Declaration of Covenants, Condi- tions and Restrictions and Reservation of Easements applicable to the PROPERTY in form acceptable to CITY. b) Filing of the Articles of Incorporation of the ASSOCIATION. c) The first close of escrow for the sale by LICENSEE of a lot in PROPERTY improved with a dwelling unit . Upon occurrence of such events, LICENSEE shall notify CITY, and CITY will look solely to the ASSOCIATION for performance of LICENSEE ' s obligations hereunder and release LICENSEE of its obligations hereunder. 7 . INSURANCE At all times during which this License is in force, LICENSEE, its successors and assigns shall provide comprehensive public liability insurance in an amount not less than $300,000 4. combined single limit coverage for bodily injury and property damage and naming CITY, its officers and employees (when acting as such) as additional insureds . 8 . INDEMNIFICATION LICENSEE shall protect, defend, indemnify and hold harm- less CITY, its officers and employees , against loss , damage, expenses or liability by reason of any suits, claims, demands, or judgments arising as a result of a negligent or willful act of LICENSEE or its employees and agents, including independent contractors employed by it, arising out of or in consequence of the performance of LICENSEE ' s obligations hereunder . 9 . NONDISCRIMINATION In the performance of this Agreement and the use of the IMPROVEMENT AREA, LICENSEE, its successors and assigns, shall not engage in or permit its agents to engage in discrimination against any person because of race, religious creed, color , national origin, ancestry, physical handicap, medical condition, marital status or sex . 10 . BINDING EFFECT This License is appurtenant to PROPERTY and may not be assigned, except in connection with a transfer of PROPERTY, any portion thereof or interest therein. Notwithstanding the fore- going, during such time as ASSOCIATION shall be responsible for LICENSEE ' s obligations hereunder, no individual member of ASSOCIATION shall be personally liable for any such obligations . During such time, CITY shall look solely to ASSOCIATION for performance of LICENSEE' s obligations hereunder . 5 . 11 . ATTORNEY' S FEES If any action or proceeding is instituted to enforce or interpret the terms of this Agreement, the prevailing party in such action or proceeding shall be entitled to recover from the other party its costs and expenses of litigation including without limitation reasonable attorneys ' fees. 12 . MISCELLANEOUS This Agreement contains the entire agreement between the parties relating to the rights herein granted and the obligations herein assumed. This Agreement supersedes all prior or contempo- raneous oral or written representations concerning the subject matter hereof . No amendment of this Agreement shall be effective except a modification in writing signed by CITY and LICENSEE. This Agreement shall be recorded in the Office of the Orange County Recorder . LICENSE CITY grants to LICENSEE a non-exclusive license in, to, over and across IMPROVEMENT AREA for purposes of installation, construction, maintenance, repair and replacement of landscaping improvements. This license shall be perpetual provided that CITY may, at any time, terminate this license upon thirty (30) days written notice to LICENSEE. 2. MAINTENANCE OF IMPROVEMENT AREA LICENSEE, its successor and assigns shall maintain the improvements within IMPROVEMENT AREA in good and satisfactory condition. Maintenance shall include, but shall not be limited to, watering, repairing and adjusting irrigation systems when failures occur, fertilizing, cultivating, edging, performing general planting and trimming or other corrective gardening, spraying grass and plants with both insecticides and herbicides, and generally keeping the landscaped area in a clean, safe and attractive condition, taking into consideration normal growth of the landscape material and a continuation of the aesthetic quality 2 . 84-337163 of , the area. Aegrowth of all plant opterials shall be controlled so that none protrudes into walkways , bikeways or streets so as to obstruct or hinder walking, bicycling or driving traffic. Water, soil or other materials shall not be allowed to flow or spray across or onto any walkway, bikeway or street area from the edge of the curb/gutter to the center of the street as designated on Exhibit A. IMPROVEMENT AREA shall be maintained free of weeds , debris and harmful insects at all times . All such gardening and maintenance practices so performed shall conform to the best maintenance practices and to the Arboricultural and Landscape Standards and Specifications issued by the Department of Public Works of CITY. 3 . WALKWAYS AND BIKEWAYS CITY shall be responsible for maintenance, repair and replacement as necessary of the walkways and bikeways in IMPROVEMENT AREA. Notwithstanding the foregoing, if any damage is caused to the walkways , bikeways, curbs , streets or utilities in IMPROVEMENT as a result of the installation, maintenance, repair and replacement of landscaping improvements in IMPROVEMENT AREA by LICENSEE, its successors and assigns, then LICENSEE, its successors and assigns shall repair the same at no expense to CITY. 4. ENFORCEMENT BY CITY If LICENSEE, its successors and assigns, do not maintain IMPROVEMENT AREA as required hereunder, CITY shall cause such maintenance to be performed adequately and all costs incurred therein by CITY shall be assessed to and billed directly to LICENSEE, its successors and assigns . Payment shall be due within ten (10) days after receipt of the billing from CITY. 3 . 84-337163% 5 . MODIFICATIONS LICENSEE and its successors and assigns shall make no material change in the placement or type of landscaping improve- ments utilized within IMPROVEMENT AREA or in the design of IMPROVEMENT AREA without the prior written consent of CITY. 6. ASSOCIATION The parties acknowledge that LICENSEE shall organize a nonprofit mutual benefit corporation (hereinafter referred to as "ASSOCIATION" ) consisting of the owners of dwelling units within PROPERTY to assume responsibility for the maintenance of IMPROVEMENT AREA. The ASSOCIATION shall be deemed to have assumed LICENSEE' s obligations hereunder upon occurrence of all of the following events: a) Recordation of a Declaration of Covenants, Condi- tions and Restrictions and Reservation of Easements applicable to the PROPERTY in form acceptable to CITY. b) Filing of the Articles of Incorporation of the ASSOCIATION. c ) The first close of escrow for the sale by LICENSEE of a lot in PROPERTY improved with a dwelling unit . Upon occurrence of such events , LICENSEE shall notify CITY, and CITY will look solely to the ASSOCIATION for performance of LICENSEE ' s obligations hereunder and release LICENSEE of its obligations hereunder . 7 . INSURANCE At all times during which this License is in force, LICENSEE, its successors and assigns shall provide comprehensive public liability insurance in an amount not less than $300,000 4. 84-3371630 combined single limit coverage for bodily injury and property damage and naming CITY, its officers and employees (when acting as such) as additional insureds . 8 . INDEMNIFICATION LICENSEE shall protect, defend, indemnify and hold harm- less CITY, its officers and employees , against loss, damage, expenses or liability by reason of any suits, claims , demands , or judgments arising as a result of a negligent or willful act of LICENSEE or its employees and agents, including independent contractors employed by it, arising out of or in consequence of the performance of LICENSEE ' s obligations hereunder . 9 . NONDISCRIMINATION In the performance of this Agreement and the use of the IMPROVEMENT AREA, LICENSEE, its successors and assigns , shall not engage in or permit its agents to engage in discrimination against any person because of race, religious creed, color , national origin, ancestry, physical handicap, medical condition, marital status or sex. 10. BINDING EFFECT This License is appurtenant to PROPERTY and may not be assigned, except in connection with a transfer of PROPERTY, any portion thereof or interest therein. Notwithstanding the fore- going, during such time as ASSOCIATION shall be responsible for LICENSEE ' s obligations hereunder, no individual member of ASSOCIATION shall be personally liable for any such obligations . During such time, CITY shall look solely to ASSOCIATION for performance of LICENSEE' s obligations hereunder . 5 . ` 84-337163% 11 . ATTORNEY' S FEES If any action or proceeding is instituted to enforce or interpret the terms of this Agreement, the prevailing party in such action or proceeding shall be entitled to recover from the other party its costs and expenses of litigation including without limitation reasonable attorneys ' fees . 12 . MISCELLANEOUS This Agreement contains the entire agreement between the parties relating to the rights herein granted and the obligations herein assumed. This Agreement supersedes all prior or contempo- raneous oral or written representations concerning the subject matter hereof . No amendment of this Agreement shall be effective except a modification in writing signed by CITY and LICENSEE. This Agreement shall be recorded in the Office of the Orange County Recorder .
