Statement of Issue: Staff is requesting that the City Council approve an agreement with
McDonnell Douglas Corporation and McDonnell Douglas Realty Company, Inc. to reimburse
McDonnell Douglas the cost of designing a system of water lines to serve a new water well
located at Rancho Road and Astronautics Drive.
Funding Source: $27,500 budgeted from the Water Fund Budget in Account No.
E-EW-PW-921-3--90-00.
Recommended Action: 1. Authorize the appropriation of $27,500 from the Water Fund
Budget.
2. Authorize the Mayor and City Clerk to execute reimbursement agreement for the design
of the water lines to serve a new water well at Rancho Road and Astronautics Drive.
Alternative Action(s): Do not approve reimbursement agreement and direct staff to
investigate "Case 11" conditions of approval for providing water services to the Sharp site.
Analysis: On October 11, 1995, the Zoning Administrator for the City conditionally
approved McDonnell Douglas' application for Tentative Parcel Map No. 95-136 subdividing
a 42.16 acre parcel of property into one 23.36 acre parcel for industrial use and a remainder \
parcel of 18.80 acres. On the same date, the Zoning Administrator approved the application

RRRQUEST FOR COUNCIL ACTS
MEETING DATE: April 1, 1996 DEPARTMENT ID NUMBER:
of Sharp Electronics Corporation for Conditional Use Permit No. 95-63 to allow construction
of a new 538,859 sq. ft. office headquarters and warehouse/distribution facility to be located
on the 23:36 acre McDonnell Douglas parcel. Alternative conditions of approval relating to
water facilities were required to serve the Sharp parcel. The alternative conditions were
identified as "Case I" (with well site dedication) and "Case II" (without well site dedication).
Case I required McDonnell Douglas to dedicate to the City a well site at the corner of
Astronautics Drive and Rancho Road to supplement and/or replace the well at Edinger and
Springdale. (The latter well suffered from reduced water quality.) Initially, the City obtained
a low interest loan from the Orange County Water District of $750,000 to fund the new well.
The well was drilled and the water was analyzed. Staff had hoped that the well would
produce water that would either be potable without treatment or could be easily treated on -
site to meet drinking water standards. However, the test results indicated that the cost of
onsite water treatment is excessive. However, rather than discard the well, and resort to
Case II by requiring Sharp to construct City water system improvements, staff still
recommends making use of the well. To accomplish this, a new water line will be installed to
deliver raw water from the well site to Peck Reservoir, where it will be less expensively
treated and blended with other water. A second line will be installed to serve potable water
back to a portion of the McDonnell Douglas site, and more importantly, to extend to Rancho
Road and Spa Drive to serve the Vegas" housing tract to the north, thereby providing a
second source of water to serve the residents in that area. Additionally, with construction of
a third pipeline segment in Springdale Street, the well at Edinger and Springdale can be
returned to service.
At this time, staff is negotiating an agreement with McDonnell Douglas that will permit
McDonnell Douglas to construct these water lines, subject to City reimbursement for the
cost. However, before staff is ready to bring that proposal to the City Council, the design of
the water lines must be completed. McDonnell Douglas has already contracted with
Southwest Engineering to design the water lines, for a cost not to exceed $27,300. It is
recommended that the City Council approve and authorize the Mayor and the City Clerk to
sign the reimbursement agreement for the cost of the design of the water lines.
Environmental Status: Covered under Negative Declaration No. 95-6, which was
approved by the City of Huntington Beach Zoning Administrator on October 11, 1995.

WATER FACILITIES DESIGN REEMBURSEMENT AGREEMENT
This Water Facilities Design Reimbursement Agreement ("Agreement") is entered into
as of , 1996, by and among MCDONNELL DOUGLAS REALTY
COMPANY, INC., a California corporation ("MDRC"), and THE CITY OF HUNTINGTON
BEACH, a municipal corporation of the State of California ("City"), with reference to the following
facts:
RECITALS
A. On October 11, 1995, the Zoning Administrator for the City conditionally
approved MDRC's application for Tentative Parcel Map No. 95-136 (the "Parcel Map") subdividing a
42.16 acre parcel of the MDRC Property into one 23.36 acre parcel for industrial use and a remainder
parcel of 18.80 acres.
B. On October 11, 1995, the Zoning Administrator for the City approved the
application of Sharp Electronics Corporation ("Sharp") for Conditional Use Permit No. 95-63 ("CUP")
to allow construction of a new 538,859 square foot office headquarters and warehouse/distribution
facility to be located on the 23.36 acre MDRC parcel subdivided by the Parcel Map ("Sharp Parcel").
C. Alternative conditions of approval relating to water facilities required to serve
the Sharp Parcel have been imposed on the Sharp CUP. The alternative conditions are identified as
"Case I" (with well site dedication - H.B. Well 12) and "Case 11" (without well site dedication).
D. It has been determined by the City that the Sharp CUP water facilities
condition should be satisfied by utilization of the H.B. Well 12 under Case I which will provide a
source of potable water to the City, including the Sharp Parcel.
E. The purpose of this Agreement is to set forth the standards and obligations of
MDRC for preparation of the Plans and Specifications of the Case I water transmission lines and the
method by which the City will reimburse MDRC for the preparation costs associated with these Plans
and Specifications.
AGREEMENT
NOW, THEREFORE, in consideration of the covenants and agreements contained
herein and other valuable consideration, the sufficiency and receipt of which is hereby acknowledged by
the parties hereto, the parties covenant and agree as follows:
Section 1. Water Transmission_ Lines Design. MDRC shall be responsible in
accordance with the applicable requirements of the City's ordinances, to retain a licensed civil
engineering company to design and prepare the Plans and Specifications of the following water
transmission lines (collectively referred to as the "Water Lines"):

(a) a water conveyance line transmitting untreated water running from
H.B. Well 12 to the City's Peck Reservoir,
(b) a potable water line running from the existing water line in Skylab
Road north along Astronautics Drive to Rancho Road and connecting to the Vegas tract; and
(c) a potable water line located in Springdale Street running from Skylab
Road to Bolsa Avenue where the water line will fie into the City's water grid system.
Section 2. Cost of Design. MDRC agrees, at its sole cost and expense, to furnish
all labor, equipment and materials to prepare and complete the Plans and Specifications of the Water
Lines. The scope of said work is more specifically described in Exhibit A, attached hereto.
Section 3. Reimbursement of Costs for Plans and Specifications.
A. MDRC shall be entitled to reimbursement of all costs associated with
the preparation of the Plans and Specifications of the Water Lines pursuant to the schedule of
compensation attached hereto as Exhibit B, and in a total amount not to exceed Twenty Seven
Thousand Five Hundred ($27,500) Dollars. MDRC shall submit to the Public Works Director of the
City or the Public Works Director's designee, such documentation as the Public Works Director may
require evidencing'expenses incurred by MDRC constituting costs of the preparation of the PIans and
Specifications. Such documentation may include invoices, bills, and canceled checks. The amount of
the costs for the preparation of the Plans and Specifications of the Water Lines shall be reviewed and
approved by the Public Works Director of the City or the Public Works Director's designee and the
amounts set forth in the documentation shall be reimbursed to MDRC within 30 days thereafter unless
City disputes the amount of the costs, in which case MDRC and the City shall meet and confer in good
faith to agree on the appropriate amount of reimbursement.
B. Any billings for extra work or additional services authorized by City
shall be invoiced separately to the City. Such invoice shall contain all of the information required
above, and in addition shall list the hours expended and hourly rate charged for such time. Such
invoices shall be paid by City if the additional work was approved before it was performed, was in
accordance with the extra work or additional services requested, and if City is satisfied that the
statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably
withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as
separate and apart from the ongoing performance of the remainder of this Agreement.
Section 4. Indemnification. MDRC shall defend, indemnify and save and hold
harmless City, its officers, directors, employees and agents from any and all liability, including any claim
of liability and any and all losses or costs arising out of the negligent performance of this Agreement by
MDRC, its officers, employees or agents.
Section 5. Disposition of Plans Specifications and Other Documents. MDRC
agrees that all materials prepared hereunder, including all original drawings, designs, reports, both
field and office notices, calculations, maps and other documents, shall be turned over to City upon

termination of this Agreement or upon completion of the design of the Water Lines, whichever
shall occur first. In the event this Agreement is terminated, said materials may be used by City in
the completion of the design of the Water Lines, or as it otherwise sees fit. Title to said materials
shall pass to the City upon payment of fees determined to be earned by MDRC to the point of
termination or completion of the design of the Water Lines, whichever is applicable. MDRC shall
be entitled to retain copies of all data prepared hereunder.
Section 6. Workers' Compensation. MDRC shall comply with all of the
provisions of the Workers Compensation Insurance and Safety Acts of the State of California, the
applicable provisions of the California Labor Code and all amendments thereto; and all similar
state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from
and against all claims, demands, payments, suits, actions, proceedings and judgments of every
nature and description, including attorney fees and costs presented, brought or recovered against
City, for or on account of any liability under any of said acts which may be incurred by reason of
any work to be performed by MDRC under this Agreement.
MDRC shall obtain and furnish evidence to City of maintenance of statutory
workers compensation insurance and employers liability in an amount of not less than $100,000
bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each employee, and
$250,000 bodily injury by disease, policy limit.
Section 7. Insurance. In addition to the workers compensation insurance and
MDRC's covenant to indemnify City, MDRC, or its design professional, shall obtain and furnish
to City the following insurance policies covering the preparation of the Plans and Specifications of
the Water Lines:
A. General Liability Insurance
A policy of general public liability insurance, including motor vehicle
coverage. Said policy shall indemnify MDRC, its officers, agents and employees, while acting
within the scope of their duties, against any and all claims of arising out of or in connection with
the preparation of the Plans and Specifications of the Water Lines, and shall.provide coverage in
not less than the following amount: combined single limit bodily injury and property damage,
including productslcompleted operations liability and blanket contractual liability, of $1,000,000
per occurrence. If coverage is provided under a form which includes a designated general
aggregate limit, the aggregate limit must be no less than $1,000,000, Said policy shall name City,
its officers, and employees as Additional Insureds, and shall specifically provide that any other
insurance coverage which may be applicable to the preparation of the Plans and Specifications of
the Water Lines shall be deemed excess coverage and that MDRC's insurance shall be primary.
B. Professional Liability Insurance.
MDRC shall acquire a professional liability insurance policy
covering the work performed by it hereunder. Said policy shall provide coverage for MDRC's

professional liability in an amount not less than $500,000 per claim. A claims made policy shall be
acceptable.
Section 8. Certificates of Insurance; Additional Insured Endorsements. Prior
to commencing performance of the work hereunder, MDRC shall furnish to City certificates of
insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages
as required by this Agreement; said certificates shall provide the name and policy number of each
carrier and policy, and shall state that the policy is currently in force and shall promise to provide
that such policies will not be canceled or modified without thirty (30) days prior written notice of
City. MDRC shall maintain the foregoing insurance coverages in force until the work under this
Agreement is fully completed and accepted by City.
The requirement for carrying the foregoing insurance coverages shall not
derogate from the provisions for indemnification of City by MDRC under the Agreement. City or
its representative shall at all times have the right to demand the original or a copy of all said
policies of insurance. MDRC shall pay, in a prompt and timely manner, the premiums on all
insurance hereinabove required.
A separate copy of the additional insured endorsement to each of MDRC's
insurance policies, naming the City, its officers and employees as Additional Insureds shall be
provided to the City Attorney for approval prior to any payment hereunder.
Section 9. Independent Contractor. In performing its obligations under this
Agreement, MDRC is acting as an independent contractor and not an agent of the City.
Section 10. Authority. Each signatory hereto warrants to the other parry its
authority to sign on behalf of the parry for whom it purports to sign.
Section 11. Entire Agreement. This Agreement sets forth the entire agreement of
the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations,
undertakings or agreements relating thereto.
Section 12. No Oral Modification. It is mutually understood and agreed that no
alteration or variation of this Agreement shall be valid or binding unless made in writing and signed by
the parties hereto.
Section 13. Notices. Any notices shall be in writing and shall be sent postage
prepaid, by a nationally recognized overnight courier service or by first-class or registered or certified
mail, return receipt requested, or by facsimile, addressed as follows:

other. Notice shall be deemed given upon delivery or refusal to accept delivery as indicated by return
receipt or, in the case of a nationally recognized overnight courier service, by such similar document, or

Section 14. Successors and Assign, This Agreement shall be binding upon and
inure to the benefit of the parties hereto and their respective heirs, personal representatives, successors
and assigns, including, without limitation, subsequent owners.
Section 15. Governing Law. This Agreement shall be construed in accordance
with and governed by the laws of the State of California.

INFRA STRUCTURE IMPROVEMENTS
PROPOSED SCOPE OF WORK
Construction documents shall include both plans and technical specifications
to meet the requirements of the City of Huntington Beach. Prepare and process
for approval three sets of construction documents as follows:
A. One set of construction documents for a new 12-inch water main In
Springdale, between Skylab and Bolsa, with connections to existing
mains as directed by City.
B. One set of construction documents for a new water main from
Skylab/Able to Rancho Road via Astronautics. (Size to be determined by
City.) Connections and terminations as directed by City.
C, One set of construction documents for a new water main from the new
well (HB Well 121 site at Rancho Road/Astronautics Drive to Peck
Reservoir via Astronautics to Skylab: Skylab to the reservoir (exact
alignment to be decided by the City of Huntington Beach). You should
assume the alignment will utilize Springdale Street.
Construction documents shall be well coordinated with other existing and
proposed improvements, as well as other utilities. Southwest Engineering shall
apply for and acquire any necessary access permits, including railroad r-o-w
access.
Meet with Cify staff to discuss all plan, preparation and coordinate other
consultants to ensure project schedule is maintained. (Estimate 16 hours)

Request: Construction of a new 538,859 square foot office headquarters and
warehouse/distribution facility for electronics products. The project is proposed to
occur in three (3) phases described as follows: Phase I consists of construction of
400,032 square feet of warehouse/distribution space, 88,139 square feet of office
space, a 300 space parking lot, employee recreational amenities; and landscaping;
Phase II consists of an additional -40,700 square feet of warehouseidistributior,
area- and Phase III consists of a request by the proponent to provide constriction
of 563 required parking stalls if and when the proposed user vacates the site. The
land necessary for the additional parking spaces will be landscaped and held in
reserve until such time as the parking becomes necessary.

Dear Applicant:
Your application was acted upon by the Zoning Administrator of the City of Huntington Beach on
October 11, 1995 and your request was Conditionally. AQproved. Included in this letter are the
Conditions of Approval for this application.
Under the provisions of the Huntington Beach Zoning and Subdivision Ordinance, the action
taken by the Zoning Administrator is final unless an appeal is filed to the Planning Commission by
you or by an interested party. Said appeal must be in writing and must set forth in detail the
action and grounds by which the applicant or interested party deems himself aggrieved. Said
appeal must be accompanied by a filing fee of Two Hundred Dollars (S200.00) if the appeal is

The establishment; maintenance and operation of the three (3) phased. 538.859 square
foot industrial building including the nine (9) foot high fence withir, the front setback will
not be detrimental to the general welfare of persons residing or % orkin:g in the vicinity nor
detrimental to the value of the property and improvements in the neighborhood based on
the following:
a. The project layout is designed so that truck shipping and receiving activities are
focused toward other Industrial uses to the north and ,vest of the subject site
and away from residential to the south and east. In contrast, the floor plan has
been designed so that the office area, which.will generate the least noise, is
oriented toward the residential and commercial uses located across Springdale
Street and Bolsa Avenue to the east and south of the site. In addition, impacts
to adjacent uses will be minimized because the building will be constructed at
more than the minimum setback requirements.
b. Although the proposed use is an industrial facility. truck loading and unloading
activities will be focused during normal business hours. In addition, the three
(3) proposed access points to the site are designed to reduce traffic conflicts by
allowing not only adequate points of ingress and egress but also by separating
truck traffic from employee and visitor's passenger vehicles. A condition of
approval to require trucks to access the site from Able Lane at Bolsa Avenue
will further separate trucks and residential uses.
c. Visual impacts of the new building to the residents to the east of the site, across
Springdale, will be reduced by a substantial landscape buffer The same
landscape area will serve to buffer the nine (9) foot high wrought iron and
pilaster fence.
d. In addition, the facility will not produce any offensive odors because Sharp
Electronics Corporation will utilize the structure for office, warehouse, and
distribution of electronics products. No manufacturing uses are proposed.

2. The granting of Conditional Use Permit No. 95-63 for the construction of a 538,859
square foot industrial building with a nine (9) foot high security fence surrounding the
property and within the front setback, u-il] not adversely affect the General Plan of the City
of Huntington Beach. The project will be compatible with goals and standards of the
current and proposed update of the General Plan land use designation of General
Industrial. The industrial facility will assist the City in retaining an industrial land use base.
3. The proposed use will comply with the provisions of the base district and other applicable
provisions in Titles 20-25 and any specific condition required for the proposed use in the
district in which it would be located xith the exception of the nine (9) foot high wrought
iron and pilaster fence located in the front setback. However, the fence will be set back a
substantial distance from the front property line (22 feet), will be constructed of
decorative materials, and be somewhat screened by landscaping in order to reduce
bulk and soften the appearance of the - ,ce.

reflect compliance with the Transportation Demand Management Ordinance,

property approximately 190 feet southeast of Rancho Road. In
addition to this well site, easements from the proposed well site,
across a portion of the McDonnell Douglas property to existing
water mains in Skylab Drive, Able Lane, Astronautics Drive,
and northwesterly to Rancho Road shall be dedicated to the
City.
2. Dedicate a 15-foot wide, City approved, to contain pipelines
from the well to a point where the proposed pipelines are in the
public right-of-way. The pipelines shall be designed and
constructed at no cost to the City.

The proposed subdivision of an existing 42.16 acre lot into one 23.36 acre parcel for industrial
purposes and a remainder 18.80 acre parcel is in compliance with the size and shape of
property necessary for that type of development. Each parcel contains at least 100 feet of
frontage and is greater than the minimum 20,000 square feet in size.
2. The General Plan has set forth provisions for this type of land use as N ell as setting forth
objectives for implementation of this type of use. This subdivisio:: of land for future industrial
use assists the City in retaining the industrial land use base.
