2. COMPUTER HARDwARS

4. DIVISION OF PROCEEDS
COMPUMAT shall provide said library with special tokens.

Each token will operate the come-. -iir for twenty (20) minutes. The
library shall sell such tokens lr its patrons at the rate of one
do' lar ($1. 00) per token as the same may be amendeO by COMPUMAT in
its stole discretion frwi time to titre; The-1brary will he balled

attached to each Compu-ir-Ae 11. Said meter -hail be conclusive
regarding the time used and the monies owed COMPUMAT. The timing
meter shall be read upon the initial installation of the Compu-mate

10. WO]MRS' COMPENSATION
CCMPUMAT skull comply with all of the provLsions of the
Workers' Compensation Insurance and Safety Acts of the Mate of
California, the appl: cacble provisions of Division 4 and 5 of the
California Government Code and all ame-Ament;s thereto; and all
similar state or federal acts or laws applicable; and shall
indemnify, defend and hold harmlas;* CITY from and against all
cl.ai , demands* payments stAits, actions, proceedings and
ttdttinents o-f every nature And despription, including attorney's
fees and casts presented, brought of recovered against CITY, for or
on account of any liability under any of said acts which may be
incurred by reason of any work to be performed by CC.MPUMAT under
this agreement..
11. 114SUF2ANCE
In addition to the Workers' Compensation insurance and,
COMPUMAT'S agreement to indemnify CITY, COMPUMAT shall furnish to
CITY,, and maintain in force until the completion of this Agreement,
a policy of general liability insurance in which CITY is nazc+ed as
an additional. insured. The policy shall indemnify CITY, its
officers and employees, while acting within the scope of their
duties, against any and all claims arising out of or in connection
with this Agreement. The policy shall provide coverage in not less
than the following amounts: Combined single limit bodily injury
and/or property damage of $300-000 pt.,r occurrence. Such policy
in,�zur'ance shall :specifical'y provide that any other insurance
coverage which may be applicable to the loss shall be deemed excess
coverage and CUMPUMAT"S insurance shall be primary. A certificate
of all such insurance policies required by this agreement shall be
delivered ti the City Attorney prier to the ommenceznent of any
work and shall tie approved by her in writing. No such insurance
shark: be cancel?led or modifiad without thirty (30) days prior

peri`ore,tance of this agreement as an independent contractor.

13. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly
with COMPUMAT in connection with the work of this agreement.
14 SUBCONTRACTORS
This agrs cent is a personal service contract and the
supervisory work hereunder shall not he delegated to any person or
entity without the consent of CITY.
15, ADDITIONAL PROVISIONS
CONSULTANT agrees that no regular employee of CITY
shall be employed by its firm during the time that :his agreement
is in effect,
Should there be any confiict between the terms of this
agrz-meat and these of Exhibit "A,' which has been incorporated
into tl's agreement, said conflicting terms of Exhibit "A" shall
not be controlling.

EXECUTIVE SUMMARY
The Compumat Company appreciates this opportunity to submit its
proposal to ini5tall and maiiiain high quality, coin operated,
personal computer syste:zs # trademarked Compu--mate Ii, in
selected litraries op -crated ny the City of Huntington Beach.

Cui Compu-mate iI s-y,tem will provide your patrons with access
to the ve- y pvpularf internationally accepted "Apple" compatible �
computer hardware and software. The O- ipu--ma t,e 11 system comes
housed in beautiful, specially designed tables with "modesty"
pan? -Is below and "priiacy` panels above the table top. Headsets
can bo provided to maintain the quietncss standa, d.s of the
library. Complete descriptions of the "Computer Hardware",
"Computer :Software" and "Computer Maintenance Service" which

`i'he Cotapum-nt program also provides unlimited computer time to
the library staff at no cost during off hours
Compumat proposes to make these Compu-mate I., installations at
no cost to your institutions. in fact, the basic agreement
calls for libraries to participate In the gross proceeds at the
rate of five percent (5%) before payout and seven percent (7%�
after payout. Howevir, Compi,mat will provide attractive
incentives to those libraries who do not require Compumat to
utake concessions in its basic agreement involving exclusivity,
term of contract and token cb4rge. Under this incentive
program, for each computer system that has a monthly average
usage in excess of four (4) hours per day a higher roylaty is
paid to the IlUrary for those excess hours on an zscending scale
per tho table belowt

COMPUTER HARDWARE
The Compu-mate 11 system is designed to coordinate with and even
enhance the decor and environment in most libraries. Only high
quality field proven equipment will be used in Compo-mate II.
The equipment manufacturer and model has been selected on the
basis of its overall ability to satisfy the patrons computer
needs and preferences. As usage builds and patron needs vary,
it may become desirable to install Compu-mate II modules with
two or more types of computer equipment such as Apple and IBM.
This will be done as the demand dictates.
The Compu-mate 11 module design is in itself complimanta,cy to
the library environment. it .s an oak finish and provides
modesty 'panels and privacy },anels for the benefit of the patron.
(See picture in appendiX A)
Much of the newer software provides both audio and visual feed
back to the patron or user. The Compu-mate Ii,maintains a quiet
library environment oy 'providing audio to the user via a
headset. Many other features have been provided to assure the
Compa-mate 11 system is compatible with the library environment.
Table I below summarizes the hardware specifications.

Compum-it provides several popular software packages with the
Crampu-mate 11 system. it is recommended that the library
purchase additional software to enhance the computers capability
and usage. Compumat carries a larue selection of software which
is available for library purchase bt cost plus nominal handling

charges, This program is provided to aid the libraries in
providing a lst class computer/.softvare system w{ih the minimum
capital investment by the ?.ibrary. Fable 2 below is a partial.

Compumat will provide all maintenance and repairs on the
Compu-mate it system installed at each site. Compumat will
provide a repair service phone number for reporting down

who are the owners of the firm. A brief summary of the

Roy R. Harman Jr Chief Executive officer_ "Roy" has over thirty
