STATEMENT OF ISSUE:
Construction services for the Pier provided by Moffatt and Nichol Engineers will exceed
the amount allotted in their present contract. An amendment to the contract is needed to
continue these services.
RECOMMENDATION:
Approve amendment to the contract with Moffatt and Nichol Engineers for construction
services for the Huntington Beach Municipal Pier in the amount of $70,000.
ANALYSIS:
Moffatt and Nichol Engineers designed the pier for the City. Within their contract was an
allotment of $35,000 for construction services. Construction services typically consist of
review of shop drawings, limited office and field consultation, monthly site visits, plan
clarification and record drawings at the end of construction. Construction services
payments are for the actual services performed on a time and material basis as the
amount of time necessary can vary greatly depending on construction circumstances.
The time and effort required of Moffatt and Nichol Engineers for construction services on
the pier project have been much greater than originally estimated and budgeted. They
have been required to attend the weekly job meetings thus far.. Also, the higher
involvement has been, for the most part, a result of the construction contractor's decision
to precast the deck units rather than cast them in place. This method appears to have
been a factor that allowed the Ridel International bid to be approximately $3 million lower
than the next bid and the engineers estimate. This method of construction has required
multiple checking of form drawings, modification to details and connections, and
resolution of interferences not anticipated until the precast units were set in place.
The requested additional amount of $70,000 is again an estimate and will be paid on a time
and material basis.

AMENDMENT NO. 3 TO AGREEMENT BETWEEN THE
CITY OF HUNTINGTON BEACH AND MOFFATT & NICHOL
TO PROVIDE ENGINEERING SERVICES FOR THE
PRELIMINARY PIER DESIGN PLAN AND REPORT
THIS AMENDMENT NO. 3 is entered into this 29th day of
July , 1991, by and between the CITY OF HUNTINGTON
BEACH, hereinafter referred to as "CITY" and MOFFATT & NICHOL,
ENGINEERS, hereinafter referred to as "CONTRACTOR."
WHEREAS, CITY and CONTRACTOR are parties to that certain
contract, dated November 21, 1988, entitled "Agreement Between the
City of Huntington Beach and Moffatt & Nichol Engineers to Provide
Engineering Services for the Preliminary Pier Design, Plan and
Report," hereinafter referred to as "Agreement;" and
Since the original agreement, dated November 21, 1988, City
has requested extra work from CONTRACTOR and CONTRACTOR has agreed
to perform such additional work;
CITY and CONTRACTOR wish to amend the Agreement to reflect the
extra work to be performed by CONTRACTOR and the additional
compensation to be paid in consideration thereof by CITY to
CONTRACTOR,
NOW THEREFORE, it is agreed by and between CITY and CONTRACTOR
as follows:
1. ADDITIONAL WORK
CONTRACTOR shall provide to CITY additional services as
shown on Exhibit "A" attached hereto and made a part hereof.

2. ADDITIONAL COMPENSATION
In consideration of the additional services referenced in
Section 1 above, CITY agrees to pay CONTRACTOR an amount not to
exceed Seventy Thousand Dollars ($70,000), payable in the specific
manner and amounts set forth in Exhibit A.
3. REAFFIRMATION
All other terms and conditions of the original
agreement shall remain in full force and effect.
IN WITNESS WHEREOF the parties hereto have executed this
Amendment No. 3 as of the date hereinabove set forth.

As you know, the time and effort required for construction related services on
the pier project has been much greater than originally estimated and budgeted.
The higher involvement has been to the most part a result of the Contractor's
decision to precast the deck units rather than cast in place. This has
required multiple checking of form drawings, modifications to details and
connections, and resolution of interferences not anticipated until the precast
units were set in place.
In reviewing this account, we have discovered that approximately $20,000 worth
of services around the end of.last year have never been invoiced, and another
approximately $10,000 has been expended since our last invoice.
Since the construction time has about 33 weeks before completion, it is my
suggestion that the City allocate an additional $40,000 (based on 12 hours per
week of my time) to the construction services portion of our contract to cover
the remaining period. Since this is a time and expenses account, these funds
might not be expended if amount of our involvement is reduced as the
Contractor's operations become repetitive.
Therefore, we are askingthat our contract be increased by $70,000 to cover
services previously provided, and those anticipated for the remainder of the
construction.

THIS AGREEMENT is made and entered into this aaalvt day
of V U- 19�4, by and between the CITY OF HUNTINGTON BEACH, a
municipal corporation of the State of California, hereinafter
referred to as "CITY", and MOFFATT & NICHOL ENGINEERS, a California
corporation, hereinafter referred to as "CONTRACTOR".
WHEREAS, CITY and CONTRACTOR are parties to that certain
contract, dated November 21, 1988, entitled "Agreement Between th
City of Huntington Beach and MOFFATT & NICHOL ENGINEERS to Provide
Engineering Services for the Preliminary Pier Design, Plan and
Report," hereinafter referred to as "Agreement;" and
Since the execution of the Agreement, CITY has requested
additional work from CONTRACTOR and CONTRACTOR has agreed to perform
such work; and
CITY and CONTRACTOR wish to amend the Agreement to reflect
the extra work to be performed by CONTRACTOR and the additional
compensation to be paid in consideration thereof by CITY to
CONTRACTOR,
NOW, THEREFORE, it is agreed by and between CITY and
CONTRACTOR as follows:
1. ADDITIONAL WORK
CONTRACTOR shall provide to CITY additional services as
follows: Preparation of an Environmental Impact Report for the
Huntington Beach Municipal Pier project as described in the letter
to the CITY from CONTRACTOR dated October 27, 1989 and

attachments thereto hereinafter referred to as Exhibit "A".
2. ADDITIONAL COMPENSATION
In consideration of the additional engineering services
described in Section 1 above, CITY agrees to pay CONTRACTOR an
amount not to exceed One Hundred Thirty -Five Thousand Dollars
($135,000.00), in the specific manner and amounts set forth in
Exhibit "A" herein.
3. REAFFIRMATION
Except as specifically modified herein, all other terms and
conditions of the Agreement shall remain in full force and effect.

Dear Les:
I have received proposals from LSA and The Planning Center for the EIR and
Permit work verbally authorized by the City. Copies of those proposals are
enclosed with this letter.
The total estimated fee for both subconsultants is $105,110. In addition, we
estimated our effort in this area as well as the administration of the
subcontracts to be $30,000. Therefore, we request an amendment to our design
contract for an amount of $135,000 on a time and materials basis.
Both subconsultants are working on the verbal authorization given by the City.
We will execute subcontract agreements with each once we receive the amendment
to our contract.

1.0 INTRODUCTION
The City of Huntington Beach proposes the reconstruction of the historic Huntington
Beach Pier. The City has retained the engineering services of Moffatt & Nichols to
prepare engineering and design studies for the proposed project. LSA has been retained to
provide an historic assessment of the existing structure in compliance with State Historic
Preservation Office Section 106 Permit regulations.
The City recognizes the need to prepare supporting environmental documentation including
special biological resource studies in conjunction with an Initial Study and an
Environmental Impact Report (EIR) for the proposed project. The City is also aware that
the project will require a U.S. Army Corps of Engineers Section 10 Permit Application and
i the preparation of a Environmental Assessment (EA). Accordingly, the City has retained
The Planning Center to provide the required environmental impact assessment and
regulatory application processing services for the proposed pier restoration project.
This proposal summarizes the project description, and provides an outline of the scope of
services to provided along with a proposed project budget and fast -tract schedule as
requested by the City of Huntington Beach.

Restoration Project
2.0 PROJECT DESCRIPTION
The Huntington Beach Pier reconstruction project entails removal and replacement of the
existing deteriorated concrete pier with a new concrete pier in the same location. The
structure will consist of driven prestressed concrete pile, with cast in place concrete pile
caps and either cast in place or precast concrete deck. The side elevation will be designed
to approximate the historic visual look of the existing pier as shown in Figure 1 below.
The uses supported by the replacement pier will be of the same types and in approximately
the same locations as they were on the existing pier. The seaward end of the pier will be
approximately thirteen feet higher than the existing in order to eliminate the wave over
topping and damage which has periodically hit the pier in the past. All of the small
buildings supported by the building over the water will be away from the hand rail thereby
allowing continuous public access to the rail.
In order to provide this enhanced access to the rail, and to provide emergency vehicle turn-
around space at the seaward end, the total deck area will be increased from 65,205 square
feet for the original to 69,752 square feet for the replacement pier.
There will not be a commercial boat landing on the replacement pier, but emergency
access will be provided for rescue and medical needs.
Landward of the mean high water line, the pier will be 460 feet of pier, 30 feet wide with
one 70 foot wide platform which will support a small building housing a snack shop and
visitor information center and have a deck area of 15,788 square feet. This portion of the
pier will be supported on 61 18" or 24" diameter prestressed concrete piles. The existing
pier is supported by 66 piles over this same length.
Seaward of the mean high water line, the pier will be 1,370 feet of pier 30 feet wide with
three platforms and a total deck area of 53,964 square feet. The platform closest to shore
will be 70 feet wide and will support a lifeguard tower similar to the one on the existing
I . pier. The next platform will be 110 feet wide and will support a combination bait &
tackle and snack shop on one side, of the pier and a rest room building on the other side.
The end platform will be 110 feet square turned 45 degrees from the axis of the pier, and
I will support a small restaurant and allow vehicle access around the entire perimeter. This
portion of the pier will be supported by approximately 205 prestressed concrete piles. The
existing pier, including the destroyed portion is or was supported by 300 concrete and
timber piles.
It is estimated that the reconstruction of a Pier 1,800 feet supporting the same historica
uses, and designed for current wave and seismic criteria using standard materials and
methods of construction will cost approximately $10.4 million. The construction period
would involve a 2-3 month demolition period and 6 month construction time frame for
project completion. The proposed project will have an expected minimum service life of
75 years.

3.0 PROPOSED SCOPE OF SERVICES
The Planning Center in its review of the City's reconstruction objectives and regulatory
compliance requirements proposes the following scope of work. The scope as proposed
reflects a comprehensive Environmental Planning Program for the proposed project. The
Environmental Planning Program provides a framework for incorporation of the historical
resource assessment in compliance with the California Environmental Quality Act (CEQA)
requirements, and related federal regulatory permit application as will be required for
construction of the project.
The proposed scope of work is comprised of several basic task assignments. They are
sequentially ordered to provide necessary information, data, and decisions into a logical,
systematic manner that will promote an efficient review process. We have designed a
certain amount of overlap between project tasks and phases to condense the project
schedule as much as possible.
TASK 1.0 PROJECT ORIENTATION and DATA GATHERING
We propose to initiate this task with an orientation meeting/kickoff meeting with the City
of Huntington Beach staff and consultants for the project. The purpose of this meeting is
to famliarlize ourselves with the key City staff, project objectives, specific environmental
issues in the project area, and agency concerns.
We will utilize all relevant available data to greatest extent possible. It is understood that
I the City will provide all relevant data and research completed to date. We will review and
incorporate all City policies and related planning data as relevant.
We will conduct an reconnaissance study of the existing submerged pier pillings to
determine the existing biological resources. The reconnaissance is the only anticipated
technical study required for the project.
TASK 2.0 SYNTHESIS OF PROJECT DESCRIPTION
The project description will be provide the basis for the environmental analysis and related
permit application. The description will be developed in consultation with the City and its
consultants on the project. Upon drafting a project description, a copy will be submitted to
the City for review and confirmation. Comments recieved will be incorporated and the
revised description utilized as the basis for Initial Study and Environmental Assessment.

TASK 3.0 PREPARATION OF AN INITIAL STUDY
An Initial Study will be prepared for the proposed project based on an Envirommnetal
Checklist evaluation which includes consideration of effects on the earth, water, biological
resorces, air, noise, transporation, land use, population, housing aesthetics, cultural/scientific
resources, energy, light and glare, shade/shadow, public services, and public utilities. On
the basis of this initial evaluation, and Initial Study will be prepared.
The Initial Study will provide a preliminary analysis of the potential envirommnetal impacts
of the proposed project. The Initial Study will include a environmental resources impact
assessment and provide potential mitigation measures. Where the Lead Agency fords that
the project may individuallly or cumulatively cause a significant effect on the environment,
tan EIR must be prepared. The potential environmental impacts identified in the Initial
Study will become the focus of the EIR.
A Notice of Preparation (NOP) will be prepared for the City's distribution as required by
CEQA. The NOP will provide a description of the proposed project and notice that an
EIR will be prepared. Responses to the NOP will be used to further refine the scope of
the EIR.
TASK 4.0 PUBLIC SCOPING HEARING
A public scoping hearing will be conducted for the proposed project to solict community
concerns in the refinement of the scope for the EIR and to faciliate public comments.
TASK 5.0 IMPACT ASSESSMENT
The impact analysis will include those issues identified in the Initial Study prepared buy
The Planning Center. The EIR will address the following environmental issues:
• Land Use/Plans and Policies
• Biological Resources
• Soils/Geology
• Air Quality
• Noise
• Transporation/Circulation/Parking
• Visual/Aesthetics
• Cultural/Historic Significance
• Recreation/Coastal Resources
• Public Services/Facilities
Each environmental resource area will include a discussion of the environemntal setting
relevant to that isssue, the anticipated potential environmental impacts, and potential
mitigation measures. Discussion on the mitigation measures will identify those meaures
specifically included in the project design and those measures that are recommended to
minimize or eliminate impact identified but not mitigated through the project.

describe existing environmental conditions in the project area.

In accordance with CEQA, discussion of various alternatives to the proposed project which
could feasibly attain the basic objectives of the proposed project will be included in the
EIR. All alternatives will be analyzed relative to their potential impacts and at a level of
detail approporiate to clearly identify the anticipated impacts. A maximum of four (4)
alternatives is proposed to be evaluated in the EIR based on discussion with City staff.
TASK 6.0 PREPARE ENVIRONMENTAL REPORTS
The Planning Center will prepare a Screencheck Draft EIR (SCEIR) for the City's review
and comment according to CEQA format.
The SCEIR will be revised into a Draft EIR (DEIR) based on comments received from the
City. The DEIR will be distributed for public review by the City.
The DEIR will be revised into a Final EIR (FEIR) based on commnets recieved during the
1. review period. Responses to comments received will be prepared and included in the
FEIR.
TASK 7.0 REGULATORY PERMIT PROCESSING
The Planning Center will prepare an application for an U.S. Army Corps of Engineers
(CoE) Section 10 Permit to construct a structure within navigable waters. We will prepare
a projct description and permit application for review by the CoE.
We will prepare responses to all agency comments and objections recieved during public
review period. The Planning Center will negotiate proposed mitigations for all agency
objections to the project.

The Planning Center will prepare an Environmental Assessment (EA) in support of the
Section 10 Permit application as required for projects that may have a significant effect on
water quality, cultural resources, and endangered species based on the EIR.
The Panning Center will assist in the negotiations with the CoE in determination of the
project permit special conditions.

4.0 PROJECT TEAM QUALIFICATIONS
The proposed project team would be under the direction of Terry L. Campbell, Ph.D.,
and would serve as the City's single point of contact. As Project Manager, Dr.
Campbell would be responsible for the management of the biological assessment,
regulatory permit application and review process and preparation of supporting
Environmental Assessment documentation as required. He has more than 15 years of
experience in the management and preparation of California Environmental Impact Reports,
and related federal Environmental Impact Assessments and Environmental Assessments
including more than 10 years of project management experience. Dr. Campbell's expertise
includes land use policy, socioeconomics, public fiscal analysis, and regulatory permit
processing including federal Section 10 and 404 permits, and California DF&G 1603
�.l permits.
Presently, Dr. Campbell is serving as the Project Manager for the Bolsa Chica Wetlands
Restoration project which involves wetlands determinations, wetlands restoration planning,
and related EIR and EIS currently being prepared. He also serves as the Regulatory
Permitting Project Manager for Unocal responsible for the preparation of an EIR, and
regulatory permit processing of including CoE Section 10 and 404 permits for various
residential development projects including West Naranjal II in Brea and Las Lomas in
Fullerton, California. Dr. Campbell holds multiple graduate degrees in cultural resources,
economics, and regional planning, and he is uniquely qualified to serve as the Project
Manager.
Mr. Dave Clark will assist Dr. Campbell with project management and environmental
impact analysis. Mr. Clark holds a Bachelor and Master Degree in Biology/Chemistry
with special emphasis in Environmental Ecology from California State University, Fullerton.
He has direct management experience with EIR and EIS analysis, report preparation, and
public hearing support for numerous commercial, residential, and light industrial projects
throughout southern California. He has recent experience with the permit approval process
involving Conditional Use Permits, General Plan Consistency Determination, and Zone
Change Variances for many cities in southern California.
Mr. Clark's special qualifications in biological resource inventories, vegetational analysis,
C.. and experience with designated sensitive biotic species has allowed him to work in the
public sector, specifically with the Bureau of Land Management, and U.S. Army Corps of
% Engineers. He currently serves as the assistant Project Manager for the Bolsa Chica
1. Wetland Restoration project responsible for Physical Resources Management of the EIR and
EIS.

Mr. Ty M. Garrison is an ecologist with a theoretical and investigative background in
many California habitat types. His experience includes small mammal trapping, plant
inventory projects and investigation of ecological relationships. He is currently completing
his Master's thesis at California State University, Long Beach, and holds a Bachelor of
Science Degree from the University of Redlands, Redlands, California. The following are
examples of his work experience pertinent to the proposed project.
Mr. Garrison has conducted numerous biological resource assessments of parcels ranging
in size from less than one acre to more than ten thousand acres. These assessments
involve identification of any sensitive species or resources potentially occurring on the
project site, thorough field investigations, assessment of project impacts to natural resources
on -site, and proposal of measures that may be taken to mitigate project impacts. Many of
these field investigations, including thesis work, were of habitats in the Santa Monica
Mountains. Other related E1R projects include the delineation of sensitive areas due which
involved regulatory Section 1603 and/or Section 10 and 404(b) constraints on ten projects
in southern California.
Mr. Garrison served as the biological investigator for the Significant Ecological Areas
Study in the Santa Monica Mountains, Los Angeles County, California. Developed
photographic records, maps, and inventories of the biota within the Sensitive Environmental
Areas (SEAS). Mr. Garrison is currently involved in several wetlands determinations
including the Bolsa Chica Wetlands Restoration, Bighorn Environmental Constraints
Analysis in Palm Desert, and Tonner Canyon Significant Ecological Area Biological
Resources Assessment.

5.0 PROPOSED PROJECT SCHEDULE AND BUDGET
The Planning Center understands the request for project completion on a fast tract
schedule. The proposed project schedule is shown in Table 1 below. As indicated, the
following deliverable products will be provided to the City on the following dates:

The general time frame for completion of the Screencheck EIR is two months.
Approximately one month has been allowed for the City to review the SCEIR, and to
revise and publish the Draft EIR. At this point, the DEIR is circulated for 45 day public
review. Two to three weeks will be required to finalize the FEIR and Response to
Comments based on public review comment received.
The Planning Center will attend all project meetings as requested by the City including
project orientation, project scoping and related project management meetings as may be
required. In addition, The Planning Center will conduct a public scoping hearing as
scheduled by the City. We will attend a minimum of four (4) additional project/public
review meetings as may be requested.
The Planning Center will respond to the City directly to Moffatt & Nichols as the prime
contractor. We will also coordinate with LSA during completion of the project to ensure
consistency of style and content in the environmental documentation.
FEE PROPOSAL
The Planning Center's fee to complete this project is $50,110. Table 2 provides a
breakdown of these costs. New issues raised which require additional research and analysis
may require augmentation of this proposal. The City will be notified prior to initiation of
any out of scope work including additional report copies and/or meetings. The Planning
Center's current billing rates are shown in Table 3.
COMPENSATION
An equitable payment schedule shall be arranged between The Planning Center and
Moffatt & Nichols under contract to the City. This agreement shall also include provisions
for dealing with project delays and changes in the scope of work. Billings for staff time
and expenses incurred during the period will be payable within thirty days of invoice date.

SUBJECT: Huntington Beach Pier EIR, NABS/HAER, and Section 106 Documentation
Dear Jim:
LSA Associates, Inc. is pleased to submit the following scope of work for
the Initial Study, Environmental Impact Report, the Historic American Building
Survey (HABS) and Historic American Engineering Record (HAER) documentation,
and the Section 106 for the Huntington Beach Pier. Our scope of work follows
the CEQA requirements for the environmental and cultural resource document.
Each task is detailed below.
Scone of Mork
Task I. 16-i_t_i_al Study and Environmental Impact Report. LSA with The Plan-
ning Center will prepare the Initial Study and Environmental Impact Report for
the City on the Huntington Beach Pier. LSA will provide the technical report
needed for the EIR and prepare the cultural resource sections of the EIR.
Alternatives, impacts and mitigations for the project will be discussed. We
understand that this EIR will only need to focus upon a few issues.
Task 2. Suction 106. If needed due to federal permits or funding, we will
assist the City with the Section 106 process. The Section 106 process involves
preparation of the determination of effects report and consultation with the
State Historic�Preservation Office to find acceptable ways to avoid or mitigate
the adverse effect to the historic property. This process includes state and
federal reviewthat can take at least two to four months to complete. A Memor-
andum of Agreement (MOA) that outlines how to mitigate the adverse effects to
the historic property completes the Section 106 process.
Task 3. HABSfHAER Documentation. The goal of this level of documentation
is to provide a detailed record of the structure's significance and its con-
struction history for future research use. The tasks to document the standing
structure include 1) measured drawings of the structure, 2) archival black and
white photographs and 3) a technical report that summaries the structural
changes and history of the pier and its buildings. The photographs are large-

format contemporary views of the pier taken with a view camera. We estimate at
least five days are needed for the photography of the Pier. Our estimate
includes aerial' shots of the Pier as well as close up pictures. Negative sixes
must be 4"x 51,, 5" x 7" or 8" x 10". The measured drawings include the site
plans, floor plans and details and elevations of each structure on the Pier and
of the Pier. These drawings show the existing conditions and show how a struc-
ture evolved over time. Moffatt and Nicholls computer drawings of the Pier
will be used as references for the measured drawings. The technical report
provides a narrative record of the history, construction data and significance
of a property.,
The above tasks will produce a final report, museum quality photographs
for reproduction, and measured drawings of the Pier and its structures. LSA
will supervise:the project and involve our staff historian, a qualified photo-
grapher, and an historical architect to complete the HAGS/HAER documentation.
We will also provide the ne+tided agency coordination with the National park
Service in San,'Francisco in order to provide the documentation as stated in
their standards and guidelines.
Compensation
LSA is prepared to complete the above tasks for an estimated amount of
$55,000. LSA would bill in accordance with our hourly rates and our standard
Contract Provisions which is a part of this proposed scope of services. This
amount would not be exceeded without you authorization. This budget includes
photographic expenses as well as the measured drawings and final report. The
budget also includes at least three meetings with the City concerning review of
documents. The following table itemizes the above scope of work.

Schedule
We anticipate that we could complete the EIR within a two month period
upon verbal authorization to proceed. The HABS/HAER documentation would take
longer to complete due.to the technical tasks required.
Thank you for requesting a scope of services from LSA for the Huntington
Beach Pier. We have already started the work based upon the verbal authoriza-
tion at the September 26th meeting with the City of Huntington Beach.

RECONSTRUCTION OF THE HUNTINGTON BEACH PIER
THIS AGREEMENT is made and entered into this day
of APR)L- , 1989, by and between the CITY OF HUNTINGTON
BEACH, a municipal corporation of the State of California,
hereinafter referred to as "CITY", and MOFFATT & NICHOL,
ENGINEERS, a California corporation, hereinafter referred to as
"CONTRACTOR".
WHEREAS, CITY and CONTRACTOR are parties to that certain
contract, dated November 21, 1988, entitled "Agreement Between the
City of Huntington Beach and MOFFATT & NICHOL, ENGINEERS to
Provide Engineering Services for the Preliminary Pier Design, Plan
and Report," hereinafter referred to as "Agreement;" and
Since the execution of the Agreement, CITY has requested
additional work from CONTRACTOR and CONTRACTOR has agreed to
perform such work; and
CITY and CONTRACTOR wish to amend the Agreement to reflect the
extra work to be performed by CONTRACTOR and the additional
compensation to be paid in consideration thereof by CITY to
CONTRACTOR,
NOW, THEREFORE, it is agreed by and between CITY and
CONTRACTOR as follows:
1. ADDITIONAL WORK
CONTRACTOR shall provide to CITY such additional services as
described in the letter from CONTRACTOR to CITY, dated February
23, 1989, hereinafter referred to as Exhibit "A", which is
attached hereto and incorporated by this reference.
2. ADDITIONAL COMPENSATION
In consideration of the additional engineering services
described in Section 1 above, CITY agrees to pay CONTRACTOR the
additional sums as follows: for Tasks 1 and 2, as described in
Exhibit "A", a fixed fee of Two Hundred Sixty -Seven Thousand, Two
Hundred and no/100 Dollars ($267,200.00); for Task 3, as described
in Exhibit "A", a fee not to exceed Thirty -Five Thousand and
no/100 Dollars ($35,000.00).

3. REAFFIRMATION
Except as specifically modified herein, all other terms and
conditions of the Agreement shall remain in full force and effect.

Moffatt & Nichol, Engineers is pleased to submit this proposal to provide final
design services for the reconstruction of the Huntington Beach Pier.
We have broken the project into three basic tasks. These tasks are Project
Development and Management; Construction Drawings, Specifications, and Cost
Estimates; and Construction Services. We will provide the following services
under these tasks:
TASK 1: PROJECT DEVELOPMENT AND MANAGEMENT
This task includes field investigation, geotechnical
investigation (by Moore & Taber), coordination with the
Architectural designer, scoping meetings with the City and the
Design Committee, progress meetings and presentations, and
overall project management and coordination.
TASK 2: CONSTRUCTION DRAWINGS, SPECIFICATIONS, AND COST ESTIMATES
This task includes structural design of the pier, boat access
ramp, hand rails, and other appurtenances exclusive of
buildings; mechanical design of the boat access ramp hoist
system, water systems, and sewer system; electrical design of
pier power and lighting systems; construction cost estimates;
and construction drawings, specifications, and bid documents
suitable for bidding.

TASK 3: CONSTRUCTION SERVICES
This task includes review of shop drawings, office and field
consultation during construction, monthly site visits to observe
contractor progress, preparation of design details for changes
made during construction, preparation of record drawings based
on contractor furnished data, and final walk through with the
City to establish Contractor's final punch list at the end of
construction. This does not include daily construction
inspection services.
We propose to provide the services under Tasks 1 and 2 for a FIXED FEE of
$267,200 and Task 3 on a Time and Materials basis with a budget of $35,000.
The above fees include sub -consultant fees, computer time charges, and printing
costs.
A portion of these services can proceed prior to the final sizing of the
building platforms. These include field investigation of utility points of
connection and capacity, geotechnical investigation, deck design for vertical
loads, and preliminary utility layouts. After the platform sizes are
determined and the geotechnical investigation is complete, the remaining design
services will proceed.

AN AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND
MOFFATT & NICHOL, ENGINEERS TO PROVIDE ENGINEERING
SERVICES FOR THE PRELIMINARY PIER DESIGN PLAN AND REPORT
THIS AGREEMENT made and entered into this day
of 1988, by and between the CITY OF
HUNTINGTON BEACH, a municipal corporation of the State of
California, hereinafter referred to as "CITY", and MOFFATT &
NICHOL, ENGINEERS, a California corporation, hereinafter
referred to as "CONTRACTOR".
WHEREAS,, CITY desires to engage the services of an
engineering firm for the purpose of providing CITY with a
prliminary pier design plan and report; and
CONTRACTOR has been selected to perform said services.
NOW THEREFORE, it is agreed by CITY and CONTRACTOR as
follows:
1. WORK STATEMENT
CONTRACTOR shall provide all services as described in
Exhibit "A" which is attached hereto and incorporated into
this Agreement by this reference. Said services shall
sometimes hereinafter be referred to as "PROJECT".
CONTRACTOR hereby designates James R, Crumpley who
shall represent it and be its sole contact and agent in all
consultations with CITY during the performance of this
Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work
directly with CONTRACTOR in the prosecution of this Agreement.

3. TIME OF PERFORMANCE
Time is of the essence of this Agreement. The
services of the CONTRACTOR shall commence as soon as
practicable after th execution of this agreement and all tasks
specified in Exhibit "A" shall be completed within four (4)
months from the date of this Agreement. The time for
performance of the tasks identified in Exhibit "A" may be
amended to benefit the PROJECT if mutually agreed by the CITY
and CONTRACTOR.
4. COMPENSATION
In consideration of the performance of the services
described in Section 1 above, CITY agrees to pay CONTRACTOR a
fee not to exceed FIFTY THOUSAND DOLLARS ($50,000.00).
5. EXTRA WORK
In the event of authorization, in writing by the
CITY, for additional work not contemplated herein, additional
compensation shall be allowed for such Extra Work.
Such extra work shall be provided on a time and
expense basis in accordance with CONTRACTOR'S hourly rates as
set forth in Exhibit "A" attached hereto.
6. METHOD OF PAYMENT
A. CONTRACTOR shall be entitled to progress
payments toward the fee set forth in Section 4 herein in
accordance with the progress and payment schedules set forth
in Exhibit A".
B. Delivery of work product: A copy of every
technical memo and report prepared by CONTRACTOR shall be
submitted to the CITY to demonstrate progress toward

completion of tasks. In the event CITY rejects or has
comments on any such product, CITY shall identify specific
requirements for satisfactory completion. Any such product
which has not been formally accepted or rejected by CITY shall
be deemed accepted.
C. The CONTRACTOR shall submit to the CITY an
invoice for each progress payment due. Such invoice shall:
1) Reference this Agreement;
2) Describe the services performed;
3) Show the total amount of the payment due;
4) Include a certification by a principal
member of the CONTRACTOR'S firm that the work has been
performed in accordance with the provisions of this Agreement;
and
5) For all payments include an estimate of the
percentage of work completed.
Upon submission of any such invoice, if CITY is
satisfied that CONTRACTOR is making satisfactory progress
toward completion of tasks in accordance with this Agreement,
CITY shall promptly approve the invoice, in which event
payment shall be made within thirty (30) days' of receipt of
the invoice by CITY. Such approval shall not be unreasonably
withheld. If the CITY does not approve an invoice, CITY shall
notify CONTRACTOR in writing of the reasons for non -approval,
within seven (7) calendar days of receipt of the invoice, and
the schedule of performance set forth in Paragraph 113" shall
be suspended until the parties agree that past performance by
CONTRACTOR is in, or has been brought into compliance, or

until this Agreement is terminated pursuant to Section 12
hereof.
D. Any billings for extra work or additional services
authorized by the CITY shall be invoiced separately to the CITY.
Such invoice shall contain all of the information required under
paragraph 6C, and in addition shall list the hours expended and
hourly rate charged for such time. Such invoices shall be
approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is
satisfied that the statement of hours worked and costs incurred is
accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice
shall be treated as separate and apart from the ongoing
performance of the remainder of this Agreement.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared hereunder,
including all original drawings, designs, reports, both field and
office notes, calculations, maps and other documents, shall be
turned over to CITY upon termination of this Agreement or upon
PROJECT completion, whichever shall occur first. In the event
this Agreement is terminated, said materials may be used by CITY
in the completion of PROJECT or as it otherwise sees fit. Title
to said materials shall pass to the CITY upon payment of fees
determined to be earned by CONTRACTOR to the point of termination
or completion of the PROJECT, whichever is applicable. CONTRACTOR
shall be entitled to retain copies of all data prepared hereunder.
8. INDEMNIFICATION, DEFENSE, HOLD HARMLES
CONTRACTOR hereby agrees to indemnify and save and hold

harmless CITY, its officers and employees, from any and all
liability, including any claim of liability and any and all losses
or costs arising out of the negligent performance of this
agreement by CONTRACTOR, its officers or employees or from any
willful misconduct of CONTRACTOR, its officers or employees while
engaged in the performance of this agreement.
9. WORKERS' COMPENSATION
CONTRACTOR shall comply with all of the provisions of the
Workers' Compensation Insurance and Safety Acts of the State of
California, the applicable provisions of Division 4 and 5 of the
California Labor Code and all amendments thereto; and all similar
state or federal acts or laws applicable; and shall indemnify,
defend and hold harmless CITY from and against all claims,
demands, payments, suits, actions, proceedings and judgments of
every nature and description, including attorney's fees and costs
presented, brought or recovered against CITY, for or on account of
any liability under any of said acts which may be incurred by
reason of any work to be performed by CONTRACTOR under this
Agreement.
CONTRACTOR shall obtain and furnish evidence to CITY of
maintenance of statutory workers' compensation insurance and
employers' liability in an amount of not less than $500,000 bodily
injury by accident, each accident, $500,000 bodily injury by
disease, each employee, and $1,000,000 bodily injury by disease,
policy limit.
10. INSURANCE
In addition to the workers' compensation insurance and
CONTRACTOR'S covenant to indemnify CITY, CONTRACTOR shall obtain

and furnish to CITY the following insurance policies covering the
PROJECT:
A. General Liability Insurance. A policy of
general public liability insurance, including
motor vehicle coverage. Said policy shall
indemnify CONTRACTOR, its officers, agents and
employees, while acting within the scope of
their duties, against any and all claims of
arising out of or in connection with the
PROJECT, and shall provide coverage in not less
than the following amount: combined single
limit bodily injury and property damage,
including and blanket contractual liability, of
$1,000,000 per occurrence and in the annual
aggregate. Said policy shall name CITY, its
officers, and employees as Additional Insureds,
and shall specifically provide that any other
insurance coverage which may be applicable to
the PROJECT shall be deemed excess coverage and
that CONTRACTOR'S insurance shall be primary.
B. Professional Liability Insurance. CONTRACTOR shall
acquire a professional liability insurance policy
covering the work performed by it hereunder. Said
policy shall provide coverage for CONTRACTOR'S
professional liability in an amount not less than
$500,000 per claim and annual / aggregate.
Certificates of Insurance for said policies shall be approved

in writing by the City Attorney prior to the commencement of any
work hereunder. All Certificates of Insurance (and the policies
of insurance or endorsements thereof) shall provide that any such
Certificates and policies shall not be cancelled or modified
without thirty (30) days' prior written notice to CITY.
CONTRACTOR shall notify CITY immediately if and when any of said
policies is reduced in coverage or limits due to payment of a
claim by its insurance carrier.
15. INDEPENDENT CONTRACTOR
CONTRACTOR is, and shall be, acting at all times in the
performance of this Agreement as an independent contractor.
CONTRACTOR shall secure at its expense, and be responsible for any
and all payments of all taxes, social security, state disability
insurance compensation, unemployment compensation and other
payroll deductions for CONTRACTOR and its officers, agents and
employees and all business licenses, if any, in connection with
the services to be performed hereunder.
11. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good
and workmanlike manner. CITY may terminate CONTRACTOR'S services
hereunder at any time with or without cause, and whether or not
PROJECT is fully complete. Any termination of this Agreement by
CITY shall be made in writing through the City Engineer, notice of
which shall be delivered to CONTRACTOR as provided in Section 20
herein.
12. ASSIGNMENT AND SUBCONTRACTING
This Agreement is a personal service contract and the
supervisory work hereunder shall not be delegated by CONTRACTOR to

any other person or entity without the consent of CITY.
13. CITY EMPLOYEES AND OFFICIALS
CONTRACTOR shall employ no CITY official nor any regular
CITY employee in the work performed pursuant to this Agreement.
No officer or employee of CITY shall have any financial interest
in this Agreement in violation of California Government Code
Sections 1090 et seq.
14. NOTICES
Any notices or special instructions required to be given
in writing under this Agreement shall be given either by personal
delivery to CONTRACTOR'S agent (as designated in Section 1
hereinabove) or to CITY'S Director of Public Works, as the
situation shall warrant, or by enclosing the same in a sealed
envelope, postage prepaid, and depositing the same in the United
States Postal Services, addressed as follows:

SCOPE OF SERVICES
Huntington Beach Municipal
Pier Design Phase I
1. Services
Exhibit "A"
The Engineer shall attend meetings and work with the pier Design
Committee in performing the work. The Pier Design Committee will
direct the Engineer to provide various levels of effort in the
following areas:
a. Review of previous pier studies with special emphasis on history
of damage to the pier and oceanographic work.
b. Supplemental oceanographic studies, to determine the height and
structural design parameters for the new pier along with pier
siting studies to determine the most suitable location for the
pier. These studies to include community need and environmental
concerns as well as permit agency conditions.
C. Evaluation of various construction materials for the pier to
maximize pier life and minimize maintenance.
d. Studies relating to the pier size, shape and configuration. The
final shape of the pier will consider future uses of the pier

e. Determination of pier appurtenances (structures, fire
protection, lighting, power, sewer, furniture and railing) to be
incorporated in the structure.
f. Determination of permit and historical act requirements.
2. Work Product:
The Engineer will incorporate his recommendations along with the Pier
Design Committee's concept into a Preliminary Pier Design Plan and
brief report which will identify the shape, size and configuration of
the pier along with the materials to be used in its construction.
3. Compensation:
The City shall compensate the Engineer for services performed as set
forth herein on an Hourly Rate and Reimbursable Expenses as contained
in the Rate Schedule for Professional Services. Engineer's
compensation shall not exceed Fifty Thousand Dollars ($50,000.00)
without prior written consent from the City.

STATEMENT OF ISSUE:
A Historical Assessment and Environmental Impact Report are needed in conjunction with
the pier design. Therefore, the consultant agreement between Moffatt and Nichol Engineers
and the City needs to be amended a second time.
RECOMMENDATION:
Approve the pier design Consultant Agreement Amendment No. 2 between Moffatt and
Nichol Engineers and the City.
ANALYSIS:
On November 21, 1988, the City Council approved the selection of Moffatt and Nichol
Engineers to develop a design concept for the replacement of the municipal pier.
Subsequent to this action, Council amended the agreement to include the preparation of
plans and specifications for a new pier.
In conjunction with the design of the new pier, the city must provide a Historical
Assessment of the existing structure per the State Historic Preservation Office, Section
106, permit regulations and, an Environmental Impact Report. These services were not
included in the original agreement nor Amendment Number One. Therefore, the Director of
Public Works recommends approval of a second amendment that would authorize Moffatt
and Nichol to prepare the Historic Assessment and an Environmental Impact Report.
Based on this action, the cost of amendments to the Moffatt and Nichol Agreement can be

The City's Pier Design Committee has been meeting regularly in pursuit of a new pier
concept. Although the concept is not yet finalized, in order to have a new pier in place by
Summer, 1991 certain aspects of design must proceed. Soils test need to be taken and a
vertical load design for the deck must be developed. Moffatt and Nichol have aqreed to
complete the design of a new pier, of approximately the same length and configuration as
the existing pier, for a fee of $302,200.00. Whether the pier is steel, concrete or a
combination of the two will not significantly affect the design fee or the validity of soils
and deck loadinq analysis that must be done now.

TASK 3: CONSTRUCTION SERVICES
This task includes review of shop drawings, office and field
consultation during construction, monthly site visits to observe
contractor progress, preparation of design details for changes
made during construction, preparation of record drawings based
on contractor furnished data, and final walk through with the
City to establish Contractor's final punch list at the end of
construction. This does not include daily construction
inspection services.
We propose to provide the services under Tasks 1 and 2 for a FIXED FEE of
$267,200 and Task 3 on a Time and Materials basis with a budget of $35,000.

RESOLUTIONS 5836 AND 5835—INSURANCE December 23, 1988
I am speaking as an insurance man, not as a councilman when I make the recommendations
I am making.
We have run into some serious problems in the city with the current insurance Resolutions
5835 and 5836, which apparently are based more on interpretation than they are on the
physical aspects of the resolutions. I recommend that the. council take unilateral action
to make changes in Resolution 5836 and 5835.
Resolution 5835, copy attached, currently has provisions for limits under Section 1.
Coverages Required, a. General liability, that a, "combined single limit bodily injury and
property damage policy, including products and completed operations liability and blanket
contractual liability," be provided with minimum limits of $1,000,000 per occurrence and
$2,000,000 aggregate. I recommend that we drop the $2,000,000 aggregate requirement
and change the limit to be a minimum of $1,000,000 occurrence/$1,000,000 aggregate.
Based upon the information that I have received, this should resolve the majority of the
problems of the general liability insurance..
As far as #5836 is concerned, there is in the first paragraph, the requirement, "Whereas,
there are design. engineering consultants who provide professional services to the city," I
recommend that the term, "design engineering" be removed from that to make it read,
"Whereas, there are consultants who provide professional services to the city." I would
also recommend that in #5835, under the provisions for professional insurance, Section
C-4, the word "design engineering" also be deleted and made into strictly "consultants," as
it appears throughout that paragraph.
The major problem we're having, particularly in the public works area right now, appears
to be in the area where we are hiring consultants for such things as fundraising, pier
design, etc. Because the current resolution No. 5836 involves design engineering
consultants only, those people are being forced into the resolution No. 5835 for
contractors, and because of the nature of their risk, are unable to provide products in the
completed operations. I will be happy to elucidate in that area, however, let me affirm
that there is no coverage usually for a professional liability exposure in the area of
products in the completed operations because the insured does not involve himself with
products or become exposed to completed operations. They should have professional
liability, not products and completed, as provided under the ordinance 5836.
I would like very much to ask that council consider this and, at the earliest opportunity, if
the council is in agreement, ask for a. revision of the resolutions to reflect the change in
need. Thank you very much.
