CITY OF HUNTINGTUN BEACH
THIS AGREEMEN'r, mace and entered into on this XJQ� day of
1983, by and between the CITY OF HUNTINGTUN BEACH, a
municipal corporation of the State of California, hereinafter
referreu to as "CITY," and NOBEST I,NCURPURATED, a corporation,
hereinafter referred `o as "CONTRACTOR."
WHEREAS, CITY has solicitec bids for a public works )roject
(herein as PROJECT) more fully described as the widening of the
north side of Yorktown Avenue) between Kintington and Delaware
Streets) and modifications to the median island at Brookhurst and
Continental. -- CC 567, and

WHEREAS, CONTRACTOR has been selected and is to perform said

plans and not mentioned in the specifications, shall be of like
effect as it indicated and mentioned in both. In case of dispute
or inconsistency between any plan or specification, the matter
shall be immediately submitted to the Department of Public Works

sai. discrepancy shall not be adjustf,d by CONTRACTOR, save only at
his own risk and exoense.
Should there be any conflict between the terms of this
agreement and the bid or proposal (-)r CUNTRACTUR, then this
agreement shall control and nothing herein shall be considered as
an acceptance of the term_ of said hid or- proposal which is in
conflict herewith.
3. COMMENCEMENT OF PROJECT
CON'rRACTUR agrees to commence the project with 10
calendar days after- notice o proceed is issued and sha]1
diligently prosecute. it to the comp letin- n wi thin 50 calendar days
from the execution of this contract by CITY, excluding dela�,s
provided for in Section 16 herein.
4. TIME. OF THE: ESSENCE:

Do.:uments for all shop draw i nc s, details, samples, and do all
other things necessary acid incidental tO the prosecution of his
work in conformance with thr.� said progress schedule. He shall
coordinate the work. covered by Lhi -, contract, with that, o: all
other contractors, subcontractors and of the CITY, in a manner
that will facilitate the efficient completion of the project and
in accordance with Section 3 herein. CITY shall have complete
control of the premises on which the work is to be performed, and
shall have the right to decide the time or order in which the

5. CHANGES
CONTRACT �R hereby agrees, to make any and all changes,
furnish the materials and pertorrn the word: the DPW may require

strictly to the plans and spec ificatinns unless a change therefrom
is authorized in writing by the DPW. Undc.r n.,-) condition shall

extra charges made by Cc)NTRACI'Ok that have not been agreed upon in

h. NOTICE TO PROCEED
No work, services, material, or equipine nt shall be
pertorrned or furnished under this agreement unless and until a
notice to proceed has oeen given to the CUNTkACTOR by CITY. CITY
does not warrant, that the work site wi .l 1 he av3i lable on the date
the Notice to Proceed is issued. In event of a delay in
commencement due to such unavailability, relief to t:he CONTRACTOR
shall be limited to a time extension equal to the delay due to
such availability.

9. CALIFORNIA PREVAILING WAGE LAW

holiday and overtime work in the locality in which the work is to
be performed for each craft or type of w-rk needed to exec ite this
contract, and the same has been set torth by resolution on We in

less than said prevailing rates shall t)e paid t .) wrjr!,ers employed
on this Public Works contract. as required by Labor Code Sections

provisions of Section 3700 of the Labcr Code, CONTKACTOK further

require more than eight (8) hours of labor in a day from any
person employed by him hereunder except as provided in paraULaph g
above .

15. INDEPE:NDENT CONTRACTOR
It is further understood and agreed that the CONTRAC'rOR
is, and shall be, acting at all times as -n independent contractor

16. LIQUIDATED DAMAGES)
It is agreva by the parties hereto that in case the
total work called for hereunuer in all parts and reguirements is
not finishe-rd or completed within tht� number of calendar days as
set forth in Section 3 herein, damage wi 11 .5e:' sustained by CITY,
and that it is and will be impract:ica1 .aney extremely difficult to
asce tain and determine the actu-i1 damage which CITY will sustain
in the event of and by reason of such delay; and it is, therefore,
agreed that CUNTkACTUN wi 11 pay to CITY they sum :-)t two hundred
dollars (S20U.00) per day fc)r each and every working day's delay
in finishing the work in excess of the numhor (A workincj days
prescribed; and CONTRAC"TOR agrees Ln pay s"id damages herein
provided for, and further agrees that CITY may deduct the amount
thezeof from any monies dues- Cor that. may become due to CONTRACTOR
hereunder.
CONTRACTOR will. be granted an #',xte-nsion of time and will
not be assessed with damayes for any portion of the delay in
completion of t;ie work due to unforeseeable causes beyond the
control and without the fault or negligence of CONTRACTOR,

including but not restricted to acts of God or of the public enemy,
fire, floods, epidemics, quarantine restrictions, strikes, and
unsuitable weather, or delays of subcOntr.actors due to such causes.
CUNTRACTUk shall within fifteen (15) days from the begin-
ning of any such delay (unless the DPIN shall grant a further period
of time prior to the date of fina1 settlement of the contract)
notify the DPW in writing of the causu of she delay, and CITY shall
extend the time for completing the work if, in its judgment, the
findings of tact thereon justify the delay, and its decision is
conclusive on the parties hereto.
Should C ONTRACTUR be delayed in the prosecution or com-
pletion of the work by the act, negleCL or deta►ilt ot CITY, or
should CON'rRAC,rOR be delayed waiting for materials, it said mater-
ials are required by this contract to bo furnished by CITY, or by
damage caused by fire or ether casualty fnr which CUNTkAC:TUR is not
responsible, or by th-_• combined action of the workmen, in nowise
caused by or resulting from det-au 1 t -)r- collusion on the part of
CONTRACTOR, in the event of a lock(DuL b%,/ CITY, then the time herein
fixed for the completion of the work shall t)e extended the number of
days the CUN'rRACTOR has Lnus been delayed, but no allowance or
extension shall he made unless a claL;m therefor is presented in
writing to CITY within fifteen (15) days of the commencement of such
delay.

delays, irrespective of the
cause thereof and
including
without
limitation, the furnishing of
material by CITY,
or delays
by other

ccntractors, subcontractors or CITY will he allowed and said
extension of time for the completion shall be the sale remedy of
CON'rRACTUR.
17. DIFFERING SITE CONDITIONS
( 1 ) Notice. 'I'he contractor shall promptly, and
before such conditions are disturbed, notify the DPW, in writing
of .
( a ) subsurface or latent physical conditions at
the site differing materially from those indicated in this
agreement; or
(b) unknown physical conditions at the site, of an
unusual nature, dif.ering materially from those ordinarily
encountered and generally r.ecoynizr?d ac inherent in wor': of the
character provided for in this agreement. The UPW shall promptly
investigate the conditions, and it it finds that such conditions
do materially so differ and cause an in::rea.;e or decrease in the
time required for performance of any part r,f the work under this
agreement, whether or not changed as a result of seICh conditions,
an equitable adjustment shall he made and the agreement modified
in writing accordingly.
('l) 'rime Extension. No claim of. the CONTRACTOR under
this clause shall be allowed unless the CON'I'RAC'M has c,iven the
notice required in this clause; hr(-)vided, however, the time
prescribed therefor may be extendee by CITY.
18. COMPENSATION
CITY agrees to pay and CUN'FRAC" I'OR agrees to accept as
fell compensation for the faithful performance of this contract,

subject to any additions or deductinns as providec in the Contract
Documents, the sum of forty thousand, seven hundred twenty five
and three hundreths viol Lars ($401 715. u3) , as set forth in the
Contract Documents and provided for in Section 1 herein.
19. VARIATIONS IN ESTIMATED QUAN'ri'r:E:S
The quantities listed in the hick schedule will not
govern final dayment . Payment
to
the C ONTRACTOK
will be made only
for the actual quantities
of
contract items
constr'u.:ted in
accordance with the pians and sped f ications. Upon completion of
the construction, it the actual quantities show Hither an increase
or decrease from the quantities given in the bid schedule, the
contract bid price will prevail subject. to the provisions of this
Agreement. Equitable adjustment in payment will he made upon
increases or decreases in costs due sale ly t<, the variation in
quantity above or below ':hN estimated quantity when warranted by
the facts and circumstances. It the quantity variation is such es
to cause an increase in the time necess,:ir-y for completion, the DPW
shall ascertain the facts and c:ir-cumstarices and make such
adjustment for extending the, completion date as in its judgment
the findings Justify. No claim by CON': KAC'!'Uk for an oquitarAe
adjustment in price_ or time, for completion shall be allowed it
asserted after final payment under- this jr.eement.
20. PROGRESS PAYMENTS
Each month the DPW will make an estimate in writinU of
the work
performed and the

22. AFFIDAVITS OF SATISFACTION OF CLAIMS
After the complet-on of the woO, contemplated by this
contract, CONTRACTOR shall file with the DPW its attidavi.t stating
that all workmen and persons employed, all firms supplying
materials, and all subcontractors upon t-,RuJE;c,r have been paid in

23. WAIVER OF CLAIMS
The acceptance by CONTRAC MR

all
claims
against
CITY
under or arising out of t`iis contract.
24. INDEMNIFICATION; HOLD HARML-'SS; DEFENSE:
CONTRACTOR agr.e,as to protect, defend, indemniFy and hold
and save harmless CITY, its officers, agents and employees against
any and ail. liability, claims, judgments, costs and demands,
including death or injury to CONTRACTOR'S employees, and damage to
property, arising
directly or
indirectly
out
of the obligations
herein undertaken
by CONTRACTOR
or out of
the
operations conducted

negligence or sole willful miscond.ict of CITY. CONTRACTOR will
defend any such suits at the sole cost and expense of CONTRACTOR

Street, and median island modifications on Brookhurst Street at Continental
Drive.
RECOWNIENDATION:
Accept the completed wort: and authorizF, the Cite Clerk to file the Notice
of Completion.
ANALYSIS:
On July 5, 1983, the Cit,..- Council. awarded a contract to Nobest Inc. for
the construction o!! street improvements along the north side of Yorktown
Avenue, between Huntington ��nd Delaware Streets, and median island modi-
fications on Brookhurst Street at Continental Drive. The construction
of this work, in accordance with the approved plans and specifications,
is now complete and, therefore, the Director of Public tlorks recommends

DESIGNATION OF SUBCONTRACTORS
In ccipliance with the "Subletting and Subcontracting Fair Practices Act" being
Section 4100-4113 of the Government Code of the State of California, and any
amendments thereto, each bidder shall set forth below the name and location of
the place of business of each subcontractor who will perform work or labor or
render service to the prime contractor in or about the construction of the work
or irrprovement in an amount in excess of one-half (1/2) of one percent (1%) of
the prime contractor's total bid, and shall further set forth the portion of the
work which will be done by each subcontractor. C1nly one subcontractor for each
portion shall be listed.
If the contractor fails to specify a subcontractor for any portion of the work to
be performed under the contract, he shall be deemed to have agreed to perform such
portion himself, and he shall not be permitted to subcontract that portion of the
work except under the conditions hereinafter set forth.
Subletting of subcontracting of any portion of the work to which no subcontractor
was designated in the original bid shall only be permitted in cases of public

Pursuant to City Council approval of May 16, 1983, bids were received on June 21, 1983
for the construction of street improvements along the north side of Yorktown Avenue,

In accordance with the provisions of Section 1773 of the Labor Code, the State of
Californin. Director of the Department of Industrial Relations shall determine the general
prevaIll;ig rate of wages, applicable to the work to be done; copies of the latest general
wage rate determinations are on file at the office of the City Clerk and the office of the
Director of Public Works of the City of Huntington Beach, California.
Plans and specifications, together with proposal form, may be obtained at the office
of the Director of Public Works, City Hall, Huntington Beach, California.
No bid will'be received unless it is made on a blank form furnished by the Director of
Public Works. The special attention of prospective bidders is called to the proposal
requirements, set forth in the specifications, for full directions as to the bidding.
The foregoing quantities are approximate only, being given as a basis for, the
comparison of bids, and the city of Huntington Beach does not express or by implication
agree that the actual amount of work will correspond therewith but reserves the right to
increase or decrease the amount of any class or portion of the work, as may be deemed
necessary or expedient by the Director of Public Works.
All bids will be compared on the basis of the Director of Puolic Works estimate of the
quantities of work to be done.
Each bid shall be made out on a form to be obtained at the office of the Director of
Public Works, Development Wing, 2000 Main Street, Huntington Beach, California; shall
be sealed and filed with the City Clerk at the Civic Center, Second Floor Administration
Building, 2000 Main Street, Huntington Beach, California, on or before 2:00 'pm
