Pursuant to your request I have formed an opinion of the fair market
value of the properties involved in the proposed excharrIe bet- een the
City and the Ocean View School District.
The parcels are located adjacent to each ether south of Slater Avenue
and wrest of Edwards Street. Attached hereto is a plat man showing
the City owned Parcel A, shaded in red, and the School District owned
Parcel B, shaded in green. Also, attached are legal descriptions of
the parcels,
The dimensions of Parcel A are 7,04. 01 by 182. 5' and the area is 2. 9499
acres. Pa. -eel B has an area of . 943 acres with dimension-- of 176. 21
by 727. 51. Both parcels are unimproved with level topography. The
parcels are directly comparable in respect to zoning .and utility availa-
bility, as well, as location.
Tr order to form an opinion of *vralue, I have analized a great number of
sales of comparable properties which have occured in this vicinity over
the past three years.
As a result of this analysis, I have arrived at the follovibig conclusions
as of January 23, 19U7,

PURPOSE OF THE APPRAISAL
The purpose of this appraisal is to make an esti-
mate of the fair market value of rwo separate
parcels, each comprising 2.94 net usable acres,
as of January 20, 1967.
The City -owned parcel is located immediately north
of the present School Site No. 31. The school -owned
parcel is the easterly 2.94 acres of the School Site,:
Parcels are legally described under Site Analysis.
Fair market value is defined as the highest price
estimated in terms of money which a property will
bring if e%posed for sale in the open market with
a reasonable time allowed in. which to find a pur-
chaser buying with knowledge of all the uses and
purposes to which it is best adapted and for which
it is capable of being used. (Supreme Court of
California"
This d_afinition further assumes that neither the
buyer nor the seller are under any undue compulsion:
to sell or buy.
In addition, "in terms of money" is conf.trued as
cash equivalent. In other words, it is Oe amount
a seller would cash out. This reflects the fact
that the face amount of some trust deed encumbrances
would be discounted if exposed for sale in the open
market.

SITE ANNALYSIS
INTRODUCTION
The two parcels identified in Lhe map are evaluated
in this appraisal report. Each parcel contains
2.94 acres of laid. Since there are no required
perimeter dedications for arterial highways, both
parcels can be described as net usable area,
METHOD OF EVALUATION
Each of the parcel6, if considered as separate
ownerships, would have some development problems
byy reason of size and shape.. More specifically,
the narrow width of each parcel would p.eclude an
efficient residential subdivision.
However, the school parcel is part of an exit Ling
site which contains 14.67 acres. The school site
includes the 2.94 acres and additional acreage
lying to the west. And, the City -owned parcel,
when acquired by the school district, would then
be joined with school acreage eying to the south.
Thus, each of the parcels is evaluated as if part
of adjacent acreage such that the total, ownership
would be 14 to 15 acres.

evaluated by your appraiser in 41 ;sport darted 6/21/63, 'There
fore, your attention is invited to, that report for detailed
factual data, maps, and. photographs.
LOCATION
Subject parcels are located south of Slater Avenue and vest
of Edwards Street in the City of Huntington Beach. A location
map is on the following page.

Both of subject parcels are portions of various lots in Blocks
A, B, and D, of Tract 291. Detailed descriptions are on fol-
lowing pages.
The lots in 'Tract 281 range in area from 1212.5� on up tan
1270.70. However, since all lots are kYithin the same owner-
ship, the lot lanes effectively do not exist.

A record .search of this area was made for evidence of recorded
sales. From this search, it was concluded that 9 sales were
most significant in the evaluation of subject. These sales
are tabulated on the following page.
INITIAL CONSIDERATIONS
Consideration was initially given to time, terms, and condi-
tions of each sale. Of primary significance is that the market
has been relatively level and static during the past several
years.
All sales were corrected to reflect the price paid Per net
usable acre, The Treason for this is that both of subject
parcels are comprised of net usable area. Or, no perimeter
dedication for arterial highways will be required. Any dedi-
cation would be for a local street. And, residential lots
can front on such streets.
ANALYSIS
Sales 6 through 9 are in closest proximity to subject. These
sales, recorded from 11/64 through 7/65 have price indications
of $25,710/acre on up to $27,410/acre. All are residential
and have a drainage assessment similar to subject. Other than
a gradual upward trend in land values, these sales would pro-
vide good support for subject in the bracket of $27,000/acre.
The most recent residential sale is No. 4. This parcel sold
for $32,41.5/acre. Because of location and lesser drainage
assessment, this sale is felt to serve as a maximum on subject
at $30,000/net usable acre..
CONCLUSION
Thus, as the result of this analysis, giving consideration,
also to othG- less significant data, the following conclusion

4 The CITY OF HUNTINGTON BEACH, hereinafter referred to as "CITY",
5' and the OCEAN VIEW SCHOOL DISTRICT of Orange County, California,

11 A. Contemporaneously with this agreement, CITY and DISTRICT have
12 executed Escrow Instructions No. 440398-VH, dated January 17
13 1967, in :order to effectuate an exchange of zeal property between said
14 CITY and DISTRICT in the vicinity of Slater Avenue and. Edward Street in
=_ 15 Tract No. 281. A copy of said Escrow Instructions is attached hereto as
161 Exhibit "A" and by this reference made a part hereof.
`?a 1-7 B. The real property to be deded by CITY to DISTRICT and
18 designa'ed as Parcel A in the aforesaid Escrow Instructions is bounded
19 on the north by a flood control channel which channel is adjacent to
20 the present southerly boundary of the traveled way of Slater Avenue.
21 The plans of CITY call for an eventual widening of the southerly portion
22 of Slater Avenue. Said proposed widening will not encompass any of the
23 land within Parcel A.
24' C. DISTRICT has stockpiled dirt of DISTRICT on the aforesaid
25 Parcel B, the property to be deeded by DISTRICT to CITY. CITY has also
26 stockpiled approximately 6,800 cubic yards of dirt on the aforesaid
27 Parcel B.

30,E NOW, THEREFORE, in consideration of the mutual benefits to be

1 I. The acceptance by DISTRICT of title to the real property

3 create any liability or obligation on the part of DISTRICT to contribute

,5 the southern portion of Slater Avenue, and CITY shall not condition the
6 development of DISTRICT's school site to be constructed on Tract No. 281
7 upon any such contribution or aid.
8 11. Each party shall retain title and full right to remove and
9 utilize without payment to the other party all dirt which said party had
10 previously stockpiled as more fully described in Recital C set forth
11 hereinabove.

All adjustments to be made on a basis of 30-day month.
Recordation of any instruments delivered through this escrow,
if necessary or ,proper in the issuance of the pol,.y of title insurance
called for, is authorized.
No examination or insurance as to the amount or payment of real
or personal property taxes is required unless the real property tax is

payable on or Before the date of the policy of title insurance.
If any party to these instructions obtain a loan on the land
involved, and during the pendency of this escrow, you are authorized
to furnish the lender, or any one operating on its behalf, any informa-
tion concerning this escrow, including, but not limited to, a certified
copy of the escrow instructions and any amendments thereto.
Execute on behalf of the parties thereto, form assig-ments of
interest in any insurance policies (other than title, insurance) called
for herein and forward them upon close of escrow to the agent with the
request,, first, that insurer consent to such transfer or attach loss
payable clause or make such other additions or corrections as may have
been specifically required herein, and second, that the agent thereafter
iforwa):d such policies to the parties entitledto them. In all acts in

his escrow relating to fire insurance, including adjustments, if any,
you shall be fully protected in assuming that each such policy is Jr.
force and that the necessary premium therefor has been paid.
Unless you are otherwise specifically requested by written
instructions so to do, no examination nor insurance as to the applica-
bility, amount (.r payment of any transfer tax, unposed by any local,
city or county ordinance or otherwise, is required through this escrow,
as the same will be taken care of by the parties !.:arero outside of escrow
and you are not to be concerned with the payment or any such tax.
