3 11. DEVELOPER shall complete construction with 365 calendar days from

I. do building, fertsanent structures or additional earth fill shall be
constructed upon the esoesent area until the plans for such construction have
first been approved in witting by the. Director of the Environmental hanoge:Wnt
Agency of the Coun.y of Orange (hereinafter referred to at; "Director") and a
permit for construction has betn issued by Crantor. District agrees that such
plane shall be approved or disapproved within a reasonable time following
receipt thereof, and that approval will not be withheld without goad cause.
Grantee will hold Aittrict harmless from any loss or claims for damages result-
ing from the inadtquacy of the design of any 3uilditg or other peraa,%ent
structure built upon laid lard.
2. All Loprovoments constructed or placed on the easement area by Grantee
shall be op*rsttd and �salntaiaed at no cost to District. Grantee shall "Intain
said improvewents in a good state of repair.
3. Grantee shall hold District harmless from claims for damage• Rnd cost
of scorn drain repair caused by Grantee 's overloading of the underground flood
cootral stricture (designed for M20-44 hizh+eo:y loading and earthcover fill as
showa on the vonatrvction plans) constructed In the above
describ.td s easent area. Grantee further agrees to reimburse District for the ,
colts of said storm drain repair.
4. Grantee agrees to hold District har.aless from *ny clnLms for damages
from loss of business or damage to installations an said saaawaent area resulting
f from ttra operation, &&inteniace, repair, reconstruction, replacement rr enlarge—
sent of tt.w flood control facility to bs coostrvctsd oe said 1aa, or from
damage caused by floIod oz overflow conditions.
S. Grantee shall save District, its agents, officers and employees harmless
from any and all penalties, liabilities, or losses resulting from claims or
Court action arising directly or indirectly out of any damage or injur7 'o persons
or property by reason of the action of nwissions of the Grantee in exercising
soy of t!et privileges hareic granted of in coasequence thersof ..
6. In the event District finds it necessary In the futcre to enter on and
disturb the surface or subsurface of the above-describ*d land in order to mairr-
tatz, repair, reconstruct, or enlarge the flood control facility. District's
only responsibility shall be to restore any section of the flead control facility
affrctod to the seat load specifications as originally constructed and to bacrfill
with compacted earth to the grade of the surrounding property foiloving completion
' of District's activity. The responsibility for restoration of Grsatee's affected
inprovemots within the disturbed area shall be that of Grantee.
7. Except in an emergency, found to exist by Director, if the District
Intends to disturb the surface of the easement area, thin District shall give
Grant&a not lass ttwn 60 d.Rys prier written notice specifying the date of such
eatry, the duration ttwreof and the- nature of the work to be performed by
District . District further agrees to use its best efforts to minimize any
Inconvenience to Grantee or Grantat'c adjoiniat property and to ninimite the
periot+ of time that the surface of tht, easement area will be disturbed.
A. Unless otturvise provided in this esaseatnt deed, the terms , covenants,
and conditions contained heroin shall apply to and bind the heirs, successors ,
executors, administratt,re , and assigns of all the parties hereto, all of uhc*
eh&ll be ,jointly and severally liable heretueder.
