Statement of Issue:
Transmitted for your consideration is a request by Pacific Coast Homes and PLC for the City
Council to provide consent to the pending sale of the property located at 19102 Crystal
Street in the Holly Seacliff Development Agreement area to Carl M. Weaver. Section 4.2 of
the Holly Seacliff Development Agreement requires the City to provide consent to the sale of
the properties covered by the Development Agreement if the sale is to a party not affiliated
with the Developer and if all public improvements have not been completed. Pacific Coast
Homes, or their successor, PLC, will retain all of the Developer's obligations for dedications
and public improvements to serve the property as required by the Development Agreement.
According to representatives of Pacific Coast Homes, the close of escrow for the land sale is
late May 1996. Staff has performed due diligence regarding the pending sale of this
property to Mr. Weaver. Staff recommends that the City Council provide consent to the sale
of the property located at 19102 Crystal to Carl M. Weaver.

Recommended Action:
Motion to:
1. "Pursuant to Section 4.2 of the Holly Seacliff Development Agreement, approve the
request by Pacific Coast Homes and PLC for the City Council to provide consent for the
pending sale of the property located at 19102 Crystal Street to Carl M. Weaver with the
requirement that PLC will retain all responsibilities for community improvements to serve the
property as required by the Development Agreement; and
2. Authorize the Mayor to execute the Certificate of Consent to the Sale of Property and the
Assumption of Rights Duties and Obligations; and
3. Authorize the Mayor and City Clerk to execute the right-of-way easement deeds and have
them recorded in favor of the City of Huntington Beach."
Alternative Action:
The City Council may make the following alternative motion:
"Continue the request for consent for the pending sale of the property located at
19102 Crystal Street in the Holly Seacliff Development Agreement area and direct
staff accordingly."
Analysis:
A. PROJECT PROPOSAL:
Applicant:icant: Pacific Coast Homes and PLC
Location: Approximately 0.77 acres located at 19102 Crystal Street between
Garfield Avenue on the north and Clay Avenue on the south. Also
including right-of-way easement deeds on property located on south
side of Garfield Avenue.
B. BACKGR UND:
On November 5, 1990, the City Council adopted the Holly Seacliff Development Agreement
for the properties owned by Pacific Coast Homes and other Chevron Land and Development
Company sut)sidiaries in the Holly Seacliff area. The Development Agreement requires
Pacific Coast Homes as the Developer to provide numerous public improvements. To date,
the Developer is in compliance with the terms of the Development Agreement as determined
by the annual compliance reports reviewed by the Planning Commission and the City

Council. The most recent report, for 1995, was approved by the Planning Commission on
January 23, 1996 and the City Council on February 5, 1996.
All of Chevron Land and Development Company's properties in Huntington Beach have
been sold to PLC/MS Vickers II, L.L.C. On May 6, 1996 the City Council approved the
consent for the pending sale of approximately 448 acres of property governed by the
Development Agreement to PLC/MS Vickers II, L.L.C. The subject parcel was included in
the 448 acre total. The sale of the 448 acres closed on May 9, 1996 at which time the
subject parcel came under the ownership of PLC. PLC then assumed the development
obligations previously held by Chevron Land and Development Company and its affiliates.
C. STAFF ANALYSIS AND RECOMMENDATION:
According to the letter from Pacific Coast Homes dated April 9, 1996, Pacific Coast Homes
has entered into a purchase and sale agreement with Carl M. Weaver for the sale of the
property located at 19102 Crystal Street in the Holly Seacliff Development Agreement area
(Attachment No. 2). Pursuant to Section 4.2 of the Holly Seacliff Development Agreement,
the City Council must provide consent prior to the sale or transfer of properties to buyers not
affiliated with Chevron Land and Development Company.
The letter from PCH indicates that PCH or its successors will retain responsibility for the
widening of Crystal Street and installation of off-site utilities required by the Agreement. In
accordance with Precise Plan of Street Alignment No. 91-2 and Ordinance No. 3102, a 20
foot wide dedication for public street and utility purposes is required of the subject parcel. In
a letter dated May 2, 1996, Pacific Coast Homes has provided the City with a grant of
easement for the 20 foot wide area (Attachment Nos. 3 and 5). Additionally, a quitclaim of
easement for right-of-way is also being provided on the south side of Garfield Avenue
(Attachment No. 6).
The subject parcel is intended to be used for oil production and related activities, and there
is no development proposed for the site at this time. Therefore, the Fire Department does
not have any concerns regarding remediation of soils on the site. The property owner will be
responsible for any soil remediation necessary should a development project be proposed.
The City Attorney has determined that all of the obligations of the development agreement
run with the land covered by the development agreement and with the buyers. The City
Attorney has prepared a Certificate of Consent Agreement (Attachment No. 4) which will be
signed by the seller, the buyer and the City if consent is provided for the pending sale.
Staff recommends that the City Council provide consent to the sale of the subject parcel and
authorize the Mayor to execute the Certificate of Consent and right-of-way easements.
There are no outstanding public improvement issues related to the parcel, and the terms of
the Development Agreement will be fulfilled.

Environmental Status:
The Holly Seacliff Development Agreement No. 90-1 is covered by Final Environmental
Impact Report No. 89-1 which was certified by the City Council on January 8, 1990. No
additional environmental review is necessary. Staff has prepared a mitigation measure
compliance matrix for Final Environmental Impact Report No. 89-1 which requires the
Developer to complete necessary studies and complete the requirements of the studies prior
to development.

Dear Mary Beth:
Pacific Coast Homes has entered into an agreement to sell the above property, located at
19102 Crystal Street, to Carl M. Weaver. In accordance with Section 4.2 of Development
Agreement No. 90-1, we are formally requesting the City's consent to this sale.
As I mentioned to you over the phone, this property is included in the larger sale of properties
to PLC/MS Vickers, L.P., for which the City's consent was granted on February 20, 1996. It
was PLC's intent to re-sell the property to Mr. Weaver. However, because of the delay in the
closing of the larger sale, PCH would like to proceed with this sale immediately upon
receiving the City's consent. If possible, we would like the City's consent structured to cover
either seller, PCH or PLC, in the event the larger sale to PLC/MSV should close before this
particular sale closes.
Similar to other approved sales of development agreement properties, Pacific Coast Homes (or
PLC as PCH's successor) will retain the obligations for the widening of Crystal Street and
installation of offsite utilities to serve this property in accordance with the development
agreement. In addition, this property will be eligible to utilize PCH's (or its successor's)
available credits for park dedication, traffic impact fees and water capital facilities fees at the
time of development, subject to PCH's (or its successor's) approval.

WHEREAS, on November 14, 1990, Development Agreement No. 90-1 (Agreement) by
and between the City of Huntington Beach, a municipal corporation ("City"), and Pacific Coast
Homes, a California corporation, and Garfield Partners, a California corporation (collectively,
"Developer"), was recorded in the Official Records of Orange County, California as Document
No. 90-599766; and
On May , 1996, the City Council of the City of Huntington Beach gave its consent to the
sale of property and assignment of the Developer's rights, duties and obligations arising under the
Agreement from Pacific Coast Homes to PLC and MS Vickers II, L.L.C.; and
By that certain grant deed dated March 1, 1996, and recorded on May 9, 1996 as
Document No. 19960234746 of Official Records of Orange County, California, PLC aquired all
right, title and interest in and to that certain property described in the legal description and sketch
1 a� collectively attached hereto as Exhibit "A," and incorporated by this reference as though fully set
forth herein (hereinafter referred to as the `'Property); and
PLC desires to sell the Property, which is a portion of the entire site covered by the
Agreement, to Carl M. Weaver, an individual, (the "Buyer"), and to assign certain of the
Developer's rights, duties and obligations under the Agreement to the Buyer; and
The Agreement provides in part at Paragraph 4.2 that:
Prior to making the dedications and improvements required herein, Developer may
sell, assign or transfer the Property in whole or in part with the consent of the City,
such consent not to be unreasonably withheld. City's consent will not be required
if such assignment is made to an affiliate of Developer. Any purchaser, assignee or
transferee shall have all of the rights, duties and obligations arising under this

Agreement insofar as such rights, duties and obligations are applicable to the
Property or portion thereof purchased, assigned or transferred; and
The City is willing to consent to the sale of the Property and to the assignment of certain
rights, duties and obligations arising under the Agreement from PLC to Buyer, and Buyer wishes
to memorialize his acknowledgment of all his rights, duties and obligations he shall assume upon
the sale of the Property and assignment of the Agreement;
NOW, THEREFORE, the City, PLC and the Buyer to hereby agree and acknowledge as
follows..
I. CONSENT TO SALE OF PROPERTY
The City hereby consents to the sale of the Property to Buyer.
2. CONSENT TO ASSIGNMENT
The City hereby consents to the assignment of the rights, duties and obligations
arising under the Agreement from PLC to the Buyer, as described in the document attached_
hereto as Exhibit `B," and incorporated by this reference as though fully set for herein.
3. ACKNOWLEDGMENT OF RIGHTS, DUTIES AND OBLIGATIONS
The Buyer hereby acknowledges that by accepting this assignment, he accepts all
of the rights, duties and obligations arising under the Agreement insofar as such rights, duties and
obligations are applicable to the Property or portion thereof purchased, assigned or transferred.
4. RELEASE OF PLC
The City acknowledges that upon acceptance of the assignment of the rights,
duties and obligations under the Agreement by the Buyer as provided above, PLC shall have no

CLARIFICATION OF DEVELOPMENT AGREEMENT 90-1
RIGHTS, DUTIES & OBLIGATIONS BETWEEN
PLC (SELLER) AND CARL M. WEAVER (BUYER)
FOR APN 111-150-18 (PROPERTY)
Section 2.2.1 Linear P k. Seller responsible for all park dedications. To the extent credits exist,
Seller may assign credits to Buyer to satisfy the City's requirement for dedication of land or payment
of park and recreation in-lieu fees in conjunction with the development of the Property by Buyer or
Buyer's successor(s), consistent with the Agreement.
Section 2.2.2: Neighborhood_Parks. Seller retains obligations for design, dedication, improvement and
initial maintenance of neighborhood parks.
Section 2.2.3.Public Right of Way_and Private S reetscape Improvements. Seller retains all
obligations with the following clarifications:
2.2.3(a): Buyer will be obligated to dedicate right of way from the Property for arterial
improvements to Gothard Street at no cost to the City or Seller.
2.2.3(b)a d (c): Buyer will assume the obligation to improve and maintain private perimeter
landscaping, fencing, and signage on the Property.
Section 2.2.4: Traffic and Circulation improvements, Seller retains all obligations, with the following
clarifications:
2.2.4 • Seller will retain all traffic impact fee credits for Developer improvements. Buyer
will be obligated to pay traffic impact fees at the time of development of the Property, subject
to any available credits. To the extent that credits are available, Seller may assign its credits to
Buyer or Buyer's successor(s).
2.2.4(g ; Buyer will be responsible for payment of future fees imposed by ordinance and
applicable to the Property.
2;2.44(h) and (i): Seller will retain all credits and reimbursements due under this section of the
Agreement, unless modified by subsequent agreement with the City.
Section 2.2.5: Water,S-ower, Drainage and Utilily Improvements, with the following clarifications:
2,2,5 b Buyer will be responsible for any onsite drainage improvements required for
development of the Property.
2.2.5(d): Seller will be responsible for undergrounding of overhead utilities associated with the
widening of Gothard Street on the Property. Buyer will be responsible for undergrounding of
overhead utilities located on the Property at the time of development.
2.2.5 : Seller will be responsible for backbone Green Acres lines; Buyer will be responsible
for connections and onsite irrigation systems at the time of development of the Property.
2.2.5(g): Seller will retain all credits and reimbursements due under this section of the
Agreement unless modified by subsequent agreement with the City.
2.2.5(h). Seller will retain all obligations, credits and reimbursements due under this section of

under Sections 2.2.6(b) and 2.2.7(a), Seiler may assign such credits to Buyer or Buyer's
successor(s) to meet fee obligations for the development of the Property.

development of the Property. To the extent Seller may have credits under Section 2.2.5(h),

On motion duly seconded, the following resolutions were
unanimously adopted':
RESOLVED: That any officer of this Corporation or any
division thereof is empowered in such capacity to execute for and
on behalf of this Corporation (without the necessity of affixing
the corporate seal) all papers requiring execution in the name of
this Corporation, except no authority is conferred by this
resolution for execution of any of the following:
documents or agreements establishing bank accounts in the name
of this Corporation, or withdrawing of funds or closing of any

THIS QUITCLAIM OF EASEMENT dated as of May V11, 1996, is made by Mansion
Properties, Inc., a California corporation ("Grantor"), in favor of the City of Huntington Beach,
a California municipal corporation ("Grantee").
WHEREAS, by reservation in that certain Grant Deed dated February 27, 1996 recorded
in the County of Orange, State of California on February 28, 1996, as Instrument NTo.
1996009672, Grantor reserved an easement and right of way for public street and utility
purposes over that certain property described in Exhibits A, B, C and D (the "Easement")
attached hereto and incorporated herein by this reference;
WHEREAS, Grantor desires by this Quitclaim to release, remise and quitclaim to
Grantee its rights, if any, to such Easement;
NOW THEREFORE, Grantor does hereby release, remise and forever quitclaim to
Grantee any and all of its right, claim, title and interest, in and to the Easement situated in-the
