Referring to above numbered agreement, it has now been
determined that we should discontinue the practiop of billing
your Company for periods of five years and assess a flat
rental charge for this installation. The flat ch,^,rge so asses-
sed will be for the life of the agreement with the understand-
ing that all other terms and conditions of agreement shall
remain in full force and effect.
Therefrre, with the payment of bill collectible attached,
your payment for this occupation of Pacific Electric Railvliay
Company property will be at an end, and your occupation of said
property shall continue until onncelled or terminated according
to the terms contained in original agreement.

This new policy will result in a considerable savings on
both your part and ours. I trust this revised handling will
meet with your approval.

With reference to your letter of August 13, 1953,
concerning above numbered lease, covsring location of a 6
inch sevier pipe line crossing on company's Howport Beach
Zane right of way near "A" Street, Huntington Beach:
Records indicate the City of Huntington Beach
has various minor crossing leases which, up to now, have
been formally renewed each lease anniversary date.
It is now Compai3y policy to discontinue p^active
of preparing documental renewal of such minor leases, but,
instead, permit occupancies to continue in effect on a month:
to month basis under authority of the "holdover94 clause, as
provided for in original lease document.
Usual rental bill.. far the term applicable will be
issued and when paid by thet City vii11 constitute notice to
this company of its desire to remain in possession of the
leased property throughout the ensuing terra, subject ,,,o all f
of the terms and conditions of the original. lease.
This new policyivil1 result in a considerable saving
of time and effort on both your and our part in tracing for
the lease renewal, etc. I trust this revised handling will

I. That said Licensor grants to the Licensee the ,privilege to construct, maintain and operate

2- The Licensee and the agents and:employees of the Licensee shall have the privilege of entry
on said preav:;es for the purpose of making necessary repairs to or changes in said structure, and'
the Licenser agrees to at all times keep said premises in a good and level condition to the satisfaction
of the Li;erisor.
3. If is further agreed that at the expiration of said term or any extension thereof, or upon
revocation. of:the privilege hereby granted_.or upon the cancellation of this agreement; as hereinafter
provided., the Licensee shall, at Licensee's,own cost and expense, immediately remove said structure
and restore said premises, as nearly as possible, to the same state and condition they were in prior to
the construction of said structure.
4. Licensee agrees to construct, reconstruct,maintain;operate;remove,alter and make changes
in the location of said structure in such a manner that it or they will not interfere in any way what-
soever with the operations of said Licensor, its successors or assigns, and that the location of said
structure'and all work in connection•with the construction, reconstruction, maintenance, operation,
removal,-alteration, and changes in the location of said structure, as hereinafter provided, shall be
,'.one and made under the supervision and to the satisfaction of the Licensor, its lessors, successors,
or assigns,
$. Should said structure be, in whole or in_part, a pipe, ditch or canal, the
Licensee promises and agrees to provide and maintain in goo 1iion and repair, at the sole cost
and expense of the Licensee,sufficient fences or gratings across.such ditch or canal, where the same
crosses the boundary lines of the right of way of the Licensor to prevent the ingress through such
ditch-or canal,-of animals upon said right of.way. And the Licensee,promises and agrees toindem-
nify and save harrr4ess the Licensor.,a d its lessors, successors, or assigns from and against any and
all,claims for loss or damage, which maybe made against them, or either of them, and all damages,
losses, costs and expenses which'they;or either of them,shall sustain, pay, or;incur by reason-of the
killing;or_.injuring of any animal upon said right of way, or,by reason c'f the presence.of any animal
upon said right of way,when s,rch animal shall have entered thereon by means of.such ditch or canal.
6. Said.Licensee hereby agrees to indemnify and save harmless the Licensor,its successors or
assigns, from any and all damages, claims, demands and liability whatsoever, growing directly or
indi"featly out of the construction or reconstruction,maintenance, operation, or removal of said struc-
ture or pipe,line, and from all damages and liability of whatsoever kind or nature by reason of any
injury;tliat may occur to said pipe line, or to the Licensee,its agents, employees or property, or to

the property of the agents or employees of the Licensee, by reason of any injury that may oe:cur to
said pipe line, caused directly or indirectly by the operation of the railroad of the Licensor, or by
fires, or any other cause whatsoever, whether traceable to negligence of the Licensor or its successors
or assigns, agents or employees, or otherwise.
7. Said Licensee hereby agrees to effectively and permanently insulate its pines in such a man-
ner as to prevent the flow of the electric current in same, and explosion from electric sparks. The
insulation of the pipes from the earth shall be effected by incasing the pipes in redwood boxes filled
with asphaltum the entire length of the pipes under the L•, .isorls:right of way; excepting pipes .of
not more than three-fourths (%) inch diameter,which,may �e insulated by.wrapping said pipes with:a
covering of burlap saturated with hot asphalt and passed through ra length of two (2) inch wrought
iron pipe which has been previously coated by dipping in hot asphalt. This two (2): inch pipe'shall
extend not less than five (5) feet on each side of the rails. The pipe.of three-fourths (%) inch
ameter or less shall be wrapped and saturated with asphalt for, a distance of at least:fifty (50) feet on
each side of the tracks and shall be tested to make certain that there shail be no.metallic connection
between said. three-fourths (3/) inch pipe and the,aforesaid two (2) inch:pipe.:. Wherever oil stand
pipes are placed on the Licensoe's'right of_way for:the purpose of loading or unloading oil, an ap-
proved insulating union must be placed in each stand pipe. Said insulation to be inspected and ap-
proved by the Electrical Superintendent of the Licensor before said pipes are placed in use. The
Licensee further agrees that it will indemnify and hold harmless the Licensor against any claim which
may be made for injury to life or propertv, caused by or arising out of an 'explosion from electric
sparks,``or''due to failure of the Licensee to properly insulate its pipes, and said Licensee hereby 'a$-
sumes all risk of damage to Laid line or any pipe lines or property-of Licensee, caused by elec-
trolysis,or the escape of electric current, or the entry'thereof into said pipes or property of the
Licensee, and agrees to hold and save'harmless the Licensor, its successors Wand assigns; rom-any.
and-all .claims, demands and liability whatsover caused by electrolysis or the escape of electric current,
by reason of thepresence of the pipe or pipes herein mentioned.-
8. The;top of said pipe shall b-. not less than eighteen (18):inches below base of tie, and no
pipe.shall be installed nearer than 2'-5" from any trolley pole.
9. In the event any work upon or in connection with said structure or its:appurtenances to-be
done upon, beneath or adjacent to the tracks and property of Licensor should be let to a contractor by
Licensee, such work shall not be begun until such Contractor shall have first entered into an agree-
ment with Licensor, satisfactory to Licensor and indemnifying Licensor. from and against all`clairrs,,
demands, costs, loss, damage and liability; growing out of the performance"of the.work to be done'by
such Contractor, and such Contractor shall MADE A CASH DEPOSIT OR FliRNISH, of no ex=
pense to Licensor, a good and sufficient reliable Surety Company bona, such cash deposit or bond
to be in,such amount as may be specified by`Licensoi for the faithful performance of all the terms,
covenants,:conditions and stipulations contained in said agreement to be entered:into with;Licensor
by said Contractor, as here in this paragraph provided; the form of said bond to be satisfactory to
Licensor.
When any work is done by the Licensee in connection with the construction or maintenance
of the structure i_^rein referred to, Licensee shall pay any cost or expense incurred by Licensor for
work it shall do in connection therewith and such cost and expense shall include all engineering, in-
spection and other direct labor charges plus 15% of such engineering,inspection and other direct labor
charges,and shall also include the cost of all.material used plus 10% of such cost, said percentages
covering the use of hand tools, supervision, general expenses and material store expense.
10. Licensee will fully pay for all material-, joined or affixed to said premises, and pay in full
all, persons that perform labor upon said premises, and will not permit or suffer any mechanics' liens
or materialmen's liens of any kind or nature to be enforced against said premises for any work done
or materials furnished thereon at Licensee's instance or request.
11. Licensee will on 0-mand repay to Licensor all notaries' and recorders' fees necessarily ex-
pended by Licensor for the purposes prescribed by the laws of this State, in the protection of
Licensoe's interests in and to said premises.
12. 'In-case Licensor shall bring suit to compel performance of,''or to recover-for'breach of,any '+
.covenant, agreement, or condition herein written, Licensee shall and will pay to Licensor reasonable
attorney fees in addition to the amount of judgmEnt and costs.
13. It is further agreed that should the Licensor, its lessors, successors or assigns, at any time
require the removal, reconstruction, •alteration, or changes in the location of said structure, or shall
at any time or times construct an additional track or tracks, the Licensee shall, at Licensee's own
cost arid;expense, immediately remove, reconstruct, alter, extend or make changes in the location of
si Structure in a manner satisfactory to the Licensor upon receiving written notice from Licensor,
,its lessors,successors or assigns so to do.
14. It is further agreed that this license is personal to the Licensee, and in case said Licensee
shall attempt to assign or transfer the same, in whole or in part, without the written consent of the
Licensor, or•shall for a period of sixty days continuously fail to use said structure,this license may,
by notice from the Licensor to the Licensee,'be revoked.
15. And it is further agreed and understoo l that this agreement may be cancelled by either
party hereto giving thirty days' notice in writing to that effect to the other.
16.• Except as otherwise provided herein, the terms and conditions of this agreement shall
inure to the benefit of and be binding upon the heirs, administrators, successors and assigns of the r
parties hereto.
y 17. It is expressly understood and agreed that the Licensee will at no time claim the property
of.Licensor, nor any part thereof, as dedicated to public use by reason of the use of such property

This agreement is made upon the following terms and conditions:
1. Licensee, hereby acknowledges the title of Licensor in and to the premises described in this agreement anal
agrees never to assail or resist said title.

�. Licensee and the agents and employees of Licensee shall have the privilege of entry on said premises for the
purpose of making necessary repairs to or changes in said structure,aryl Licensee agrees to at all times keep said -'
premises in a good and safe condition free from,waste all to the satisfaction of Licensor. If Licensee,fails to keep a
said premises in a good and safe condition,free front waste, then Licensor may perform the necessary work at the
expense of Licensee, which expense Licensee agrees to pay to Licensor upon.demand. Licensee agrees that all work
upon,-or in connection with., said structure shall be,done at such times and in such manner as not to interfere in any
way whatsoever with the operations of Licensor, and that the location of said structure and all said work shall be
done and made under the supervision and to the satisfaction of Licensor. In the event Licensor shall at any time
or times require tke removal, reconstruction, alteration or changes in the location of said structure, or shall at any
time or tirnes construct an additional track or tracts ten Licensee agrees at Licensee's owns sole cost and expense,
upon receiving written notice from Licensor so to do, to forthwith construct and maintain an additional structure
or extend or change Said structure or immediately remove, reconstruct, alter or stake changes in the location of said
structure as may be requesteeby Licensor and in a manrxer satisfactory to Licensor.
S. Licensee shall not assign or transfclljhLs agreement, in whole o•in part, or permit ant/other person to use
the rirht.or privilege hereby given,without the written consent of.Licensor first had and obtained.
1. In the event Lf6e see shall discontinue the use of said structure or shall abandon the same,all rights hereby
given shall forthwith cease and determine.
,Should Licensee fail to keep,observe and perform any covenant or condition on Licensee's part herein,contained,
all riglets hereby given shall, at the option of Licensor,forthwith cease and deter•ntine. Upon. terininciion of the
privileges contained herein or upon,lerrnirration of this agreement,as hereinafter provided;Licensee shall,at Licensee's
own cost and expense,intmedialely remove said structure and restore said premises as nearly as possible to the same
state and condition they were in prior to the construction of said structure. Should Licensee in euch even,:fail,
neglect or refuse to so remove said structure and so restore said premises, such ren anal and restoration may be per
formed by Licensor at the expense of Licensee,which expense Licensee agreee's to pay la Licensor on denvand.

5. Licensee shall indemnify and save, harmless the Licensor from and against any and all loss, dantage,
liability, expense, claims and demands, of whatsoever character, direct or consequential, including injuries to
employees of,Licensor or to third persons,damage to property belonging to or in the custody or possession of Licensor
or third persons, whether upon the properly or right of way of Licensor, or elsewhere, caused directly or indirectly
by the construction, renewal, relocation, operation, maintenance, presence or rcmova' of said structure, adjuncts or
appurtenances. '
S. The Licensee shall assume all risk of damage to said structure and appurtenances and to any pother property
of said Licensee,or any properly under the control or custody of the Licensee,while upon the properly or right of way
of Licensor or in proximity thereto, caused by or contributed to in any way by the construction, operation,main-
tenance or presence of the line or lines oj'railroad of the Licensor or its or their present or future adjuncts or appur-
tenances, and does hereby release and vgrees to indemnify and save harmlest. the Licensor from and.against any
and all liability for injuries suffered by Licensee or the agents or the representatives of the-Licensee, or any other
person or persons while engaged.in the construction, maintenance, operation, replacement or removal of said
structure and appurtenances, caused by or contributed to in any way by the construction, operation, maintenance
or presence of the line or lines of railroad of the Licensor or its or their present or future adjuncts or appurtenances
or caused in any other respect whatsoever.
7. In the evr~nt any work upon or in connection with said structure or its appurtenances to be done upon,
beneathor adjacent to the tracks and properly of Licensor should be let to ContractoWY jlicensee, such work shall
not be begun until such Contractor'shall have first entered into an agreement with Licensor, salisfactory to Licensor
and indemnifying Licensor from and against all claims, demands, cost, t damage and. liability, growing out
of the performance of the work to be.done by quch Contractor, and such Contractor shall-furnish, at no expense to
Licensor, a good and sufficient reliable Surety Company bond in such amount as mdy be specified by Licensor for
the faithful performanee of all the terms, covenants, conditions and stipulations contained in said agreement to be
^-dered into with Licensor by said Contractor, as here in this paragraph provided; the form, of said bond to be
satisfactory to Licensor.
S. Licensee will fully pay for all materials joined or affixed to said premises, and pay in full all persons that
perform labor upon said premises, and will not permit or suffer any mechanics' liens or materialmen's liens of any
kind or nalttre to be rnforced against said permi es for any work done or materials furnished thereon at Licensee's
instance or request,
9. In case Licensor shall bring suit to compel performw•:nce of, or to recover for breach of, any covenant,
agreement or condition herein w itler,, Licensee shall and will pay to Licensor reasonable altorncy'fees in additionn
to the amount of judgment and costs.
10. This agreement may be terminated by either party hereto by giving thirty (30) days'notice in writing to that
effect.
11, Except as otherwise provided herein, the terms and.conditions of this agreement shall inure to the benefit of
and be binding upon the heirs,executor i, administrators,su,xsssors and assigns of the parties hereto.
