On October 12, 1'?60, the Southern Pacific ComDany
Filed an Application with the Interstate Commerce Commission
wherein it seeks permission ;o gain control of a major rail-
road competitor--the Western Pacific Railroad Company.
Following this action by the Southern Pacific
Company, the Santa Fe Railway Company filed its Application
with the Interstate Commerce Commission on October 25, 1960,
requesting permission to acquire control of the Western
Pacific Railroad Comp,_' y and, as you know, the '.western Pac;fir.
Railroad Company and the �'rea.t NortKern Railway Company have
since filed petitions with the Commission in support of the
Santa Fe proposal and in on_ position to the Southern Pacific
plan.
In the event that re_nresentatives of the Southern
Pacific Company contact you in an effort to gain the support
or endorsement of ,your City Council it. favor of their plan,
I should appreciate being informed in order that we, at the
Santa Fe, might then riake arrangements to aTpear before the
Council and explain our proposal and .why we think it extremely
important th-it competitive railroad service be maintained in
the State of California end elsewhere.

'We were glad to hear of your interest in getting the
PacificElectric tracks removed in Seal Beach, While youlrre'.at
it see what you can do to extend the idea on into Huntington
Beach. _Actual_ly,, Ernie, this thing got started 'about ten yearn
ago, when the California, State H ghway Department attempted to
acg4ir°e a portion:.of the Paciflic Electric Right-Of-Way for
highway widening purposes between. Huntington Beach and Newport
Beach.
In our attempts to _unravel the several reversionary
interests in this portion of Right-Of-Way, it was finally agreed,
as far as the City of Huntington Beach is, macerneds chat the
rail toad and the City would`share equally in. the Right-Of-Way.,
and that the railroad, Would appZj to the Taterstate Conroe,
Commission for permis:jiont to abandon the line.
The City of Nwvport Beach Agreed to handle any eon u
piaints from nxs st ing customers who would propose to be heard
at the ;nubli.c heari. ;. (her negotiations, have proceeded to .the h:
paiAt where the Pac�ic Electric Railway has filed their ap-
plication vith the Iriters Late Commence Commission.

Refers to your letter July 10, 1959, relQ ive to
basis for settlement of right of way negotiations as par
appraisals and offer of the Highway Division oP the State of
California;
As requested, I am attaching for your Information
and files Verifax copies of statements of the two independent
appraisers verifying expenses Pacific Electric Railway Company
has incurred up to the present time in connection with the
State taking.
in my letter of June 9, 1959, it was stated the
expenses incurred for these two appraisals amounted to $3,600.
You will note,from the statements, the actual cost was $3,M
($2,000 for the Sando appraisal and $1,650 for the Goode appraisal) .
Therefore, the actual proration of expenses to the City of
Huntington Beach will amount to $596.50 rather than $580.50 as
quoted previously.
I sasaume the City is agreeable to this small adjustment
in the division of expenses; and. as soon as we have confirmation
from tho other parties involved,, we shall handle furthel, with this
State cf California toward cowplaXon of negotiations.

We have had some negotiations with the Highway Division of the
State of California concerning palment for the proposed taking of a por-
tion of the Pacific Electric Railway Company Newport Beach ?.,ine right of
way in the pending Condemnation, between a point south of "AI' Street
and the southerly City Limits of the City of Huntington Beach.
The State has expressed interest in taking the entire width
of the right of Wray between those points, which would be contingent or.
Pacific Electric abandoning the Line between First Street, Huntington Beach,
and the end of the Line in Newport Beach. Such abandonment will depend
on further negotiations wrath the City of Newport Beach, which are underway.
The Pacific Electric appraisal for the entire vi.dth of right of
way between the westerly line of the old 40 foot Southern Pacific Company
right of way at "All Street and the southerly City Limits of Huntington Beach,
is $501,100 and the State appraisal $398,974. The indications are the
State will pay 141?450,000 as a compromise settlemsrit.
Pacific Electric Railway Company has incurred expenses up
to the present, time totaling $3,600, paid to two independent Appraisers,
in connection with the proposed State taking,

the values for each section of the right of may described in each appraisal
so as to total 450,000 for the entire tale and to then average the
figures in the two appraisals for each section.

satisfactory for Pacific Electric to proceed on this basis, please sign
copy in space provided and return to this Office.
Enclosed is Statement shoring appraisal ar±d adjusted figures
by sections.
