ENTIRETY . . . . . . . . . . . . . . . . . . . . . . . 10 PROFESSIONAL SERVICES_CONTRACT BETWEEN THE_REDEVELQPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH AND MCIFIC RELOCA1112NO2TSULTANTS FOR PROVIDING FOR_RELOCATION ADMINISTRATION THIS AGREEMENT, made and entered into this 5th day of October , 1992, by and between the REDEVELOPMENT AGENCY OF THE CITY OF HUNTINGTON BEACH, hereinafter referred to as "AGENCY, " and PACIFIC RELOCATION CONSULTANTS, a California corporation, hereinafter referred to as "CONTRACTOR." WHEREAS, AGENCY desires to engage the services of a contractor to supervise and administer relocation programs for the Redevelopment Agency in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3 .03 relating to procurement of professional service contracts has been complied with; and CONTRACTOR has been selected to perform said services, NOW, THEREFORE, it is agreed by AGENCY and CONTRACTOR as follows: 1. WORK STATEMENT CONTRACTOR shall provide all services as described in the Request for Proposal, dated July 27, 1992 and CONTRACTOR'S response dated August 11, 1992, (hereinafter collectively referred to as Exhibit "A") , which is attached hereto and incorporated into this Agreement by this reference. Said services shall sometimes hereinafter be referred to as "PROJECT. " -1- 9/22/92:jn U CONTRACTOR hereby designates David A. Stadler, who shall represent it and be its sole contact and agent in all consultations with AGENCY during the performance of this Agreement. 2. AGENCY STAFF ASSISTANCE AGENCY shall assign a staff coordinator to work directly with CONTRACTOR in the performance of this Agreement. 3. TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of the CONTRACTOR are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than two years from the date of this Agreement. These times may be extended with the written permission of the AGENCY. The time for performance of the tasks identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the AGENCY and CONTRACTOR. 4 . rgMENSATION In consideration of the performance of the services described herein, AGENCY agrees to pay CONTRACTOR a fee not to exceed Twenty--Five Thousand Dollars ($25,000) per year. 5. EXTRA WORK In the event AGENCY requires additional services not included in Exhibit "A, " or changes in the scope of services described in Exhibit "A," CONTRACTOR will undertake such work after receiving written authorization from AGENCY. Additional compensation for such extra work shall be allowed only if the -2- 9/22/92:jn prior written approval of AGENCY is obtained. 6. METHOD OF PAYMENT A. CONTRACTOR shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit A" . B. Delivery of work product: A copy of every technical memo and report prepared by CONTRACTOR shall be submitted to the AGENCY to demonstrate progress toward completion of tasks. In the event AGENCY rejects or has comments on any such product, AGENCY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by AGENCY shall be deemed accepted. C. The CONTRACTOR shall submit to the AGENCY an invoice for each progress payment due. Such invoice shall : 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONTRACTOR'S firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if AGENCY is satisfied that CONTRACTOR is making satisfactory progress toward completion of tasks in accordance with this Agreement, AGENCY shall promptly approve the invoice, in which event payment shall be made within thirty (34) days' of receipt of the invoice by -3- 9/22/92:jn AGENCY. Such approval shall not be unreasonably withheld. If the AGENCY does not approve an invoice, AGENCY shall notify CONTRACTOR in writing of the reasons for non-approval, within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONTRACTOR is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by the AGENCY shall be invoiced separately to the AGENCY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by AGENCY if the work performed is in accordance with the extra work or additional services requested, and if AGENCY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 7. DISEOSITION OF PLANS, „ESTI14ATES AND JTHER DOCUMENTS CONTRACTOR agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notes, calculations, maps and other documents, shall be turned over to AGENCY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by AGENCY in the completion of PROJECT or as it otherwise sees fit. Title -4-- 9/22/92:jn I to said materials shall pass to the AGENCY upon payment of fees determined to be earned by CONTRACTOR to the point of termination or completion of the PROJECT, whichever is applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder. B. INDEMNIFICATIQN_AND HOLD_HARMLESS CONTRACTOR hereby agrees to indemnify, defend, and hold and save harmless AGENCY, its officers and employees from any and all liability, including any claim of liability and any and all losses or costs arising out of the negligent performance of this agreement by CONTRACTOR, its officers or employees. 9. WORKERS* COMPENSATION CONTRACTOR shall comply with all of the provisions of the Workers ' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of the California Labor QQdg and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless AGENCY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney's fees and costs presented, brought or recovered against AGENCY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONTRACTOR under this Agreement. CONTRACTOR shall obtain and furnish evidence to AGENCY of maintenance of statutory workers' compensation insurance and employers' liability in an amount of not less than $100,000 bodily injury by accident, each occurrence, $100,000 bodily injury by disease, each employee, and $250,000 bodily injury by disease, -5- 9/22/92:jn policy limit. 10. INSURANCE In addition to the workers' compensation insurance: and CONTRACTOR'S covenant to indemnify AGENCY, CONTRACTOR shall obtain and furnish to AGENCY the following insurance policies covering the PROJECT: A. Gene-ral ^Liability_ Insurange. A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify CONTRACTOR, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of $1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name AGENCY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONTRACTOR'S insurance shall be primary. B. ProfCagional Liability InsurancC. CONTRACTOR shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR'S professional liability in an amount not less than $500,000 per claim. A claims made policy shall be acceptable. -6- 9/22/92:jn 11. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, CONTRACTOR shall furnish to AGENCY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force and shall promise to provide that such policies will not be cancelled or modified without thirty (30) days prior written notice to AGENCY. CONTRACTOR shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by AGENCY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of AGENCY by CONTRACTOR under this Agreement. AGENCY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONTRACTOR shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 12. IHPEPENDEET CONTRACTOR CONTRACTOR is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONTRACTOR shall secure at its expense, and be responsible for any and all payments of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONTRACTOR and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. _7.. 9/22/92:jn 13 . TERMINATION_OFlAGREEMEN,� All work required hereunder shall be performed in a good and workmanlike manner. AGENCY may terminate CONTRACTOR'S services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by AGENCY shall be made in writing through the Director of Economic Development, notice of which shall be delivered to CONTRACTOR as provided herein. 14 . ASSISNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONTRACTOR to any other person or entity without the consent of AGENCY. 15. COPYRIGHTS/PATENTS AGENCY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 16. AGENCY EMPLOYEES AND OFFICIALS CONTRACTOR shall employ no AGENCY official nor any regular AGENCY employee in the work performed pursuant to this Agreement. No officer or employee of AGENCY shall have any financial interest in this Agreement in violation of the applicable provisions of the Californ" GQver,nmeDt Cod. . 17. LEGAL SERVICES SUBCONTEACTING PROH RIIED CONTRACTOR and CITY agree that AGENCY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONTRACTOR understands that pursuant to Huntington Beach City Charter S 309, the City/Agency Attorney is the exclusive legal counsel for AGENCY; and AGENCY shall not be liable for payment of any legal services expenses incurred by CONTRACTOR. SCOPE OF SERVICES Public agencies and private companies contract with Pacific Relocation Consultants because it is flexible,responsive and willing to fashion its participation to the needs of the client We provide a full range of relocation services,including planning,liaison work with the public, and relocation implementation. Our Scope of Services includes, but is not 1,.4tited to the following: A. Conduct personal,on-site interviews of prospective displacees to ascertain relocation housing needs and special requirements. B. Inform displaced persons of available relocation assistance and explain relocation process. G Search for relocation replacement sites and referrals of same. D. Prej3are and distribute informational brochures,notices of displacement,90-day notices to vacate, and other notices,as may be required. E. Determine eligibility for and proposed amount of relocation benefits. F. Prepare all applicable claim forms. G. Secure claimant's signatures on claim forms. H. Submit claim forms to Client for processing and payment. L Inspect replacement dwellings to determine if they meet"decent,safe and sanitary" requirements. J. Deliver benefit checks and other appropriate payments to claimants. K. Provide referrals,when appropriate,to respective social service agencies and community organizations, as may be appropriate, and advise tenants of available economic and social aids. L Provide displacees with an on-going advisory services to minimize tenant hardship. M. Maintain individual files on each claimant N. Meet with Client's staff and consultants to coordinate relocation activities. O. Provide periodic status reports on the disposition of relocation activities. P. Perform any normal procedures to nnrlernent the relocation program. - Page 5 - IX. COMPENSATION Pacific Relocation Consultants provides the most comprehensive relocation assistance available,at a cost-effective level We understand that our clients need both our expertise and our cost-saving capabilities. We can fashion compensation arrangements to meet the procedural requirements of our clients. Maximum,not-to-exceed project amounts can be doyermined after the specific scope of work for the project is identified. Pacific Relocation Consultants will provide the relocation assistance and interim property management services in accordance with the Scope of Services (Section IV.), Interim Property Management(Section V.),and Additional Services(Section VI.). Those services shall be in compliance with the following compensation schedule. All compensation fees discussed below shall remain in effect for one year from the execution of the contract.. Recommended Agency Action: Approve and authorize the execution of the attached two year Contract between the Redevelopment Agency of the City of Huntington Beach and Stadler, Shober, and Kline, Inc., dba Pacific Relocation Consultants not to exceed $25,000 per year and waive the Professional Liability insurance requirement (Resolution 6277) . An__ply Government Code Sections 7260 - 7277 require Redevelopment Agencies to provide specific relocation benefits and services to residents and businesses displaced by redevelopment activities. Existing staff do not possess the expertise necessary to protect the Agency regarding relocation activities. The professional relocation consultant is knowledgeable of the legal relocation requirements of the Agency. The costs to have this level of expertise on staff would be greater than through the consultant and the consultant can be called upon on an as needed basis. Although there is no legal requirement to hire a consultant, staff recommends using a professional relocation consultant. A two year contract between the Redevelopment Agency of the City of Huntington Beach and Stadler, Shober, and Kline, Inc., a Subchapter S corporation doing business as Pacific Relocation Consultants is attached as Attachment 1. The contract limits expenditures to $50,000 for FY92-93 and FY 93/94 cumulatively, thus budgeting $25,000 per year for relocation consulting services subject to annual budget appropriations. The two year contract will provide consulting services at the same rate for the two year period and will eliminate the need to request proposals and interview annually, r� V In this fiscal year, the consultant will primarily assist the Agency in the following: • Develop a Phase II Relocation Plan, • Conduct the relocation of five commercial businesses, Phase II project, • Conduct the relocation of eight residential units; Phase II project, and • Conduct the relocation of one commercial business; 438 Main Street. Pacific Relocation Consultants first successfully garnered a contract for services with the Redevelopment Agency beginning in 1989 and by two subsequent amendments extended their contract into 1991. The attached contract is a new contract meeting all of the City Attorney's current requirements, not an amendment of the 1989 contract. The Agency is requested to waive the Professional Liability Insurance requirement (Resolution 6277). The costs to obtain such coverage is cost prohibitive (see Attachment 2). Pacific Relocation Consultants has a Huntington Beach business license and has met all other insurance requirements for professional services (see Attachment 3). The provisions of Huntington Beach Municipal Code Section 3.03 regarding contracts for professional services have been met through a formal Request for Qualifications (RFQ). Three firms out of the ten met the deadline to respond to the RFQ (see Attachment 4), mailed in July 1992. Staff studied the responses and determined that Pacific Relocation Consultants is competitive in their fee structure and had the experience most pertinent to the Agency's work. The other firms responding to the RFQ are included as Attachment 5. Alternative Actions: 1. Do not approve the contract. The Redevelopment Agency of the City of Huntington Beach is seeking a Relocation Consultant who can advise the Agency in all aspects of the relocation of businesses and residents as the result of Redevelopment Agency activities. Each candidate submitting their qualifications must furnish the following information: A. Company Experience and History. B. Staff Experience. Include education and professional experience in relocation activities of businesses and residents. Experience with governmental agencies must be included. C. Client List. Provide a minimum of ten public sector clients your firm represented within the last three years. Please provide a contact person and phone number for each agency. D. Cost Estimates and Rate Schedule for Professional Services. E. Insurance Information. As required by Resolution No. 6277, consultants must provide proof of Workers Compensation Insurance for its employees and provide $1,000, 000 general liability insurance naming the City as additional insured, professional liability insurance is also required (see enclosure) . Please provide a statement that you will be able to meet such requirements if selected for professional services. F. Business License. The City requires that all Professional Consultants obtain a Huntington Beach + business license when contracting with the city for services. Of primary importance in the selection of a consultant will be the overall quality of the application as evidenced by previous accomplishments and a demonstrated willingness to work with city officials and Agency staff. The selection process includes staff screening the RFQ responses to evaluate the capabilities to implement the described assignments.
