CONTRACTOR shall pals CITY a commissiuu of 30% (thirty per
cant) of the gross rRvgnue collected. by CONTRACTOR from the
telephones they locate on CITY property.
9 . PI,RFORMANCE OF �O:JTRAC $
CONTRACTOR shall. perform the services as outlined in their
proposal dated February 19, 1902 att6ched hereto as Exhibit A
and made a part hereof by this reference.
5. COVENANT AgAINFT ASS UMNZ'
CONTRACTOR shall not assign or sub-contract any interest he
has in this agreement without the written consent of CITY. Any
such assignment or subcontracting without the written approval
of CITY shall be void and shall terminate this agreement.
6. EARLY TJ:MJMTIQN OF AGREEMENT
This agreement and all services to be rendered thereunder
may be terminated at any time by ten (10) days written notice
from either party, with or without cause.
7. ENTIRETY AGREEMENT
This written agreement contains the sole and entire
agreement between the parties. It supersedes any and all other
i agreements between the parties. The parties acknowledge and
agree that neither of then; has made any re.presertation with
respect to the subjecr matter of this agreement or any

except such representations as are specifically set forth
herAin, and each party acknowledges that he o, it has relied on
his or its own judgment in entering into the agreement. The

represents%tions that may have heretafora been made by either of
them to the other are void .and of no effect and that neither of
them twee relied thereon in connection with his or its dealings
with the other.
8. KAIM
No waiver ur modification of this agreement rr of any
covenant, condition, or limitaftion herein contained shall be
valid unless in writing ai.d duly executed by the party to be
charged therewith. Furthermore, no evidence of any waiver or
modification shall be offered or received in evide:ice in any
proceedings arbitration, or litigation between he parties
arising out of or effecting this agreement, or the rights or
obligations of any party hereunder, unless such waiver or
modification is in -writing, duly executed as aforesaid. The
pnoviaicris of this paragraph may not :±e waived except Ls herein
set forth.
9. 21CR_THINATION
CONTRACTOR ;agrees that in the performance of the terms of
this agreement, lie will not engage in, nor permit his agents to
engage in, discrimination in employment of persons because of
race, religious creed, color, national origin; ancestry,
physical handicap, medical condition, marital status, or sex of
such persons, except as provided in Labor Code Section 1420.
Violation of this provinior_ may result in the imposition of
penalties referred to in Division 2, Part 7, Chapter 1 of trim
California Labor Code.

CONTRACTOR hereby egress to indemnify acid hold and save
harmless CITY, its officers and employees from any and all
liability, including any claim of liability and any and all.
louses or costs arising out of the negligent performance of
this agreement by CONTRACTOR, its officers or employees.
11. BISERS' CME SATIOg
CONTRACTOR shall comply with all of the provisions of the
Workers, Compensation Insurance and Safety Acte of. the State of
California, the a!aplicable provisions of Division 4 and 5 of
the California La', or .".ode and all amendments thereto; and All
similar state or federal acts or laws applicable; and shall
indemnify, defend and hold harmless CITY from and against: all
claims, demands, payments, suits, actions, proceedings and
Judgments of every nature and description, including attorney's
fees and costs presented, ',..-ought or recovered against CITY,
for or on account of any liability under hny of said acts which
may be incurred by reason of any work to Tie performed by
CONTRACTOR under this Agreement.
CONTPACTOR shall obtain and furnish evidence to CITY of
maintenance of s;:atutory workers, compensation insurance and
employers ' liability in an amount of not less than $100,000
bodily injury by accident, each occurrence, $10C,OCO bodily
injury by disease, each employee, and $250,000 bodily injvry by
disease, policy limit.

12. THE CE
In a4dition to the workers' cumpensation insurance and
CONTRACI'dfi'S covenant to in0amnify C17Y, CONTRACTOR shall
obtain and furnish to CITY a policy of general public liability
Insurance, including motor vehicle cove'raige, Said policy shall
indemnify COKTR,-* .uR, its officers, agents and employees, while
acting within the scope of their duties, against any and all
clains of arising out of or in connection with the PROJECT, and
shall provide coverage in not lens than the following amount:
combined single limit bodily injury and property damage,
including products/completed operations liability and blanket
contractual liability, of $1,000,000 per occurrence. if
coverage is provided under a form which includes a designated
general aggregate limit, the aggregate limit must be no less
than $1,000,000. Said policy shall name CITY, its officers,
and employees es Additional Insureds, and shall specifically
provide that any other insurance coverages which nay be
# { applicable to the PROJECT shall be seemed excess coverage and
that CONTRACTOR'S insurance shall be primary.

CONUACTOR shall furnish to CITY certificates of inaurence
subject to approval of the City Attorney evidencing the
.foregoing ineu rance coverages as requ'rr: by Sections 9 and 10
heroin; said certificates shall provide the name and polic•-f
number of each carrier and policy, and shall state that the
•$olicy is currently in force and shall promise to provide that
such policies will not be cancelled or modified without thirty
(30) days prier written notice to CITY.
IN WITNESS WHEREOF, the parties hereto have executed this
