I LEASE THIS LEASE, made and entered into this day of , 1972, by and BETWEEN CITY OF HUNTINGTON BEACH , a municipal corporation, hereinafter designated as , LESSOR AND HUNTINGTON BEACH POLICE OF- FICERS ' ASSOCIATION, Incor- porated, a California non- profit association, herein- after designated as LESSEE W I T N E S S E T H : Lessor for and in consideration of the covenants and agree- ments herein contained and for the payment of the rents hereinaf- ter to be paid, does hereby lease , demise and let unto Lessee the surface of that certain real property located in the County of Orange , State of California, described as follows : The north 535 .00 feet of the west 300 .00 feet of the east 445 .00 feet of the southeast one-quarter of the northwest one-quarter of the northwest one-quarter of Section 35 , Township 5 South, Range 11 West as shown on a sectionalized survey map recorded in Book 51, Page 11, Miscellaneous Maps , Records of Orange County, California, being a portion of the Rancho Las Bolsas . This lease is made by the Lessor and accepted by the Lessee on each of the following terms , conditions and covenants : l � 1 . JG : cb a 1. The base term of this lease shall be for fifteen (15) years from the date of this lease . 2 . The Lessee shall pay to the Lessor, as rental during the first ten (10) years of this lease the sum of one (1) dollar per year payable on the first day of each of said ten (10) years . At the conclusion of said ten-year period either party shall have the right to review the amount of rental to be paid and the times of such payments , whether yearly or monthly, by giving the other party hereto ninety (90) days ' written notice prior to the commence- ment of the next year under the lease and said rent shall be agreed upon between the parties and if they cannot agree they shall each select one arbitrator and if they cannot agree, the two arbitrators shall select a third whose decision as to the amount of rent , shall be final. 3. Any holding over after the fifteen- (15) year term shall be on a year-to-year basis and shall be subject to all the terms and conditions of this lease including the rental procedure outlined for the llth through the 15th years contained in paragraph 2 and said year-to- year tenancy may be terminated by either party by giving the other party sixty (60) days ' written notice prior to the commencement of any lease year. 4 . Lessee shall use the premises for the purpose of a police firearms training range and related uses . The public may use the premises as a firearms range . The premises shall be used for no other purpose unless written consent of the Lessor is first obtained. 2 . 5 . In addition to the rental herein described the Lessee agrees to pay when due all water, electric , gas and other public utility charges , license fees , real and personal property taxes , special assessments and other public charges accrued or payable in connection with the use of said premises by Lessee during the Lessee ' s possession under this lease . 6 . This lease is personal to Lessee and Lessee shall not sell, assign or transfer any portion of this lease or permit the same to be transferred by operation of law without the written consent of the Lessor first obtained . 7 . Any improvements or construction on said property shall be approved by Lessor and shall be constructed at Lessee ' s own expense . Lessee shall keep said property from all liens and save the Lessor harmless of and from any liability of any nature arising from the use , occu- pancy or construction of any improvements on said leased property . Lessee shall at all times maintain in good order, repair and appearance all buildings on the de- mised property . 8 . Regardless of any provision to the contrary in this lease , the Lessor shall have the right to terminate this lease by ninety (90) days ' written notice if in the opinion of Lessor the land is necessary for a higher and better public use . In such event the Lessor shall reimburse the Lessee for the undepreciated cost of any improvement upon the property, such depreciation to be determined by a ten- (10) year straight line method and to be figured from the time that such im- provement was actually made . 9 . Lessor shall not be called upon to make any improve- ments , replacement or repairs on said premises , and Lessee accepts the same in their present condition. 3 . r 10 . Lessee shall not commit , suffer or permit any waste on said premises . 11. Lessee agrees to indemnify and hold Lessor harmless from any loss or damage , including public liability and property damage , resulting from the use or misuse of the demised land and the buildings thereon, and Lessee hereby releases Lessor from any and all liability for damages which might be sustained by Lessee in con- nection with the use and occupancy of said premises . Lessee agrees to carry public liability insurance in the sum of not less than $100 ,000 for any one person, and in the sum of not less than $300 ,000 for any one accident , and property damage in the sum of $50 ,000 . Said policies of insurance shall name City of Huntington Beach as an additional insured. 12 . Lessee agrees to pay to Lessor all costs and expenses including a reasonable attorney ' s fee in any action brought by Lessor to recover any rent due and unpaid, or for the breach of any of the covenants or agreements contained in this Lease , or to recover possession of said premises , whether such action progress to judg- ment or not . 13 . Lessee agrees to promptly observe , comply with and exe- cute, at its cost and expense , all present and future laws , rules , requirements , orders , directions , ordi- nances and regulations of the State of California, City of Huntington Beach, County of Orange , and of the United States , and of any and all governmental authorities or agencies , and of all municipal departments , bureaus , boards or officials of the City of Huntington Beach, and of the Board of Fire Underwriters or any other board or organization exercising similar functions , concern- ing said premises , and shall at its own expense make any and all improvements thereon or alterations thereto, 4 . structural or otherwise , that may be required at any time hereafter by any such present or future law, regulation, rule , requirement , order, direction or ordinance . 14 . If the Lessee shall at any time during the term hereof, become insolvent , or if proceedings in bankruptcy shall be instituted by or against the Lessee, or if the Lessee shall compound the Lessee ' s debts or make an assignment for the benefit of creditors , or if any execution shall issue against the Lessee or any of the Lessee ' s property whatsoever, whereby the demised premises shall be taken or attempted to be taken, or if a receiver or trustee shall be appointed of the Lessee ' s property or if this Lease shall, by operation of law devolve upon or pass to any person or persons other than the Lessee , except by descent , then and in each of said cases , this Lease shall terminate . 15 . Lessee agrees that if any rent shall be due and unpaid, or if default should be made in any of the covenants , conditions or agreements on the part of Lessee , con- tained in this lease, Lessor may at its option at any time after such default or breach, and after giving written notice to Lessee of such default or breach, and upon failure of Lessee to remedy the same within fifteen (15) days from date of such notice , then Lessor may reenter said premises and take possession and re- move all persons therefrom, and any rents theretofore paid shall be retained by Lessor. 16 . At the expiration of said term, or any sooner termina- tion of this Lease , Lessee agrees to quit and surrender possession of said premises and its appurtenances to 5 . Lessor in as good condition as reasonable use and wear will permit , damage by the elements or other casualty excepted.
