THE CITY OF HUNTINGTON BEACH AND
POPOV ENGINEERS, INC.
FOR' RENOVATION OF MAIN STREET LIBRARY HEATING SYSTEM
THIS AMUMENT, made and !ntered into this 6/�'� day
of 19 , by and between the CITY OF
HUKrl NGT.1N BEACH, a municipal corporation of the Slate of
California, hereinafter referred to as 'CITY, " and POPOV
ENGINEERS, a?SC„ a California corporation, hereir.after referred
to as 'CONTRACTOR. '
WHEREAS, CITY desires to engage the services of Pn engineer-
ing consultant to furnish professional engineeringg serv' :es for
the renovation of the heating system at the Main Street Library
in the City of (Huntington Beach; and CONTRACTOR has been
seiected to perform said services,
NOW, THEREFORE, it is agreed by CITY and CONTRACTOR as

Qualifications (hereinafter referred to as Exhibit 4:7,1 ) .. which
is attached hereto and incorpc,rated into This Agreement by this
reference. Said services shalt sometimes hereinafter be
referred as "PROJECT. "
CONTRACTOR h t-eby designates T. Robert Popov, who
shall represent it and be its sale contact and agent in all
;h consultatlo►,s with Chit during the perfurmance of this Agreement ,
(Popov Agreement ) 1 .
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly
with CONTRACTOR in the prosecution of this Agreement .
3. TIME OF PERFORMANCE
Time is of the essence of this Agreement . The services
of the COIRACTOR are to commence as soon as practicable after
the execution of this Agreement and all tasks specified in
Exhibit °A° shall he completed no later than Sixty (60) days
from the date of this Agreement, with an additional thirty (30)
days for all revisions . These times may be extended with the
written permission of the CITY. The time for performance of the
tasks identified in Exhibit °A" arc generally to be as shown in
the Scope of Services on the Work PrograrnrPrciect Schedule.
This schedule .may be amended to beiiefit tKe PROJECT if mutually
agreed by the CITY and CONTRACTOR.
4. COMPENSATION
In consideration of the performance of the engineering
services described in Section I above, (.'ATY° agrees to pay
CONTRACTOR a fee not to excee,a Fourteen-thousand Dollars
($ltte000.00) .

6. METHOD OF PAYMENT
A. CONTRA-_,"•k sha 1 I be entitled to progress payments
toward the fixed fee sct forth in Section 4 herein in accordance
with the progress and payment schedules set forth in Exhibit A' .
B. Delivery of wort; product : A copy of every techni -
cal memo and report prepared by CONTRACTOR shall be submitted to
the CITY to Demonstrate progress toward completion of tasks . In
the event CITY rejects or has comments on any such product , CITY
shall identifv specific requirements for satisfactory comple-
tion. Any such product which has not been formally accepted or
rejected by CITY shall be dctimed accepted.
C. The CONTRACTOR shall submit to the CITY an invoice
for each progress payment due. Such invoice shall :
1 ) Reference this Agreement ;
2) Describe the services performed;
3 ) Show the total amount of the payment due;
4 ) Include a certificetion by a principal member
of the CONTRACTOR'S ;irn that the work has
been performed in accordance with the provi -
sions of this Agreement ; and
5) For all payments incluae an estimate of the
pee•cen tage of t%,or'c comp l e'ed.
Upon submission of any su-h invoice, if CITI' is
satisfied that CONTRACTOR is making satisfactory progress toward
completion of task=: in accordance vith this Agreement , CITY
shall promptly approve the invoice, in which event payment shall
be made within thirty (;'0) days ' of receipt of the invoice by
CITY. Such approva' shall not be unreasonably withheld. if the

IMMA
CITY does not approve an invoice, CITY shalt
notify CONTRACTOR in writing of the reasons for
non-approval , within seven (7) calendar days of
receipt of the invoice, and the schedule of
performance set forth in Exhibit "A" shall be
suspended anti ' the parties Lgree that past
performance by CONTRACrOR is in, or has been
brought into compliance, or until this Agreement
is terminated pursuant tr Section 12 hereof.
D. Any billings for extra work or additional services
authorized by the CITY sY%all be invoiced separately to the
CITY. Such invoice shall %ontaln all of the infor,,,et ion
required under paragrac.i 3C, and in addition sha I I list ''.he
hours expended and hourly rate charged for such time . Such
invoices shall be approved by CITY if the work perform4d is in
accordance with the extra work or additiona services requested,
and if CITY is satisfied that the statement of hours worked and
costs incurred is accurate. Such approval shall not be unrea-
sonably withheld. Any dispute b tween the parties concerning
payment of such an invoice sh ,lI be treated as separate and
epart from the ongoing performance of the remainuer of this
Agreement .
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONTRACTOR agrees that all materials prepared here-
under , including all original drawings, designs, reports , both
field .and office notes, calculations , maps and other documents,
shall be turned over to CITY upon termination of this Agreement
or upon PROJECT completion, whichever shall occur first . In the:
event this Agreement is terminated, said materials may be used
by CITY in the completion of PROJECT or as it otherwise sees

8 . INDEMNIFICATION, DEFENSE, HOLD HARMLESS
CONTRACTOR hereby agrees to defend, indemnify and hold
harmless CITY, its cfficers and employees from and against any
and all liability, damages, costs, losses , claims and expenses,

misconduct in the performance of this Agreemtint . Any concurrent
negligence or willful misconduct of CITY, its officers aid
employees shall in no way diminish CONTRACTOR' S obligations
hereunder .
9 . WORKERS' COMPENSATION
CONTRACTOk sha '. 1 comply with a: I of the provisions of
the Workers ' Compensation insurance and Safety Acts of the State
of California, the applicable provisions of Division U and 5 of
the California Labor Code and all amendments thereto, and all
similar state or ,'ederal acts or laws applicable; and shall
indemnify, defend and hold harms ess CITY from and against all
claims, demands, payments, suits, actions, proceedix-igs and
judgments of every nature anti description, including attorney 's
fees and costs presented, brought or recovered against CITY, f(
or on account of any liability url any of said acts which may
be incurred by reason of any work to be performed by CONTRACTOR
under tnis Agreement .
10. INSURANCE
In acidition to the Workers ' Compensation Insurance
CONTRACTOR'S coHenant to indemnify CITY, CONTRACTOR shall obt
and furnish to CITY the following insurance poiicios covering
the PROJECT:
A. General Liability Insurance. A policy of general
public liability insurance, including motor
vehicle coverage, Said policy shall Indemnify
CONTRACTOR, its officers, agents and employees,
while acting within the scope of their duties,
against any and all claims of arising out, of or in

errors and omissions in n amount of not less than
$250 ,000.
Certificates of Insurance ;or said policies shall be
approved in writing by the City Attorne-y prior to the commence-
ment of any work hereunder . All Certificates of Insurance (and
the policies of insurance or endorsements thereof ) shall provide
that ;:ny such Certificates and policies shall not he cancelled
or odified without thirty (30) days' prior wrctt4'n notice to

with the services to be performed hereunder .
1 2 . TERMINATION OF AC;REEMENT

good and workman l ke manner . CiTY may termi raa to CONTRACTOR'S
services hereunder at any time with or without cause, and
whether or riot PROJECT is fully complete. Any termination of

Engineer, notice of which shall be delivered to CONTRACTOR as
provided in Section 16 herein
13. ASSIGNMENT AND SUBCONTRACTING
This Agreement i ;; a personal service contract and the
supervisory work hereunder shall not be delegated by CONTRACTOR
to any other person or entity without the consent of CITY.
14. COPYRIGHTS PATENTS
CONTRACTOR shall not apply for a patent or copyright on
any item or material produced as a result of this Agreement , as
set forth in 4 ! CFR 1 -9 . 1 .
15 . CITY E °PLOYEaES AND OFFICIALS
CONTRACTOR sha I I employ no CITY official nor any
regular CITY employee in the work performed pursuant to this
Agreement . No officer or empInyce of CITY shall have any
fina"cial interest in this Agreement in violation of California
Government Code Sections !090 et sect.
16 . NOTICES
Any notices or special instructions required to be
given in writing under this Agreement shall be given either by
personal delivery to CONTRACTOR'S agent (as .designated in
Section I hereinabove) or to CITY'S Director of Public Works, as
the situation shall warrant , or by enclosing the same in a
oealed envelope, postage prepaid, and depositing the same in the
United States Postal Services, addressed as follows :

furnish professional engineering design services for the renovation of the
heating system at the Main Street Library, City of Huntington Beach.
o The scope of the design services is based on the desired system which
include the removal of the radiant heating components, and to renovate
the structure )'or forced air heating, including air-condidtioning
and/or humidity -imponents, as may be deemed necessary.
o Basic criteria for work to be performed, for which design and
specifications will be prepared include:
- Removal of broiler and related equipment.
- Proper abandonment of pxistirig coils in floors.

- Installation of new HVAC equipment in existing equipment room
and/oi other locations.
3 - Equipment design shall be for inside type units due to proximity to

the beach and undesirable weather actions on exterior type units.
- Inovative design of duct work will be necessary due to the

Our designated Project Engineer, Peter L. Nemeth, visited the Main Street
Library to assess and verify the elements of the scope work. Here are some ]
of his notes.
o The existing boiler, hot water heating coils and wiping, as well as
the circulating pumps are completely deteriorated. These items need
to be removed. fThe coils will be plugged and abandoned in place.)
o The opportunity exists to 'nvestigate alternative heating and
ventilating systems that are efficient in energy utilization and i
virtually maintenance free. The result of the study may indicate a
combination cf a central , ducted heating and ventilating unit, and
small unitary equipment, This may allow the operation of only those
units that are required to maintain comfort conditions.
o Natural ventilation may be accomplished by making all windows
operable. This would allow in intermediate seasons to cool the F
Library with prevailing sea breezes

o The Main Reading room light level may be improved by providing light
fixtures to reflect to ceiling as well as to floor, "he illuminated
high ceiling would provide pleasent an*! uniform light for reading.
o Pa •tial air conditioning of the Library will be evaluated for
temperature comfort and for humidity control to preserve the hook
stock. �a
o -he proposed systems for all renovation will be evaluated to achieve
the maximum benefit with minimum construction cost.

communication with the design firm will be limited to two Faople
only; sharing the administrative and engineering
responsibilities. The selected Construction Contractor will be
dealing directly and assisted by the Project Engineer.

F. PROJECT PROFILE
1. Existing System
The existing building has a heating system only. The system
utilizes hydronic radiant heating coils imbedded in the concrete
floor. The system is old and beyond economical repair.
2. Proposed Project Targets
The proposed project targets can be sunnerized as follows:
o System with ability to maintain satisfactory environmental
working conditions for the occupants.
o System with low initial and low operating cost.
o System, adaptable to the restraints imposed by the structure
(limited space and exposed ceilings).
o System's conq.)onents are suitable for use in Corrosive
environment.
o System employing the best available technology to assure
maximum energy efficiency.
o System offering simplicity in operation and maintenance.
o Minimum interruption to the building's function during
construction.
3. Design Approach
The following is an outline of our design approach for this
project. First we will analyze the operating and maintenance
procedures at the Facility. The result of such an analysis will
be a factor in the selection of the HVAC system and its controls.
In the process of system selection, your participation as a user
must be active and productive. Therefore, we will provide you
with alternatives, each one with a detailed analysis as to the
pro's acid can's.
The results will be presented in an Engineering Report with the
appropriate design schematics and construction contract costs.
Documents (drawings and specifications) for demolition of the
existing system and design of the new system will be prepared.
A sequence of construction will be provided to minimize
interruption of normal building function. All engineering
calculations and drafting will utilize computer technology in

order to assure accuracy and clarity. After completion of the
construction, all drawings will be updated on the computer and
new "As-Built Drawings" will be generated, available for future
reference and suitable for quick and easy revisions.
F. COST DATA
1. Project Construction Cost
The anticipated range for total construction cost is from
$90,000 to $130,000.
The cost will be affected primarily by two factors •- mechanical
system selected and possible capacity increase of the electrical
service.
2. project Engineering Cost
The project engineering cost is based on the assumption of
prov'ding the following:
o Engineering Report -- Pr%,,�sed alternatives for new HVAC
s_vstun with cost analysis and energy consumptions,
o Contract Documents - plans and specifications for the
selected alternative.
o Assistance in evaluation of the Contractor's bids once
received.
a Review of Contractor's submittals and shop drawings.
o Construction observations - site visi}s.
The expected total Engineering Cost for the above services
ranges from $11,000 to $14,000.
G, TIME SCHEDULE
1. Engineering Services
The proposed tine schedule for the engineering services is as
follows:
o Engineering Report with proposed design alternatives - 15
calendar days after contract award.
o Time allowance for Report review by the City - 10 calendar
days after Report is submitted.

Drawings and Cost Estimates) - 30 calendar days after
approval by the City of the design alternative.
o Final Submittal of Contract Documents (Drawings,

The total anticipated time for engineering design, including the
City's review, is approximately 2 months.
2. Construction
The time for construction will be greatly affected by the
proposed phasing of work. However, it is reasonable to project
a 4 to 6 month construction period.
