Wilson, City Manager PREPARED BY: Janeen Laudenback, Interim Director of Community Services SUBJECT: Approve and authorize execution of an agreement with Premier Girls Fastpitch to conduct a championship tournament in Huntington Beach Statement of Issue: In 2010, Premier Girls Fastpitch (PGF) began holding their championship tournament in Huntington Beach at the Central Park Sports Complex. There is a need to generate a multi- year contract with PGF to continue to operate the event in Huntington Beach and to allow the company to plan for their future events. Financial Impact: Not Applicable Recommended Action: Motion to: Approve and authorize the Mayor to execute the "Agreement Between the City of Huntington Beach and Premier Girls Fastpitch to Conduct a Championship Tournament at the Huntington Beach Sports Complex." Alternative Action(s): Do not approve the agreement with Premier Girls Fastpitch and direct staff accordingly. Analysis: The City of Huntington Beach has hosted a one-week PGF Championship.Tournament beginning in 2010. The mission of PGF is to provide a national platform on which.fastpitch softball players can demonstrate their individual and team-enhancing skills, competing against the "Best of the Best" players and teams. The event includes a variety of games at the Huntington Beach Sports Complex, showcasing our beautiful sports complex and providing an opportunity for families to spend time together in Huntington Beach. In 2012, the PGF Championship Tournament attracted 225 participants. Item 28. - I xB -158- REQUEST FOR COUNCIL ACTION MEETING DATE: 1 211 71201 2 DEPARTMENT ID NUMBER: CS 12-014 Analysis continued: PGF management approached the City of Huntington Beach to expand the tournament into a two-week event in 2013. This additional week of games will allow PGF to attract not only the 16U & 14U Divisions, but will also continue to provide game opportunities for the 18U/HS players. The two weeks of games will showcase players' skills at the highest possible level of competition, and both players and college scouts from around the country will be invited to Huntington Beach. Previous tournaments have attracted 225 players and their families from 25 states. There is also a Huntington Beach participant base, which makes this event a destination for both tourists and the local community. PGF Management is requesting an agreement with the City to allow them to plan for future events and solicit sponsors who need assurance that the event would continue to be operated in Huntington Beach for the foreseeable future. The proposed agreement is intended to provide that assurance. The agreement is for three years, 2013 — 2015, and provides for an extension upon mutual agreement for an additional three years, 2016 — 2018. As with all Huntington Beach Sports Complex events, the promoter will pay rental fees for use of the Huntington Beach Sports Complex, plus all direct city overhead costs for use of the venue. Conditions for the overall event are reviewed through the specific events committee. The success of the PGF Championship Tournament is important in identifying the City of Huntington Beach as a prime destination for Sports Tourism. Due to the City's easy access, consistent and fair weather, the prestige of our surf culture, our capability to accommodate large tournaments and the authenticity that comes with the title "Surf City USA", participants are likely to return year after year bringing more revenue to the hotels, restaurants, and local businesses. Insurance Certificate HB -159- Item 28. - 2 ATTACHMENT # 1 Item 28. - 3 iiii -160- AGREEMENT BETWEEN THE CITY OF HUNTINGTON BEACH AND PREMIER GIRLS FASTPITCH TO CONDUCT A CHAMPIONSHIP TOURNAMENT AT THE HUNTINGTON BEACH SPORTS COMPLEX THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and Premier Girls Fastpitch(hereinafter referred to as "PGF"). WHEREAS, CITY wishes to be the host site for the PGF Championship Tournament at the Huntington Beach Sports Complex (hereinafter referred to as the "EVENT"); and PGF wishes to conduct the EVENT in Huntington Beach, California; and A girls fastpitch tournament has been conducted every year in Huntington Beach; and CITY has received financial and other benefits from the EVENT and desires to continue to conduct the EVENT in July for the years 2013, 2014, and 2015; and PGF desires to continue conducting the EVENT in the City of Huntington Beach in July for the years 2013, 2014, and 2015; and The parties desire to set forth the general terms and conditions which will be applicable to the EVENT, NOW, THEREFORE, CITY and PGF do hereby agree as follows: 1. AUTHORITY PGF shall conduct the EVENT, not to exceed two weeks, in July of each year on dates mutually agreed to by both Parties for the years 2013, 2014, and 2015, using the Huntington Beach Sports Complex softball fields as the site under the general terms and conditions contained in this Agreement. This Agreement is subject to Huntington Beach Municipal Code, Chapter 13.54 Specific Events, which requires among other things, for PGF to apply for and process an annual permit for the EVENT. Application to the Specific Events Committee may be made at any time throughout the year, but not later than ninety (90) days prior to each year's EVENT. Specific guidelines for each EVENT will be developed each year, depending upon alterations to the EVENT. 2. PERMIT FEES AND DIRECT COSTS a) All costs and conditions that apply to each year's EVENT will be determined at the time of review through the Specific Events Committee. These may include, but are not limited to, specific event permit fees, police costs, fire department permits and costs, public works costs for road closure and traffic control plans, business license, parking and parking lot use and beach maintenance costs. PGF is responsible for paying all associated CITY 12-3580/87938 1 costs and fees 30 days in advance of the EVENT, with field usage fees due and payable within 14 days of the conclusion of the EVENT. b) The CITY will make every effort to notify PGF of any activity planned on or adjacent to the Huntington Beach Sports Complex that may inhibit or otherwise disrupt the use of the course during the EVENT within three (3) months of the event. 3. TERM; EXTENSION This Agreement shall apply to the EVENT for the years 2013, 2014, 2015, and shall remain in effect until August of 2015. This Agreement may be extended, upon mutual agreement of the parties, for an additional three year period, to include the years 2016, 2017 and 2018. This Agreement may be terminated by either party with eleven(11) months prior written notice to the other party, or within eleven(11) months of the next EVENT date if both parties mutually agree on conditions of termination. However, CITY may also terminate this Agreement upon thirty(30) days prior written notice to PGF if: a) PGF fails to comply with the conditions of approval for the EVENT, or b) PGF fails to pay assigned fees in advance of the event, as set forth each year by the Specific Events Committee and approved by the Community Services Director, or c) after review by the Specific Events Committee and subsequent evaluation by the City Council, PGF's performance is determined to be below the standards consistent with the management of a first class professional sporting event. Factors to be considered in any such determination may include, but are not limited to: compliance with the conditions of approval for the EVENT as set forth by the Specific Events Committee; timely payment of fees; compliance with all health and safety requirements; and successful response to community access issues. 4. HOLD HARMLESS PGF shall protect, defend, indemnify and save and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses,judgments, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with PGF's performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by PGF, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. PGF will conduct all defense at its sole cost and expense and CITY shall approve selection of PGF counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by PGF. 12-3580/87938 2 5. WORKERS' COMPENSATION AND EMPLOYER'S LIABILITY INSURANCE Pursuant to California Labor Code Section 1861, PGF acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; PGF covenants that it will comply with such provisions prior to commencing performance of the work hereunder. Unless PGF files with CITY an approved, signed Declaration of Non-Employer Status, PGF shall obtain and furnish to City workers' compensation and employer's liability insurance in an amount of not less than the State statutory limits. PGF shall require all subcontractors to provide such workers' compensation and employer's liability insurance for all of the subcontractors' employees. PGF shall furnish to CITY a certificate of waiver of subrogation under the terms of the workers' compensation and employer's liability insurance and PGF shall similarly require all subcontractors to waive subrogation. 6. INSURANCE In addition to the workers' compensation and employer's liability insurance and PGF's covenant to defend,hold harmless and indemnify CITY, PGF shall obtain and furnish to CITY, a policy of general public liability insurance, including motor vehicle coverage covering the EVENT. This policy shall indemnify PGF, its officers, employees and agents while acting within the scope of their duties, against any and all claims arising out or in connection with the EVENT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of One Million Dollars ($1,000,000) per occurrence. If coverage is provided under a form which includes a designated general aggregate limit,the aggregate limit must be no less than One Million Dollars ($1,000,000) for this EVENT. This policy shall name CITY, its officers, elected or appointed officials, employees, agents, and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the EVENT shall be deemed excess coverage and that PGF's insurance shall be primary. Under no circumstances shall said above-mentioned insurance contain a self- insured retention, or a"deductible" or any other similar form of limitation on the required coverage. 7. CERTIFICATES OF INSURANCE; ADDITIONAL INSURED ENDORSEMENTS Prior to commencing performance of the work hereunder, PGF shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; the certificates shall: 12-3580/87938 3 a) provide the name and policy number of each carrier and policy; b) state that the policy is currently in force; and c) promise to provide that such policies will not be canceled or modified without thirty(30)days' prior written notice of CITY. PGF shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the PGF's defense, hold harmless and indemnification obligations as set forth under this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all the policies of insurance. PGF shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. PGF shall provide a separate copy of the additional insured endorsement to each of PGF's insurance policies, naming CITY, its officers, elected and appointed officials, employees, agents and volunteers as Additional Insureds, to the City Attorney for approval prior to any payment hereunder. 8. CITY EMPLOYEES AND OFFICIALS PGF shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 9. ASSIGNING AS BREACH PGF shall not encumber, assign or otherwise transfer this Agreement, or any right or interest in this Agreement, without the prior express written consent of CITY. A consent by CITY to one assignment or transfer to another person or entity shall not be deemed to be a consent to any subsequent assignment or transfer to another person or entity. Any encumbrance, assignment or transfer, without the prior written consent of CITY, whether it be voluntary or involuntary, by operation of law or otherwise, is void and shall, at the option of CITY, terminate this Agreement. 10. LEGAL SERVICES SUBCONTRACTING PROHIBITED PGF and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. PGF understands that pursuant to Huntington Beach City Charter Section 309,the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by PGF. 12. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 13. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that party's behalf,which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement.
