Jones II, Director of Public Works n c--n rn SUBJECT: Approval of Psomas Professional Services greement - Waterfrni�t Development Statement of Issue,Funding Source,Recommended Action,Alternative Action(s),Analysis,Environmental Status,Attachments) Statement of Issue: In order to assist the development community and process the number of large complex projects, it is necessary for the City to hire contract staff planners and engineers to analyze the projects. The Waterfront Development is such a project. The Public Works Department desires to use the services of Psomas and Associates and its designated representative, Gary Dysart, to assist in the processing of the project. Funding Source: The Reimbursement Agreement between the City and The Robert L. Mayer Trust requires the developer to defray the professional planning and engineering services costs incurred by the City. The developer is required to pay not more than $120,000 for a term of one year and to transmit $60,000 retroactive to May, 1997. Recommended Action: Motion to approve the Professional Services Contract between the City and Psomas and Associates for project coordination services related to the Waterfront Expansion Development Project. Alternative Actions : 1. To deny approval of the recommended action and direct staff to solicit proposals from other consultants for the desired professional services. This action would delay the processing of the project and may result in not meeting entitlement deadlines. 2. To deny approval of the recommended action and direct staff not to use outside professional services to assist in processing of the project. This is not recommended because it would be inconsistent with the City Council's action on October 20, 1997 approval a reimbursement agreement with The Robert L. Mayer Trust for special project processing assistance. It may also result in not meeting the development entitlement deadlines. _ 3 R�QUEST FOR COUNCIL ACTIA MEETING DATE: November 17, 1997 DEPARTMENT ID NUMBER: PW 97-090 Analysis: The number of large, complex projects requires the City to hire contract staff planners and engineers to assist in the processing of these projects in a more timely manner. On October 20, 1997 the City Council approved a Reimbursement Agreement between the City and The Robert L. Mayer Trust to defray the professional planning and engineering services costs incurred by the City for the Waterfront Development Project. The developer desires to participate in the reimbursement agreement process as it will give them greater assurance of timely entitlement processing in the City. Psomas and Associates through its assigned representative, Gary Dysart, is already working along side Public Works Engineering Division staff on some other assignments and is readily available to immediately provide assistance in the processing of this large development project. Besides already being familiar with the Department's processes and staff, he has over 25 years experience in working with Public Works Departments for the processing of large scale land development projects. Psomas is also highly recognized as being experts in land development engineering and has had a large track record in providing quality services to the City. WHEREAS, CITY desires to engage the services of a consultant for project coordination services related to the Waterfront expansion development project, in the City of Huntington Beach; and Pursuant to documentation on file in the office of the City Clerk, the provisions of HBMC Chapter 3.03 relating to procurement of professional service contracts has been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. WORK STATEMENT CONSULTANT shall provide all services as described in the Request for Proposal, and CONSULTANT's proposal dated May 6, 1997 (hereinafter referred to as Exhibit which is attached hereto and incorporated into this Agreement by this reference. Said services shall sometimes hereinafter be referred to as "PROJECT." CONSULTANT hereby designates Gary Dysart, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. jm p/k/pcd/psomaswaterfront/7/30/97 1 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of the CONSULTANT are to commence as soon as practicable after the execution of this Agreement. The time for performance of the tasks identified in Exhibit"A" are generally to be shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the CITY and CONSULTANT. 4. COMPENSATION ` In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT a fee not to exceed Fifteen Thousand Dollars ($15,000) per quarter. 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit"A," or changes in the scope of services described in Exhibit"A," CONSULTANT will undertake such work after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit"A". B. Delivery of work product: A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward Jmp/k/pcd/psomaswaterfront/8/12/97 2 completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval, within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit"A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoiced separately to the CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Imp/k1pcd/psomaswaterfronVM0/97 3 Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps and other documents, shall be turned over to CITY upon termination of this Agreement or upon PROJECT completion, whichever shall occur first. In the event this Agreement is terminated, said materials may be used by CITY in the completion of PROJECT or as it otherwise sees fit. Title to said materials shall pass to the CITY upon payment of fees determined to be earned by CONSULTANT to the point of termination or completion of the PROJECT, whichever is applicable. CONSULTANT shall be entitled to retain copies of all data prepared hereunder. 8. INDEMNIFICATION AND HOLD HARMLESS CONSULTANT shall protect, defend, indemnify and save and hold harmless CITY, its officials, and employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation costs and fees of litigation of every nature) arising out of or in connection with CONSULTANT's performance of this agreement or its failure to comply with any of its obligations contained in the agreement by Professional Services Contractors, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of the CITY. 9. WORKERS COMPENSATION CONSULTANT shall comply with all of the provisions of the Workers Compensation Insurance and Safety Acts of the State of California, the applicable provisions imp/Wpcd/psomaswaterfrontl7/30/97 4 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including attorney fees and costs presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement. CONSULTANT shall obtain and furnish evidence to CITY of maintenance of statutory workers compensation insurance and employers liability in an amount of not less than $100,000 bodily injury by.accident, each occurrence, $100,000 bodily injury by disease, each employee, and $250,000 bodily injury by disease, policy limit. 10. INSURANCE In addition to the workers compensation insurance and CONSULTANT's covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY the following insurance policies covering the PROJECT: A. General Liability Insurance A policy of general public liability insurance, including motor vehicle coverage. Said policy shall indemnify CONSULTANT, its officers, agents and employees, while acting within the scope of their duties, against any and all claims of arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of$1,000,000 per occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000. Said policy shall name CITY, its officers, and employees as Additional Insureds, and shall specifically provide that any other insurance jmp/k/pcd/psomaswraterfront/7130/97 5 coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's insurance shall be primary. B. Professional Liability Insurance. CONSULTANT shall acquire a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount not less than $1,000,000 per claim. A claims made policy shall be acceptable. 11. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; said certificates shall provide the name and policy number of each carrier and policy, and shall state that the policy is currently in force. CONSULTANT shall maintain the foregoing insurance coverages in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. - 12. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor. CONSULTANT shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT jmp/Wpcd/psomaswaterfront/7/30/97 6 and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 13. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. 14. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 15. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 16. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the Califomia Govemment Code. 17. NOTICES Any notice or special instructions required to be given in writing under this Agreement shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY's Director of Public Works as the situation shall warrant, Jmp/k/pcd/psomaswaterfront/7/30/97 7 or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, addressed as follows: TO CITY: TO CONSULTANT: Director of Public Works Psomas and Associates, City of Huntington Beach Gary Dysart, Vice President 2000 Main Street 3187 Red Hill Avenue, Ste. 250 Huntington Beach, CA 92648 Costa Mesa, CA 92626 18. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 20. ATTORNEY'S FEES In the event suit is brought by either party to enforce the terms and provisions of this agreement or to secure the performance hereof, each party shall bear its own attorney's fees. mp/k/pcd/psomaswaterfrontf7M/97 8 21. Dysart Vice President Enclosure C\DYSART\ffB_)KMPR0P2D0C Engineers Surveyors Planners Costa Mesa Portland, OR Los Angeles Riverside Sacramento Santa Monica EXHIBIT A Public Works Department Coordination Services For Waterfront Resort Development Project City of Huntington Beach ATTACHMENT A SCOPE OF SERVICES The City's Public Works Department desires to have a person serve as the primary contact to coordinate the Department's development processing functions involving a major resort hotel and conference center on the property located at the northwest corner of Pacific Coast Highway and Beach Blvd referred to as the Waterfront Resort Development project. The Department also desires to have additional staff support available to assist in accomplishing the development processing functions of the Department. The following services will be provided by Psomas through its principal consultant, Gary P. Dysart with staff assistance provided on an as needed basis to respond to the work requests of the City. 1. Consultant will attend regularly scheduled meetings held by the Community Development Department with the developer as the representative for the Public Works Department. 2. Consultant will provide periodic reports, both written and oral, as needed to keep Department staff informed of the status of the project. 3. Consultant will prepare cost estimates and assist in the review of cost information provided by the Development in support of the City-'s negotiation of a Disposition and Development Agreement with the project developer. 4. Consultant will attend meetings with the City's Economic Development Department as the coordinating representative for the Public Works Department. 5. Consultant will work with the Public Works Department staff in coordinating the review and comment on development plans being processed through the Department. This will include the assembling of recommendations for conditions of development approval on tentative tract maps, conditional use permits, and environmental clearance documents. 1 EXHIBIT A 6. Consultant may provide services to the City for other tasks such as map checking, grading plan checking, and improvement plan checking on an as requested basis. COMPENSATION A monthly invoice will be submitted to City for services provided during the preceding month. Invoices are due and payable within 30 days of receipt by the City. Compensation for the services provided shall be on an hourly rate basis. The special hourly rate for the services of Gary P. Dysart is $115. The services of other staff will be in accordance with Psomas' standard billing rates in effect at the time of providing the services. A copy of the current billing rates is attached herewith. It is assumed that the City will provide: a work area for consultant including desk, chair and reference table; telephone; and word processing assistance. 2 F.XHTRTT A FEESCHEDULE ? As a Technical Survey Director for Psomas, Mr. Evans is responsible for technical aspects and quality assurance for all large scale surveying projects including freeway and highway routes, right-of-way surveying and mapping, and boundary surveys for public and private agencies. He also manages technical teams which are responsible for developing and implementing new technologies and improved procedures at Psomas firm-wide. As a Technical Manager for Psomas,Mr. Evans managed the control and design survey ,portion of the Long Beach to Los Angeles Rail Transit Line which included over 200 .separate tasks along its 22 mile length. He has also managed several projects for the Southern California Gas Company along their pipeline rights-of-way providing control and right-of-way survey services. Mr. Evans has also been the Data Processing Office Chief for several Caltrans on-call contracts. He has been instrumental in developing the in-house procedures and quality control for the collection of field data and has developed the technology and procedures that ensures the accurate transfer of digital data between the Psomas' survey system and Caltrans' CADD system. Over and above his responsibilities at Psomas, Mr.Evans has taught land surveying classes at Rancho Santiago College, UC Riverside, CSULB and CSULA in addition to a land surveyor exam review workshop for Pacific Land Seminars. PLAN CHECKINGNALUE ENGINEERING City of Lincoln Psomas has been providing design review/plan check for a wastewater treatment plant expansion that was designed by another engineering firm. Psomas subsequently redesigned the aerated lagoons. PSOMAS PLAYA VISTA Los Angeles County, CA Psomas and Associates is providing comprehensive analysis for various-development concepts for a proposed 1,091-acre master planned mixed-use community. The innovative master plan will create distinct residential neighborhoods linked to commercial and retail facilities by an internal pedestrian and vehicular transit system. The proposed project includes"over 5.6 million square feet of office and retail space, 13,085 residential units, 1,050 hotel rooms,49 acres of marina (700-900 boat slips) and 261-acres of restored wetlands. The restored wetlands will act to filter drainage flows before they reach the ocean. Psomas is providing project management and coordination, governmental relations and project entitlements, design of streets, storm drains, sewers and utilities,planning services, field inspection, record of survey, ALTA surveys, aerial photogrammetric mapping, construction staking, easement maps, and tentative and final subdivision mapping and surveying. BALLONA WETLANDS PLANNING County of Los Angeles :In February, 1989, Maguire Thomas Partners became owners of the Playa Vista Development encompassing over 950 acres within the City of Los Angeles and Marina del Rey that include approximately 285 acres designated as coastal wetlands and upland habitat. The project had been delayed since1984 as a result of a law suit that had been brought by Friends of Ballona Wetlands,et al. However, through cooperative efforts of the parties, a settlement agreement was reached in October, 1990. This agreement calls for the following six broad categories of actions: Scaling down the commercial development in the entire project area by 25 percent Eliminating development in the contiguous wetlands now planned for enforcement or restoration Expanding wetlands area by transforming adjacent uplands into productive wetlands 'Increasing wetlands value through enhancement of fish and wildlife habitat, while providing for flood control capacity and water quality enhancement Providing funds for restoration and management of the wetlands to a mid-tidal system tidal range of 3.0' resulting in a flow of about 110 acre-feet during each tidal cycle Pursuing the wetlands restoration to a full-tidal system tidal range of 5.5' resulting in a flow of about 360 acre-feet during each tidal cycle by making mitigation credits available to others. The revised mixed-use development includes the following elements: office—4,900,000 square feet; residential— 11,750 dwelling units; retail-720,000 square feet; hotel— 2,400,rooms; marina—600-900 slips; wetlands/riparion corridor—285 acres. Psomas, which had previously been working with the original property owner, was challenged by Maguire Thomas Partners to develop preliminary engineering plans for Playa Vista that would meet the following objectives: provide flood protection for Playa Vista and existing adjacent developments; provide for restoration and enhancement of habitat value of the wetlands; control the quality of storm water runoff as a contribution to the improvement of water quality in Santa Monica Bay. Psomas, working closely with biologists and water quality consultants, developed the concept and preliminary grading plan series of cascading wetland cells and tidal channels connected by a system of two- directional culverts, flap-gated culverts,weirs and gates to meet the projects objectives. A complex hydrodynamic analysis was carried out by Psomas to size storm drains and wetland circulation pipe and channels, and for computation of water surface elevations under both storm conditions and tidal influence. Psomas, in conjunction with other team members, developed the concept of a Riparion Corridor to replace the existing centinela ditch within the Playa Vista development. The PSOMAS i • riparion corridor is to function as a drainage system that cleanses storm runoff while providing a natural habitat and community amenity. This project presented a unique opportunity to develop an engineering solution that would balance the demands for public safety against storm water flooding with improvements to its natural habitat and to water quality in Santa Monica Bay. The project requirements were established to restore natural assets that complement a major mixed- use development within an environmentally sensitive area. Ballona Wetlands is the largest and only one of the two remaining coastal wetlands in Los Angeles County. As such, it is an irreplaceable natural resource. Psomas developed a hydrodynamic model of the wetlands systems to analyze the flow and routing of storm and tidal water through the system. This analysis technique was presented in a paper given at the conference of the Hydraulics and Hydrology Section of the American Society of Civil Engineers in July/August 1990 in San Diego, California. This hydrodynamic modeling technique, developed by Psomas, is also being used by the firm to analyze the new marina basin being planned for the Playa Vista development. A concept has been conceived by Psomas for creating a man-made lagoon that would act as a buffer between the marina and the existing storm drainage outfall that would otherwise discharge directly into and contaminate the marina. Using a series of flap-gated culverts, tidal flow into the marina would be allowed to pass into the lagoon,but could only exit directly into Ballona Channel. The flushing action would enhance the quality of.water in both the marina and in Ballona Channel. Psomas' role is this project has been one of partner and facilitator to accomplish engineering solutions that impact on one of the most environmentally significant pieces of property in Southern California. The concepts and plans developed by Psomas for this project have undergone review and concurrence by a wide range of public and private agencies, organizations and individuals including the following: U.S. Army Corps of Engineers; California Coastal Commission; California Department of Fish and Game; Regional Water Quality Control Board; City of Los Angeles; County of Los Angeles; Maguire Thomas Partners, Inc. Southern California Gas Company; Friends of Ballona Wetlands; League of Coastal Protection; League of Women Voters of Los Angeles County; Citizens of Playa del Rey,Marina del Rey, and City of Los Angeles; Assistant Attorney General of the State of California for Environmental Protection.
