HomeMy WebLinkAboutPUBLIC SAFETY NET, INC - 1999-08-16 kkv� Hughes, Jeffrey From: Moore, Jim Sent: Tuesday, October 16, 2001 2:13 PM To: Hughes, Jeffrey Subject: RE: City Council Item in City Clerk Pending Bucket circa 08/1999 Here's an update on that project: 1) We entered into agreement with Public Safety Net (PSN), a VAR for Geac in September, 1999 for the upgrade and rehost of our Computer Aided Dispatch system (CAD). 2) Beginning January 2001, PSN lost their agreement with Geac before completion and Geac took over the project. 3) Geac has been very diligent in completing all outstanding issues and we are close to final acceptance. 4) Until we have final acceptance, the final payment of 10% due to PSN is still outstanding and totals $13,450. 5) This rehost was a temporary fix to get us past Y2K issues and the needed maintenance that was lacking for several years. I have recently distributed a new RFP for its total replacement and they are due in two weeks. I hope to have vendor selection by the end of the year, about the same time as final acceptance. So at that time, we will compensate PSN its final payment, retain Geac for system maintenance and enter agreement with the new vendor for complete replacement. I have searched my files for the documents that you asked for but was unable to locate. The Producer may escrow multiple products under this agreement. In addition, multiple Licensees (End Users) may be registered as beneficiaries of this agreement. Although each Licensee does not sign the agreement, Fort Knox does notify them of the service. ers:� Master Escrow Agreement This Master Escrow Agreement ("Agreement") is made as of this day of Jifly, 1996, by and between Geac Computers, Inc. ("Producer") and Fort Knox Escrow Services, Inc. ("Fort Knox"). Preliminary Statement. Producer intends to deliver to Fort Knox a sealed package containing magnetic tapes, disks, disk packs, or other forms of media, in machine readable form, and the written documentation prepared in connection therewith, and any subsequent updates or changes thereto (the "Deposit Materials") for the computer software products (the "System(s)"), all as identified from time to time on Exhibit B hereto. Producer desires Fort Knox to hold the Deposit Materials, and, upon certain events, deliver the Deposit Materials (or a copy thereof) to those persons or entities listed from time to time on Exhibit C hereto as a licensee of Producer ("Licensee"), in accordance with the terms hereof. Now, therefore, in consideration of the foregoing, of the mutual promises hereinafter set forth, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Delivery by Producer. Producer shall be solely responsible for delivering to Fort Knox the Deposit Materials as soon as practicable. Fort Knox shall hold the Deposit Materials in accordance with the terms hereof. Fort Knox shall have no obligation to verify the completeness or accuracy of the Deposit Materials. 2. Duplication:_Up-dates. (a) Fort Knox may duplicate the Deposit Materials in a secure and confidential fashion by any means in order to comply with the terms and provisions of this Agreement, provided that the Licensee to whom a copy of the Deposit Materials is to be delivered pursuant to the terms hereof shall bear the expense of duplication. Alternatively, Fort Knox, by notice to Producer, may require Producer to reasonably promptly duplicate the Deposit Materials. (b) Producer shall deposit with Fort Knox any modifications, updates, new releases or documentation related to the Deposit Materials by delivering to Fort Knox an updated version of the Deposit Materials ("Additional Deposit") as soon as practicable after the modifications, updates, new releases and documentation have been developed by Producer and made comercially available to licensees of the Producer. Fort Knox shall have no obligation to verify the accuracy or completeness of any Additional Deposit or to verify that any Additional Deposit is in fact a copy of the Deposit Materials or any modification, update, or new release thereof. 3. Notification of Deposits. Simultaneous with the delivery to Fort Knox of the Deposit Materials or any Additional Deposit, as the case may be, Producer shall deliver to Fort Knox and to each Licensee a written statement specifically identifying all items deposited and stating that the Deposit Materials or any Additional Deposit, as the case may be, so deposited have been inspected by Producer and are complete and accurate. I 08:05:99 4. Delivery by Fort Knox 4.1 pel'VQ[y by Fort Knox to Licensees. Fort Knox shall deliver the Deposit Materials, or a copy thereof, to a Licensee only in the event that: (a) Producer notifies Fort Knox to effect such delivery to a Licensee or Licensees at a specific address or addresses, the notification being accompanied by a check payable to Fort Knox in the amount of one hundred dollars ($100.00); or (b) Fort Knox receives from any Licensee: (i) written notification that Producer has failed in a material respect to provide to commerciallythe Licensee reasonably iI support -Qf the applicable Systems as required by a license agreement ("License Agreement") between Licensee and Producer. (d) evidence satisfactory to Fort Knox that Licensee has previously notified Producer of such Producer Default in writing; (iii) a written demand that the Deposit Materials be released and delivered to Licensee; (iv) a written undertaking from the Licensee that the Deposit Materials being supplied to the Licensee will be used only as permitted under the terms of the License Agreement; (v) specific instructions from the Licensee for this delivery; and (vi) a check payable to Fort Knox in the amount of one hundred dollars ($100.00). (c) If the provisions of paragraph 4.1(a) are satisfied, Fort Knox shall, within five (5) business days after receipt of the notification and check specified in paragraph 4.1(a), deliver the Deposit Materials in accordance with the applicable instructions. (d) If the provisions of paragraph 4.1(b) are met, Fort Knox shall, within five (5) business days after receipt of all the documents specified in paragraph 4.1(b), send by certified mail to Producer a photostat copy of all such documents. Producer shall have thirty (30) days from the date on which Producer receives such documents ("Objection Period") to notify Fort Knox of its objection ("Objection Notice") to the release of the Deposit Materials to a Licensee and to request that the issue of Licensee's entitlement to a copy of the Deposit Materials be submitted to arbitration in accordance with the following provisions: (i) If Producer shall send an Objection Notice to Fort Knox during the Objection Period, the matter shall be submitted to, and settled by arbitration by, a panel of three (3) arbitrators chosen by the Atlanta Regional Office of the American Arbitration Association in accordance with the rules of the American Arbitration Association. The arbitrators 2 Ge GS� shall apply Georgia law. At least one (1) arbitrator shall be reasonably familiar with the computer software industry. The decision of the arbitrators shall be binding and conclusive on all parties involved, and judgment upon their decision may be entered in a court of competent jurisdiction. All costs of the arbitration incurred by Fort Knox, including reasonable attorneys' fees and costs, shall be paid by the unsuccessful ply. If, however, a Licensee refuses to submit to such binding arbitration, the matter shall not be submitted to arbitration and Fort Knox may submit the matter to any court of competent jurisdiction in an interpleader or similar action in accordance with paragraph 6(a) hereof. (ii) Producer may, at any time prior to the commencement of arbitration proceedings, notify Fort Knox that Producer has withdrawn the Objection Notice. Upon receipt of any such notice from Producer, Fort Knox shall reasonably promptly deliver the Deposit Materials to the Licensee in accordance with the instructions specified in paragraph 4.1(b)(v). (e) If, at the end of the Objection Period, Fort Knox has not received an Objection Notice from Producer, then Fort Knox shall reasonably promptly deliver the Deposit Materials to the Licensee in accordance with the instructions specified in paragraph 4.1(b)(v). 4.2 Delivery by Fort Knox to Producer. Fort Knox shall release and deliver the Deposit Materials to Producer upon termination of this Agreement in accordance with paragraph 7(a) hereof. 5. Indemnity. Provided Fort Knox has complied with the terms of theis Agreement. Producer shall indemnify and hold harmless Fort Knox and each of its directors aflLj officers from and against any and all claims, actions, damages, suits, liabilities, obligations, costs, fees, charges, and any other expenses whatsoever, including reasonable attorneys' fees and costs, that may be asserted against Fort Knox in connection with this Agreement or the performance of Fort Knox. 6. Disputes and Inter lei. (a) In the event of any dispute between any of Fort Knox, Producer and/or any Licensee relating to delivery of the Deposit Materials by Fort Knox or to any other matter arising out of this Agreement, Fort Knox may submit upon twn (10) days notice to the Producer the matter to any court of competent jurisdiction in an interpleader or similar action. Any and all costs incurred by Fort Knox in connection therewith, including reasonable attorneys' fees and costs, shall be borne by the unseccussful party. (b) Fort Knox shall perform any acts ordered by any court of competent jurisdiction, without any liability or obligation to any party hereunder by reason of such act after Fort Knox Ibas provided the Producer with sufficient notice, under the circumstances. of such court order, 7. Jorm and Renewal. 3 08t05.:99 (a) The initial term of this Agreement shall be two (2) years, commencing on the date hereof (the "Initial Term"). This Agreement shall be automatically extended for an additional term of one year ("Additional Term") at the end of the Initial Term and at the end of each Additional Term hereunder unless, on or before ninety (90) days prior to the end of the Initial Term or an Additional Term, as the case may be, either Fort Knox or the-Produ-cer notifies the other party that it wishes to terminate the Agreement at the end of such term. (b) In the event of termination of this Agreement in accordance with paragraph 7(a) hereof, Producer shall pay all fees due Fort Knox under Section 8 and shall promptly notify all Licensees that this Agreement has been terminated and that Fort Knox shall return to Producer all copies of the Deposit Materials then in its possession. (c) In the event of termination of this Agreement in accordance with paragraph 8(b) hereof, Fort Knox shall destroy or return to the Producer. as_Producer directs. the Deposit Materials and Producer shall promptly notify all Licensees that this Agreement has been terminated. B. Fees. Producer shall pay to Fort Knox fees in accordance with Exhibit A as compensation for Fort Knox's services under this Agreement. (a) Payment. Fort Knox shall issue an invoice to Producer following execution of this Agreement ("Initial Invoice"), on the commencement of any Additional Term hereunder, and in connection with the performance of any additional services hereunder. Payment is due upon receipt of invoice. All fees and charges are exclusive of, and Producer is responsible for the payment of, all sales, use and like taxes. Fort Knox shall have no obligations under this Agreement until the Initial invoice has been paid in full by Producer. (b) Nonpayment. In the event of non-payment of any fees or charges invoiced by Fort Knox, Fort Knox shall give notice of non-payment of any fee due and payable hereunder to the Producer and, in such an event, the Producer shall have the right to pay the unpaid fee within ten (10) days after receipt of notice from Fort Knox. If Producer fails to pay in full all fees due during such ten (10) day period, Fort Knox shall give notice of non-payment of any fee due and payable hereunder to the Licensee(s) and, in such event, the Licensee(s) shall have the right to pay the unpaid fee within ten (10) days of receipt of such notice from Fort Knox. Upon payment of the unpaid fee by either the Producer or the Licensee(s), as the case may be, this Agreement shall continue in full force and effect until the end of the applicable term. Failure to pay the unpaid fee under this paragraph 8(b) by both Producer and the Licensee(s) shall result in termination of this Agreement. 9. Ownership of Deposit Materials. Fort Knox and Producer recognize and acknowledge that ownership of the Deposit Materials shall remain with Producer at all times. 10. Available Verification Services. Upon receipt of a written request from any Licensee, Fort Knox. aftgr notifying Producer and obtaining Producer's consent, and such Licensee may enter into a separate agreement pursuant to which Fort Knox will agree, upon certain terms and conditions, to inspect the Deposit Materials for the purpose of verifying its relevance, completeness, currency, accuracy and functionality ("Technical Verification Agreement"). Upon written request from Producer, Fort Knox will issue to Producer a copy of 4 08,'OSN9 any written technical verification report rendered in connection with such engagement. If Fort Knox and Licensee enter into such Technical Verification Agreement, Producer shall reasonably cooperate with Fort Knox by providing its facilities, computer systems, and technical and support personnel for technical verification whenever reasonably necessary. If requested by any Licensee, Producer shall permit one employee of such Licensee to be present at Producer's facility during any such verification of the Deposit Materials. 11. Bankruptcy. Producer and Licensee acknowledge that this Agreement is an "agreement supplementary to" the License Agreement as provided in Section 365 (n) of Title 11, United States Code (the "Bankruptcy Code"). Producer acknowledges that if Producer as a debtor in possession or a trustee in Bankruptcy in a case under the Bankruptcy Code rejects the License Agreement or this Agreement, Licensee may elect to retain its rights under the License Agreement and this Agreement as provided in Section 365 (n) of the Bankruptcy Code. Upon written request of Licensee to Producer or the Bankruptcy Trustee, Producer or such Bankruptcy Trustee shall not interfere with the rights of Licensee as provided in the License Agreement and this Agreement, including the right to obtain the Deposit Material from Fort Knox. 12. Miscellaneous. (a) Remedies. Except for actual fraud, negligence or intentional misconduct, Fort Knox shall not be liable to Producer for any act, or failure to act, by Fort Knox in connection with this Agreement. Any liability of Fort Knox regardless of the cause shall be limited to the extent of Fort Knox's insurange coygrggewhjcs ball be ng le,5s than 55.000.000. Neither party will be liable for special, indirect, incidental or consequential damages hereunder. (b) Natural Degeneration: Updated Version. In addition, the parties acknowledge that as a result of the passage of time alone, the Deposit Materials are susceptible to loss of quality ("Natural Degeneration"). It is further acknowledged that Fort Knox shall have no liability or responsibility to any person or entity for any Natural Degeneration. For the purpose of reducing the risk of Natural Degeneration, Producer shall deliver to Fort Knox a new copy of the Deposit Materials at least once every three years. (c) Permitted Reliance and Abstention. Fort Knox may rely and shall be fully protected in acting or refraining from acting upon any notice or other document believed by Fort Knox in good faith to be genuine and to have been signed or presented by the proper person or entity. Fort Knox shall have no duties or responsibilities except those expressly set forth herein. (d) Independent Contractor: No Third Party Beneficiary. Fort Knox is an independent contractor, and is not an employee or agent of either the Producer or any Licensee. No Licensee is a party to this Agreement, and no Licensee shall have any rights hereunder, including, without limitation, any rights as a third party beneficiary. Producer shall make no representation to any Licensee that is inconsistent with this paragraph 11(d). (e) Amendments. This Agreement shall not be modified or amended except by another agreement in writing executed by the parties hereto. 5 nans;99 (f) Entire Agreement. This Agreement, including all exhibits hereto, supersedes all prior discussions, understandings and agreements between the parties with respect to the matters contained herein, and constitutes the entire agreement between the parties with respect to the matters contemplated herein. All exhibits attached hereto are by this reference made a part of this Agreement and are incorporated herein. (g) Qoul2tgrparts: Governing Law. This Agreement may be executed in two (2) counterparts, each of which when so executed shall be deemed to be an original and both of which when taken together shall constitute one and the same Agreement. This Agreement shall be construed and enforced in accordance with the laws of the State of Georgia. (h) Confidentiality and Security. Fort Knox will hold and release the Deposit Materials only in accordance with the terms and conditions hereof, and will maintain the confidentiality of the Deposit Materials. Fort Knox shall hold the Deposit Materials in a safe and secure environment as would be expected of a reasonable Escrow Agent. (i) Notices. All notices, requests, demands or other communications required or permitted to be given or made under this Agreement shall be in writing and shall be delivered by hand or by commercial overnight delivery service which provides for evidence of receipt, or mailed by certified mail, return receipt requested, postage prepaid, and addressed as follows: (i) If to Producer: to the address listed on the signature page hereof (ii) If to Fort Knox: Fort Knox Escrow Services, Inc. 3539-A Church Street Clarkston, Georgia 30021-1717 Attn: Contracts Administrator If delivered personally or by commercial overnight delivery service, the date on which the notice, request, instruction or document is delivered shall be the date on which delivery is deemed to be made, and if delivered by mail, the date on which such notice, request, instruction or document is received shall be the date on which delivery is deemed to be made. Any party may change its address for the purpose of this Agreement by notice in writing to the other parties as provided herein. Q) Survival. Paragraphs 5, 6, 8, 9 and 11 shall survive any termination of this Agreement. (k) No Waiver. No failure on the part of any party hereto to exercise, and no delay in exercising any right, power or single or partial exercise of any right, power or remedy by any party will preclude any other or further exercise thereof or the exercise of any other right, power or remedy. No express waiver or assent by any party hereto to any breach of or default in any 6 os 0999 term or condition of this Agreement shall constitute a waiver of or an assent to any succeeding breach of or default in the same or any other term or condition hereof. 7 0Rr05r99 IN WITNESS WHEREOF each of the parties has caused its duly authorized officer to execute this Agreement as of the date and year first above written. (d) Nothing in this Agreement shall be constructed to convey to the Client any right, title or ownership interest in the source code or in the intellectual property rights relating to the source code or any documentation. Analysis: For several years, the police department's outdated Computer Aided Dispatch and Records Management System (CADIRMS) has been limping along on an antiquated and obsolete McDonnell Douglas mainframe computer. Its replacement was delayed much longer than planned due to the extended time in litigation with the original manufacturer. During the four year litigation period, the department had no software maintenance support. By the time the department was able to begin its evaluation and selection process for a new system following the settlement, the window period for implementation prior to Y2K had closed for the vendors being considered. Replacement parts for the hardware are no longer manufactured so the department has been dependant on less reliable, cannibalized components from other surplus systems. The department had been led to believe that the' system was Y2K compliant but without system support for so many years, this was unsubstantiated. The department felt it prudent to enter into a maintenance agreement with Public Safety Net who at the same time, would convert messaging to access criminal records to an internet protocal as required by the state. This was approved by Council last April. In the course of this maintenance, it has been discovered that certification for Y2K compliance is not available for the CAD software component. The RMS component is not Y2K compliant. In fact, the source code for the department's existing system is so old it no longer exists. This precludes the possibility of "fixing" the existing version. The total replacement of the CADIRMS system with a new product that provides the desired operability and features by the department would require two to three years for completion. For a mission critical system such as this, the risk is too great postponing the replacement of the hardware that far into the future or whatever impacts Y2K non-compliance will yield. This recent discovery has unfortunately forced our backs to the wall, leaving few options. But the department, with the assistance and recommendation of its consultants, has developed a plan. Although this is a more costly process, the department is confident that there are a sufficient amount of funds budgeted for this project to use this approach. Rather than taking one giant leap onto a new system, smaller steps will be taken to arrive at the desired system. In so doing, the current software will be upgraded to the latest version which is certified Y2K compliant. Servers running on an NT operating system will replace the sorely obsolete and unreliable McDonnell Douglas platform. It must be understood that this proposal does not provide the CAD/RMS product that will meet the department's ultimate needs. It addresses the immediate hardware and software concerns. Future phases would include enhancements to the current system or its total replacement, at which time the department's recommendations will be brought before Council. The proposal by Public Safety Net will bring the system into compliance. It also includes an option for the purchase and integration of a Property and Evidence Module to replace the department's existing, stand-alone system that is non-compliant. The cost of this option is included in the amount the department is asking for Council's approval. Public Safety Net has assured the department that all work will be complete prior to January 1, 2000 if they can begin by September 1, 1999, thus the urgency of this request. The department is also asking Council to waive the city's cancellation clause requirements for Public Safety Net's Liability Insurance as was approved by the Settlement Committee for their contract approved by Council in April. There are numerous advantages for taking this phased approach. The Y2K concerns associated with the older software versions are eliminated. The threat of a mainframe failure that might cause extended downtime vanishes. Maintenance costs currently being spent to keep the hardware and software operational can be cut by as much as $70,000 annually. By moving to an NT platform now, the cost for a final CAD product can be reduced since this new equipment and some interfaces can be utilized. By purchasing this upgrade, it also buys the department the needed time to properly plan and select the system to meet its ultimate needs. With the passage of the new millinium and the race for compliance in the past, it is anticipated that the costs for these CADIRMS products will fall and that the department may find a better buying opportunity by following this plan. PRIORITIES In-the event there are any conflicts or inconsistencies between this AGREEMENT, the CITY's RFP, or the CONTRACTOR's Proposal, the following order of precedence shall govern: 1) AGREEMENT, 2) the CONTRACTOR's Proposal, and 3) the CITY's RFP. G. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," CONTRACTOR will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 7. METHOD OF PAYMENT A. CONTRACTOR shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit "A." B. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONTRACTOR shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. CONTRACTOR shall submit to CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this AGREEMENT; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of CONTRACTOR's firm that the work has been performed in accordance with the provisions of this AGREEMENT; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONTRACTOR is making satisfactory progress toward completion of tasks in accordance with this AGREEMENT, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONTRACTOR in writing of the reasons for non-approval within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONTRACTOR is in, or has been brought into compliance, or until this AGREEMENT is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoiced separately to CITY. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this AGREEMENT. S. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONTRACTOR agrees that all materials prepared hereunder, including all original drawings, designs, reports, both field and office notices, calculations, maps, memoranda, letters and other documents, shall be turned over to CITY upon termination of this AGREEMENT or upon PROJECT completion, whichever shall occur first. In the event this AGREEMENT is terminated, said materials may be used by CITY in the completion of the PROJECT or as it otherwise sees fit. Title to said materials shall pass to CITY upon payment of fees determined to be earned by CONTRACTOR to the point of termination or completion of the PROJECT, whichever is applicable. CONTRACTOR shall be entitled to retain copies of all data prepared hereunder. 9. HOLD HARMLESS CONTRACTOR shall protect, defend, indemnify and hold harmless CITY, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of or in connection with performance of this AGREEMENT or its failure to comply with any of its obligations contained in this AGREEMENT except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. WORKERS' COMPENSATION INSURANCE Pursuant to California Labor Code Section 1861, CONTRACTOR acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; CONTRACTOR covenants that it will comply with such provisions prior to commencing performance of the work hereunder. CONTRACTOR shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars (5100,000) bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars (5250,000)bodily injury by disease, policy limit. CONTRACTOR shall require all subcontractors to provide such workers' compensation insurance for all of the subcontractors' employees. CONTRACTOR shall furnish to CITY a certificate of waiver of subrogation under the terms of the workers' compensation insurance and CONTRACTOR shall similarly require all subcontractors to waive subrogation. 11. PROFESSIONAL LIABILITY INSURANCE CONTRACTOR shall furnish a professional liability insurance policy covering the work performed by it hereunder. Said policy shall provide coverage for CONTRACTOR's professional liability in an amount not less than $1,000,000 per occurrence and in the aggregate. A claims-made policy shall be acceptable if the policy further provides that: A. If insurance is terminated for any reason, CONTRACTOR agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this AGREEMENT. D. The reporting of circumstances or incidents that might give rise to future claims. 12. CERTIFICATES OF INSURANCE Prior to commencing performance of the work hereunder, CONTRACTOR shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this AGREEMENT; said certificates shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty(30) days prior written notice; however, ten (10) days prior written notice in the event of cancellation for nonpayment of premium. CONTRACTOR shall maintain the foregoing insurance coverages in force until the work under this AGREEMENT is fully completed and accepted by CITY. CONTRACTOR shall pay, in a prompt and timely manner, the premiums on all insurance hereinabove required. 13. INDEPEI\'DENT CONTRACTOR CONTRACTOR is, and-shall be, acting at all times in the performance of this AGREEMENT as an independent contractor. CONTRACTOR shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONTRACTOR and its officers, agents and employees and all business licenses, if any, in connection with the services to be performed hereunder. 14. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONTRACTOR's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this AGREEMENT by CITY shall be made in writing, notice of which shall be delivered to CONTRACTOR as provided herein. 15. ASSIGNMENT AND SUBCONTRACTING This AGREEMENT is a personal service contract and the supervisory work hereunder shall not be delegated by CONTRACTOR to any other person or entity without the consent of CITY. 16. The Police Department is seeking to purchase a system that can meet the following performance guarantees: CAD Uptime 99.9%-7x24 Measurement RMS/JMS Uptime 99.5%-7x24 Measurement CAD Response Time < 1 Second 99%of the time- Call Processing < 1.5 Seconds 95%of the time-Complex Transaction RMS/JMS Response <1.5 Seconds 95%of the time-Routine Transactions Time <2 Seconds 95%of the time-Complex Transaction CAD Online Storage 24 Months RMS Online Storage 5 Years Elapsed time for the above measurements should be defined as the elapsed time between pressing the enter key (or similar) and the display of the requested information on screen. For sizing purposes, please refer to Department annual statistics. The 99.996% CAD Uptime requirement allows for slightly under six minutes of Downtime during any 90-day period for the CAD component while the 99.596% RMS/JMS Uptime requirement allows for slightly under nine minutes Downtime for the same period. PSMs proposed solution for upgrade of Application Software and Network Configuration to the CAD and RMS package for the Huntington Beach Police Department IS configured to successfully meet the CAD Uptime requirement. The RMS/JMS Uptime requirement will be met as well, however scheduled maintenance should not be calculated in regard to the RMS/JMS platform. Unscheduled downtime due to 3'd party hardware-only failures cannot be counted against the 6 and 9 minute per 90-day Downtime allowance. CAD and RMS/JMS Response Time requirements will be met by PSN's proposed upgrade solution. CAD and RMS/JMS Online Storage requirements will be met by PSMs proposed upgrade solution. Page 8 3.2.1.2. What methodology do you propose for conducting a thorough ATP to test each of the above requirements? CAD Uptime Requirement—PSN is proposing a fully redundant CAD environment in which use of Network File Access(NFA)utilities at the data base level will maintain a mirror data base for CAD transactions. Network and Workstation utilities provide for single function fail-over to the CAD backup which also serves as the RMS/JMS server. While not automatic, is provides backup transactions to begin within approximately 15 seconds. RMS/JMS Uptime Requirement—PSN is not recommending a redundant platform for the RMS/JMS function. Uptime must be calculated to the exclusion of planned downtime associated with addingldeleting devices, O/S and RDBMS maintenance utilities and any application-driven housekeeping functions which might remove the server from production. Required Uptime within these parameters will be met by the platform, O/S, RDBMS,and Applications proposed. CAD Response Requirement—PSN proposes a straight forward approach to measuring response time delivered from the system proposed. Pre-load of the CAD system with all background processes as well as peak active and waiting events will be followed by concurrent event processing for each active calltaking and dispatching position. Against this load mobile data transactions will be initiated from a calculated-average number of field units simultaneously. This level of activity will be continued for a mutually agreed upon period of time. During the evaluation each position will be monitored by an individual assigned to observe and time workstation response times. The mutually agreed to response criteria will be utilized. RMS/JMS Response Requirement--Again a straight forward approach to measuring RMS/JMS response time is proposed. After data conversions are completed thus loading the RDBMS with production-volume files,an agreed-upon series of -. search and entry routines will be simultaneously coordinated to simulate normal RMS/JMS transaction load. During the evaluation each position will be monitored by an individual assigned to:observe and time workstation response times. The mutually agreed to response criteria will be utilized. CAD and RMS/JMS Online Storage requirements will be verified by joint review of CAD and RMS/JMS file systems after data conversions are complete. Available disk space within the file system to exceed the specified capacity requirements will be demonstrable. 3.2.1.3. Vendors are required to commit to a 90 day performance and acceptance period from the date the new systems are fully operational. Will you commit to this requirement? PSN will agree to a 90 day performance evaluation period from the point that the city and PSN agree a given component is production-ready. Page 9 3.2.1.4. RDBMS source code is not available, Client Utility source code is not available, Geac source code will be provided through an independent escrow agreement, and PSN source code will be available through direct escrow agreement with the city. A copy of the Sample Escrow Agreement has been included as part of the Sample Agreement section of this RFP. 3.2.1.6. Does the source code include programming, documentation and complete installation instructions? Geac and PSN Administrative documentation, while including set-up instructions and configuration details, includes programming documentation created through the use of self-documenting edits generally made by programming staff. 3.3. System Experience 3.3.1.1. Please include details regarding your experience with implementing the same software release and hardware in a public safety environment. The applications proposed have been deployed at more than 150 sites throughout North America. The staff at PSN has been directly involved in nearly every of these projects. The RDBMS has been used in more that half of the 150 sites and PSN's staff has developed a high degree of proficiency in deploying these applications in the environment proposed. Page 10 3.3.1.2. What is your company's 3-year product development plan with respect to the proposed product? The CAD package proposed(Police)is one of a suite of 3 CAD packages offered by PSN. One of the other packages(Fire) is presently undergoing conversion to a Graphical User Interface(GUI). The third CAD package(Ambulance)as well as the Police package are both scheduled for updating to offer a GUI option. The CAD/JMS package is the target of significant effort to integrate additional 3rd party products such as Microsoft Word Processing, Spread Sheets, and Presentation products,Extranet publishing,document imaging, enhance photo imaging, as well as enhanced ODBC connectivity. Several of these features are available now, while others will be available by January 2001. It is expected that by the end of calendar year 2001 the GUI version of each CAD product will be available for installation. 3.4. Requested program changes are viewed with the client to determine the operational issue. Once the operational issue as it impacts the software is defined, agreement on enhancements and/or modification specifications are obtained. Generally such changes are billable and charges, if any, are agreed upon. A work order is generated and work scheduled as soon as possible within the programming staff's calendar. Required program changes are those viewed as critical to on-going use of the applications. Often those issues are identified bugs in various programs which appear from time-to-time due to variations in use of the main-line programs. Such changes are scheduled immediately and typically installed on the client site via modem or DC-ROM patch-release. While programming changes generally fall into one of these two categories, each request is review with the customer to assure that changes are made in such a manner as to maintain the value of the applications to the end users. Page 18 3.9.1.10. How often are software upgrades released? What is your release management program? The latest release of the core CAD and RMS/JMS software from Geac, V 5.01.B is proposed as the initial installation. An update to some of its components is forecast for dater in 1999. Typically, releases, which include non-critical bug fixes,are provided to client sites in 12-18 month rotations. Critical hug fixes, termed"patches" are released as available. Integrated components from PSN are generally custom for each site with updates limited to fixes to identified bugs and functional enhancements requested by the client after initial acceptance. 3.9.1.11. How long will support be provided in the event the Department decides not to install a new release? Support for the core CAD and RMS/JMS applications require client installation of new releases. The software is developed and enhanced in such a manner as enhancements do not impact operations unless administration elects to utilize such changes to the system. 3.10. Please describe your experience interfacing with a UCS field reporting package. What are the potential costs involved with interfacing to a UCS field reporting system? Is PSN capable of serving as a prime contractor for the implementation of a UCS field reporting system? PSN is presently engaged with the City of Akron, OH in implementing an integration of the multi-module RMS package installed on the city's CAD and RMS platforms with the UCS Field Reporting system. Modules that are being deployed in the Akron Integration include Incident Reporting,Accident Reporting, Tragic Citations, Vehicle Tows,and Field Interviews. The costs associated with the integration are dependent on the number of UCS modules to be integrated with the CADIRMS/JMS packages. The cost for the Akron project was in the neighborhood$135,000. Exact pricing for the city will be determined by the final scope of work desired. Because of the relative costs between the UCS Field Reporting system and integration costs from PSN, it would appear that prime contractor role is better assumed by UCS. It has generally been our experience that the client is better served by a joint agreement between the client and the vendors involved. The agreement will include a mutually-satisfactory description of the relative Application Programming Interface,Scope of Work, and Functional Specification to assure that when the project is complete the client gets what they require. 3.10.1.2. Please indicate your experience involved with interfacing your CAD/RMS product to a Motorola RNC. It is anticipated that the new RNC will be installed by August 1, 1999. TCP/IP testing must commence by September 1, 1999. PSN has previous experience with establishing Message Switch utilities in conjunction with Motorola's RNC. 3.11. Documentation and Training Please include copies of published technical brochures for all software included in this proposal. Page 20 3.11.1.1. How many copies of the application software documentation are provided? A master set of documentation on CD-ROM is provided. As the RMS/JMS package is deployed and modules and integration utilities become operational, custom documentation is produced. This documentation is also provided on CD-ROM. Generally,PSNprovides hardcopy documentation for training functions as well. Numbers to be determined by training requirements. 3.11.1.2. Specify on-site versus off-site. Off Site training is limited to administration training for the core RMS development tool. Forty-hours is provided in the PSN facility in Clearwater,Florida for those persons tasked with supporting RMS/JMS users. 3.11.1.4. What is the training methodology usually administered by your company? PSN typically schedules system training around a combination of three methodologies. Depending on the identified needs of the agency, its level of experience witb the core system, and the deployed configuration of the software. The first in Administrative Training in which system administrators of appropriate components are trained on administrative aspects of the specific components. Supervisory Training is the second component in which mid-level supervisory personnel receive limited administrative and in-depth end-user training on specific components of the system. End User Training is conducted for the actual module user. This training should be conducted with the active participation of those supervisory personnel who received Supervisory Training in the respective modules. Page 21 3.11.1.5. How many personnel may be included in each training session? Administrative Training is typically conducted in close to a one-to-one situation. Typically one or more of PSN installers works early in the project with the client's MIS staff in deployment and configuration of the various components. Supervisory Training typically is a class room configuration with 6-8 workstations and not more that two students per workstation. A PSN instructor or instructor team will conduct the training. Over head or large screen displays are helpful for this training. End User Training is also a class room configuration with 8-10 workstations and not more than two students per workstation. A PSN instructor or instructor team will combine with one or more supervisors(selected from the Supervisory Training class) to conduct the training. Over bead or large screen displays are helpful for this training. 3.11.1.6. Are the syllabus and training materials customized for each client site? Training materials for modules in which site customization is provided are tailored to the agency configurations. In the case of the police RMS package, totally customized user guides are developed and delivered as part of the RMS deployment. 3.12. Upgrade System Compatibility Per initial discussions with PSN,the Police Department understands that this proposed minimum upgrade shall retain all existing functionality of systems currently installed; -- including interfaces to internal and external systems. In addition, the new release of PSN's, application software shall be capable of incorporating cost-effective enhancements that may be requested from the Department in future phases. In the case of the CAD system,a number of significant operational/functional enhancements have been included. Release notes regarding these enhancements have previously been provided to the city. During initial phases of this project,PSN will review the operational impact of implementation of the various enhancements, should the city elect to use them. For the police RMS package,PSN is proposing a "re. deployment"of the RMS system in which totally new modules may be deployed. Page 22 3.13. Year 2000 Compliance and Design Please confirm that the proposed software release and hardware upgrade has been designed to accommodate the Department's growth and functional needs for the next 5 to 7 years. This proposal covers all aspects of such a conversion including pricing for: Ardent/Unidata licensing, networking hardware and services, and the conversion of all existing data on the current system. Key Features and Conceptual Design of the Proposed New System The upgraded system that PSNICTI has proposed is microcomputer based using the latest in software development technology. We propose as Phase I of this installation to rehost the existing Computer Aided Dispatch (CAD) and Records Management System (RMS) for both Police to a new redundant Microsoft® NTO server based hardware platform running Ardent/Unidata's Relational Data Base Management System (RDBMS) and Microsoft® NTO. PSNICTI is excited about the high reliability of today's-NTO servers, and we look forward to discussing this in detail with the City of Huntington Beach Police Department. Where did our knowledge come from? Some of us worked for OCS Technologies, Inc. when they purchased Bell Atlantic Public Sector Systems, Inc. (BAPSS) in January of 1994. All of us had worked for BAPSS who purchased EAI Systems, Inc. in June of 1992. The Fire side beta is going very well at Cypress Creek EMS and they will probably share that with you in conversation. 3) Is removal of existing hardware (de-installation) included? PSN/CTI did not propose removal of the existing hardware. We typically do not do this and would recommend that you use someone locally. 4) Can the interface date for Motorola (9/1) be met? In the RFQ, you stated the following: 1.1. Please indicate your experience involved with interfacing your CAD/RMS product to a Motorola RNC. Ardent Unidata no longer requires a formal agreement because their license agreements come shrink wrapped with their software. 2. The existing Police Computer Aided Dispatch System utilizes file transfer software to keep the two (2) McDonnell-Douglas machines in sync. The transfers work much faster over a local area network (LAN) and will utilize Ethernet connections between the two (2) NTS servers. (PSN) to upgrade its Y2K non-compliant Computer Aided Dispatch/Records Management System (CADIRMS). The reasons we selected PSN are: 1) The president of.PSN and its principals were originally from EAI, the company that supplied the software for our current CADIRMS; 2) Through a series of buyouts, a company named GEAC now owns the current version of our software.
