TWr AGREEMENT is entered into this day of , 1984�; and between CITY OF HUNTINGTON BEACH, a rmnicipal corporation of the State of California, hereinarter referred to as "CITY" , and PUBLIC SERVICE COMMUNICATIONS k nereinaftez: referred to as "LICENSEE" . WITNESSETH: `-' WHE" .3AS, LICENSEE desires to install cycle organizers (comonly .known as bicvcle racks) herein as "organizer:;" in certain Tublie areas and, CITY is grilling to license such installation, NOW, THEREFORE, the parties covenant and agree as follows: � 1. GRAN OF LICENSE CITY hereby grants a ,.e.vocable license t-� LICENSEE to install and maintain in conformanc-e with existing laws, six (6) cycle organizers (biNycl-� racks) . CITY and L,ICENS. 13 shall mutually agree upon specific locaticns. Installation and maint- ei�ance of the organizer5 shall be subject to such requirements or conditions as may be imposed by CITY. 2. REMOVAL OR RELOCATION In the event that CITY determines it is necessarl, or conveni nt that cycle organizers be removed for my reason, the LIC Mi shall remove or relocate said organizers be removed for NOR I IN MAN any reasone the LICENSEE shall remov- or relocate said organizers to a position and in a manner designatedby CITY within thi:.;ty (30) days after notice in writing to do so. 3. EXPENSE OF r—iOVAL OR RELOCATJ.ON Any removal or relocation of said e:rganizers pursuant to the foregoing patagraph shall be at the sole cost and expense of LICENSEE and without any cost and expense whatsoever tr., CITY, and LICENSEE shall have no claim or cause of action - ,Anst CITY by reason of such removal and relocation. `` 4. ADVERTISINO,, Permission to c ccroach upon public righ-.s of way, parks s or beaches is granted to LICENSEE in order: to r>rovide organizers fl r the use and benefit of the general ,public without charge for such use. LICENSEE may place advertising materials on panels located on the organizers subject to prier CITY approval of the content of the advertising material used, its format and display. 5. _NDFNINIFICAT79INt UEF!'NSE AND HOLD_'3A MLESS LICENSEE shall defend, i:ndemaify and hold harmless CM, its officers agents and employees, from and against any and all liability, judgements, damages, costs, .losses, claims, Including workers' compensation claims, and expenses arising out of or resulting from or connected with LICENSEE'S exercise of the license granted horeunder excepting v,hep the occurenc6 's solely attributable to an act or oraiss�on of the CITY, its officers or emplo, .es- 2 6. WORKERS' COMPENSATION In performance of ais agreement LICENSEE shall comply with all applicable provision--, of the Workers Compensation Insurance and Safety Acts of the State of California, applicable provisions of the California Labor Code and all amendments there- to; and all similar State or Federal acts or lawLi. LICENSEE zshall furnish to CITY a certificate evidenci,y acceptable , . workers' compensatiot insurance which shall be on CITY''S form or in such form as 4-a acceptable to the City Attornzy which certif- icates the insurer shall agree thereon not to cancel or ,codify the policy without thirty (30) days prior wrz.tten notice to CITY. In the alternative, LICENSEE may show proof of a certif- icate of consent to self- inure issued by the Director of Industrial Relations according to California La`.;or Code Section 3800 in form satisfactoyl tc the City Attorney. 7- GENERAL PUBLIC LIABIuITY AND INSURANCE LICENSEE shall, obtain a policy of general public liability injury insurance and maiita .n such policy in effect for the period covered by this agreement, providing coverage for bodily injury and property damage in the v-in:mum -nouat of $300,900 combined single limit per occurrence. The policy shall provide that CITY and its officers and employees, while acting within the scope of their duties, are additional named insureds and shall insure LICENSEE and all others against all claims, suits, or other actions of any nature brought for or on account of .any injuries damage or lass, including any depl' hs arising out 3 3 a a' h yyg�g R. o» connected iith the exercise of this license. ANNUAL LICENSE FEr S C In consideration of the foregoing, LICENSEE will pay CITY Twenty Dollars ($20.00) per calendar year for each organizer unit placed. Payment will be made in advance on or before February 1 of each year. 9. ADDITIONAL CYCLE ORGANIZERS Additional organizers may be installed by LICENSEE under the same terms and conditions as described in this agreement upon approval it writing by the Director of Community Services. Locatirns for said additional organizers shall, be selected by CITY'S Director of Community Services. 13, AMENDMENTS This agreement may be amended or modified or the term extended by written agreement executed by the parties hereto. 4 i S 14. If after thirty (30) clays the LICENSEE .has not removed said cycle organizers, then CITY shall have the option to claim ownership 'th reof or to remove same and restore the said property at the expense of the LICENSEE. 11. Consent by CITY to one assignment, subletting or license shall, not be deemed a consent to any subsequent assignment, subletting, or license 12. This method of payment will simplify the account- ing procedures for the city as well as the licensee.
