Funding Source: Revenue Bonds and Pier Fund. City Council approved $800,000 for design of South Beach Phase II as part of the June 19, 2000 Revenue Bond Issuance. The Pier Fund will be used to fund $177,200. The total funding is $977,200 in South Beach Improvement Phase 11, Acct.#30187004. Recommended Action: Motions to: (1) Approve the Professional Services Contract between the City of Huntington Beach and Purkiss Rose, RSI for Landscape Architectural Services for the South Beach Phase It Project, and authorize the Mayor and City Clerk to execute the same, and (2; .+'approve the utilization of $800,000, as identified in the June 19, 2000 issuance of Revenue Bonds, and $177,200 from the Pier Fund to pay for the base contract of the consultant, Purkiss Rose, RSI, of $849,200, plus ten percent for contingencies of $85,000, and five percent for $43,000 for supplementals for a total allocation not to exceed $977,200 in Acct.#30187004. Alternative Action(s): Do not approve the professional services contract and do not proceed with South Beach Phase II Renovation Project improvements at this time. Analysis: City Council has approved the master plan for renovation of South Beach in two phases. The bid award for Phase I is also being submitted as a separate item for the April 2, 2001 Council meeting. Phase II encompasses the beach improvements from Huntington Street to First Street. In order to have Phase 11 ready for construction when Phase I is 0 REQUEST FOR COUNCIL ACTION MEETING DATE: 4I2101 DEPARTMENT ID NUMBER: CS01-010 complete, it is now necessary to proceed through the entitlement process and development of plans and specifications. Phase 11 will have the same design and architectural theme as South Beach Phase I and Pier Plaza. The project will include the demolition and improvement of the existing 35-year-old restrooms within the South Beach area, along with the renovation of the recreation trail, showers, parking lots, landscaping, lighting, public art, parking entryways, attendants' booths, etc. The rebuilding of Vincent G. Moorhouse Lifeguard Headquarters and the rebuilding of Vic's Concession for a combination Junior Lifeguard HeadquarterslBeach Concession will also be included in the scope of work. Lifeguard headquarters is comprised of unreinforced masonry. The building has been reviewed by the city's building officials and because of the type of construction, it cannot be renovated. Also, the building does not meet the Americans with Disabilities Act for accessibility or Title 9 for lockers, showers, and changing facilities for women lifeguards. The Junior Lifeguard facility at Huntington Street was created with used mobile homes when Pier Plaza was to begin construction. The internationally recognized Junior Lifeguard Program with its 1000 annual participants has outgrown its current temporary home. South Beach Phase II will include constructing these two new buildings on existing footprints. The city went through a bid process in 1991 to select three landscape architects to be placed under contract to provide ongoing professional services. In 1992, the city accepted proposals for the three architects under contract for the proposed beach improvements. Purkiss Rose, RSI was selected to provide professional services for South Beach Master Plan Improvements Phases I and 11. South Beach Phase 11 must go through the entitlement process including the Community Services Commission, Design Review Board, Planning Commission, and Coastal Commission. The plans and specifications will then be developed. Staff anticipates that this project will be ready for construction by fall, 2003 and take approximately one year to complete. Environmental Status: N/A The project will have to go through the environmental assessment as part of the entitlement process. WHEREAS, CITY desires to engage the services of a consultant to provide landscape architectural services for the South Beach Phase II Project; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform said services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in the Request for Proposal ("RFP"), and CONSULTANT's Proposal dated December 1, 2000 (both of which are hereinafter referred to as Exhibit "A"), which are attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates James Pickel, who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 1 g:4:200 I agreements:South Beach Phase II RLS 200E-0100 • i 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than two (2) years from the date of this Agreement. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in the Scope of Services on the Work Program/Project Schedule. This schedule maybe amended to benefit the PROJECT if mutually agreed by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis, at the rates set forth in Exhibit"A," a fee not to exceed Nine Hundred Seventy-seven Thousand Two Hundred Dollars ($977,200.00). 5. PRIORITIES In the event there are any conflicts or inconsistencies between this Agreement, the CITY's RFP, or the CONSULTANT's Proposal, the following order of precedence shall govern: (1)Agreement, (2) the CONSULTANT's Proposal, and(3) the CITY's RFP. 6. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A," or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such 2 g:4:2001agreements:South Beach Phase II RLS 2001-0100 work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 7. METHOD OF PAYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the progress and payment schedules set forth in Exhibit "A." B. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. Any such product which has not been formally accepted or rejected by CITY shall be deemed accepted. C. CONSULTANT shall submit to CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. 3 g*2001agreements:South Beach Phase II KLS 2001-0100 Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall promptly approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval within seven (7) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated as provided herein. D. Any billings for extra work or additional services authorized by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any dispute between the parties concerning payment of such an invoice shall be treated as separate and apart from the ongoing performance of the remainder of this Agreement. 8. DISPOSITION OF PLANS,ESTIMATES AND OTHER DOCUMENTS All reports, information, data and exhibits prepared or assembled by CONSULTANT in connection with the performance of its services pursuant to this Agreement are confidential to the extent permitted by law, and CONSULTANT agrees that they shall not be made available to any individual or organization without prior written consent of the CITY. All such reports, information, data and exhibits shall be the property of the CITY and shall be 4 g:4:2001 agreements:South Beach Phase II RLS 2001-0100 0 0 delivered to the CITY upon demand without additional costs or expense to the CITY. The CITY acknowledges such documents are instruments of CONSULTANT's professional services. The CITY agrees to indemnify , defend, and hold CONSULTANT harmless from and against any claims, costs, losses and damages as a result of the CITY's misuse or reuse of such drawings, specifications whether in print or in electronic form. 9. HOLD HARMLESS CONSULTANT shall protect, defend, indemnify, save and hold harmless CITY, its officers, officials, employees, and agents from and against any and all liability, loss, damage, expenses, costs (including without limitation, costs and fees of litigation of every nature) arising out of CONSULTANT'S performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. The CONSULTANT's indemnification obligations for claims involving "Professional Liability" (claims involving acts, errors, or omissions in the rendering of professional services) and "Economic Loss Only" (claims involving economic loss which are not connected with bodily injury or physical damage to property) shall be limited to the proportionate extent of CONSULTANT's negligence or other breach of duty. 10. WORKERS' COMPENSATION INSURANCE Pursuant to California Labor Code Section 1861, CONSULTANT acknowledges awareness of Section 3700 et seq. of said Code, which requires every employer to be insured against liability for workers' compensation; CONSULTANT covenants that it will comply with s g:4:2001agreements:South Beach Phase II RLS 2001-0100 • 0 such provisions prior to commencing performance of the work hereunder; and shall indemnify, defend and hold harmless CITY from and against all claims, demands,payments, suit, actions, proceedings, and judgments of every nature and description, including attorneys fees and costs presented, brought or recovered against the CITY, for or on account of any liability under any of said acts which may be incurred by reason of any services to be performed by CONSULTANT under this Agreement. CONSULTANT shall maintain workers' compensation insurance in an amount of not less than One Hundred Thousand Dollars ($100,000) bodily injury by accident, each occurrence, One Hundred Thousand Dollars ($100,000)bodily injury by disease, each employee, Two Hundred Fifty Thousand Dollars ($250,000)bodily injury by disease, policy limit. CONSULTANT shall require all subconsultants to provide such workers' compensation insurance for all of the subcontractors' employees. CONSULTANT shall furnish to CITY a certificate of waiver of subrogation under the terms of the workers' compensation insurance and CONSULTANT shall similarly require all subconsultants to waive subrogation. 11. GENERAL LIABILITY INSURANCE In addition to the workers' compensation insurance and CONSULTANT's covenant to indemnify CITY, CONSULTANT shall obtain and furnish to CITY, a policy of general public liability insurance, including hired and non-owned motor vehicle coverage. The policy shall provide coverage for CONSULTANT, its officers, agents and employees, while acting within the scope of their duties, against bodily injury or property damage arising out of or in connection with the PROJECT, and shall provide coverage in not less than the following amount: combined single limit bodily injury and property damage, including products/completed operations liability and blanket contractual liability, of$1,000,000 per 5 g*2001agreements:South Beach Phase 11 RLS 2001-0100 9 0 occurrence. If coverage is provided under a form which includes a designated general aggregate limit, the aggregate limit must be no less than $1,000,000 for this PROJECT. The policy shall name CITY, its agents, its officers, employees and volunteers as Additional Insureds, and shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT's insurance shall be primary. Under no circumstances shall the above-mentioned insurance contain a self- insured retention, or a"deductible" or any other similar form of limitation on the required coverage. 12. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall furnish a professional liability insurance policy covering the services performed by it hereunder. Said policy shall provide coverage for CONSULTANT's professional liability in an amount not less than $1,000,000 per claim and in the aggregate. A claims-made policy shall be acceptable if the policy further provides that: A. The policy retroactive date coincides with or precedes the initiation of the scope of services (including subsequent policies purchased as renewals or replacements). B. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following project completion. C. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2)years to report claims arising from services performed in connection with this Agreement. 7 gA.2001agreements:South Beach Phase 11 RLS 2001-0 100 0 0 D. The reporting of circumstances or incidents that might give rise to future claims. 13. CERTIFICATES OF INSURANCE Prior to commencing performance of the services hereunder, CONSULTANT shall furnish to CITY certificates of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverages as required by this Agreement; the certificates shall: A. provide the name and policy number of each carrier and policy; B. shall state that the policy is currently in force; and C. shall promise that such policies shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty(30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverages in force until the services under this Agreement are fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverages shall not derogate from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of all said policies of insurance. CONSULTANT shall pay, in a prompt and timely manner,the premiums on all insurance hereinabove required. 14. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of the CITY. 8 g:4:2001 agreements:South Beach Phase 11 RL5 2001-0100 CONSULTANT shall secure at its expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business. licenses, if any, in connection with the services to be performed hereunder. 15. TERMINATION OF AGREEMENT All services required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of the CITY,become its property and shall be delivered to it by CONSULTANT. 16. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory services hereunder shall not be delegated by CONSULTANT to any other person or entity without the express written consent of CITY. 17. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 18, CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. SECTION HEADINGS The titles, captions, section,paragraph, subject headings and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included io g:4:2001agreemenm South Beach Phase II RLS 2001-0100 or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 23. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 24. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery,be deemed an original. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 26. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY, and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 27_ ATTORNEY'S FEES In the event suit is brought by either party to enforce the terms and provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees. South Beach is the next phase of the City's vision for the beach front improvements which will reflect the design standards ' established at the Pier Plaza Project which was completed in June of 1998. In 1990,Purkiss Rose- RSI began meeting with the City staff and the South Beach Task Force to gather input, program requirements, site requirements and preliminary design standards for the entire South Beach Project. ' After receiving a general consensus regarding design requirements and programming from the City staff and the Beach Task Force, Purkiss Rose RSI prepared the South Beach Master Plan. The Master Plan was presented to the City staff and the Beach Task Force for review, comments and ' approval. The City staff and Beach Task Force approved the Master Plan in preliminary form with the understanding that the Master Plan would require refinement,revision,finalization and approval by the City's Task Force, the City of Huntington Beach, the State of California and the Coastal ' Commission. The original scope ofwork which was shown on the South Beach Master Plan included newly designed entries at both Huntington Drive and Beach Boulevard, newly configured parking ' lots, new parking area lighting, an overlook area at the end of the First Street entry, a total of four new restroom buildings, new plaza areas between the existing concession buildings and the new restroom buildings, new bike/pedestrian strand which would be separated,new bike trail/pedestrian strand lighting, new sand walls,new handicap access ramps and stairway systems in each plaza area, a new Junior Lifeguard Headquarters Building and new landscape and irrigation systems. In June 1999, Purkiss Rase-RSI and the City conducted meetings regarding the entire Huntington Beach South Beach Project, the scope of work and the preliminary construction budgets. During those input meetings,the City informed Purkiss Rase-RSI that, due to budget constraints,the scope t of work would require refinement and revising. Purkiss Rose-R,SI received the Citys input and direction for reducing the amount of site improvements. The first revision to the scope of work would be to omit the new parking area paving from the project. The revised scope would note that the existing parking would be resurfaced and in some areas, replaced. The parking area striping would be revised and the existing light standards and lighting would be replaced with new parking area lighting that would be dual intensity type lighting. The new paring area lighting will involve ' the replacement of the existing lights with new light fixtures.The new light fixtures will require new conduits, wiring and cutting and patching of the existing asphalt parking area which, for the most ' part, will remain. After a series of meetings and discussions with the City regarding construction costs and project budgets, the City of Huntington Beach requested that the entire South Beach project be separated ' into Phase One and Phase Two. The first phase (Phase One)would include the South Beach area adjacent Pacific Coast Highway from Huntington Drive to the entry at Beach Boulevard. In general ' terms, the project scope of work for Phase One would include two new Restroom buildings, new bikelpedestrian strand, new strand, plaza and security lighting, public plaza areas between the new restrooms and the existing concession buildings, one new concession building, new parking area 3 pur6s rose-rsi 1 South Beach Phwe Two,City of Runtington Beach ' PROJECT DEFINMON PHASE TWO ' lighting, parking area resurfacing, re-striping the parking areas, an art element and new landscape and irrigation systems. ' The second phase(Phase Two)ofthe South Beach Project includes the area from Huntington Drive and Pacific Coast Highway to the current Lifeguard Headquarters Building. The project scope of work will include two new restroom buildings,one new Lifeguard Headquarters Building,one new Junior Lifeguard Headquarters ' Building with concession,resurfaced parking area, new bike/pedestrian strand, walkways,security and plaza lighting, new lighting for the strand, new lighting for the parking area,public plaza areas between the new restrooms and the existing concession buildings,public art elements,re-striping the resurfaced parking areas, landscape and irrigation. Purkiss Rose-RSI has defined the South Beach, Phase Two design services, construction document preparation, construction administration services fee schedule and reproduction allowance. The specific tasks and their sequence are based on our experience with the design ofthe Huntington Beach Coast Master Plan, the Pier Plaza.and South Beach, Phase One. The scope of services for Phase Two is based on construction/site improvements identified within the Huntington Beach Coast Master Plan. ' PHASE I- SITE EVALUATION AND MASTER PLAN REVISIONS ' Task 1 -Refinement of Project Definition ' The project team will meet with the South Beach Task Force and City staff for refinement of preliminary master plan,review programs and goals for SouthBeach Phase Two. We will learn about special interest groups that will be involved in the project along with the South Beach Task Force I and the City. We will gather information on the City programs, special events, maintenance and operations input, lifeguard representatives, junior lifeguard representatives, program and event schedules in relation to proposed construction periods,new or updated equipment standards, design parameters, etc. We will facilitate the input meetings to gain consensus on the project approach, program future development adjacent the South Beach Project and how that development will interface with South Beach Phase II, scope and schedule of work, and meeting calendar. Review Coastal Commission requirements and goals. Task 2 - Data Collection The design team will evaluate Phase Two of the project site for accessibility, pedestrian (non- wheeled) and wheeled users, coordination with Phase One, strand access, parking, adaption to the proposed improvements,potential construction costs, surrounding land use, accessibility ofutilities, location of existing buildings, plazas,maintenance facilities, strand/trail use, beach access and other important factors. Purkiss Rose-RSI will review and refine Phase Two of the PreliminaryMaster Plan improvements P ' and prepare preliminary construction costs. An itemized preliminary cost estimate will be prepared for Phase Two during this stage of project development. Purkiss Rose RSI will prepare two parking lot striping plans to evaluate the number of parldng stalls obtainable within the existing parking area. ' We will review,revise and refine the current master plan using information collected from the South Beach Task Force,the City staff,the program development and final construction document package prepared for South Beach, Phase One, and special interest groups or.future development projects. A consensus will be reached for the revised design concepts. The project team will present the revised Master Plan for Phase Two at scheduled meetings to reach a consensus on the preferred layout and selection of amenities,materials and equipment. Site design concepts will be thoroughly reviewed and discussed. Programmatic, ' operational, safety and maintenance issues will be discussed. Current and future utility service needs will also be reviewed. The revised Master Plan for Phase Two will then be presented to City staff', Task Force,Design Review Board,Planning Commission, and City Council for approval. ' Upon approval of the revised South Beach Master Plan,the design team will prepare a Presentation Site Plan of the project for the City's use. The Presentation Site Plan will reflect the site ' improvements including architectural building elevations and will be colored and mounted. Purkiss Rose-RSI will prepare Coastal Development Permit (C.D.P.) application for City staffs review and assist the City staff in submitting the C.D.P. application to the Coastal Commission staff. Task 4 - Cost Estimates The design team will prepare a final preliminary construction cost estimate for the revised Phase Two portion of the Master Plan improvements. 'For clarification, we shall itemize the preliminary ' construction cost estimate for a complete understanding of project improvement costs. ' Task 5-Art Plan/Artist Selection Mobilization: Design Services I Review project intent, scope, approach, and schedule with Lead Planner. 2.
