ENGINEERING, INC - 1979-01-15 t, r r A G R E E M E N T THIS AGREEMENT, made and entered into this 13th day of February 1979 1-y and between the CITY OF HUNTINGTON BEACH, CAT,IPORNIA, municipal corporation, herein- E k after referred to as CITY, and RGB Engineering, Incorporated a licensed firm, hereinafter referred to ' y as CONSULTANT, ' R E C I T A L S: 1. The City Council of CITY is authorized to engage the services of a p ofessional engineering consultant for the performance of necessary engineering services for and on behalf of CITY; and 2. It is necessary and desirable that professional engineering services be performed f)r CITY as more specifically described in the Requet;t for Pre.,posal for Professional Services Replacement of the Wainer A,7enue Bridae Over the Bolsa Bay , :hereinafter referred to as PROJECT. Said proposal is attached t " hereto, marked Exhibit "A", and by this reference incorporated herein and made a part hereof, and S. CONSULTANT shall have th7;.t degree of specialized expertise contemplated s,,rithin California Government Code Section 'h 37103 and shall have all necessary liceyises therefor to praotice and: perform the services herein coi�zemplated; and h 1, �E S. 1.. 4. CONSULTANT warrants that it shal', perform the services herein contemplated in compliance with the California 9 laws related to minimum hours and wages (California Labor Corte Section 1171 et seq. ) , occupational health and safety (29 U.A.C. 651 et seq. and the California Labor Code Sectior 6300 et seq.) , i and fair employment practices (29 U.S.C. Section 201 et seq, and California Labor Code Section 1410 seq.) to the extent same are ,applicable herein; and 8. SFCTION 2. DISPOSITION OF a`LANS, E611MATES AND OTHER 3 DOCUMENTS: CONSULTANT agrees that all. original drawinga, reports, both field and office notes, calculations, maps and other docu- ments, shall be turned over to CITY upon completion of PROJECT. SECTION 3. UI'SCRIMINATION: CONSULTANT agrees thdt in the performance of the terms of this agreement, it will not engac� in, nor permit its agents to engage in, discrimination in employment of persons because { of race, religi.o-as creeti, cc,lor, national origin., ancestry, physi- al handicap, medical condition, marital status, or sex of such V-rrsons, except as provided in Sectior 1420. Violation of this provision may result 3n the imposition of penalties referred to in Division 2, Part 7, Cb .pter 1 of the California Labor Code. 3. '1 Th SECTION 4. INDEMNIFICATION, DLE'FNSE, BOLD HARMLESS: CONSULTANT hereby agrees to defend, indemnify and hold harmless CITY, its officers, agents and employees, from and against any and all liability, damages, costs, losses, claims and expenses, however r:aused., resulting directly or indizectly from or connected with CONSULTANT negligent performance of this 4> agreement (including but not limited to such liability, cost, damage, loss, claim, or expense arising from tha death_ or injury to an agent or employee of CONSULTANT subcontractor, or of CITY � a or damage to the property of CONSULV.-riNT, subcontractor, of of CITY or of any agent or employee of CONSULTANT, subcontractor, or of CITY) , e_ ept where such liability, damages, cos'.s bosses, claims or expenses are caused solely by the negligent or wrongful acts of CITY or any of its agents or employees including negligent omissions or cc+mmissions of C11',"Y, its agents or employees, in connection with the gene;-al supervision or direction of the work to be pertormed hereunder. SECTION 5. WORKERS' COMPENSATION CONSULTXq,T shall comply with all of the proviaiu,,a of the workers' Compensat;;on lnsi;zance and Safcty acts of tr4e State of California, the appl?.cable provisions of Division 4 and 5 of the California .Labor Code and all am, n menu theroto; and all similar State or Federal acts or laws applicable; and shall in- demnify, defend nc hold harmless CITY from and against all claims, demands, paymemts, suits, actions, pro-eedings aid judgements of every nature and description including attorney's fees and 4,. SECTION 6. INSURANCE: _ CONSULTANT a,-rees to furnish to CITY and maintain in force until the completion of PROJECT a general liability in- surance policy In which CITY is named as an additional insured. The policy shall insure CITY, its officers and employees, while ;' - acting within the scope of their duties, against all claims arising out of or in connection with PROJECT. The policy shall provi.'e for not less than the following amounts: Combi,:ed single limit bodily injury and/or property damaje of $1, 000,000 per occurrence. Such Lolicy of insurance shall specifically provide that any other insurance carried by CITY which may be applicable shall .be deemed excess and CONSULTANT'S insurance prJ,mmary despite any conflicting provisions in CONSULTANT'S policy to the contrary. $ECTION 7. INDE.PENDENT CONTRACTOR: It is further understood and agreed that CONSULTANT is, and shall be, acting at all times as an independent contrac- tor herein and not as an employee of CITY. CONSULTANT shall secure at its expense, and be responsible for any and all pay- ra�isL dx. income tax, social security, state disability insurance dampensat.ion, unemployment compensation and other payroll de- ductions for CONSULTANT and its officers, agents and emploless n 5. f and all business licenses, if any, in connection with the serv- ices to be performed hereunder, ; SECTION 8. CITY STAFF ASSISTANCE: :. CITY shall assign a staff coordinator to work directly with CGNSULTANT it connection with the work of this agreement. : SECTYON 9. SECTION 11. TERMINATION OF CONTRACT All wok shall be done in a good and workmanlike manner and CIT,k reserves the right to terminate services hereunder at any time with or without cause, and whether or nct P O,IECT ;has bey?n fully completed. Any termination hereof, and any special instructions a hereunder from CITY :shall be made throiigh the City Engineer, and in writing, which may be delivered in person to x- CONSULTANT or mailed through the normal course of mail to its now-established business address. In the event this agreement is cance4l.ed all drawings, designs, specifications and appur- tenance data may be use-,d by CITY without additional cost to CITY. SUBCONTRACTORS: This agreement is a perscnal service contract and the supervisory *pork hereunder shall not be delegated to any person or entity without the consent of CITY. a. SECTION 13. ADDITIONAL PROVISIONS: CONSULTANT agrees that no regular employee of CITY T shall be employed by its firm during the time that this agreement is ir, effect. Bay Gentlemen: The City of Huntington beach is ,accepting proposals f.)r the furnishing of professional engineering services needed iar the replacement of the Warner Avenue bridge over the Bolsa Bay. This is a joint cooperative project between the City of Huntington Beach and the County of Oranye Environmental Management Agency. Funds from Orange Courty's Major Bridge Program will be utilized i ,,r this project. _ The earner Avenue Bridge the Polsa Bay is located on Warner Avenue apt>roxima-ell* 1,000 feet east of Pacific Coast Highway. Presently two old detarior. :'.:.ed timber structures exist at thin location and it is desired that a new structure be con- structed to provide four: travel, lanes, PAke Janes and pedestrian facilities within the exi.stinq 90 feet of right of way. It is also desired that the Pew structure be designed zo permit widen- ing in the future, to 1.20 feet in width. The Q.r,ange Counts{ En- vironmental Management Agency has allocated $550,000 for this project. The selection of a firm for this project will be base{ on r the following: 1. Prier experience in processing cooperative projects through the Orange County Environmental Management Agency. 2. Familiarity and prior experience with this type of p-0ject. 3. Unique approaches or other suggestions to expedite ``'. the project. 5. The :.bility of the consultant _o complete the assign- ment and be ready to advertise for bids by Dune 30, 1979. Tt is desired that the following be submitted with your proposal: 1. A list of similar assignments which your firi,t has pz s- viously comp3ated. „ 2. A list of personnel who will work on the assignment and a jrief resume of each including recent projects th—y have worked on. Indicate who would be the project manager. .a 3. ii brief outline of a proposed schedule for implementation and completion of the assignment. 4. Informat3o:� which will indicate the firms understanding of the scope of the work and also the firms basic approach. 5. Ank suggestions or unique approaches to expedite the pro- ject or special concerns which the City should be made ,aware of It is anticipated that the scope of the wor'-c be performed by the consultant w5.11 include, but is not limited to the following: 1. A study to determine the most economical structure type and material for the bridge considering initial -onstruc tion costs, long term maintenance requirements, ease of future widening and ether pertinent factors. Due to the uncertainty of the future use of the Bolsa Chica area, the County Enviranmental Management 2:gency has suggested that consideration be given to a decign which would permit the bridge deck to be salvaged. 2. A study to determine the future need to widen and deepen the channel section beneath the bridge. The California Department of Fish and Came has expressed concern regard- ing the need to enlarge the channel beneath the bridge due to erosion caused by high flood flows .from the Winters- burg flood Control Channel and the planned removal of the tide gates in the 8olsa Bay. in addition, the dredging of the Huntington Harbor area has caused some undermining of the piles supporting the existing timber bridge. It is not intended to include the enlargement of the channel section !a the rri.dge construction project, however, the new bridge must be compa" -ble with any future project by another 4gency to enlarge the channel. section. All required preliminary and design surveying. Construe- , tion surveying will be included in the construction con- tract and is not a part of the work to be dare by the consultant. 5. Preparation of all hydraulic, structural and other ca?- culations required for the bridge and submission of the ' calculations to thu Orange County Environmental Management Agency and the City of Huntington Beach for review and approval. All design shall be done in conformance with Orange County Environmental Management Agency and City of Huntington Beach design standards. 6. Preparation of plans, specifications and cost estimates necessary to advertise the project for bad. Plans shall be an City furnished linens with standard City title block. Specifications shall be based on "Standard Speci- fications fer Public Works Construction" (Green Hook) for .methods and materials and the City' s Standard General Requirements. Plans shall also include- the T,7ork needed to complete the curb, cutter and prv%ing to the nearest exist '.-:g curb antl gutt-:r, east an& west of the proposed bridge on the north side of darner Avenue. 7. Coordinata-n and/or design of all necessary utility relo- cations. S.. The appl ,ration and processing of all permits needed for this project. The consultant shall represent the City at any proceedings involved with the processing of permits. Game, State of California Regional Coastal Com- missi , State of California Regional Water Quality Control Board, United States toast Guard, United States Army Corp of Rngineers and others as required. For your information, a Negative Declaration has been granted to this project, therefore, an Environmental Impact Review will not be required. The City of Huntington Beuoh shall be responsible for the followings 1. Providing all available existing information such as ". ties, bench marks, adjacent improvement plans, etc. 2. Advertising for bids and awarding of the construction contract. 3. Be responsible for inspection, control z)f construction, and all payments to the contractor. 4. T1,7e printing of final plans and specifications for k;.x. ring. 5. The final report required by the Orange County E,iviron- mental Management Agency. 6. All required construction surveying Attached for your information in preparing your proposal is Huntington Beach's Standard form, Professional Service Agreement, which will inform you of our insurance and other miscellaneous requirements. Also attached is a map showing the location of the Warner Avenue Bridge. Although the professional ne 'vices required for this project will not be awarded based: on competitz.ve bidding, it is desired that your fee be included with your proposal. Huntington Beach has preferred to retain consultants on an hourly basis up to a fixed maximum amount for the project, therefore, it is requested that your fee be expressed in this manner. Following receipt of the proposals, the most qualified firms may be interviewed prior -. to the final selection. ANALYSIS: Funds for the construction of the Warner Avenue Bridge Replacement Project were not carried forward in fiscal year 1981-82. Analysis: At the Council meeting of July 17, 1978 the City entered into a cooperative agreement with the County of orange for the replacement of the Warner Ave. bridge over the Bolsa Bay. The agreement committed the County of Orange to fund the bridge replacement and also specified that the City would be the administrative authority for the project. At a prior Council meeting authori- zation was given to solicit proposals from consulting engineers to provide the needed engineering services for the bridge replacement. Because of the nature of this project and the fact that it is in the coastal area, a consulting firm wit'- extensive experience in both 'bridge design and permit processing for coastal projects is extremely important.. Permits will be required from the California State Coastal Commission, the U.S.. Coast Guard, 5tate of California Lands Commission, State of California Dept. of '- apish and Game, State of Califoruia Regional Water Duality Control Board, ' i1e U.S. Army Corps of Engineers, and the County of Or:ringe Environmental Honagement Agency. Any errors made in this very involvL.3 permit processing oould easily delay the construction of the project for a number of months. Firm has done many bridges in the Huntington Harbour area and was the principal engineer for the Huntington Harbour development. 5 p The Couni:y of Orange is funding this project and has allocated approxi- mately $40,000 for engineering services and, therefore, recommends that only the four lowest priced proposals be considered. Even though the firm of Cash and Jenkin, Engineers has not quoted, the lowest price for this work, it is folt that of the four lowest: price firms they have greater expertise with this type of project.. The so ee � tion of Cash and Jenkin, Engineers rather than a lower priced firm it; anticipated to result in a lower overall project cast. The Env`zonmental. Review Committee recommends that. the City Council approve Negative Declaration 78-105, having found that this project *rill not have a significant adverse effect on the environment. The Committee's findings are bast,�l upon information contained in the Environmental Information Form, the public posting, and the staff analysis of the project. Alternatives: 1. Retain R.G.B. Engineering to have the work done at a slightly lower cost. 2. Retain Moffatt. & Nichol Engineers, who, based on their experience record with the City in the design of Huntington harbour facilities, is the most experienced firm. This would require the City to fund the differ- ence between the County`s allocation of $40,000 and the Moffatt & Nichol fee of $53,400.00, 3. Postpone the project until, it could be completed by the present City .staff. This would result in a delay of a year dose to present workload. Funding Soured: Bath the professional engineering fee and the construction cost will be fully funded by the County of orange.
