HomeMy WebLinkAboutRalph Allen and Partners - 1982-07-06 A G R E E M E N T THIS AGREEMENT, made and entered ;into this � day of 1982, by and between the CITY OF HUNTINGTON BEACH, a Auni ipal corporation, hereinafter referred to as "CITY", and RALPH ALLEN and PARTNERS, a California corporation, hereinafter referred to as "CONSULTANT" . RECITALS: WHEREAS, CITY desires to engage the services of CONSULTANT for the preparation of plans and specifications for the proposed expansion and: remodeling of the City's Recreation Center for Senior Citizens; and CONSULTANT desires to prepare said plans and specifications for CITY, NOW, THEREFORE, the parties agree as. follows; SECTION 1. WORK STATEMENT (a) CONSULTANT shall provide :all conceptual and construction rilans for the expansion and remodeling of the City 's Recreation Center for Senior Cf tizens as described in Exhibit "A" which is attar-led hereto and ilw orporated by reference herein, including but not limited to schemat3,c plans and cost estimates, su veys, investigations,consulta- tions grid advice, preparation of detail design, construction plans, estimates of quantities, and costs, preparation of the special provi- sions and any other miscellaneous architectural services required to permit 01TY t4 ::�vertise for bids for construction project WSA:TR,f 1 -1- b/9/8 z (b) CONSULTANT shall attend and assist in all coordination meetings . (c) CONSULTANT shall designate a registered architect who shall represent it and be its sole contact and agent in all consulta- tions with CITY during fulfillment of the terms of this agreement . SECTION 2.. DISPOSITION OF PLANS, ES'i' ?SATES AND OTHER DOCUMENTS CONSULTANT agrees that all original drawings, reports, both field and office notes, calculations, maps and other documents p:» pared by CONSULTANT or under its direction are the sole property r CITY and will be delivered to CITY upon completion or earlier termin%tion of this agreement SECTION 3 . INDEMNIFICATION, DEFENSE, HOLD HARMT,ESa CONSULTANT hereby agrees to defend, indemnify and hold harm- less CITY, its officers, agents and employees, from and against anv and all liability, damages, costs, losses, claims or expenses , however caused, resulting directly or indirectly from or connected with CONSULTANT's performance of this a.greemerlt, except where such liability, damages, carts, losses,, claims or expenses are caused solely by the negligent or wrongful act of an officer, agent or employee, of the CITY SECTION 4. WORKERS ' COMPENSATION CONSULTANT shall comply with all of the provisions of the Workers' Compensation Insurance and Safe u-y Acts, of the State of California, and shall indemnify, defend and hold. harmless ITY from -2- and against all claims, de.nands, payments, suits, actions, proceedings and judgements of every nature and description, including attorney's fees and costs, presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this agreement, and shall provide to CITY evidence of Workers' Compensation Insurance satisfactory to the City Attorney. SECTION 5 . INSURANCE CONSULTANT agrees 5 o furnish to CITY evidence of a policy of insurance satisfactory to the City Attorney and maintain such insurance in force until the completion { f the work to be performed hereunder, a general liability insurance policy in which CITY is named as an additional insured. The policy shall insure CONSULTANT, its officers, agents and employees and CITY, its officers and employee, while acting within the scope of their duties,' against all claims arising out of or in connection with the work performed, pu.rsua +t; to this agreement The policy shall provide for not less tnan the following amounts : combined single limit bodily inSury and/ or property damage of $300 ,000 per occurrence Such policy of insurance s',all specifically provide that any other insurance carried by CITY which may be applicable shall be deemed excess and CON'SULTANT' s insurance primary despite any conflicting provisions in CONSULTANT's policy to the contrary, SECTION 6. INDEPEND NT CONTRACTOR It is further understood and agreed that CONSULTANT is, and shall be, acting at all times in performance of this agreement as an independent contractor and not as an employee of CITY. CONSULTANT shall secure at its expense, and be responsible for any and all payment of income tax, social sec,irity, state disability insurance for CONSULTANT and its officers, agents and employees, and all business licenses, if any, in connection with the services to be performed hereunder. SECTION 7 . CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to ;;ark directly with -"ONSULTANT in connection with the work of this agreement . SECTION 8 . COMPENSATION In consideration of the performance of the above described architectural services, CITY agrees to pay CONSULTANT compensation in the fora of a. fee calculated as set forth below: FEE CALCULATION CONSULTANT's fee shall be as outlined in Exhibit "B" and shall not exceed $25,000 .00 and shall be calculated in accordance with Exhibit "B", which is attached hereto and incorporated by reference herein as though fully set forth at this part . SECTION 9 INVOICES AND EXTRA WORK (a) In the event of authorization, 4n writing py tie City Engineer of changes from the work as indicated in Exhibit "A" or for other written permission authorizing additional work not _4 e contemplated herein, additional compensation shall be allowed for such extra work, so long as the prior written approval of CITY is obtained. (b) For all work performed pursuant to this agreement CONSULTANT shall submit to City Engineer monthly invoices which specify the area where work was completed and the associated time for completion to the City Engineer for approval. Work performed at the request of CITY, which is in. additioh to that specified in this agreement shad , be designated as "EXTRA WORK" on such monthly invoices . Section 10 . TERMINATION OF CONTRACT All work shall be done in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not project is fully complete. Any termination hereof, and any special instructions hereunder from CITY shall be made through the Director of Public Works, and in writing, which may be delivered in person to CONSULTANT or through the United States Postal Service . in the event this agreement is cancelled, al draw:---ngs, designs, specifications and appurtenant data may be used by CITY without additional cost to CITY. Should CITY decide to terminate this agreement for any reason, C3NSULTANT shall by entitled to payment, on an hourly basis in accordanr.e with the rate schedule herein, for work completed prior to written notification. In the event that upon early termination of this agreement CITY or anyone acting with its pe mission thereafter uses any drawings, designs specifications or appurtenant data, _5_ i CONSULTANT. shall have no responsibility for accuracy, errors, or omissions in said use . SECTION 11.. SUBCONTRACTOP3 This agreement is a ,,l service coi,tract and the super- visory work hereunder sh,, ae delegated to any ;person or entity without the consent of CITY. SECTION 12 . NON-UTILIZATION :,2 REGULAR CITY EMPLOYEES BY CONSULTANT CONSULTANT agrees that it shall employ no regular employee of CITY. in the work performed pursuant to this agreement . Duff Ralph Allen and Partners 1606 Bush Santa Ana, California 92701 Dear Mr. Duff: The City of Huntington Beach is requesting proposals from qualified architectural firms for the preparation of preliminary plans and construction drawings for the expansion and remodeling of the City's Recreation Center for Senior Citizens. The existi-g .building, located at the northwest corner of 17th'Street and Orange Avenue is not adequate in terms of size and therefore, the City desires to expand and remodel the facility. The scope of +he work, for wl"lch proposals are being sought, includes the following tasks: 1. Preparing preliminary plans and cost estimates for the proposer) expansion and remodeling improvements. The expansion and remodeling improvements shall include the specific items as identified by the Seniors' Recreation Center, Remodeling Advisory Committee, see Exhibit "I", and any necessary modifications to the buildings structural, electrical, plumbing, heating/air conditioning and sanitation systems. Specific evaluations and recommendations should be made relative to HV'AC and roof drainage systems. 2. Preparing detailed recommendations and courses of action based on a review and evaluation of the following: (a) Preliminary plans and cost estimates. (b) Visual surveys of the site and existing facility including building appurtenances and study, infrastructures. 3. Performing all necessary investigations and measurements required to prepare the preliminary plans and construction drawings. Such tasks shall include, but not be limited to, obtaining topographic and soil report data as necessary for the buildingg oddition, parking lot expansion, and iandscaping improvement, etc. 4. Attending periodic meetings with City staff during the preparation of preliminary and construction drawings and obtain all applicable building permits. 5. Based on an approval of the preliminary plans and cost estimates, the architect shall prepare 40 sets of the necesscryconstruction drawings and specifications ' as required to advertise the project for bids., Construction drawings shall contain any work required to bring existing facility up to current building codes including acceptable standards for the handicapped. `act page please . . . . 1 0 -2- The advertising for bids and awarding of a contract for this federally funded (H.C.D. Block Grant Program) project will be administered by City staff. In addition, City personnel will control contract administration and perform the required building/remodeling inspections. Proposals for this project are to be submitted to this office by April 23, 1982 with the notation"Senior Citizens Center Expansion" on the envelope, Each proposal should include the following informations 1. A list of similar projects. 2. A statement of your understanding of the scope of work and the steps necessary to complete the project. 3. A list of personnel, including the proposed pi`oject manager, who will be assigned to work on this i coject and a brief resume for each. 4. A brief outline of huvi you propose to handle this project, if awarded to your firm and a time-line for completing the project. 5. Any suggestions or unique approaches to accomplish this project. a. Your fee based can an hourly rate or percentage of the final cost estimate. A maximum not to exceed tee should also be specified. 7. An affirmation of your willingness to comply with H.U.D. guidelines for this H.C.D.Block Grant Project. After-the receipt of proposals, opplicants will be screened relevant to: I. Expertise and experience. 2. The approach to be used as outlined in the proposal, 3. Abut,�y to complete the project in a timely and consistent manner. 4. Fees. The most qualified consultants may be interviewed prior to the final selection.
