ENTIRETY............................................................................................................II i • PROFESSIONAL SERVICES CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND RICHARD BRADY&ASSOCIATES FOR WATER OPERATIONS YARD MASTER PLAN UPDATE THIS AGREEMENT("Agreement") is made and entered into this day of MO%/e.vK�4�, 2002, by and between the City of Huntington Beach, a municipal corporation of the State of California,hereinafter referred to as"CITY," and Richard Brady&Associates , a California Corporation hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to perform a Water Operations Yard Master Plan Update; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY AND CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A" which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the"PROJECT." /a.dmin/dills/Wa.ter Yard MP 1 i • CONSULTANT hereby designates Richard Brady who shall represent it and be its sole contact and agent in all consultations with CITY during the performance of this Agreement. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 3. TERM, THE OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence as soon as practicable after the execution of this Agreement by CITY (the "Commencement Date"). This Agreement shall expire on August 1, 2003 unless sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than one hundred eighty (180) dgys from the Commencement Date of this Agreement. These times may be extended with the written permission of CITY. The time for performance of the tasks identified in Exhibit"A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," a fee, including all costs and expenses, not to exceed eighty-nine thousand eight hundred seventy-three Dollars($89,873.00). /a.dmin/dills/Wa.ter Yard MP 2 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in Exhibit "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. OF PAYMENT CONSULTANT shall be paid pursuant to the terms of Exhibit"B," which is attached hereto and incorporated by reference into this Agreement. 7. DISPOSITION OF PLANS,ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. 8. HOLD HARMLESS CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, judgments, s/a.dmin/dills/Water Yard MP 3 demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors, if any) negligent performance of the Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees except such loss or damage which was caused by the sole negligence or willful misconduct of CITY. CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. CONSULTANT will conduct all defense at its sole cost and expense and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as limitation upon the amount of indemnification to be provided by CONSULTANT. 9. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish to CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above- mentioned insurance shall not contain a self-insured retention, "deductible" or any other similar form of limitation on the required coverage except with the express written consent of CITY. A clams-made policy shall be acceptable if the policy further provides that: s/a.dmin/dill-,/Wa.ter Yard W 4 A. The policy retroactive date coincides with or precedes the initiation of the scope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of circumstances or incidents that might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2)years to report claims arising from work performed in connection with this Agreement. 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: F. provide the name and policy number of each carrier and policy; G. state that the policy is currently in force; and H. promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. c/a.dmin/dills/Water Yard MP 5 CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and shall be, acting at all times in the performance of this Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance compensation, unemployment compensation and other payroll deductions for CONSULTANT and its officers, agents and employees and all business licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder. 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished s/a.dmin/dills/Water Yard MP 6 and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION This Agreement is a personal service contract and the work hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and sub consultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other communications hereunder shall be given either by personal delivery to CONSULTANT's agent (as designated in Section 1. hereinabove) or to CITY as the situation shall warrant, or by enclosing the same in a s/a.dmin/dills/Water Yard MP 7 sealed envelope, postage prepaid, and depositing the same in the United States Postal Service,to the addresses specified below. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and not strictly for or against any of the parties. If any provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. s/admin/dill;/Water Yard MP 9 21. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IlVMGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization laws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTRACTING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES Except as expressly set forth in Section 8 of this Agreement, in the event suit is brought by either party to construe, interpret and/or enforce the terms and/or s/a.dmin/dill-,/Water Yard W 10 provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the non-prevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which by their sense and context survive the expiration or termination of this Agreement shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inducements, promises, agreements or warranties, oral or otherwise, have been made by that party or anyone acting on that parry's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. We realize that with respect to this master planning effort,the"page is actually blank"and that the City is expecting creative, innovative,and perhaps even"brilliant"solutions for master planning the long term build-out of the site. Though we think we have a head start on issues relating to the Water Operations Yard/Overmyer Reservoir site,taking our ideas too far at this point in time is probably not a good approach,since we have yet to conduct a single interview with City staff that should weigh in on this discussion before specific plans are advanced. Other than an obvious relocation option of moving the fluoride facility to the newly reclaimed space next to the Water Production Shop, all options are fairly wide open. However, there are a number of things that we do know that are fixed: 1. The aerial photo identifies the major facilities on the site and shows the four entry points that exist(three from Huntington Street and one from Garfield that is normally closed). One or more of these entries will be more than adequate to accommodate all City and public vehicle access needs. AMIN, 2. The Overmyer Reservoir, Overmyer Booster Pump Station, and Reservoir Hill Booster Pump Station can't be moved. 3. The Water Production Shop,Water Warehouse,and Truck Wash Facility are fairly new facilities that should be left where they are fulfilling their current purposes. 4. The Fuel Station can be moved, but given the fact the station is fairly new, it is unlikely that any plan requiring relocation would be acceptable. 5.' A second floor can possibly be added to the Water Operations Building, but it is unlikely that this could be proven to be structurally(i.e.,seismic considerations)and economically feasible. 47 Wine uzeetA and Wic%uatA Page 20 &�f lift With respect to new issues that must be considered when preparing a master plan for a site such as the Water Operations Yard that has numerous existing and often competing uses, surrounded by residential and industrial properties, in an age of heightened public and environmental awareness,items to be considered include: 1. Compliance with the Americans with Disabilities Act(ADA)that was signed into law by President George Bush Sr.on July 26,1990. i` 2. The requirement to provide equal and opposite facilities for male and female workers(restrooms and locker rooms). 3. The need to comply with new and increasingly more stringent stormwater regulations that affect the design of parking areas,stormwater discharges,and the 1 storage of oil,fuel,chemicals,including fluoride,and possible discharges(silt,etc.) from the material and bulk storage storage areas that can lead to regulatory non compliance and subsequent fines. 4. Increased demands on water quality personnel to monitor water quality parameters i that are forthcoming from the Stage 2 Disinfectant/Disinfection By-Products f (D/DBP)Rule. 5. Project Description/Scope of Work: Water Utility The City of Huntington Beach Water Utility serves the City of Huntington Beach and a small portion of Sunset Beach in unincorporated Orange County. 1990 Census figures showed a population of 181,519 for the City. The current population is estimated at 192,000 with an average of approximately 4 people being served by each residential connection. As of April 1, 2002 there were 51,411 active service connections. The basin is managed by the Orange County Water District(OCWD) and the City pays a replenishment assessment for each acre-foot of water pumped from the basin. Twenty-five percent(25%) of the City's demand is met with water purchased from the Metropolitan Water District of Southern California(MWD) via the Municipal Water District of Orange County. The'City does not own or operate any water treatment plants. The water delivered to the City by MWD is fully treated and has a disinfectant residual. In addition, the City adds chlorine for S:\Admin\Dills\Water Yard RFP.doc 1 9/25/02 disinfection at each of its well sites. Fluoride is injected at each of the import water connections and at the well sites. Water sales for calendar year 2001 totaled 31,890 acre-feet or 10,391,388,390 gallons for an average daily flow of 28.5 million gallons. Water Yard The City of Huntington Beach Water Division Operations Yard is located at 19001 Huntington Street. The Yard is the main operating center for the City owned water enterprise. Water Operations is a Division of the Public Works Department. As part of the 1990 construction of the Water Warehouse, a proposed facility arrangement was developed. A number of the recommendations presented were completed, including construction of the warehouse, covered storage area, office upgrades to the Water Production Area. In addition, since that time fueling pumps have been replaced and a new fueling island constructed and a truck wash was completed in 2000. Most notably, since the original plan, one water reservoir on the site has been eliminated, freeing up a considerable amount of space that can be utilized to meet the needs of the Division's facility. The Water Division now desires to address the remaining needs of the Water Operations Facility,but realizes that an update of the original plan is necessary. The original plan is enclosed as a reference in Appendix A. The Water Division consists of five distinct sections: Administration, Water Quality, Water Production,Water Distribution and Water Meters. In addition, the Public Works Geographic Information Systems (GIS) section is located at the Water Operations Yard. The number of employees assigned to the Water Operations Yard is listed below by Section. It should be noted that the GIS section routinely employees a number of part-time interns. The numbers below reflect the totals effective the date of this RFP. These are not intended to be all-inclusive nor required of final recommendations,but are rather presented to reflect staff s concerns for the facility. It is anticipated that the successful contractor would conduct extensive interviews with key staff. S:\Admin\Dills\Water Yard RFP.doc 2 9/25/02 • New Distribution Building to house the Distribution and Meter Sections. The building should contain: o New Meter shop for meter testing and repair o Fire hydrant, line valve and air release valve testing and repair area inside o Offices for Distribution and Meter Crewleaders and Leadworkers o Designated area for customer service, meter reading and water billing o Area designated for Water Engineering functions o Area for water utility plan storage and review o Employee locker room and showers o Lunchroom and kitchen o Area for weekly meeting and a small conference room • New bulk material bins (sand,base and gravel, etc.), deeper than existing and covered to meet NDPES requirements. • Covered parking for large equipment/vehicles • Additional covered storage for items like cement mixers, arrow boards, concrete saws, street closure items, shoring equipment, safety equipment, etc. • Area for pipe storage • Area for records storage • Relocate and replace existing twin 9,000-gallon bulk fluoride storage tanks, add cover and containment per NDDES requirements. • Complete the Production shop with battery storage/charging area and oil storage. Replace existing breakroom, add locker room. • A traffic and parking study, resurface and restriping of parking lot • Expanded SCADA room and office to meet current needs • Reconfigure the current Water Operations Building with the assumption that the meter shop will move to a new Distribution Building. Provide additional space for GIS. The City of Huntington Beach will use only qualified design/engineering firms. The successful contractor will demonstrate their qualifications by listing similar work performed for other water utilities of similar size. It is the intent of the project to develop a plan that will act as a guideline for design and eventual construction of upgrades/improvements. Proposals Sealed proposals for this project must be submitted to the City of Huntington Beach, Attention: Howard Johnson,P.O. Box 190, 19001 Huntington St., Huntington Beach, CA 92648,no later than 4:00 p.m., Friday, October 18, 2002, with the following notation on the envelope: "Water Operations Yard Master Plan Update." A non-mandatory job walk is scheduled for Friday, October 11, 2002 at 9:00 a.m. at the address noted above. A list of personnel and their qualifications, including the named project manager who will be directly involved and familiar with all aspects of the project . 2. A list of agencies for which your firm has performed similar contracted services. 3. A description of your project approach, including deliverables 4. A project timeline including major milestones based on your proposed approach. 5. Your fees in lump sum in a separate envelope marked"Fee Proposal." Selection Process The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points)based upon the weighting indicated below. 1. Approach and work plan. (25 points) 2. Qualifications and experience of the project manager and other key individuals. (40 points) 3. Results of reference checks. (15 points) Reference checks will only be conducted for a short list of firms or the top rated firm. 4. Clarity of proposal. (10 points) 5. Compliance with proposal requirements. (10 points) The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the best qualified firm for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Standard Form of Agreement The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Appendix B. The consultant shall carefully review the agreement, especially with regard to the indemnity and insurance provisions, and include with the proposal a description of any exceptions requested to S:\Admin\Dills\Water Yard RFP.doc 4 9/25/02 the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. Insurance The contract for this project will be considered a professional services contract. The City's insurance requirements for professional services contracts and a sample certificate of insurance are attached as Appendix C. The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. B. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made"policy is acceptable). C. Worker's Compensation Coverage : State statutory limits. Deductibles, Self-Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Huntington Beach. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. S:\Admin\Dills\Water Yard RFP.doc 5 9/25/02 EXHIBIT B PAYMENT/FEE SCHEDULE EXHIBIT "B" Payment Schedule (Alternative#1) 1. Charges for time during travel are normally not reimbursable and will only be paid if such time is actually used in performing services for CITY or as otherwise arranged with CITY. 2. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth herein in accordance with the following progress and payment schedules. 3. Delivery of work product: A copy of every memorandum, letter, report, calculation and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate progress toward completion of tasks. In the event CITY rejects or has comments on any such product, CITY shall identify specific requirements for satisfactory completion. 4. CONSULTANT shall submit to CITY an invoice for each progress payment due. Such invoice shall: 1) Reference this Agreement; 2) Describe the services performed; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of CONSULTANT's firm that the work has been performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement has expired or is terminated as provided herein. 5. Any billings for extra work or additional services authorized in advance and in writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the information required above, and in addition shall list the hours expended and hourly rate charged for such time. Such invoices shall be approved by CITY if the work performed is in accordance with the extra work or additional services requested, and if CITY is satisfied that the statement of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld.
