Wilson, City Manager PREPARED BY: Janeen Laudenback, Director of Community Services SUBJECT: Approve and authorize execution of Professional Services Contracts for As- Needed Design/Landscape Architectural Services with RJM Design Group, Inc. and Integrated Consulting Group, Inc., each in an amount not to exceed $500,000 over a three-year term Statement of Issue: The Community Services Department requires landscape architectural services on an as-needed basis to support staff for landscape design and construction for capital projects and City facilities. Financial Impact: Over $3.7 million in new park projects are budgeted in the current year FY 2017/18 Capital Improvement Program (CIP). With approximately $10 million in total CIP projects anticipated to be scheduled over the next three years, there is a need to approve the recommended professional services contracts for project efficiency and continuity purposes. Recommended Action: ' - A) Approve and authorize the Mayor and City Clerk to execute "Professional Services Contract Between the City of Huntington Beach and RJM Design Group, Inc. for As-Needed Professional Design/Landscape Architectural Services" for an amount not to exceed Five Hundred Thousand Dollars ($500,000) over a three-year term; and, B) Approve and authorize the Mayor and City Clerk to execute "Professional Services Contract Between the City of Huntington Beach and Integrated Consulting Group, Inc. for As-Needed Professional Design/Landscape Architectural Services" for an amount not to exceed Five Hundred Thousand Dollars ($500,000) over a three-year term. Alternative Action(s): Do not approve the recommended action and direct staff accordingly. Analysis: The City's Park funds are the primary funding source responsible for development and completion of park development projects at the beach, pier, parks, and other City-owned recreation facilities. The current FY 2017/18 Capital Improvement Program (CIP) includes over $3.7 million in Parks, Facilities and Beach Development projects, with additional projects anticipated to be added throughout the term of the contracts. ID CA 17-027 Page 2 of 3 Meeting Date: 11/20/2017 Proposals for Landscape Architecture Services were requested and submitted in compliance with Chapter 3.03 of the Huntington Beach Municipal Code. Seventeen proposals were received and staff from Public Works, Community Services, and Purchasing reviewed and ranked the submittals. Once the ranking was completed, the top three qualified firms were interviewed (Attachment 3). RJM Design Group, Inc. and Integrated Consulting Group, Inc. were ultimately selected. These professional service contracts allow the Community Services Department to utilize professional landscape services on an as-needed basis. These contracts allow staff to obtain competitive, qualified professional design services for budgeted projects in a timely manner. Projects may include new development, refurbishing, building design, and environmental assessment. The contracts will also allow each vendor's area of expertise to be utilized as needed and based on availability for scheduled and upcoming projects. Funding sources for work on various CIP projects will be the City Council approved CIP budget. The contracts provide for a three-year contract term with a total budget not to exceed $500,000 over the three years for each vendor. **Note: The $500,000 is a not to exceed limit only, and not a guaranteed amount. The actual amount paid to vendors will be for assigned projects only, as approved by City Council in the annual CIP and for as needed professional services as approved by City Council in the annual Community Services Department budget. It is important to note that these contracts cover a three-year period. Just as in the FY 2017/18 CIP, future CIP's for park development will likely be well into the $3 million range annually, given the robust park fund. Because of this, the Community Services Department will be responsible for approximately $10 million in park development projects over the next three years. With $10 million in projects anticipated over the next three years, and design costs averaging approximately of 10%, the requested contact amounts are appropriate. When the design phase of a project is complete, a competitive bid process is required for the construction phase, with all construction contracts going back to City Council for approval. In general, the scope of work for landscape architecture firms may involve all phases of a development project. The following scope of work identifies the typical services provided throughout a project: Preliminary Plans and Design — Prepare alternative preliminary layouts, surveying, architectural services, and estimates of probable cost for alternatives, and prepare details and calculations. Present alternatives, as needed at staff and/or City Council meetings, and provide recommendations and analyses of the advantages of each alternative. Entitlements/Permits —As a primary consultant, assist the City in obtaining entitlements and approvals from applicable agencies for environmental and/or other permits as may be required. Construction Documents — Prepare designs, plans, specifications, cost estimates, and contract bidding documents. Bidding Processes —Assist the City in answering bidders' questions, attend pre-bid conferences and job walks, prepare addenda, analyze bids, and recommend award. Item 14. - 2 HB -1 s0- Dept. Monitor construction schedule, visit construction site as required for progress and quality of work. Assist the contract manager, contractor, and inspector with interpretation of the plans and specifications, analysis of changed conditions, development of corrective action, review of shop drawings and other submittals, and the review and negotiation of change orders. Prepare "as-built" drawings. In addition to the services listed above, through the use of sub-consultants or in-house personnel, landscape architect firms may be required to perform environmental assessments, civil and soils engineering, and building architecture. Given the breadth of services required, it is customary to have more than one qualified landscape architecture firm available to provide specific areas of expertise and to accommodate potential scheduling issues. Both consultants, as part of its submittal package, provided a list of hourly rates for the various members of its consultant team, i.e., associate engineer, principal engineer, etc., allowing the City proposal review process confirm that the rates provided are both reasonable and customary. The City then has the option of selecting either one of these firms to consult on a project. The attached contracts are necessary for the Community Services Department to go forward with Capital Improvement Projects as approved by City Council for FY 2017/18. Timely and efficient progress on each of these approved projects is contingent upon approval of these professional services contracts. Current CIP Projects requiring landscape architectural services include: • Murdy Park Sports Field and Picnic Area improvements • Irby Park Design • Huntington Central Park Trail Improvements Additional park development projects will be added to future City CIP's as outlined in the City of Huntington Beach Park and Recreation Master Plan. These projects may include items such as playground re-design to integrate new requirements for ADA accommodation, additional Central Park amenities and improvements as recommended by the Central Park Subcommittee, and future design of undeveloped or underdeveloped areas in the current City's park system and coastal zone. Environmental Status: Not applicable— Once initiated, specific projects will go through the appropriate entitlement process. List of prospective bidders for Project Landscape Architectural Services HB -181- Item 14. - 3 ATTACHMENT #2 PROFESSIONAL SERVICES CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND RJM DESIGN GROUP, INC. FOR AS-NEEDED PROFESSIONAL DESIGN/LANDSCAPE ARCHITECTURAL SERVICES THIS AGREEMENT ("Agreement") is made and entered into by and between the City of Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as "CITY," and RJM Design Group, Inc., a California corporation, hereinafter referred to as "CONSULTANT." WHEREAS, CITY desires to engage the services of a consultant to provide as-needed professional design/landscape architectural services; and Pursuant to documentation on file in the office of the City Clerk, the provisions of the Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service contracts have been complied with; and CONSULTANT has been selected to perform these services, NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows: 1. SCOPE OF SERVICES CONSULTANT shall provide all services as described in Exhibit "A," which is attached hereto and incorporated into this Agreement by this reference. These services shall sometimes hereinafter be referred to as the "PROJECT." CONSULTANT hereby designates Larry P. Ryan, who shall represent it and be its sole contact and agent la all consultations with CITY during the performance of this Agreement. 2. CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the performance of this Agreement. 17-6071/167634/DO 1 of I I 3. TERM; TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of CONSULTANT are to commence on �bqMIW 2� , 20_n_ (the "Commencement Date"). This Agreement shall automatically terminate three (3) years from the Commencement Date, unless extended or sooner terminated as provided herein. All tasks specified in Exhibit "A" shall be completed no later than three (3) years from the Commencement Date. The time for performance of the tasks identified in Exhibit "A" are generally to be shown in Exhibit "A." This schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and CONSULTANT. In the event the Commencement Date precedes the Effective Date, CONSULTANT shall be bound by all terms and conditions as provided herein. 4. COMPENSATION In consideration of the performance of the services described herein, CITY agrees to pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is attached hereto and incorporated by reference into this Agreement, a fee, including all costs and expenses, not to exceed Five Hundred Thousand Dollars ($500,000.00). 5. EXTRA WORK In the event CITY requires additional services not included in Exhibit "A" or changes in the scope of services described in E�-,hibir "A," CONSULTANT will undertake such work only after receiving written authorization from CITY. Additional compensation for such extra work shall be allowed only if the prior written approval of CITY is obtained. 6. METHOD OF PAYMENT CONSULTANT shall :;e paid pursuant to the terms of Exhibit "B." 17-6071/167634/DO 2 of 11 7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CONSULTANT agrees that title to all materials prepared hereunder, including, without limitation, all original drawings, designs, reports, both field and office notices, calculations, computer code, language, data or programs, maps, memoranda, letters and other documents, shall belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or termination of this Agreement or upon PROJECT completion, whichever shall occur first. These materials may be used by CITY as it sees fit. Any use, re-use or modification of such materials for any purpose other than intended by this Agreement shall be at the City's sole risk. 8. HOLD HARMLESS To the fullest extent permitted by law (including, without limitation, California Civil Code Sections 2782 and 2782.6), CONSULTANT hereby agrees to protect, defend, indemnify and hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers from and against any and all claims, damages, losses, expenses, demands and defense costs (including, without limitation, costs and fees of litigation of every nature or liability of any kind or nature) arising out of or in connection with CONSULTANT's (or CONS'JLTANT's subcontractors, if any) negligence, recklessness or willful misconduct related to performance of this Agreement or its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its officers, agents or employees. CITY shall be reimbursed by CONSULTANT for all costs and attorney's fees incurred by CITY in enforcing this obligation. CONSULTANT will conduct all defense at its sole cost and expense, and CITY shall approve selection of CONSULTANT's counsel. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONSULTANT. 17-6071/167634/DD 3 of 11 c. PROFESSIONAL LIABILITY INSURANCE CONSULTANT shall obtain and furnish *.o CITY a professional liability insurance policy covering the work performed by it hereunder. This policy shall provide coverage for CONSULTANT's professional liability in an amount not less than One Million Dollars ($1,000,000.00) per occurrence and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention without the express written consent of CITY; however an insurance policy "deductible" of Twenty-five Thousand Dollars ($25,000.00) or less is permitted. A claims- made policy shall be acceptable if the policy further provides that: A. TI o policy retroactive date coincides with or precedes the initiation of the s.ope of work (including subsequent policies purchased as renewals or replacements). B. CONSULTANT shall notify CITY of eircumstan.;es or incidents tirat might give rise to future claims. CONSULTANT will make every effort to maintain similar insurance during the required extended period of coverage following PROJECT completion. If insurance is terminated for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two (2) years to report claims arising from work performed in connection with this Agreement. If CONSULTAN' fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the CITY with required proof that insurance has been procured and is in force and paid f6r, the CITY shall have the right, at the CITY's election, to forthwith terminate this Agreement. Such termination shall not effect Cc sultant's right to be paid for its time and materials expended prior to no'ificati�: of termination. CONSULTANNT waives the right to receive compens�..tion and agrees to indemnify the CITY for any work performed prior to approval of insurance by the CIT,T. 17-6071/i 67634/DO 4 of II 10. CERTIFICATE OF INSURANCE Prior to commencing performance of the work hereunder, CONSULTANT shall furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the foregoing insurance coverage as required by this Agreement; the certificate shall: A. provide the name and policy number of each carrier and policy; B. state that the policy is currently in force; and C. shall promise that such policy shall not be suspended, voided or canceled by either party, reduced in coverage or in limits except after thirty (30) days' prior written notice; however, ten (10) days' prior written notice in the event of cancellation for nonpayment of premium. CONSULTANT shall maintain the foregoing insurance coverage in force until the work under this Agreement is fully completed and accepted by CITY. The requirement for carrying the foregoing insurance coverage shall not derogate from CONSULTANT's defense, hold harmless and indemnification obligations as set forth in this Agreement. CITY or its representative shall at all times have the right to demand the original or a copy of the policy of insurance. CONSULTANT shall pay, in a prompt and timely mariner, the premiums on the insurance hereinabove required. 11. INDEPENDENT CONTRACTOR CONSULTANT is, and sha:1 be, acting at all times in the performance of this Agreement as an independent contractor herein and net as an employee of CITY. CONSULTANT shall secure at its own cost and expense, and be responsible for any and all payment of all taxes, social security, state disability insurance con-1pensat on, :znemploymeni compensation and other payroll deductions fcr CCNSULTANT anr. its eff.�ers, agents and c.aployees and all business licenses, if any, in connection with the PRO"ECT and/cr the services to b-- :._-xormed 11--,reunder. 17 17-6071/167634/DO 5 of 11 12. TERMINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner. CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and whether or not the PROJECT is fully complete. Any termination of this agreement by CITY shall be made in writing, notice of which shall be delivered to CONSULTANT as provided herein. In the event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at the option of CITY, become its property and shall be promptly delivered to it by CONSULTANT. 13. ASSIGNMENT AND DELEGATION -This Agreement is a personal service contract and thework hereunder shall not be assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all approved assignees, delegates and subconsultants must satisfy the insurance requirements as set forth in Sections 9 and 10 hereinabove. 14. COPYRIGHTS/PATENTS CITY shall own all rights to any patent or copyright on any work, item or material produced as a result of this Agreement. 15. CITY EMPLOYEES AND OFFICIALS CONSULTANT shall employ no CITY official nor any regular CITY employee in the work performed pursuant to this Agreement. No officer or employee of CITY shall have any financial interest in this Agreement in violation of the applicable provisions of the California Government Code. 16. NOTICES Any notices, certificates, or other cor"_-nunicat o-s hereunder shall be given either by personal delivery to CGi,,TSULTANT's agent (as designated in Section 1 he_-�inabove) or to CITY as 17-6071/167634MG 6 of i i the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and depositing the same in the United States Postal Service, to the addresses specified below. CONSENT When CITY's consent/approval is required under this Agreement, its consent/approval for one transaction or event shall not be deemed to be a consent/approval to any subsequent occurrence of the same or any other transaction or event. 18. MODIFICATION No waiver or modification of any language in this Agreement shall be valid unless in writing and duly executed by both parties. 19. SECTION HEADINGS The titles, captions, section, paragraph and subject headings, and descriptive phrases at the beginning of the various sections in this Agreement are merely descriptive and are included solely for convenience of reference only and are not representative of matters included or excluded from such provisions, and do not interpret, define, limit or describe, or construe the intent of the parties or affect the construction or interpretation of any provision of this Agreement. 20. INTERPRETATION OF THIS AGREEMENT The language of all parts of this Agreement shall in all cases be construed as a whole, according to its fair meaning, and net strictly for or against any cf the parties. If any 17-6071/167634/D0 7 of 11 provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent upon any other unless so expressly provided here. As used in this Agreement, the masculine or neuter gender and singular or plural number shall be deemed to include the other whenever the context so indicates or requires. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provision contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no right to contract, then the latter shall prevail, and the provision of this Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 2i. DUPLICATE ORIGINAL The original of this Agreement and one or more copies hereto have been prepared and sign,,d in counterparts as duplicate originals, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed an original instrument as against any party who has signed it. 22. IMMIGRATION CONSULTANT shall be responsible for full compliance with the immigration and naturalization iaws of the United States and shall, in particular, comply with the provisions of the United States Code regarding employment verification. 23. LEGAL SERVICES SUBCONTFcAC'TING PROHIBITED CONSULTANT and CITY agree that CITY is not liable for payment of any subcontractor work involving legal services, and that such legal services are expressly outside the scope of services contemplated hereunder. CONSULTANT understands that pursuant to 17-6071/1676')4/DC 8 .vr 11 Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for CITY; and CITY shall not be liable for payment of any legal services expenses incurred by CONSULTANT. 24. ATTORNEY'S FEES In the event suit is brought by either party to construe, interpret and/or enforce the terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear its own attorney's fees, such that the prevailing party shall not be entitled to recover its attorney's fees from the nonprevailing party. 25. SURVIVAL Terms and conditions of this Agreement, which b;7 their sense and context survive the expiration or termination of this Agreement, shall so survive. 26. GOVERNING LAW This Agreement shall be governed and construed in accordance with the laws of the State of California. 27. SIGNATORIES Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. 28. ENTIRETY The parties acknowledge and agree that they are entering into this Agreement freely and voluntarily following extensive arm's length negotiation, and that each has had the opportunity to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and agree that no representations, inaucements, promises, agreements or warra_I'.- es, oral or otherwise, 17-6071/167634/DO 9 of 11 have been made by that party or anyone acting on that party's behalf, which are not embodied in this Agreement, and that that party has not executed this Agreement in reliance on any representation, inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the parties respecting the subject matter of this Agreement, and supersede all prior understandings and agreements whether oral or in writing between the parties respecting the subject matter hereof. 29. EFFECTIVE DATE This Agreement shall be effective on the date of its approval by the City Council. This Agreement shall expire when terminated as provided herein. Our project schedule will provide additional information regarding the anticipated sequence of project milestones. Working closely with City staff, our Design Team will help to organize and further define the approach to be used for each project. Coordination with all pertinent agencies and adjacent landowners will be an integral part of the project's success. In collaboration with the City, we shall review, elaborate upon and clarify the overall objectives for the development/refurbishing of the recreation areas/facilities. In addition, we will also verify the expected goals and criteria to be met within each phase of our services. During this review, we shall determine appropriate procedures to promote efficient working relationships and communication among all participants who need to interact with the Project Design Team. PHASE I PROJECT FAMILIARIZATION A. Meet with City staff to review the project scope and discuss all available documentation pertaining to analysis of existing site conditions of the project including topography, drainage, existing vegetation, existing irrigation system, physical limitations, utilities, external influences, and adjacent property relationships. B. Review all documentation as provided by the City pertaining to this project, including available"as-builts" (digital format), available current aerial photos, digital format CAD base for each site, and title report. Review federal, state, local codes and standards, which may be applicable to the site development. C. Conduct site visit to photograph and review existing site conditions, study opportunities, constraints and adjacent relationships. D. Begin utilities identification, research, notification, and coordination, including setup of utility log. E. Prepare aerial topographic survey for the project site. Provide base mapping to include one-foot contour intervals, critical above-ground utility improvements, and signage. F. Prepare base plan for Conceptual Design phase. Page 1 1 EXHIBIT"A" City of Huntington Beach-As Needed Landscape Architectural Services Community Inspired Spaces �® DESIGN GROUP PHASE II COMMUNITY INPUT/CONCEPTUAL DESIGN RJM Community nput Process (Option 1) Our process for developing conceptual designs that are supported by the community involves a public community participation workshop process. RJM's success has been founded on our commitment to this community design workshop process. In the event the City deems this technique appropriate, we will provide a specific scope outlining our workshop process and how it serves to develop community consensus and support. Outreach strategies identified will determine the various participants and methods utilized to solicit their contribution during this process. These outreach measures are planned, conducted and attended to by the Consultant. The City may elect to perform additional measures such as an online questionnaire or phone survey to market and gather auxiliary community input during the workshop process. Each community workshop includes up to a three-hour session, inclusive, for up to 50 participants. The Consultant will work closely with City staff to organize and further define the approach to be used in this process. City staff will be responsible for the promotion of the workshops, facility, equipment and provision of staff to assist with the workshop. The Consultant will provide staff training on how to work within groups as a scribe and/or facilitate individual groups, as needed. Number of staff needed will be coordinated between the City and the Consultant team no less than two (2) weeks prior to the scheduled workshop. A. Community Workshop No. 1 will focus on the existing project site, program elements, opportunities and constraints, likes, dislikes, issues, desired features, ideas and overall vision of the site. B. Community Workshop No. 2 will focus on sharing the input received during the first workshop, summarization and prioritization of input, design ideas and the overall vision of the project. Conceptual Design (Option 2) A more conventional design approach is the development of conceptual designs based upon input/direction received from City staff. This methodology is outlined below and is an effective, proven system to develop appropriate design solutions unique to the City of Huntington Beach. A. Prepare preliminary design plan and cost analysis. Consideration shall be given to availability of materials, equipment and labor, construction sequencing and scheduling, construction costs, user safety, and maintenance requirements. Final selection of materials,textures, and colors shall occur in this phase. Attend City staff meeting to review conceptual design plan for all proposed project improvements, proposed site furnishings, and Opinion of Probable Construction Costs. G. Revise conceptual design plan and Opinion of Probable Construction Costs based upon City comments and direction. H. Meet with City to review revised conceptual designs and updated Opinion of Probable Costs. Public Review/Presentations A. Prepare final project report and PowerPoint presentation based on City staff input. The final project report shall include the workshop summaries 1 and 2, project program, master plan, and cost estimate. B. Attend project team meetings with City staff. Provide meeting minutes for review and approval by project team. C. Prepare for and attend public hearings/meetings including the City's Recreation and Parks Commission and City Council for review/comment and approval of the final project report. PHASE III CONSTRUCTION DOCUMENTATION During this phase, the contract documents are prepared setting forth in detail the requirements for the construction of the project. Construction drawings will be submitted at 50% complete for review, revised, re-submitted at 90% complete for review, revised, and finally 100% complete construction drawings will be submitted for City review and approval. A revised cost estimate will also be submitted when necessary. Upon approval of construction drawings, RJM will provide the City with digital files of the approved construction drawings. Landscape and Irrigation Design/Documentation: Services during the Construction Document phase consist of preparation of drawings and specifications based on approved conceptual design documents, setting forth in detail the landscape requirements for the project. B. Civil Design Documentation: Services during the Construction Document phase consist of preparation of final civil engineering calculations, grading,water, sewer and horizontal control. C. Site Electrical Design Documentation: Final drawings and specifications shall be completed at the contract document phase to include electrical power for various site features, site lighting, irrigation controllers, etc. D. Project Manual and Technical Specifications: Develop and prepare technical specifications utilizing'Greenbook' format (standard specifications for public works construction) for all site related work. E. Opinion of Probable Construction Cost: Opinion of Probable Construction Cost services during the Construction Document phase consist of advising the City of any adjustments when the construction documents are at approximately 50% and 90% complete, updating of the Conceptual Design phase Statement of Probable Construction Costs of the project. F. Submit plans to the City for approval at 50%and 90% completeness for review. G. Meet with City staff to review plan check comments. H. Revise plans per Plan Check comments (2 reviews). I.
