(hereinafter refer,°ed to as Exhibit "A", ; and as supplemented by Attachment "A" to RMG lAt;t;r of June 16, t 1 83, (hereinafter referred to as Exhibit "B", ) which are respec- tively iaicorr orated into this agreement by this reference. Said n 1 Y engineering services 1,,here-nafter referred to as "PROJECT") shall include, but not be limited to surveys, investigations, consul- tations and advice, preparation of detail, design, construction plans., estimates o' clu.. �s and cos` ,, preparation of the special provisions and any ocner miscellaneous engineering services required to permit CITY to advertise for bids for construction of PROJECT. CONSULTANT shall attend a-id assist in all -.00rdination meeting. , CON--UMANT shall designate a registered civil engineer W. shall. represent it and be its sole contact and agent in all consultations with CITY during fvlEilltmert of the terms of this agreement. 2. DISPOSITION OF PLANS, ESTIKATES AND OTHER DOCUMENTS CONSULTANT agrees that all original drawings, reports, both field and office notes: calculations, maps and other documents, shall be turned over to CITY upon any termination of PROJ EM 3. In addition to the, Workers' Compensation insurance and CONSULTANT'S agreement to indemnify r'.XY, CONSULTANT -hall furr_ '_sh to CITY aid maintai-i in force until the completion of PROJECT a 3 .. 5 policy of general liabilicy insurance in which CITY is nar-ed as an additional insured. ' ' policy shall indemnify CITY, its officers and employees, while acting within the scope of their duties, against any and all claims arising out of or in connection with PROJECT. The policy shall proviap coverage in not less than the following amounts: Combined single limit bodily injury and/or property damage of $300,000 per occurrence. Sucn policy insurance shall specifically provide that any other insurance coverage which x. may be applicable t:o the lcss shall be de,-ned excess coverage and CONSULTANT'S insurance shall be primazy. ii certificate of all such insurance policies required by this agreement shall be delivered to the City Attorney prior to the commencement of any work and shall be a9proved by her in writing. No such insurance shall be cancelled or modified wichouY.: thirty (?0) days ' prior written notice to CITY. 6 INDEPENDFNT CONTRACTOR CONSULTANT is, and shall be, acting at all times iii the performance of th-is agreement as an independent contractor4 CONSULTANT shall secure at its e;:pense, and be respons'.ale for any and all payments of all taxes, social secs:rity, state disability insurance compensation, unemployment compensation and gather payroll deductions for CONSULTANT and its officers, agents and employees and. .all business itcensers, if any,, in connection with the services to be pertormea hereunder. 7. CITY STAFF ASSISTANCE CITY shall assign a staff coordi tor ta work directly with Ct,)NSUVEANT in connection 4 ith the work of this agreement;, 4 k B. PRoVISION FOR PAYMENT In consideration of the performance of the ahc,ve described engineering services, CITY agrees to pay CONSULTANT a c�4 h fee, according to the schedule of hourll .-ates found in Exhibit tx' ` "B, " however, total payment shall not exceed the sum of twknt one / E thousand nine hundred fifty dollars ($21, )50.00) payable monthly based upon the amount of work performed as determined by CITY. 9. EXTRA WORK In the event of authorization, in writing by the City Engineer, of vhanges from the work -as indicated in Exhibit "A" or for other written peim*ssion authorizing additional work not contemplatpd herein, additional compensation shall be allowed for such extra work, so long as the prior writt.an approval of CITY is obtained. 10. TERMINATION OF CONTRACT All work shall be done in a good and workmanlike manner. CITY may terminate CONbULTANT'S services hereunder at any time with or without cause, and whether or not PROJECT is Cully complete. Any termination and any spek:ial instructions hereunder from CITY shall be made through the City Engineer, and in writing, which may be delivered in person to CONSULTANT or marled through the normal course of mail to its now-established business address. In the event this agreement is terminated, all drawings, designs, specifi- catxons and appurtenant data may be used by CITY. 1 DU%NTION OF CONTRACT CONTRACTOR agrees tc complete the PROJECT within ten (10) waeks of the, xecution of this contract. 5 - , u t 12. Brookhurst Street is a gully improved major arterial highway. The City desires to resurface and reconstruct those portions of the road- way identified in the Materials Report prepared by the County of Orange (see Attachment "B") . The scope of work for which proposals are being solicited includes the followinc, engineering responsibilities and project tasks: A. Engineering RespcLisibi)ities 1. Identifying pavement areas requiring reconstruction. Deter- minations shall be based on the County Materials Report and field observations and measurements. ?. Identify n,7 zxistin.g curb, gutter and sidewalk that is out of grade and to be replaced. 3. Determining structural set .sons of pavement to be replaced. Judgments shall be based o,• soils condition, location and depti,, of existing utilities and construction methods. If necessary, additional soils information can be obtained, by the City, from the C.ounf-y. B, Project Tasks 1. Also included is the coordination of any design work for relocating and/or the installation of additional pp utility facilities as deemed necessary. I . G 4. Attending periodic meetings with City staff during the prepa- ration of preliminary plans and worxing drawings. 5. Based on an approval of the preliminary plans .and cost esti- mates, the engineer shall prepare and provide 4C, sets of blue- line print and 40 copies of the contract documents aad specifications required to advertise the project for bids. 6. The engineer shall., during bid advertisement and construction, provide support including interpretation of plans and specifi- cations, ,review Pf strop drawings, review of and crake recom- mendations can change orders. 7. Provide one acceptable set of reproducible "as boil':" mylar drawings. (Note: 10% of the contract asftount will by withheld until the "as-builts" arc- submitted and approved. ) 8. FuLnish $300,000 of errors and omission insurance, workman's cirripensation insurance, liability insurance, and, all other conditions of City Resolution No. 4337 (".ttachrtent "C") . The advertising fur bids, awarding of a project contract, administer- ing the contract and inspecting the work will be performed by City staff. in addition, the City will provide the following information and data: 1. Survey cross sections, R/W to R/W. 2. Existing plans of street improvements within project limits. 3. City boiler plate and sample set of specifications. 4. Linens with City title blocks: 5. Gross section vellum with City title block. Proposals for this project are to be submitted to my attention by June 17, 1983 with the. notation "Brookhurst Street :improvements" on the envelope. Each proposal should include the following information: 1. A ,list of simii.ar projects. 2. A statement of your understanding of the scope of work and tho steps necessary to complete the project. A list of personnel, including the proposed project manager who rc will be assigned to work on this project, and a brief resume for each. 4. A brief outline of how you prr. -)ose to handle this protect, if awarded to your firm, and a tine-line for completing the project. # 5. Your ".ae based on a hourly rate of percentage of the final cost estimate. A maximum not-to-exceed fee should also be specified. After receipt of p;-oposals, applicants will be screened relevant to. 1. Expertise and experience. 2. The approach to be used as outlined in the proposal. 3. Ability to complete the project in a timely and consistent manner. 4. Fees. Certain consultants may be interviewed prior to the final selection. Engineering, Sncorpo'r,ated to prepare plans, specifications and cost estimates for the reconstruction and resurfacing of Brookhurst Street and authorize the Mayor and City Council, to - xecute the agreement and establish a design budget of $25,0M Analysis: This section of roadway is in need of rehabilitation. The project was submitted and approved for inclusion in the 83-84 City/County Arterial Highway Financing Program (AHFP) .
