SPECIFICATIONS ''FOR THE' WARNER/LOS PATOS 'STORM DRAIN THIS AGREEMENT, made and entered into this day of 19� by and between the CITY OF HLRITINGTON BEACH, a municipal corporation of the State of California, hereinafter referred to as "CITY , " and RMG ENGINEERING, INC. , A California Corporation, hereinafter referred to as "C ONSULTANT . " WHEREAS, CITY desires to engage the services of an engineering consultant to prepare plans, specifications and cost estimates for a storm drain to cover a drainage area extending generally from Warner Avenue on the north to Los Patos Avenue on the south and Lvnn Street on the east to Weatherly Lane on the west; and CONSULTANT has been selected to perforin said services , NOW, THEREFORE , it is agreed by CITY and CONSULTANT as follows : 1 . WORK STATDIENT CONSULTANT shall provide all engineering ser.vi.--es as described ir, the Request for Proposal and Statement of Qualifications (hereinafter referred to as Exhibit "A" ) , which is incorporated into this Agreement by this reference . Said services shall sometimes hereinafter be referred to as "PROJECT . " r j' l r CONSULTANT hereby designates John Mandrell, who shall. represent it and be its sole contact and agent in all ccnsultations .with CITY 'during the performance of this Agreement. 2 . CITY STAFF ASSISTANCE CITY shall assign a staff coordinator to work directly with CONSULTANT in the prosecution of this Agreement . 3 . TIME OF PERFORMANCE Time is of the essence of this Agreement. The services of the CONSULTANT are to commence as soon as practicable after the execution of this Agreement and all tasks specified in Exhibit "A" shall be completed no later than six (6 ) months from the date of this Agreement . These times may be extended with the written permission of the CITY . The time for performance of the tasks identified in Exhibit "A" are generally to be as shown in the Scope of Services on the Work Program/Project Schedule. This schedule may be amended to benefit the PROJECT if mutually agreed by the CITY and CONSULTANT . 4 . COMPENSATION In consideration of the performance of the engineering services described in Section I above , CITY agrees to pay CONSULTANT a fee of Twenty-.seven Thousand, Five-hundred Dollars ( W , sno. oo ) . 5. EXTRA WORK In the event of authorization, in writing by the CITY. of changes from the work described in Exhibit "A or for other written -permission authorizing additional work not contemplated 2 'herein, additional compensation shall be allowed for such Extra Work,. so long as the .prior written approval of CITY is obtained. 6. IMTHOD OF PhYMENT A. CONSULTANT shall be entitled to progress payments toward the fixed fee set forth in Section 4 herein in accordance with the progress and payment schedules set forth in Exhibit All . B. Delivery of work product . 1) A copy of every technical memo and report prepared by CONSULTANT shall be submitted to the CITY to demonstrate progress toward completion of tasks . In the event CITY rejects or has comments on any such product , CITY shall identify specific requirements for satisfactory completion within seven (7 ) calendar days after receipt of such product . Any such product wh:Lch has not been formally accepted or rejected by CITY within seven (7 ) calendar days of submission for review by CONSULTANT shall be deemed accepted. C. The CONSULTANT shall submit to the CITY an invoice for each progress payment due . Such invoice shall : 1 ) Reference this Agreement; 2) Describe the services performed ; 3) Show the total amount of the payment due; 4) Include a certification by a principal member of the CONSULTANT 'S firm that the work has 3 peen performed in accordance with the provisions of this Agreement; and 5) For all payments include an estimate of the percentage of work completed. Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall '4 promptly approve the invoice, in which event payment shall be made { within thirty (34) days ' of receipt of the invoice by CITY. Such approval shall not be unreasonably withheld. If the CITY does not approve an invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval , within seven (7 ) calendar days of receipt of the invoice, and the schedule of performance set forth in Exhibit "A" shall be suspended until the parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or until this Agreement is terminated pursuant to Section 12 hereof . D. Any billings for extra work or additional services authorized by the CITY shall be invoiced separately to the CITY. Such invoice shall contain all of the information required under paragraph GC , and in addition shall list the hours expended and hourly rate charged for such time . Such invoices shall be approved by CITY if the work performed is in accordan -e with the extra work or additional services requested, and if CITY is satisfied that the statemer : of hours worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any "dispute between the parties concerning payment of such an 4 _ invoice shall be treated as separate and apart froia . the ongoing pe;:forma ice of the remainder of this A4reement. 7 . Di"SPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS CITY acknowledges that all materials prepared by CO . JLTANT hereunder, including all plans, specifications, original drawings, designs, reports , both field and office notes, calcula'.:ions, maps, and other documents are instruments of professional service . Nevertheless, said materials shall become the sole property of CITY upon completion of the PR^JECT or earlier termination of this Agreement, whichever shall occur first . Upon completion of the PROJECT , CITY agrees not to re--use said materials without the express written author �.zation of CONSULTANT; such authorization will not be unreasonably withheld. However, in the event this Agreement is terminated pursuant to Section 12 herein, CITY may use all materials prepared by CONSULTANT up to the point of termination in the completion of the PROJECP , without first seekinc- CONSULTANT ' S authorization to do SO. CONSULTANT shall be entitled to retain copies of all materials prepared pursuant to PROJECT. Subject to the above provisions , CITY agrees to hold harmless, indemnify and defend CONSULTANT against all damages, claims and losses, including defense costs , arising out of CITY' S unauthorized re-use of CONSULTANT ' S prepared materials. This indemnity provision shall in no way der )yate from the provisions for indemnification of CITY by CONSULTANT under Section 8 of this Agreement . -- 5 - ,;;.,�..,;. ;:k- , • its :,. , '.. : �.�a. 6. INDEMNIFICATION, DEFENSE, HOLD HARMLESS CONSULTANT hereby . agrees to d,-fend, indemnify and hold harmless CITY, its officers, agents and employees, from and against any and all liat;bility, damages , costs , loss%s, cLaims 4: exp-�inses, however caused, resulting directly or indirectly from or connected with CONSULTANT ' S negligent acts, willful misconduct or negligent performance of this Agreement ( including, but not ry limited tC such liability, costs , damage, lo,,s , claim, or expense arising from the death or injury to an agent or employee of CONSULTANT, subcontractor, if any, or CITY; or damage to the property of C ONSULTANT , subcontractor, if any, or CITY , or the property of any agent or employee of CONSULTANT, subcontractor, if any, or CITY) , regardless of the passive or active negligence of CITY, except where such liability, damages , costs , losses, claims or expenses are caused by the sole negligence or willful misconduct of CITY or any of its agents or employees including negligent omissions or commissions of CITY , its agents or employees, in connection with the general supervision or direction of the work to be performed hereunder . 9. WORKERS ' COMPENSATION CONSULTANT shall comply with all of the provisions of tht Workers ' Compensation Insurance and Safety Acts of the State of California, the applicable provisions of Division 4 and 5 of the California Labor Code and all amendments thereto; and all similar state or federal acts or laws applicable; and shall indemnify, defend and hold harmless CITY from and against all - 6 - w claims , demands , payments , suits , actions , proceedings and judgments of every nature and description , including attorney ' s fees and coots presented, brought or recovered against CITY, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by CONSULTANT under this Agreement . 10. INSURANCE In addition to the Workers ' Compensation Insurance and CONSULTANT' S covenant to indemnify CITY, CONSULTANT shall procure the following insurance policies to cover the PROJECT: A. General Liability Insurance . A policy of general public liability insurance , including motor vehicle coverage . Said policy shall name CITY, its officers and employees , while acting within the scope of their duties , as Additional Insureds , for the acts of the insured , and shall provide coverage its not less than the following amount : combined single limit bodily injury or property damage of $300, 000 per occurrence . Said policy shall specifically provide that any other insurance coverage which may be applicable to the PROJECT shall be deemed excess coverage and that CONSULTANT' S insurance shall be primary. B. Errors and Omissions ' Insurance . CONSULTANT shall acquire an errors and omissions insurance policy covering the work performed by it hereunder . Said policy shall provide coverage for CONSULTANT' S errors and omissions in an amoun`. of not less than $300, 000 . Certificates of Insurance for said policies shall iie approved in writing by the City Attorney prior to the commencement of any work hereunder . All Certificates of Insurance (and the policies of insurance or endorsements thereof ) shall prcvide that any such Certificates and policies shall. not be cancelled or modified without thirty ( 30) days ' prior written notice to CITY. 11 . INDEPENDENT CONTRACTOR CONSULTANT is , and shall be , acting at all times in the performance of this Agreement as an independent :.contractor . CONSULTANT shall secure at its expense , and be responsible for any and all payments of all taxes , social security , state disability insurance compensation , unemployment compensation and other payroll deductions for CONSULTANT and its officers , agents and employees and t.11 business licenses , if any, in connection with the services to be performed hereunder . 12 . TEPVINATION OF AGREEMENT All work required hereunder shall be performed in a good and workmanlike manner . CITY may terminate CONSULTANT ' S services hereunder at any time with or without cause , and whether _ 8 s or not PROJECT is fully complete . Any termination of this Agreement by CITY shall be made in writing throuSh the City Engineer, notice of which shall be delivered to CONSULTANT as provided in Section .16 herein. 13. ASSIGNMENT AND SUBCONTRACTING This Agreement is a personal service contract and the supervisory work hereunder shall not be delegated by CONSULTANT to any other person or entity without the consent of CITY. 14 . COPYRIGHTS/PATENTS CONSULTANT shall not apply for a patent or copyright on any item or material produced as a result of this Agreement, as set forth in 41 CFR 1-9. 1 . 15 . CITY EMPLOYEES CONSULTANT agrees that no regular employee of CITY shall be employed by its firm during the time this Agreement is in effect. 16. NOTICES Any notices or special. instructions required to be given in writing under this Agreement shall be given either by personal delivery to CONSULTANT ' S agent ( as designated in Section 1 hereinabove) or to CITY ' S Director of Development Services , as the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid , and depositing the same in the United States Postal Services, addressed as follows : 1 1 - _ t TO CITY: TO CONSULTANT: Mr . RECOMMENDATIONS: 1. Approve the selection of RMG Engineering, Inc. to prepare plans, .pecifications and cost estimates for the construction of the Warner Avenue/Los Patos Drive Storm Drain. 2. Establish a design budget of t30,250 (this will include consultant agreement and miscellaneous costs as required). 3. Authorize the Mayor and City Clerk to execute the attached consultant agreement with RMG Engineering for a fee not to exceed $27,500.00. ANALYSIS: The approved Master Plan of Drainage for the City specifically addresses the need for additionn.l starm drain facilities in the vicinity of Warner Avenue and Los Patos Drive. At present, storm waters frallnw the surface flowline of unimproved streets, thereby allowing sufficient quantities of mud to accumulate in the roadway. These conditions, along with current plans for a residential development at the down stream end of the drainage area, have necessitated the.construction of a storm drain systent that will provide sufficient capacity in the event of a major storm. FUNDING SOURCE: Sufficient revenues are available in Drainage District 12; however, Council must approve the establishment of design budget.. Therefore, the Director of Public Works requests approval of the RMG contract and the authorization to encumber $30,250 for design expenas. A significant portion of the property within the water, shed boundaries of this project was divided many years ago acid -development has,'`occurred a few parcels at a time. Therefore, the ultimate storm ''drain system has been delayed and the., City has collect ed .drainage _fQes from developments which have occurred . until .:sufficient finds could be accumulated to proceed with the ultimate facility . Presently runoff follows the surface flow- line;,"(see photos) and the most significant problem seems to be mud on the street-from undeveloped .areas and the lack of ultimate capacity in the . event 'of a major, storm. PI-IG Engineering, Inc . proposes to provide services as follows to accomplish said objective. PHASE I INVESTIGATION Orientation - The initial step in this project is to meet with the City Project Director and such others the City Project Director feels necessary. The purpose of this meeting is to identify the parties and their individual interest and objectives concerning the project, establish communication lines , refine scheduling details, and confirm short term objectives including responsibilities. Data Assembly - Parties , utilities, etc. , known to have or considered to possibly have interest in the proposed project shall be contracted to determine their interest. Data on existing or proposed facilities which may impact this project shall be requested. Recorded maps and improvement plans of existing improvements shall be obta.i ned . Survey - A field survey of existing improvements as required for design shall be made to establish compatibility of existing flow lines with proposed inlets . Geotechnical - A geotechnic:al investigation shall be performed including soils boring, approximately 10 , along pipe alignment and in areas of the proposed structures . Based on an analysis of the findings , recommendations will be made concerning corrosion problems due to soluble salts , cement types , lateral earth pressures , safe construction slopes , trench shoring and/or sheeting, and backfill requirements. Needs Assessment - All data shall be collated. Con- straints for construction shall be determined and the basis for the design shall be established . Areas of need shall be identified and procedures defined to meet such needs. PHASE II PRELIMINARY DESIGN Hydrology - Review watershed area as indicated by preliminary study by City staff and calculate design runoff quan- tities , 25 year storm. Investigate "Pond" - Investigate existing pond on south . side of Warner Avenue ,west of southerly prolongation of Edgewater. Evaluate impact of proposed drainage -system. System Routing - Establish preliminary alignment for facilities including piping, inlets , and junction structures . Consider- ation shall be given to right-of-way needs during and following con- struction. The impact of construction shall be addressed as it relates to traffic and the community. Preliminary Cost Estimate - Prepare a preliminary cost estimate for construction pursuant to the system routing results . 1 Client Review - Review preliminary design task with City Project Manager_ . City staff comments and recommendations shall be discussed -to assure mutual.concurrence and necessary revisions will ' be madia. Documents will be resubmitted to the City for approval. r Coastal Commission - Applications to the Coastal Commission including copies of plans shall be submitted and processed for approval . Environmental Management Agency - The south side of Warner. Avenue is within the unincorporated County of Orange. Since construction plans will include the ultimate system including catch basins on the south side of Warner Avenue, plans will be submitted to the ERA for approval . Corps of Engineers and Water Quality Control Board -- Plans for the project will be submitted to the Corps of Engineers and the Water Quality Control Board for informational purposes and comments in view of their jurisdictions over navigable waterways and harbor water quality respectively . Comments will be considered in the preparation of the final construction plans . PHASE VII CONSULTATION During the bid process and the construction process , consul- tation shall be provided on an as needed basis concerning interpretation of plans . Mr. Mandrell . has extensive experience in drainage design. In addition he has first hand knowledge of the project from his 6h years experience as an employee of the City in the 19601s, consultation on projects in the City since, and residence in the City since 1961 . ■ PROJECT MANAGER/PROJECT ENGINEER .. James R. Bolton will have the lead role in managing the project. Mr. Bolton will coordinate all areas of expertise and direct senior personnel of the RMG Engineering, Inc. staff in the performance of their. task. Mr. Bolton has extensive experience in the design and management of drainage system projects . Recent projects include a system for a 660± acre development in Lancaster including piping, open channel, and pump station; a piping system with slide gates on Balboa Island for the City of Newport Beach; a combined use detention basin - park site for the County of Orange; and a 120 " storm drain, desalting basin system for the City of Rancho Palos Verdes. Mr. Bolton recently managed a Brookhurst Street reconstruction project for the City of Huntington Beach - and has processed many private projects through the City. AGENCY PROCESSING - H. E. (Bill) Hartge will work with the EMA, Corps of .Engineers, Coastal Commission, and Water Quality Control to obtain their approvals . Mr. Hartge ' s 19 years experience with the City (position of Director of Public Works) ; residence in Huntington Harbour; on going contact with the agencies stated, local groups and City; knowledge of the physical conditions of the area qualify him to expediently process the project. His qualifications will also , provide a valuable resource to our design team. SURVEYOR rLawrence L. Truman will supervise the design survey. Mr. Truman ' s experience in design surveys for most types of improve- rents coupled with his survey experience on projects in the project rarea provide excellent qualifications to efficiently perform the survey services required for this project. ENGINEER IN CHARGE - GEOTECHNICAL SERVICES -- James J. Weaver, Director of Engineering for Moore and Taber will t manage all foundation investigation services. Mr. Weaver. has many . years experience in investigations, analysis and recommendations for similar projects and conditions. In addition, he has an outstanding resource in the qualifications of the key personnel of Moore and Taber.
