Whenever in this Ordinance the words or - 15 phrases hereinafter in this section defined are used, they 16 shall have the respective meaning assigned to them in the fol- 17 lowing definitions (unless in the given instance, the context 18 herein used shall clearly import a different meaning) : 19 (a) The word "grantee" shall mean the corporation 20 to which the franchise contemplated in this Ordi- 21 nance is granted and its lawful successors or assigns; 22 (b) The word "city" shall mean the City of Huntington 23 Beach, a municipal corporation of the State of 24 California, in its present incorporated form or in 25 any later reorganized, consolidated, enlarged or re- 26 incorporated form; 27 (c) The word "streets" shall mean the public streets, ways, alley and places as the same now or may here- 29 after exist in said city. 30 Section 2. That a franchise be and the same is here- 31 by granted to Southern California Edison Company, a . corporation 32 organized and existing under the laws of the State of EXHIBIT "A" -1- I California, its successors and assigns, to construct, lay; 2 operate, maintain, use, renew, repair, replace., move, change 3 the size and number of and remove or abandon in place a 4 system of pipelines, together with such valves, fittings, 5 manholes, vaults, pumps and other appliances, appurtenances, 6 attachments or equipment as the grantee, its successors and 7 assigns may deem necessary or convenient for the purpose of 8 conducting, transporting, conveying and carrying gas, oil, 9 petroleum, water and other substances on, along, in, under and 10 across the public streets, ways, alleys and places within the 11 City of Huntington Beach; said system of pipelines and appurte- 12 nances as aforesaid to extend generally along the following 13 routes : (1) southerly along Bolsa Chica Road from and includ- 14 ing the intersection of said road and Semltzer (sic) Avenue 15 to the south boundary line of the City of Huntington Beach; 16 (2) easterly Along Wintersburg Avenue from the westerly 17 boundary of the City of Huntington Beach to and including the 18 intersection of said avenue and Edwards Street, thence southerly 19 along Edwards Street. to and including the intersection of said 20 street and Garfield Avenue, thence easterly along Garfield 21 Avenue to and including the intersection of said avenue and 22 Newland Street; (3) southerly along Newland Street from the 23 intersection of said street and Garfield Avenue to Pacific 24 Coast Highway; together with the right to construct, operate, 25 maintain and use a private communication system consisting of 26 poles, crossarms, conductors, wires, communication circuits 27 and all other necessary. or convenient appliances or attachments 28 to be used in connection with the operation and maintenance of 29 said system of pipelines and appurtenances as aforesaid, on, 30 along, in, under, over and across the public streets, ways, 31 alleys and places within the City of Huntington Beach. 32 Section 3. Said franchise shall be indeterminate, -2- 1 that is to say, said franchise shall endure in full force and 2 effect until the same, with the consent of the Public 3 Utilities Commission of the State of California, shall be 4 voluntarily surrendered or abandoned by the grantee , or until 5 the State of California or some municipal or public corpo- 6 ration thereunto duly authorized by law, shall purchase by 7 voluntary agreement or shall condemn and take, under the 8 power of eminent domain all property actually used or useful 9 in the exercise of said franchise and situate within the ter- 10 ritorial limits of the state, municipal or public corporation 11 purchasing or condemning such property, or until said fran- 12 chise shall be forfeited. for noncompliance with its terms by 13 the grantee. 14 Section 4. The grantee shall, during the life of 15 this franchise, pay to the City of Huntington Beach, in lawful 16 money of the United States and in the manner provided by law, 17 two percent (2%) of the gross annual receipts of the grantee 18 arising from the use, operation or possession of this fran- 19 chise within the City of Huntington Beach, 20 . Section 5. The grantee hereof shall file with the 21 clerk of said city within three (3) months after the expira- 22 tion of the calendar year or fractional calendar year follow- 23 ing the date of the granting of this franchise, and within 24 three (3) months after the expiration of each and every 25 calendar year thereafter, a duly verified statement showing 26 in detail the total gross receipts of said grantee, during 27 the preceding calendar year arising from the use, operation 28 or possession of this franchise during said preceding calendar 29 year° Such grantee shall pay to said city within fifteen (15) 30 days after the time for filing said statement in lawful money 31 of the United States, the aforesaid percentage of its gross 32 receipts for the calendar year or such fractional calendar -3- I year covered by said statement. Any neglect , omission or re- 2 fusal of said grantee to file said verified statement, or to 3 pay said percentage at the time or in the manner hereinbefore 4 provided, shall be grounds for the forfeiture of this fran- .5 chise and of all rights of grantee hereunder. 6 Section 6. This ordinance shall become effective 7 thirty (30) days after its final passage, unless suspended by 8 referendum petition filed as provided by law. 9 Section 7. The grantee of this franchise shall pay 10 to the City a sum of money sufficient to reimburse it for all 11 publication" expenses incurred by it in connection with the 12 granting thereof; said payment to be made within thirty (30) 13 days after the City shall have furnished said grantee with a 14 written statement of such expenses. 15 Section 8. The franchise granted hereunder shall 16 not become effective until written acceptance thereof shall 17 have been filed by the grantee thereof with the City Clerk. 18 Such acceptance shall be filed within ten (10) days after the 19 adoption of this ordinance by the City Council. No grant of 20 the franchise granted by this ordinance may be transferred or 21 assigned by the grantee except by consent in writing of the 22 City Council and unless the transferee or assignee thereof 23 shall covenant and agree to perform and be bound by each and 24 all of the terms and conditions imposed in the grant or by 25 procedural ordinance and by the charter of the City of 26 Huntington Beach. 27 Section 9. The franchise granted by this ordinance 28 shall not in any way or to Iany extent impair or affect the 29 right of -t-he City to acquire the property of the grantee either 30 by purchase or through the exercise of the right of eminent 31 domain, and nothing herein contained shall be construed to con 32 tract away or to modify or to abridge, either fora term or in -4- 1 perpetuity, the City's right of eminent domain with respect 2 to grantee. The franchise granted by this ordinance shall 3 never be given any value before any Court or other public 4 authority in any proceedings of any character in excess of 5 the cost to the grantee of the necessary publication and any 6 other sum paid by it to the City of Huntington Beach therefor 7 at the time of the acquisition thereof. 8 Section 10. By the acceptance of this franchise the 9 grantee covenants and agrees to perform and be bound by each 10 and all of the terms and conditions imposed in this ordinance 11 and further agrees to: 12 (a) Comply with all lawful ordinances , rules and 13 regulations heretofore or hereafter adopted by the 14 City Council in the exercise of its police power 15 governing the construction, maintenance and 16 operation of the plant, works or equipment of 17 grantee. 18 (b) Pay to the City on demand the cost of all re- 19 pairs to public property made necessary by any of 20 the operations of the grantee under this franchise. 21 (c) Indemnify and hold, harmless the City "and its 22 officers from any and all liability for damages 23 proximately resulting from any operations under 24 this franchise; 25 (d) Remove and relocate without expense to the City 26 any facilities installed, used and maintained under 27 this franchise if and when made necessary by any 28 lawful change of grade, alignment or width of any 29 public street, way, alley or place, including the 30 construction of any subway or viaduct ,or if the 31 public health, comfort, welfare, convenience, or 32. safety so demands. -5- I Section 11. That a franchise be granted to Southern California Edison Company to construct, lay, operate, maintain, use, renew, replace, repair, move, change the size and number of, and remove or abandon in place, a system of pipelines together with such valves, fittings, manholes, vaults, pumps and other appliances, appurtenances, attachments or equipment for the purpose of conducting, transporting, conveying and carrying gas, oil, petroleum, water and other substances on, along, in, under and across public streets, ways, alleys and places within the City of Huntington Beach. Said system of pipelines and appurtenances extend generally along the following routes. A. Southerly along Bolso Chico Road from, and including, the intersection of said road and Semltzer Avenue to the south boundary line of the City of Huntington Beach. B. Easterly along Wintersburg Avenue from the westerly boundary of the City to, and including, the intersection of said avenue and Edwards Street; thence, southerly along Edwards Street to, and including, the intersection of said street and Garfield Avenue. Thence, easterly along Garfield Avenue to, and including, the intersection of said avenue and Newland Street. C. Southerly along Newland Street from the intersection of said street and Garfield Avenue to Pacific Coast Highway. 3. Franchise shall be indeterminate; that is to say said franchise shall endure in full force and effect until and with the consent of the Public Utility Commission shall be voluntarily surrendered, or abandoned by the grantee, or, until the State or some municipal or public cooperation duly authorized by law shall purchase by voluntarily agreement, or shall condemn and take under the power of eminent domain, all property actually used or useful in the exercise of said franchise, or until said franchise shall be forfeited for non-compliance with its terms by the grantee. 4. The grantee shall pay to the City two percent (2%) of the gross annual receipts or icing from the use, operation or possession of this franchise. 5. The grantee shall file with the City Clerk within three (3) months after the expiration of the calendar year, or fractional calendar year following the date of the granting of-this franchise and within three (3) months after the expiration of each and every calendar year thereafter a duly verified statement showing in detail the total gross receipts. Payment to be made within fifteen (15) days after the time for filing. Failure to pay said percentage shall be grounds for forfeiture of this franch ise. 6. Ordinance to become effective thirty (30) days after passage. 7. Grantee to pay a sum of money sufficient to reimburse it for all publication expenses incurred by the granting of this franchise. 8. The franchise shall not become effective until written acceptance has been filed by the grantee with the City Clerk. Such acceptance shall be filed within ten (10) days of the adoption of this ordinance by City Council. This franchise may not be transferred or assigned by the grantee except by written consent of the City Council. 9. This franchise shall not impair or affect the City's right to acquire the property of the grantee either by purchase or right of eminent domain. The franchise shall never be given any value before any court or other public authority in any proceedings or any character in excess of the cost to the grantee of the necessary publication and any other sum paid by it to the City of Huntington Beach at the time of acquisition. 10. By the acceptance of this franchise, the grantee convenants and agrees to the following terms and conditions: A. Comply with all rules, ordinances and regulations adopted by City Council which govern the construction, maintenance and operation of the plant, works or equipment. B. Pay to the City on demand, the cost of all repairs to public property caused by their operations under this franchise. C. Indemnify and hold harmless the City and its officers from any and all liability for damages resulting from any operations under this franchise. D. Remove and relocate without expense to the City any facilities installed, used and maintained under this franchise. If and when made necessary by any lawful change of grade, alignment or width of any public street, way, alley or place, including the construction of any subway or viaduct or if the public health, comfort, welfare, convenience or safety so demands. 11.
