Statement of Issue: The Public Works Department requires professional corrosion
engineering services on an as-needed basis to support staff for the design and construction,
annual assessment, and maintenance of metallic components in the water system.
Funding Source: Funds are available within budgeted water capital improvement projects,
and Water Fund, Water Engineering, Professional Services Account No. 50685201.69365.
Recommended Action: Motion to:
Approve and authorize the Mayor and City Clerk to execute Amendment No.1 to Agreement
between the City of Huntington Beach and Schiff Associates for as-needed Corrosion and
Maintenance Services.
Alternative Action(s):
Do not authorize the amendments and direct staff to request proposals from other corrosion
engineering firms for maintenance and design services for various capital projects.

REQUEST FOR CITY COUNCIL ACTION

Analysis: The City's proposed water Capital Improvement Program is approximately $12.8
million in FY 2008/09. Projects include the installation of new water mains and corrosion
control on more than 13 miles of the City's transmission mains. Design and construction
engineering support for the myriad of projects is assigned to firms specializing in the various
disciplines as it is not possible to complete the large workload using only City staff.
In September 2008, the City retained the services of the corrosion engineering firm, Schiff
Associates. The original contract was for three (3) years duration and for an amount not to
exceed $250,000. In the first year of the contract, the City has encumbered all $250,000 of
the Schiff Associates contract. Amending the contract to an increased amount not to exceed
$750,000 will insure adequate funds are available throughout the remaining contract term.
The original contract amount was expected to cover anticipated workload for Schiff
Associates over the 3 year period. However, since September 2008, City staff and Schiff
Associates have been studying different approaches to cathodic protection and identified a
pilot project to test the internal joint bonding method. Internal joint bonding adds cathodic
protection conductors to the inside of the pipe rather than the outside. It appears to have
significant benefits, including significant lower cost, minimal traffic control, less cutting and
digging of streets, fast and easy installation, and accurate internal pipeline inspection. The
pilot project is on Edwards Street and is currently under construction.
As a result, the original contract amount of $250,000 was only enough for the pilot project
leaving no other funds in the contract for other work. The recommended increase in contract
amount by $500,000 will provide sufficient funds to continue our joint bonding and cathodic
protection program to further extend the design life of our vital transmission water pipelines.
In light of the current economic downturn, Schiff Associates reduced their 2009-2011
schedule of hourly rates by 10%, and will be applicable as of May 1, 2009 for future projects.
Public Works Commission Action: Not Required
Strategic Plan Goal: 1-1 Improve the City's plan for funding and completing infrastructure
needs, and develop strategies for resolving crucial infrastructure problems to preserve the
physical foundation of the community and enable the community's value to grow.

AMENDMENT NO. 1 TO AGREEMENT BETWEEN
THE CITY OF HUNTINGTON BEACH AND SCHIFF ASSOCIATES
FOR AS-NEEDED CORROSION AND MAINTENANCE SERVICES
THIS AMENDMENT No. 1 is made and entered into by and between the CITY OF
HUNTINGTON BEACH, a California municipal corporation, hereinafter referred to as "CITY,"
and SCHIFF ASSOCIATES, a California corporation, hereinafter referred to as
CONSULTANT.
WHEREAS, CITY and CONSULTANT are parties to that certain agreement dated
September 2, 2008, entitled "MAINTENANCE AND PROFESSIONAL SERVICES
CONTRACT BETWEEN THE CITY OF HUNTINGTON BEACH AND SCHIFF
ASSOCIATES FOR AS-NEEDED CORROSION ENGINEERING AND MAINTENANCE
SERVICES"which shall hereinafter be referred to as the Original Agreement; and
Since the execution of the Original Agreement, CITY has requested additional work from
CONSULTANT and CONSULTANT has agreed to perform such work; and
CITY and CONSULTANT wish to amend the Original Agreement to reflect the
additional work to be performed by CONSULTANT and the additional compensation to be paid
in consideration thereof by CITY to CONSULTANT,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. ADDITIONAL. WORD
CONSULTANT shall provide to CITY , on an as-needed basis, such additional services
as may be required by CITY.

2. ADDITIONAL COMPENSATION
In consideration of the additional services to be performed hereunder as described in
Section 1 above, CITY agrees to pay CONSULTANT an additional sum not to exceed Five
Hundred Thousand Dollars ($500,000.). The additional sum shall be added to the original sum
of Two Hundred Fifty Thousand Dollars ($250,000.00), for a new total amount of Seven
Hundred Fifty Thousand Dollars ($750,000.00).
3. REAFFIRMATION
Except as specifically modified herein, all other terms and conditions of the Original
Agreement shall remain in full force and effect.

and construction engineering support for the myriad of projects is assigned to firms
specializing in the various disciplines as it is not possible to complete the large workload
using only City staff. It is beneficial to retain qualified firms for capital project design and
engineering.
Project assignments are rotated among the consultants, taking advantage of specializations.
Proposals were requested and submitted in compliance with Chapter 3.03 of the Huntington
Beach Municipal Code. The proposed new contracts allow for a three-year contract terrn
with a total budget not to exceed $250,000 each consultant over the three-year contract term.
Funding sources will be capital project accounts, using the approved project budgets.
Public Works Commission Action: Not required.

MAINTENANCE AND PROFESSIONAL SERVICES CONTRACT
BETWEEN THE CITY OF HUNTINGTON BEACH AND SCHIFF

AND MAINTENANCE SERVICES
THIS AGREEMENT ("Agreement") is made and entered into by and between the City of
Huntington Beach, a municipal corporation of the State of California, hereinafter referred to as
"CITY," and SCHIFF ASSOCIATES, a California corporation, hereinafter referred to as
"CONSULTANT."
WHEREAS, CITY desires to engage the services of a consultant to provide as-needed
corrosion engineering services as well as limited adjunct maintenance and repair services; and
Pursuant to documentation on file in the office of the City Clerk, the provisions of the
Huntington Beach Municipal Code, Chapter 3.03, relating to procurement of professional service
contracts have been complied with; and
CONSULTANT has been selected to perform these services,
NOW, THEREFORE, it is agreed by CITY and CONSULTANT as follows:
1. SCOPE OF SERVICES
CONSULTANT shall provide all services described in Exhibit"A," which is
attached hereto and incorporated into this Agreement by this reference. These services shall
sometimes hereinafter be referred to as the "PROJECT."
CONSULTANT hereby designates Dr. Graham Bell, who shall represent it and be its
sole contact and agent in all consultations with CITY during the performance of this Agreement.
2. CITY STAFF ASSISTANCE
CITY shall assign a staff coordinator to work directly with CONSULTANT in the
performance of this Agreement.

3. TERM; TIME OF PERFORMANCE
Time is of the essence of this Agreement. The services of CONSULTANT are to
commence on�8�2_ a�. , 20 09' (the "Commencement Date"). This Agreement shall
automatically terminate three (3) years from the Commencement Date, unless extended or sooner
terminated as provided herein. All tasks specified in the Scope of Services shall be completed no
later than three (3) years from the Commencement Date. The time for performance of the tasks
identified in the Scope of Services are generally to be shown in the Scope of Services. This
schedule may be amended to benefit the PROJECT if mutually agreed to in writing by CITY and
CONSULTANT.
In the event the Commencement Date precedes the date of final execution,
CONSULTANT shall be bound by all terms and conditions as provided herein.
4. COMPENSATION
In consideration of the performance of the services described herein, CITY agrees to
pay CONSULTANT on a time and materials basis at the rates specified in Exhibit "B," which is
attached hereto and incorporated by reference into this Agreement, a fee, including all costs and
expenses, not to exceed Two Hundred Fifty Thousand Dollars ($250,000.00).
5. EXTRA WORK
In the event CITY requires additional services not included in the Scope of Services
or changes in the scope of services described in the Scope of Services CONSULTANT will
undertake such work only after receiving written authorization from CITY. Additional
compensation for such extra work shall be allowed only if the prior written approval of CITY is
obtained.

6. METHOD OF PAYMENT
CONSULTANT shall submit to CITY an invoice for each monthly progress payment
due. Such invoice shall:
A. Reference this Agreement;
B. Describe the services performed;
C. Show the total amount of the payment due;
D. Include a certification by a principal member of CONSULTANT's
firm that the work has been performed in accordance with the
provisions of this Agreement; and
E. For all payments include an estimate of the percentage of work
completed.
7. DISPOSITION OF PLANS, ESTIMATES AND OTHER DOCUMENTS
CONSULTANT agrees that title to all materials prepared hereunder, including,
without limitation, all original drawings, designs, reports, both field and office notices, calculations,
computer code, language, data or programs, maps, memoranda, letters and other documents, shall
belong to CITY, and CONSULTANT shall turn these materials over to CITY upon expiration or
termination of this Agreement or upon PROJECT completion, whichever shall occur first. These
materials may be used by CITY as it sees fit.
8. HOLD HARMLESS
To the fullest extent permitted by law (including, without limitation, California Civil
Code Sections 2782 and 2782.6), CONSULTANT hereby agrees to protect, defend, indemnify and
hold harmless CITY, its officers, elected or appointed officials, employees, agents and volunteers
from and against any and all claims, damages, losses, expenses, demands and defense costs
(including, without limitation, costs and fees of litigation of every nature or liability of any kind or
nature) arising out of or in connection with CONSULTANT's (or CONSULTANT's subcontractors,
if any) negligence, recklessness or willful misconduct related to performance of this Agreement or
its failure to comply with any of its obligations contained in this Agreement by CONSULTANT, its
officers, agents or employees. CITY shall be reimbursed by CONSULTANT for all costs and

attorney's fees incurred by CITY in enforcing this obligation. CONSULTANT will conduct all
defense at its sole cost and expense, and CITY shall approve selection of CONSULTANT's counsel.
This indemnity shall apply to all claims and liability regardless of whether any insurance policies
are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be
provided by CONSULTANT.
9. PROFESSIONAL LIABILITY INSURANCE
CONSULTANT shall furnish a professional liability insurance policy covering the
work performed by it hereunder. This policy shall provide coverage for CONSULTANT's
professional liability in an amount not less than One Million Dollars ($1,000,000) per occurrence
and in the aggregate. The above-mentioned insurance shall not contain a self-insured retention,
"deductible" or any other similar form of limitation on the required coverage 'except with the
express written consent of CITY. A claims-made policy shall be acceptable if the policy further
provides that:
A. The policy retroactive date coincides with or precedes the initiation of the
scope of work (including subsequent policies purchased as renewals or
replacements).
B. CONSULTANT shall notify CITY of circumstances or incidents that might
give rise to future claims.
CONSULTANT will make every effort to maintain similar insurance during the
required extended period of coverage following PROJECT completion. If insurance is terminated
for any reason, CONSULTANT agrees to purchase an extended reporting provision of at least two
(2) years to report claims arising from work performed in connection with this Agreement.

10. CERTIFICATE OF INSURANCE
Prior to commencing performance of the work hereunder, CONSULTANT shall
furnish to CITY a certificate of insurance subject to approval of the City Attorney evidencing the
foregoing insurance coverage as required by this Agreement; the certificate shall:
A. provide the name and policy number of each carrier and policy;
B. state that the policy is currently in force; and
C. promise that such policy shall not be suspended, voided or canceled by either
party, reduced in coverage or in limits except after thirty (30) days' prior
written notice; however, ten (10) days' prior written notice in the event of
cancellation for nonpayment of premium.
CONSULTANT shall maintain the foregoing insurance coverage in force until the
work under this Agreement is fully completed and accepted by CITY.
The requirement for carrying the foregoing insurance coverage shall not derogate
from the provisions for indemnification of CITY by CONSULTANT under the Agreement. CITY
or its representative shall at all times have the right to demand the original or a copy of the policy of
insurance. CONSULTANT shall pay, in a prompt and timely manner, the premiums on the
insurance hereinabove required.
11. INDEPENDENT CONTRACTOR
CONSULTANT is, and shall be, acting at all times in the performance of this
Agreement as an independent contractor herein and not as an employee of CITY. CONSULTANT
shall secure at its own cost and expense, and be responsible for any and all payment of all taxes,
social security, state disability insurance compensation, unemployment compensation and other
payroll deductions for CONSULTANT and its officers, agents and employees and all business
licenses, if any, in connection with the PROJECT and/or the services to be performed hereunder.

12. TERMINATION OF AGREEMENT
All work required hereunder shall be performed in a good and workmanlike manner.
CITY may terminate CONSULTANT's services hereunder at any time with or without cause, and
whether or not the PROJECT is fully complete. Any termination of this Agreement by CITY shall
be made in writing,notice of which shall be delivered to CONSULTANT as provided herein. In the
event of termination, all finished and unfinished documents, exhibits, report, and evidence shall, at
the option of CITY,become its property and shall be promptly delivered to it by CONSULTANT.
13. ASSIGNMENT AND DELEGATION
This Agreement is a personal service contract and the work hereunder shall not be
assigned, delegated or subcontracted by CONSULTANT to any other person or entity without the
prior express written consent of CITY. If an assignment, delegation or subcontract is approved, all
approved assignees, delegates and subconsultants must satisfy the insurance requirements as set
forth in Sections 9 and 10 hereinabove.
14. COPYRIGHTS/PATENTS
CITY shall own all rights to any patent or copyright on any work, item or material
produced as a result of this Agreement.
15. CITY EMPLOYEES AND OFFICIALS
CONSULTANT shall employ no CITY official nor any regular CITY employee in
the work performed pursuant to this Agreement. No officer or employee of CITY shall have any
financial interest in this Agreement in violation of the applicable provisions of the California
Government Code.
16. NOTICES
Any notices, certificates, or other communications hereunder shall be given either by
personal delivery to CONSULTANT's agent (as designated in Section 1 hereinabove) or to CITY as

the situation shall warrant, or by enclosing the same in a sealed envelope, postage prepaid, and
depositing the same in the United States Postal Service, to the addresses specified below; provided
that CITY and CONSULTANT, by notice given hereunder, may designate different addresses to
which subsequent notices, certificates or other communications will be sent:

17. CONSENT
When CITY's consent/approval is required under this Agreement, its
consent/approval for one transaction or event shall not be deemed to be a consent/approval to any
subsequent occurrence of the same or any other transaction or event.
18. MODIFICATION
No waiver or modification of any language in this Agreement shall be valid unless in
writing and duly executed by both parties.
19. SECTION HEADINGS
The titles, captions, section, paragraph and subject headings, and descriptive phrases
at the beginning of the various sections in this Agreement are merely descriptive and are included
solely for convenience of reference only and are not representative of matters included or excluded
from such provisions, and do not interpret, define, limit or describe, or construe the intent of the
parties or affect the construction or interpretation of any provision of this Agreement.
20. INTERPRETATION OF THIS AGREEMENT
The language of all parts of this Agreement shall in all cases be construed as a
whole, according to its fair meaning, and not strictly for or against any of the parties. If any

provision of this Agreement is held by an arbitrator or court of competent jurisdiction to be
unenforceable, void, illegal or invalid, such holding shall not invalidate or affect the remaining
covenants and provisions of this Agreement. No covenant or provision shall be deemed dependent
upon any other unless so expressly provided here. As used in this Agreement, the masculine or
neuter gender and singular or plural number shall be deemed to include the other whenever the
context so indicates or requires. Nothing contained herein shall be construed so as to require the
commission of any act contrary to law, and wherever there is any conflict between any provision
contained herein and any present or future statute, law, ordinance or regulation contrary to which
the parties have no right to contract, then the latter shall prevail, and the provision of this
Agreement which is hereby affected shall be curtailed and limited only to the extent necessary to
bring it within the requirements of the law.
21. DUPLICATE ORIGINAL
The original of this Agreement and one or more copies hereto have been prepared
and signed in counterparts as duplicate originals, each of which so executed shall, irrespective of the
date of its execution and delivery, be deemed an original. Each duplicate original shall be deemed
an original instrument as against any party who has signed it.
22. IMMIGRATION
CONSULTANT shall be responsible for full compliance with the immigration and
naturalization laws of the United States and shall, in particular, comply with the provisions of the
United States Code regarding employment verification.
23. LEGAL SERVICES SUBCONTRACTING PROHIBITED
CONSULTANT and CITY agree that CITY is not liable for payment of any
subcontractor work involving legal services, and that such legal services are expressly outside the
scope of services contemplated hereunder. CONSULTANT understands that pursuant to

Huntington Beach City Charter Section 309, the City Attorney is the exclusive legal counsel for
CITY; and CITY shall not be liable for payment of any legal services expenses incurred by
CONSULTANT.
24. ATTORNEY'S FEES
In the event suit is brought by either party to construe, interpret and/or enforce the
terms and/or provisions of this Agreement or to secure the performance hereof, each party shall bear
its own attorney's fees, such that prevailing party shall not be entitled to recover its attorney's fees
from the nonprevailing party.
25. SURVIVAL
Terms and conditions of this Agreement, which by their sense and context survive
the expiration or termination of this Agreement shall so survive.
26. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of the
State of California.
27. SIGNATORIES
Each undersigned represents and warrants that its signature hereinbelow has the
power, authority and right to bind their respective parties to each of the terms of this Agreement,
and shall indemnify CITY fully for any injuries or damages to CITY in the event that such authority
or power is not, in fact, held by the signatory or is withdrawn.
27. ENTIRETY
The parties acknowledge and agree that they are entering into this Agreement freely
and voluntarily following extensive arm's length negotiation, and that each has had the opportunity
to consult with legal counsel prior to executing this Agreement. The parties also acknowledge and
agree that no representations, inducements, promises, agreements or warranties, oral or otherwise,

have been made by that party or anyone acting on that party's behalf, which are not embodied in this
Agreement, and that that party has not executed this Agreement in reliance on any representation,
inducement, promise, agreement, warranty, fact or circumstance not expressly set forth in this
Agreement. This Agreement, and the attached exhibits, contain the entire agreement between the
parties respecting the subject matter of this Agreement, and supersedes all prior understandings and
agreements whether oral or in writing between the parties respecting the subject matter hereof.

EXHIBIT "A"
A. STATEMENT OF WORK:
CONSULTANT shall provide corrosion engineering, and corrosion testing, for various
City capital improvement construction projects and annual maintenance projects on an
"as- needed"basis.
B. CONSULTANT'S DUTIES AND RESPONSIBILITIES:
CONSULTANT's duties and responsibilities shall follow provisions specified in the City
of Huntington Beach As-Needed Corrosion Engineering Typical Scope of Work (Exhibit
A.1). Detailed services shall include but is not limited to the following scope of work
shown in Exhibit A.2.
C. CITY'S DUTIES AND RESPONSIBILITIES:
1. Furnish a scope of work request for each project assigned.
2. Furnish project related as-built construction plans and specifications to the
consultant.
D. WORK PROGRAM/PROJECT SCHEDULE:
A project schedule will be developed for each project assigned by CITY.

AS-NEEDED CORROSION ENGINEERING SCOPE OF WORK
In general, the consultant shall perform corrosion engineering services on an "as-
needed" basis for various projects assigned by the City. The scope of work for
any one project may involve all phases of project development and may
include but not be limited to the following:
1. Field Services
Provide soil testing, cathodic protection efficacy monitoring and
training, forensic engineering services (related to corrosion
engineering), and existing facility assessment.
2. Preliminary Engineering
Prepare alternative preliminary layouts, estimates of probable cost for
alternatives, and prepare engineering details, and calculations.
3. Permits
Assist the City in obtaining approvals from applicable agencies for
environmental and/or other permits as may be required.
4. Construction Documents
Prepare engineering calculations and designs, plans, specifications,
cost estimates, and contract bidding documents. The City shall review
the construction documents at the preliminary engineering, sixty
percent (60%), and final documents stages.
The drawings shall be 24-inch X 36-inch ink on mylar media. Drawings
shall be in AutoCad 2008 and submitted in digital format.
Construction specifications and bidding documents will be provided in
Microsoft Word 2003. The City will provide a Microsoft Word Version
2003 of the General Provisions and bid forms; the Consultant shall
modify the documents by adding the necessary special provisions and
bid items.
5. Bidding Stage
Assist the City in answering bidders' questions, attend pre-bid
conferences and job walks, prepare and send out addenda, analyze
bids, and recommend award.

6. Construction Stage
Attend pre-construction conference. Assist the engineer, contractor,
and inspector with interpretation of the plans and specifications,
analysis of changed conditions, development of corrective action,
review of shop drawings and other submittals, and the review and
negotiation of change orders. Prepare "as-built" drawings.
7. Construction Inspection
Coordinate and perform construction inspection services for City
projects. Inspection duties may include inspection of cathodic
protection appurtenances and coatings.
8. Design/Build
The City will identify at the onset of a project when it would be
permissible or advantageous for the Corrosion Engineer to be
financially allied with the Corrosion Facilities Contractor.
9. Maintenance and Repair of Existing City Facilities
Perform necessary repairs, maintenance or adjustments in the field to
enable adequate testing or enhance the performance of existing
infrastructure.

EXHIBIT A2
1.0 PROJECT APPROACH
M. J. Schiff & Associates, Inc. (dba Schiff Associates and hereafter referred to as Schiff) is
pleased to submit this proposal for As-needed Corrosion Engineering Services as
requested by the City of Huntington Beach Public Works Engineering Division (City) in
their Request For Proposals dated March 18, 2008. Schiff will provide qualified personnel
to meet the needs of the City. Team members were chosen primarily based on extensive
experience on similar projects and on-going projects with the City. Our team members
are well experienced in the implementation and development of corrosion control
programs of this size and complexity, as we specialize primarily in water and wastewater
corrosion mitigation. As can be seen from our discussion and layout of the Scope of
Work below, our approach to the essential elements for this project will be a
comprehensive and thorough completion of individual tasks or all scope-of-work items in
an integrated fashion.
Mention is made in the description of scope of work the consultant shall perform
corrosion engineering services on an "as-needed" basis and the scope for any one
project may involve all phases of project development. This works well with Schiff's
philosophy that individual project tasks are integral to previous and subsequent tasks.
Field services naturally lead into preliminary engineering and then into permits, etc. Any
one task is important and can be accomplished as a stand-alone item, yet the overall
project relies on successful completion of the individual tasks as building blocks in order
to provide a comprehensive package. Schiff recognizes this and our services are
tailored to this effect.
Field Services
Schiff has experience in collection of soil samples and evaluation of corrosivity of the soil
environment. Soil resistivity is a major determiner of corrosion, and three methods are
used to evaluate the soil resistivity:
• Wenner four-pin: this test method is done at a variety of depths to calculate the
resistivity of the soil where the structure is buried;
• Electromagnetic conductivity (Emag): The advantage of the Emag is efficiency,
where the data collection can be performed by a hand held unit. The Emag
produces a measure of soil conductivity, however, so Wenner four-pin testing is
used in combination with Emag to provide for evaluation against the industry
accepted categories of corrosivity;
• Laboratory analysis: Additional soil resistivity data will be measured through
laboratory analysis along with the concentration of soluble chemical species. Soil
samples will be analyzed in Schiff's in-house soil laboratory, measuring the
resistivity in both the as-received and saturated state to determine the corrosivity
of the soil based on the most corrosive condition. Laboratory testing will also
provide the concentration of soluble chemical species that are known to
contribute to corrosion. All of the soil corrosivity data types will be weighed to
refine the evaluation and provide a quantitative basis of material selection.
Schiff's laboratory analyzed more than 4,300 samples last year and our day-to-day work
includes corrosivity evaluation. Dr. Julie Bell is our laboratory manager and will be
responsible for all soil analysis as well as water corrosivity analysis.

EXHIBIT A2
With respect to forensic engineering services, Schiff's approach is to investigate the
corrosion problem, collecting all the information that can be retrieved in order to
develop what is the most probable failure mode consistent with the test data and results,
laboratory analysis, and physical findings. We collect the necessary on-site information
and samples for metallurgical, chemical, and ASTM C856 petrographic analysis.
Schiff personnel are experienced in collection of corrosion control data as part of our
day-to-day business. These data give information on the corrosion condition and/or
efficiency and sufficiency of cathodic protection. Proper positioning of reference
electrodes is critical in providing accurate and repeatable data used in analysis of
cathodic protection system efficacies. An integrated approach using soil data, pipe-to-
soil potentials, knowledge of the structure (or facility) and if necessary, information
derived from forensic services obtained from various existing facilities is analyzed and
used to provide prioritized recommendations for corrosion mitigation methods based on
the critical nature of the facility.
Preliminary Engineering
To assure efficiency and consistency, Schiff helps develop and implement standardized
details and specifications for use in providing system wide conformance. Along with
development of detail drawings, come alternative layouts, estimates for probable costs
and calculations the permit value engineering choices to be made. Development of
alternate layouts is a culmination of efforts performed by a contractor, City and/or Schiff
personnel. Information obtained during the Field Services is utilized during the Preliminary
Engineering.
Permits
Schiff would be available to assist the City in developing the information necessary as
well as performing the legwork in obtaining approvals from applicable agencies for
environmental, and/or other permits as may be required. Schiff has performed similar
services for Orange County Sanitation District, Rancho California Water District and Irvine
Ranch Water District.
Construction Documents
Schiff regularly prepares documents for various agencies in our day-to day work.
Documents would consist of engineering calculations, designs, plans, specifications,
estimates of most probable cost and contract bidding documents. Documents suitable
for Bidding including General Provisions (provided by the City), Special Provisions,
Technical Specifications, Cathodic Protection system design drawings, Contract
Documents (provided by the District), Bid Schedule and Cost Estimate are typically
provided.
Submittals are typically made for review by the client (City) during the preliminary design
phase, at 60% completion and final stage. Documentation would be submitted as
required in a hardbound copy as well as electronically in Microsoft Office format.
Drawings would be submitted electronically as well in AutoCAD 2008 and on inked
mylars in size D (24" x 36").
Bidding Stage
As part of our Project Management services, Schiff would be available to assist the City in
answering bidders' questions, attend pre-bid conferences and job walks, prepare
addenda, analyze bids and recommend award.

EXHIBIT A2
Construction Stage
Success in construction projects is often based in a solid and positive working relationship
with the Owner and contractor personnel. This often begins with the pre-construction
conference and lasts through the final completion and acceptance of the project by
the Owner. Schiff works hard to achieve a harmonious environment and would assist the
engineer, contractor and inspector with the interpretation of the plans specifications,
analysis of changed conditions, development of corrective action(s), review of shop
drawings and other submittals and the review and negotiation of change orders with
respect to the project. At the completion of a project, Schiff often prepares "As-built"
drawings.
Construction Inspection
As part of the Construction Stage, Schiff is often asked to coordinate and perform
construction inspection services. Should these services be requested, they typically
include either part-time or full-time inspection attendance. The inspection services, be
they for cathodic protection appurtenances or for coatings, include daily inspection
reports and assessment reports for records keeping.
A regular part of Schiff's daily operations is Coatings Consulting. Services provided
include: Review or development of specifications for coatings and/or linings projects;
investigate sources of coatings failures or defects and make recommendations for
corrective actions; provide expertise in selecting materials for various service
environments; and installation inspection of both liquid applied and solid sheet linings (C-
lock) to ensure compliance with contract documents. Schiff field inspectors have years
of experience and diverse backgrounds in the industrial coatings industry. Each
inspector is assigned to projects based on their level of experience with the individual
project scope.
Design/Build
Should the City identify the need at the onset of a project, Schiff could and has teamed
or partnered with a contractor to provide design/build services. Services provided would
typically be a compilation of the above services and result in a functionally operable
system upon completion.
Maintenance and Repair of Existing City Facilities
Schiff has successfully performed maintenance and repair of electrically discontinuous
existing water pipelines for the City, on Springdale Avenue and Clay Avenue. Schiff's
typical scope of work includes review of pipeline lay sheets, locate pipe joints, test to
locate electrical discontinuities, excavate and repair unbonded pipe joints, install
sacrificial anodes to cathodically protect the pipe, backfill and repair in accordance
with City requirements and perform final testing and report of the results. Schiff typically
teams with a licensed contractor, Jamison Engineering, to provide traffic control,
excavation, hauling of cuttings, shoring, plating, backfill, and paving.

Payment Schedule (Fixed Fee Payment)
1. CONSULTANT shall be entitled to monthly payments toward the fees set forth
herein in accordance with the following payment schedules.
CONSULTANT'S fees for such services shall be based upon the following hourly rate and cost
schedule:
Total fees shall not exceed Two-Hundred and Fifty Thousand Dollars ($250,000.00).
CONSULTANT agrees to inform the CITY when CONSULTANT is at the point of reaching the
maximum limit. CONSULTANT shall not continue with any work effort over the amount of the
maximum limit unless first authorized in writing by City authorized representative(s).
See Exhibit B.1 —Schedule of Hourly Rates
2. Delivery of work product: A copy of every memorandum, letter, report, calculation
and other documentation prepared by CONSULTANT shall be submitted to CITY to demonstrate
progress toward completion of tasks. In the event CITY rejects or has comments on any such
product, CITY shall identify specific requirements for satisfactory completion.
3. CONSULTANT shall submit to CITY an invoice for each monthly payment due.
Such invoice shall:
A) Reference this Agreement;
B) Describe the services performed;
C) Show the total amount of the payment due;
D) Include a certification by a principal member of CONSULTANT's firm that
the work has been performed in accordance with the provisions of this
Agreement; and
E) For all payments include an estimate of the percentage of work completed.
Upon submission of any such invoice, if CITY is satisfied that CONSULTANT is making
satisfactory progress toward completion of tasks in accordance with this Agreement, CITY shall
approve the invoice, in which event payment shall be made within thirty (30) days of receipt of the
invoice by CITY. Such approval shall not be unreasonably withheld. If CITY does not approve an
invoice, CITY shall notify CONSULTANT in writing of the reasons for non-approval and the
schedule of performance set forth in Exhibit "A" may at the option of CITY be suspended until the
parties agree that past performance by CONSULTANT is in, or has been brought into compliance, or
until this Agreement has expired or is terminated as provided herein.
4. Any billings for extra work or additional services authorized in advance and in
writing by CITY shall be invoiced separately to CITY. Such invoice shall contain all of the
information required above, and in addition shall list the hours expended and hourly rate charged for
such time. Such invoices shall be approved by CITY if the work performed is in accordance with the
extra work or additional services requested, and if CITY is satisfied that the statement of hours
worked and costs incurred is accurate. Such approval shall not be unreasonably withheld. Any
dispute between the parties concerning payment of such an invoice shall be treated as separate and
apart from the ongoing performance of the remainder of this Agreement.

Personnel time is billed in one-hour increments. These rates apply to regular
and travel time. Charges for travel time will be limited to eight (8) hours per
day. Overtime, if required in the interest of the project, will be charged at
the above rates for professional personnel and 1 .5 times the above rates for
inspector, technician and clerical personnel. Coating inspector has a four
(4) hour minimum charge.
EQUIPMENT AND MISCELLANEOUS CHARGES:
Personnel charges include the indicating instruments commonly used in
corrosion testing. Specialized instrumentation/test equipment and
facilities may require an additional charge. Other direct costs (ODC),
such as outside consultants or laboratories, rental equipment and Waivers
of Subrogation or specialized insurance required by client/project will be
charged at cost plus fifteen percent (15%). Travel expenses (airfare, local
travel and accommodation) will be charged at cost. Meal and

incidental expenses (MME) during travel will be charged as per diem per
Federal Government CONUS rates. Permits and fees required for projects
will be charged at cost. Miscellaneous expenses including (vehicle usage,
photographs, reproduction, binding, overnight mail or courier services,
etc.) will be charged at 4% of total labor fee for the invoice.
