THIS AGREEMENT, made and entered into ap of the day of _, 19til, by and between the CITY OF HUNTINGTOY BEACH, a municipal corporation, hereinafter referred to as ItC'12Y," and SIGNAL MAINTENANCE, INC. hereinafter referred to as "CONTRACTOR." WI TNESSETHi WHEREAS, CITY desires to contract for the provision of traffic signal maintenance services herein; and CONTRACTOR desires to contract with CITY to provide such services, NOW, THEREFORE, the parties covenant and agree ae follows ' 1. PURPOSE; The purpose of this agreement is for COX- TRACTOR to maintain certain traffic signals within the CITY at the compensation provided duving, the term pro°4ided for heroin, and to establish the terms and cond-.1tions under which goods and services are to be provided. 2. STATEMENT OF WORK: CONTRACTOR will perform those services described in V,,.t..ib t "A" attached hereto and incorpo- rated by reference herein. TERM: The work shall be performed during the period. July 1, 1981 through December 31, 1981. 4. COMPENSATION: CONTRACTOR agrees to receive and accept as full and com-,-'lete compensation for furnishing a.Ll materials and for doing all the work contemplated and embraced in this agreement, the amounts shown on Exhibit "B" hereof, which is, incorporated by refer- ence herein. The total amount to be paid hereunder shall not exceed $105,,000, �;. DELAYS: No payrrent of extra compensation will be allowed f°;;r any loa� or d,,. ;e or extra expense incurred by CONTRACTOR in its performance hereunder except those solely attributable to acts or omtesions of CITY, its officers, agents and employees. FAITHFUL PERFORMANCE:: CONTRACTOR agrees to well and faith- fully perform its duties hereunder in a timely manger. 7. TIME OF THE ESSENCE: Time is of the essence of this agreement. 8. It is expressly agreed and understood. that all. certificatory farms and evidences of insurance offered to CITY are subject to approval as to form by the City Attorney. INDEPENDENT CONTRACTOR: CONTRACTOR acts as an independent 4-ontractor in its performatice of this agreement and not as an agent k. or employee of CITY. 17. TERMINATION OF CONTRACT: All work shall be performed in a good and workmanlike manner and CITY may terminate th' a agreement at its sole option at any time, and without reference to whether or not the term has expired and with or without cause. Any termination hereon, d any special instructions hereunder from CITY shall be made in writing by C'ITY' S City Engineer and shall be delivered to CONTRACTOR to the address shown i. No. 12, paragraph 2, Notices, upon termination of this agreement for any reason and all _drawings, desl,gns, specifications and appurtenant data become the sole property of CITY and shall be delivered to CITY before any final payment shall become due. In the event that CIT,' elects ;to terminate this agreement for any reason, CON- TRACTOR shall be entitled to payment for work actually completed prior to written notification of any such termination. 18. NON-ASSIGNABILITY This agreement is a non-assignable d personal service contr?nt. Sonde r (Title) LIZ r- (Title) EXHIBIT A SPECIAL PROVISIONS for 'Maintenance of Traffic Signal Systems tht, work to be done shall conform to the State of California 1-t.nndard Specifications dated January, 1981, and to-these.Special Provisions. SP-1 Routine and Preventative Maintenance and Repairs: 1-1 General: To furnish all tools, equipment apparatus, facilities, labor services and material and perform all work necessary to maintain in a good and workman-like manner traffic, signal facilities at the locations shown on Attachment 1. This maintenance contract shall be extended to include future signal installations at the unit contract price for the signal Installed, prorated from the date of turn-on for the percentage of the unit price to be paid. The contractor shall have adequate personnel and facilities to perform controller inspection of new equipment. When requested by the City, the contractor may be required to assist in the final field inspection of new installations. All work performed, or equipment or parts supplied by contractor, shall be subject to the inspection and approval of City, its Director of Public Works or his authorized representative. The contractor shall submit on the forms provided, a resume of the company qualifications as related to traffic signal work associated with installation, repairs, maintenance, modificaion, lab testing of new local or master controllers and other traffic signal equipment and including engineering, scientific and technical ccpabilities. 1-2 Preventative Maintenance: Contractor shall, once each month, inspect, clean aria adjust al traffic signal control equipment. The minimum monthly inspection of each controller cabinet unit shall consist of, but not be limited to, the following steps; a. Vacuum cabinet and remove any foreign material. Check condition of air filter, if so equippe4'A b. Check and, if necessary, reset timing of the individual signal phases car, interval timing circuits, with a stop watch, for conformance with timing charts provided by the City for each locatiot;. Each interval shall be set to time not less than the timing chart valt!e nor more than IC5 percent of the timing chart value given for that interval,. C. Inspect all mechanical, electromechanical, and/or solid state components, relays, clocks, dials and switches and make adjustments or repairs if necessary,_ d. Inspect and observe operation of vehicle detector amplifiers, and make adjustments or repair ris required. Check shall include delay timing interval check of advance vehicle detectors not less than the timing chart value nor more than 105 percent of the timing chart value given for that interval. Contractor shall check pedestrianlbicycle push buttons, magnetometer detectors, and inductive locp detectors, and perform any and all prEvehtative maintenance required to keep such push buttons in good condition. if during the monthly inspections of said inductiv_� or magnetometer loops, the street paving is discovered to be failing hi the area of the loops, contractor shall notify City at once. If, in the opinion of the engineer, r-placement of induction loop or magnetometers cetectors is necessary due to the failing of any street paving, -the City ,Aill be responsible for the replacement of the inductive loops or m,3gnetom eters.. Contractor shall check general condition of signal, poles, sign heads and pedestrian signals. Deficiencies or repairs required shall be reported ti the City immediately, or as soon as practical tci do so. Contractor shall show in the monthly report a complete listing of all deficiencies found and action taken. 1-3 Repair and Replacement of Parts: The contractor shall replace or repair any and all defective parts of the controller mechanism as required. Controller units, auxiliary equipment, cabinet and appurtercnces such as contactors, detectors, transformers, relays and related items shall be serviced and overhauled as recommended by the manufacturer. Overhaul shall include cleaning, replacement of worn parts, necessary adjustments, Lubrication and testing. When tutal controller mechanisms become obsolete or deteriorated to the point of being beyond repair, the contractor shall report such conditions tol"he Public Works Department. The contractor shall demonstrate or provide evidence that replacement is necessary, prepare estimates indicating the breakdown of material andlabor costs for replacement of control n; Echan.isms and submit this information to the Public Works Department. No permanent change of control mechanisms shall be done without prior epproval of the Public Works Department Defective controllers under guarantee shall be delivered to the manufacturer or Wd for pick up by the manufacturer. All material used for repair must be in conformity with specifications of the City or ,of iitie equipment manufacturer and will be subject to inspecion and approval of the Department of Public Worts. The right is reserved to reject at the risk and expense of the contractor all or such portion of any equipment which fails to comply with applicable specifications. 1 1-4 Cabinet Air Filter: Contractor shall replace the air filter element, in all cabinets so equipped, at least once each six_ (6) months. Contractor shall replace all air filter elements, in all cabinets so equipped, within 45 calendor days after the execution of this contract. Contractor shall show in the monthly re ort the date the filter element is replaced. 1-5 Grou Relampin�c: Contractor shall replace all incandescent lamps at all traffic signals at least once each twelve (12) 'months. All lamps shall be standard traffic signal lamps manufactured For this purpose and approved by the Director of Public Works or his authorized representative. Contractor shall clean and polish all lenses and reflectors, replace all broken or defective parts and align sign heads at the time of relamping. Contractor shall replace all traffic signal lamps at all intersections within one hundred and twenty (120) days after the execution of this contract. Contractor shall show in the monthly report the date the relamping started and the date of completion. 1-6 Repainting of Equipment: Contractor shall not be required to paint any equipment during the term of this contract. 1-7 Emergency Calls: Contractor shall maintain a 24 hour per day emergency service forte replacement of burned out lamps, malfunction of or damage to cny and all signal and associated equipment. Contractor shall maintain a local telephone where he can be reacho' 24 hours per day, this telephone number to be made available to the Director of Public Works or his authorized representative and the Huntington Beach Police Deportment. Contractor shall make IMMEDIATE emergency service when called by City. The word immediate is construed to mean with all possible haste and shall not exceed two (2) hours during non-working hours, weekends and holidays and shall not exceed one (1)hour during the contractor's normal working hours. As part of his emergency call response, contractor may be required to respond to accident scenes at signalized intersections to perform a review of the traffic signal system operation and equipment. The contractor shall in this case, thoroughly examine and inspect all equipment at the location for any physical damage or equipment malfunction, including a timing check of the controller. Wi?hin five (5) calendar days after completion of this examination, the contractor shall submit, in writing, a report summarizing the results of the examination and inspection to the Director of Public Works or his authorized representative. These results shall also be placed in the maintenance records of the intersection maintained by the contractor (see Specia-1 Provisions 1-10, Records). j The replacement of burned out lamps, other than red indications, need not be on an emergency basis provided that there are two (2) indications still operative for each direction of travel. Such replacement shall be handled irr, a routine manner but always within eight (8) hours. Iced lights reported as being burned out shall be responded to as emergency situations. C 1-8 Equipment Required: Contractor's service trucks shall be equipped with spare parts sufficient to place the signal system back in operation for ordinary trouble calls, including sensing devices for induction loop and magnetic detectors. In those cases where a complex controller or component has to be repaired, the contractor shall install a substitute controller or component, of his own, which will function substantially ti:e same as the controller or component replaced. In the event it becomes necessary to temporarily install a pre-tirned controller, the timing shall be set according to the timing chart provided at each signal location. (See 1-2 "Preventative .Maintenance".) 1-9 Records: Contractor shall maintain a record of all work performed at the intersection, including but not limited to routine maintenance, service calls, extraordinary maintenance and relamping. This record shall list the dates, time of day and brief description or the service or work performed. A copy of such record shall be provided within two (2) working days upon request of the engineer. The contractor shall maintain two (2) separate forms at each intersection. One record shall indicate the routine maintenance activity of the contractor as it is performed, and shall show the date and time of activity, type of activity, description of conditions observed and identify of individual performing work. The second record shall indicate the extraordinary maintenance, modification and new installation activity at the intersection. The information shown on this record shall be the same as above, except a description of conditions observed shall not be required. A report showing the date and giving a brief description of all maintenor, activities, routine and extraordinary, shall be attached to each monthy invoicE. A sample of the maintenance record form must be submitted with the bid for approval by the City. Contractor shall submit, within fifteen (15) days Sfter the execution of the contract, a schedule for replacing cabinet air filters relamping and repainting at each intersection, for the entire contract period. The schedule shall list the anticipated dates for the performance of the work and is subject to approval by the City. 1-10 Notification: The contractor shall notify the Director of Public Works or his authorized representative of the alterations, substitution or removal of any controller or component or alteration to the operation of any signal system. During normal business 'hours of the City, notification by telephone shall be made within one fl) hour of such change. 'Notification of changes made at times other than normal business hours of the City, shall be reported by telephone within one,(1) hour of the beginning of the next business day of the City. Contractor may, at his option, make notifications by both telephone and mail. 1-11 Shutdowns: 'Contractor shall notify the Huntington Beach Police Department an t e irector of Public Works or his authorized representative of any signal turn-offs or turn-ons necessitated by his operations and shall not make said turn-off or turn-on until a City Police Officer is present or unless given pr= nission to proceed without Police control by the Director of Public Works or his ; ithorized representative. SP-2 Extraordinary Maintenance and Repairs: t=1 General: Whenever, during the course of this contract, any part of the signal system is damaged by collisions, acts of God or malicious mischief, the contractor shall make such temporary repairs as may be required to render said signal system in good operating condition. Contractor shall carry the equipment necessary to replace or repuir existing signals on signal poles damaged by said causes of damage. Contractor shall notify the Director of Public Works or his authorized representative of any temporary repairs made as indicated in Special Provisions 1-10, "Notification". Contractor shall make permanent repairs upon authorization of the Director of Public Works or his authorized representative.. City will compensate contractor for extraordinary services at the bid prices upon receipt of an iternized invoice which includes the following; C. DaTe of authorization, indi•,-idual authorizing repairs. b. Contractor's invoiced material, plus overhead per bid, plus sales tax on the invoiced amount only (not on overhead). C. Contractor's bid rate, calculated to the nearest one-half hour.' d. Equipment time at bid rate, calculated to the nearest one-half hour. e. Brief description of work completed on each date billed. Location, equipment repaired or tyn-of failure. Damaged equipment shall be delivered to the Ci,`y Yard, 17371 Gothard Street, Huntington Beach, or salvage credit shall be shown on the invoice. Said itemized invoice shall be submitted by the contractor within one (1) month of the completion of the work. Copies of the suppliers' invoices shall be maintained in the contractor's office and shall be available for inspection by the engineer. Copies of invoices shall be provided within one (1) week upon request of the engineer. 2-2 Pedestrian Signals: Contractor shall, upon authorization from the City, replace pedestrian signal indications, ballasts and transformers as they becol-ne inoperative or defective. SP-S Additional Work: Contractor may be requested to install, or upgrade traffic signals or eiectri' c m-ecRanical traffic control equipment. Such extra work may become necessary as determined by the Director of Public Works or his authorized representative. A work order issued by the Director of Public Works or his authorized representative to the contractor, describing the work to be done,shall constitute contractor's authorization to proceed with the additional work described. City will compensate contractor for such additional work based upon the verified invoice cost of materials plus the percent es shown on the contractor's proposal, labor and j equipmer;t time, calculated to the nearest one-half hour, at the bid rate shown on the contractor's proposal. Contractor may, at his option, decline to perform the work specified by any work order issued for additional ,work. Contractor shall notify the Director of Public Works or his cuthorized representative of contractor's decision to decline such additional work within five (5) calendar days of issuance of the work order for said work. The exercise of this optic, to 'decline additiona' work by contractor shall not prohibit contractor from submitting a competitive quote for doing said work. CONTRACTOR agrees to receive and accept as full com- pensation for furnishing all materials and for doing all the work contemplated and embraced in this agreement, the total bid amount CONTRACTOR submitted in his proposal which was accepted by the City Council.
