(b) Bidder' s Guaranty ® All bids shall be presented under sealed cover and shall be accompanied by cash, cashier' s check, certified check, or bidder' s bond, made payable to the City of Huntington Beach, of an amount equal to at least ten per cent (10%) of the amount of said bid, and no bid shall be considered unless such cash, cashier' s check, certified check, or bidder' s bond is enclosed therewith. (c) Return of Bidder' s Guaranties - Within Ten (10) days after the award of the contract, the City of Huntington Beach will return the proposal guaranties accompanying such of the proposals which are not to be considered in making the award. All other proposal guarant- ies will be held until the contract has been finally executed, after which they will be returned to the respective bidders whose proposals they accompany. (d) Contract Bonds - The Contractor shall furnish the two good and sufficient bonds in accordance with the requirements of the State Contract Act. Each of the said bonds shall be executed in a sum equal to at least one-half of the contract price. One of the said bonds shall guarantee the faithful performance of the said contract by the Contractor; and the other of the said bonds shall secure the payment of the claims of Laborers or Mechanics employed on the work under the contract, and the claims of persons who furnish materials, supplies, teams, implements, or machinery used or consumed by the contractor in the performance of the contract. Whenever any surety or sureties on any such bonds, or on any bonds required by law for the protection of the claims of laborers and material men, become insufficient, or the City of Huntington Beach has cause to believe that such surety or sureties have become insufficient, a demand in writing may be made of the Contractor for such further bond or bonds or additional surety, not exceeding that originally required, as is considered necessary, considering the extent of the work remaining to be done. Thereafter nonpayment shall be made upon such contract to the Contractor or any assignee of the Contractor until such 2 further bond or bonds or additional surety. has been furnished, (e) Rejection of Proposals Containing Alterations, Erasures or Irregularities - Proposals may be rejected if they show any alterations of form, additions not called for, conditional or alternative bids, incomplete binds, erasures, or irregularities ,of any kind. The right is reserved to reject any or all proposals. (f) Award of Contract - The award of the contract, if it be awarded, will be made within thirty five (35) days after the opening of the proposals. (g) Execution of Contract - The contract shall be signed by the successful bidder and returned, together with the contract bonds, within ten (10) days, not including Sundays, after the bidder has re- ceived notice that the contract has been awarded. No proposal shall be considered binding upon the City until the execution of the contract. Failure to execute a contract and file acceptable bonds as ,provided herein within ten (10) days, not including Sundays, after the bidder has received notice that the contract has been awarded., shall be just cause for the annulment of the award and the forfei- ture of the proposal guaranty. SECTION 3. SCOPE OF WORK (a) Work to be done - The work to be done consists of furnish- ing all labor, materials, methods and processes, implements, tools and machinery, except as otherwise specified, which are necessary and required to fabricate or to construct and put in complete order for use the improvements and appurtenances described and designated in the special provisions and in the contract. (b) Alterations - By mutual consent in writing of the parties signatory to the contract,, alterations or deviations, increases' or decreases, additions or omissions, in the plans and specifications 3 F may be made and the same shall in no way effect or make void the contract. The City of Huntington Beach, reserves the right to increase or decrease the quantity of any item or portion of the work, or to omit portions of the work as may be deemed necessary or expedient by the Director of Public Works. ( c ) Extra Work ® New and unforseen work will be classed as extra work when such work is not shown on the plans or set out in the specifications and special provisions . The Contractor shall do no extra work except upon written order from the Director of Public Works. For such extra work the Con- tractor shall receive payment as previously agreed upon in writing, or he shall be paid on force account. SECTION 4- CONTROL OF THE WORK (a) Definitions Whenever the word "City" is used in the Mspecifications, it refers to the City of Huntington Beach, California. Whenever the word "Contractor" is used, it refers to the party of the second part in the agreement for the construction of the work herein specified. Whenever the word "Director" or "Superintendent" is used, they refer respectively to the Director of Public Works or Superintendent of Streets, or both,, of the City of Huntington Beach, or their authorized agents or inspectors. (b) Authority of the Director - The Director shall decide any and all questions which may arise as to the quality or acceptor ability of materials furnished and work performed, and as to the manner of performance and rate of progress of the work; all questions which arise as to the interpretation of the plans and specificationso all questions as to the acceptable fulfillment of the contract on the part of the Contractor; and all questions 'as to claims and compen- 4 sation. The Director° s decision shall be final and he shall have ex- ecutive authority to enforce and make effective such decisions and orders as the Contractor fails to carry out promptly. (c) Plans ® All authorized alterations affecting the require- ments and information given on the approved plans shall be in writing. No changes shall be made on any plan or drawing after the same has been approved by the Director of Public Works,, except by direction of the Director of Public Works . Working drawings or plans for any structure not included in the ,plans furnished by the Director of Public Works shall be approved by the Director of Public Works before any work involving these plans shall be performed, unless approval be waived in writing by the Director of Public Works. It is mutually agreed, however,, that approval by the Director of Public Works of the Contractors working plans does not relieve the Contractor of any responsibility for accuracy of dimensions and details,, and that the Contractor shall be responsible for agreement and conformity of his working plans with the approved plans, and specifications. (d) Conformity with Plans and Allowable Deviation - Finished surfaces in all cases shall conform with the lines,, grades, cross- section, and dimensions shown on the approved plans, Deviations from the approved plans,, as may be required by the exigencies of construction,, will be determined in all cases by the Director of Public Works and authorized in writing. i (e) Coordination of Plans and Specifications - These speci- fications,, the plans and all supplementary documents are essential i I parts of the contract, and a requirement occuring in one is as binding ' as though occuring in all. They are intended tobe co- operative, to describe, and to provide for a complete work. Plans shall govern over specifications. (f) Interpretation of Plans and Specifications ® Should it appear that the work to be done, or any matter relative thereto, is not sufficiently detailed or explained in these specifications and plans, the Contractor shall apply to the Director of Public Works for such further explanations as may be necessary, and shall conform to such explanation or interpretation as part of the contract, so far as may be consistent with the intent of the original specifications, In the event of doubt or question relative to the true meaning of the specifications, reference shall be made to the City, Council, whose decisions thereon shall be final. (g) Superintendence - Whenever the Contractor is not present on any part of the work where it may be desired to give direction, orders will be given by the Director of Public Works in writing, and shall be received and obeyed by the ContractorDs Superintendent or foreman in charge of the particular work in reference to which orders are given. (h) Lines and Grades - All distances and measurements are given and will be made in a horizontal plane. Grades are given from the top of stakes or mains, unless otherwise noted on the plans. The Contractor shall give at least 24 hours notice in writing when he will require the services of the Director of Public Works for laying out any, portion of the work. The Contractor shall furn- ish the Director of Public Works such facilities and labor necessary for making and maintaining points and lines as he may require, 6 Labor furnished by the Contractor for such purposes will be paid for as Extra Work, The Contractor shall preserve all stakes and points set for lines, grades, or measurements of the work in their proper places until authorized to remove them by the Director of Public Works. All expenses incurred in replacing stakes that have been removed without proper authority shall be paid by the Contractor. (i) Inspection - The Director of Public Works or his authorized agent shall at all times have access to the work during construction, and shall be furnished with every reasonable facility for ascertaining full knowledge respecting the progress, workman- ship, and character of materials used and employed in the work. Whenever the Contractor varies the period during which work is carried on each day, he shall give due notice to the Director of Public Works, so that proper inspection may be provided. Any work done in the absence of the Director of Public Works will be subject to rejection. The inspection of the work shall not relieve the Contractor of any of his obligations to fulfill the contract as prescribed. Defective work shall be made good, and unsuitable materials may be rejected, notwithstanding the fact that such defective work and un- suitable materials have been previously overlooked by the Director of Public Works and accepted or estimated for payment. ( j ) Removal of Defective and unauthorized work - All work which is defective in its construction or deficient in any of the requirements of these specifications shall be remedied, or removed and replaced by the Contractor in any acceptable manner, and no compensation will be allowed for such correction, 7 Any work done beyond the lines and grades shown on the plans or established by the Director of Public Works, or any extra work done without written authority, will be considered as unauthorized and will not be paid for. Upon failure on the part of the Contractor to comply forthwith with any order of the Director of Public Works made under the pro- visions of this article, the Director of Public Works shall have authority to cause defective work to be remedied, or removed and replaced, and unauthorized work to be removed, and to deduct the costs thereof from any moneys due or to become due the Contractor. (k) Unal Inspection ® Whenever the work provided and contem- plated by the contract shall have been satisfactorily completed and the final cleaning be performed, the Director of Public Works will make the final inspection. SECTION 5. CONTROL OF MATERIALS (a) Samples and Tests At the option of the Director of Public'-"W6rk69­ the source of supply-of each of the materials`-shall be approved by the Director of Public Works before delivery is started and before such material is used in the work. Representa- tive. preliminary samples of the character and quality prescribed shall be submitted by the Contractor or producer of all materials to be used in the work, for testing or examination as desired by the Director of Public Works. All tests of materials furnished by the Contractor shall be made in accordance with commonly recognized standards of national organizations, and such special methods and tests as are prescribed in these specifications. The Contractor shall furnish such samples of materials as are 8 requested by the Director of Public Works without charge, No material shall be used until it has been approved by the Director of Public Works, Samples will be secured and tested whenever necessary to determine the quality of material, (b) Defective Materials - All materials not conforming to the requirements of these specifications shall be considered as defective, and all such materials, whether in place or not, shall be re jeeted and shall be removed immediately from the site of the work .unless otherwise permitted by the Director of Public Works. No 'rejected material,, the. defects of .which have been subsequently corrected, shall be used until approved in writing by the Director of Public Works. Upon failure on the part_ of .the Contractor to comply with any order of the Director of Public Works made under the provisions of this article, the Director of Public Works shall'' have authority. to remove .and replace defective material and. to deduct the cost of removal and replacement from any moneys due or to become due the Contractor, SECTION 6. LEGAL RELATIONS AND RESPONSIBILITIES TO THE PUBLIC (a) Laws to be Observed - The Contractor shall keep himself fully informed of all existing and future State and National Laws and all municipal ordinances and regulations of the City of Huntington Beach which in any manner affect those engaged or em- ployed in the work, or the materials used in the work, or which in any way affect the conduct of the work, and of all such orders and dec.rees of bodies or tribunals having any jurisdiction or authority I over the same. (b) Alien Labor ® The Contractor shall forfeit as penalty 9 to the City of Huntington Beach Ten Dollars ($10) for each alien knowingly employed in the execution of the contract, by him or by any subcontractor under him, on any of the work herein mentioned; for each calendar day, or portion thereof, during which such alien is permitted or required to labor in violation of the provisions of the Labor Code and in particular, Section 1850 - to 1854 thereof, inclusive, (c) Hours of Labor - Eight hours constitutes a legal day° s work. The Contractor shall forfeit, as a penalty to the City of Huntington Beach, $25.00 for each workman employed in the execution of the contract by the Contractor or any subcontractor under him for each calendar day during which such workman is required or permitted to work more than eight hours in any one calendar\ day and 40 hours in any one calendar week in violation of the provisions of the Labor Code, and in particular, Sections 1610 and 1815 thereof, inclusive, except that work performed by employees of Contractors in excess of eight hours per day, and 40 hours during any one week, shall be permitted upon compensation for all hours worked in excess of eight hours per day at not less than one and one-half times the basic rate of pay, as provided in said Section 1815. (d) Prevailing Wages m The Contractor shall comply with Labor Code Section 1775. In accordance with said Section 1775 the Contractor shall forfeit as a penalty to the City of Huntington Beach, $25.00 for each calendar day or portion thereof, for each workman paid less than the stipulated prevailing rates for such work or craft in which such workman is employed for any work done under the I contract by him or by any subcontractor under him in violation of the provisions of the Labor Code and in particular, Labor Code 10 Sections 1770 to 1780, inclusive. In addition to said penalty and pursuant to said Section 1775, the difference between such stipulated prevailing wage rates and the amount paid to each work= man for each calendar day or portion thereof for which each work- man was paid less than the stipulated prevailing wage rate shall be paid to each workman by the Contractor. (e) Domestic Materials - Only such unmanufactured articles, materials, and supplies as have been mined or produced in the United States, and only such manufactured articles, materials, and supplies as have been manufactured in the United States, substanti- ally all from articles, materials and supplies mined, produced, or so manufactured, as the case may be, in the United States, shall be used in the performance of the Contract in accordance with the provisions of an Act entitled:. "The Buy American Act", and in accordance with subsequent amendments thereto. Any person, firm, or corporation who fails to c orriply with the provisions of the act shall not be awarded any contract to which this act applies for a period of three years from the date of the violation. (f) California - made - Materials ® Notice is hereby tendered that the City of Huntington Beach shall maintain a preference for materials or supplies manufactured, grown, or produced in the State of California in full accordance with the provisions of an act entitled., "The Buy California Act". (g) 'Registration of Contractors ® Before submitting bids, contractors shall be licensed in accordance with the provisions of Chapter 9 of Division III of the Business and Professions Code. 11 �t e (h) Permits and Licenses m The Contractor shall procure all permits and licenses, pay .all charges and fees, and give all notices necessary and incidental to the due and lawful prosecution of the work. (i) Patents ® The Contractor shall assume all responsibilities arising from the use of patented materials, equipment, devices, or processes used on or incorporated in the work. ( j ) Public Convenience and Safety m The Contractor shall so conduct his operations as to cause the least possible obstruct- ion and inconvenience to public traffic. Residents along the road, street, or other alignment of im- provements shall be provided passage as far as practicable. Con- venient access to driveways, houses, and buildings along the road or street shall be maintained and temporary crossings shall be pro- vided and maintained in good condition. Not more than one cross or . intersecting street or road shall be closed at any one time without the approval of the Director of Public Works. The Contractor shall furnish, erect, and maintain such fences, barriers, lights, and signs as are necessary to give adequate warn- ing to the public _at all times that the road or street is under con- struction and of any dangerous conditions to be encountered as a result thereof, and he shall also erect and maintain such warning and directional signs as may be furnished by the City. (k) Responsibility for Damage e The City of Huntington Beach, the City Council, or any City employee shall not be answerable or accountable in any manner for any loss or damage that may happen to the work or any part thereof; or for any material or equipment used in performing the work; or for injury or damage to any person' or 12 persons, either workmen or the public, for damage to adjoining property from any causes whatsoever during the progress of the work or at any time before final acceptance. The Contractor shall indemnify and save harmless the City of Huntington Beach, the City Council, and the Director of Public Works from any suits, claims, or actions brought on any person or persons for or on account of any injuries or damages sustained or arising in the construction of the work or in consequence thereof. The City Council may retain so much of the money due the Contractor as shall be considered necessary, until disposition has been made of such suits or claims for damages as aforesaid, The Contractor shall maintain public liability and property damage insurance of at least 100.,9000/200,000 dollars..- The City of Huntington Beach shall be named as an additional insured on con- tractors policy. Evidence -of contractors insurance coverage shall, be, furnished the Director of Public Works prior to the City ex® executing the contract, (1) Contractor° s Responsibility for work Except as pro- vided above, until the formal acceptance of the work by the City Council, the Contractor shall have the charge and care thereof and shall bear the risk of injury or damage to any part thereof by the action of the elements or from any other cause., whether arising from the execution or from the non-execution of the work, The Contractor i shall rebuilds repair, restore, and make good all injuries or damages to any portion of the work occasioned by any of the above causes i - before final acceptance and sh&ll bear the expense thereof, except such injuries or damages occasioned by acts of the Federal Govern- ment or the public enemy, 13 �a (m) No Personal Liability - Neither the City Council, the Director of Public Works nor any other officer or authorized assist- ant or agent shall be personally responsible for any liability aris- ing under the contracts (n) -Responsibility of City ® The City of Huntington Beach shall not be held responsible for the care or protection of any material or parts of the work prior to final acceptance, except as expressly provided in these specifications. SECTION 7. PROSECUTION AND PROGRESS (a) Subletting and Assignment - The Contractor shall give his personal attention to the fulfillment of the contract and shall keep the work under his control. Subcontractors will not be recognized as such, and all persons engaged in the work of construction will be considered as employees of the Contractor, and their work shall be subject to the provisions = of the contract and specifications. Where a portion of the work sublet by the Contractor is not being prosecuted in a manner satisfactory to the Director of Public Works, the subcontractor shall be removed immediately on the re- quisition of the Director of Public Works and shall not again .be employed on the work. The contract may be assigned only upon written consent of the City Council of the City of Huntington Beach. (b) Progress of the work and time for completion m The Contractor shall begin work within ten (10) days after receiving notice that the contract has been approved and shall diligently prosecute the same to completion before the expiration of consecutive days (Saturdays, Sundays and legal Holidays excluded) 14 1"ro,m the date of said approval. ( ;) Character of Workmen - If any subcontractor or person ,nTiloyed by the contractor shall fail or refuse to carry out the 01 restions of the Director of Public Works or shall appear to the Director of Public Works to be incompetent or to act in a disorderly or improper manner, he shall be di.scharge.d immediately on the re- quisition of the Director of Public Works, and such person shall not again be employed on the work. (d) Temporary Suspension of Work The Director of Public Works shall have the authority to suspend the work wholly or in part, for such. period as he may deem necessary, due to unsuitable i weather, or to such other conditions as are considered unfavorable for the suitable prosecution of the work, . or for such time as he may deem necessary, due to the failure on the part of the Contractor, j to carry out orders given, or to perform any provisions of the work. s The Contractor shall immediately obey such order of the Director o ' Public Works and shall not resume the work until ordered in writing by the Director of Public Works. (e) Tune of Completion and Liquidated Damages ® It is agreed by the parties to the contract that in case all the work called for under the contract is not completed before or upon the expiration of the time limit as set forth in these specifications, damage will i i be sustained by the City of Huntington Beach and that it is and will be impracticable to determine the actual damage which the City will sustain in the event of and by reason of such delay; and it is therefore agreed that the Contractor will pay to the City of Huntington Beach the sum of One Hundred Dollars ($100) per day for each and every day' s delay beyond the time prescribed to complete 15 the work; and the Contractor agrees to pay such liquidated damages as herein provided; and in case the same are not paid, agrees that the City of Huntington Beach may deduct the amount thereof from f any money due or that may become due the Contractor under the con- tract, It is ' further agreed that in case the work called for under the contract is not finished and completed in all parts and re- quirements within the time specified the City Council shall have the right to extend the time for completion or not, as may seem best to serve the interest of the City; and if it decided to ex- i tend the time limit for the completion of the contract., it shall i further have the right to charge to the Contractor, his heirs, fassigns or sureties, and to deduct from the final payment for the I work, all or any part, as it may deem proper, of the actual cost of engineering, inspection, superintendence, and other overhead expenses which are directly chargeable to the contract, and which accrue during the period of such extension, except that the cost { of final surveys and preparation of final estimate shall not be included in such charges. I The Contractor shall not be assessed with liquidated damages nor the cost of engineering and inspection during any delay in the completion of the work caused by acts of God or of public enemy, acts of the City, fire, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather or delays of. subcontractors due to such causes; provided, that the Contractor shall within ten ('10) days from the beginning of any such delay . notify the Director -of Public Works in writing' of the causes of delay, who shall ascertain the facts and the extent of delay, and his findings of the facts thereon shall be final and conclusive, 16 (f) Suspension of Contract ® It at any time in the opinion of the 'City Council the Contractor has failed to supply an adequate working force, or material of proper' quality, or has failed in any other respect to prosecute thework with the diligence and force specified and intended in any way by the terms of the contract, notice thereof in writing will be served upon him, and should he neglect or refuse to provide means for a satisfactory compliance with the contract, as directed by -the Director of Public Works, within the time specified in such notice, the City Council in any such case shall have the power to suspend the operation of the con- tract. Upon receiving notice of such suspension, the Contractor shall discontinue said work, or such parts of it as the City Council may designate. Upon such suspension, the Contractor' s control shall terminate, and thereupon the City Council or its duly' authorized representative may take possession of all or any part of the Con- tractor' s materials, tools,, equipment and appliances upon the preen il. ises, and use the same for the purpose of completion of said con- tract, and hire. such force and buy or rent such additional machinery, tools, appliances, and equipment, and buy such additional materials and supplies at the Contractor' s expense as may be necessary for the proper conduct of the work and for the completion thereof; or may employ other parties to carry the contract to completion; employ the necessary workmen, substitute other machinery or materials, and pur- chase the materials contracted for, in such manner as the City Council may deem proper; or the City Council may annul_ andcancel the contract and relet the work or any part thereof. Any excess of cost­6Lfi6ihg ' therefrom over and'" Abov6­ thb contract price will' 'be charged Against the Contractor and his sureties, who will bei— liable- therefor. 17 I ' In the event of such suspension, all money due the Contractor or Is retained under the terms of this contract shall be forfeited to i the City; but such forfeiture will not release the Contractor or his sureties from liability or failure to fulfill the contract. The Contractor and his sureties will be credited with the amount. of money so forfeited toward any excess of cost over and above the contract price, arising from the suspension of the operations of the contract and the completion of the work by the City as , above provided, and the Contractor will be so credited with any i i surplus remaining after all just claims for such completion have j been paid. i In the determination of the question whether there has been any such non-compliance with the contract as to warrant the sus- pension or annulment thereof, the decision of the City Council shall be binding on all parties to the contract. i (g) Right-of-Way m The right-of-way for the work to be con- structed will be provided by the City. The Contractor 'shall make i his own_ arrangements, and pay all expenses for additional area re- quired by him outside of the limits of rightmof®way. SECTION 8. MEASUREMENT AND PAYMENT ( a) Extra and Force Account 'Work m Extra work as herein- before defined, when ordered and accepted; shall be paid for under a ,written work order in accordance with the terms therein provided. Payment for extra work will be made at the unit price or lump sum previously agreed upon by the Contractor and the Director of Public Works, or by force account. If the work is done on force account the Contractor shall receive the actual cost of all materials furnished by him as shown 18' by his paid vouchers, plus fifteen per cent (15%) , and for all labor, equipment and teams that are necessary he shall receive the current prices in the locality, which shall have been previ- ously determined and agreed to in writing by the Director -of Public i Works, and by the Contractor, plus fifteen per cent (15%) ; pro- vided., however, that the City reserves the, right to furnish such materials required as it deems expedient, and the Contractor shall have no claim or profit on the cost of such materials. The price paid for labor shall include any compensation insurance paid by the Contractors All extra work and force account shall be adjusted daily upon report sheets, prepared by the Director of Public Works, furnished to the Contractor and signed by both parties, which daily reports shall thereafter be considered the true record of extra work or force account work done. (b) Progress Payments ® The City shall, once in each month, cause an estimate in writing to be made by the Director of Public Works of the total amount of work done and the acceptable materials- furnished and delivered by the Contractor on the ground and not used, to the time of such estimate, and the value thereof. The City of Huntington Beach shall retain ten per cent (10%) of such estimated -value of the work done and fifty per cent (50%) of the value of the materials so estimated to have been furnished and delivered and unused ,as aforesaid as .part security for the fulfillment of - the contract by the Contractor, and shall monthly pay to the -Con- tractor, while carrying on the work, the balance not retained, as aforesaid, after deducting therefrom all previous payments and all sums to be kept or retained under the provisions of the contract. 19 No estimate or payment shall be required to be made, when, in the judgment of the Director of Public Works, the work is not fproceeding in accordance with the provisions of the contract, or when in his judgment the total value of the work done since the last estimate amounts to less than three hundred dollars ($300) , E - (c) Final Payment ® The Director of Public Works shall, i after the completion of the contract, make a final estimate of the l amount of work done there under, and the value of such work, and E i the City of Huntington Beach shall pay the entire sum so found to be due after deducting therefrom all previous payments and all amounts to be kept and all amounts to be retained under the pro- visions of the contract. All prior partial estimates and payments shall be subject to correction in the final estimates and payment, i The final payment shall not be due and payable until the expir- ation of thirty-five (35) days from the date of acceptance of the work by the City Council, It is mutually agreed between the parties to the contract that no certificate given or payments made under the contract, f - except the final certificate of final payment, shall be conclusive evidence of the performance of the contract, either wholly or in parts against any claim of the party of the first part, and no pay- ment shall be construed to be an acceptance of any defective work or improper materials. The Contractor further agrees that the payment of the final amount due under- the contract, and the adjustment for any work done in accordance with any alterations of the same, shall release the City of Huntington Beach, the City Council, and the Director of Public Works from any and all claims or liability on account .of 20 �3 work performed under the contract or any alteration thereof. SECTION 9.
