Box 190 Huntington Beach, CA 92648 SUBJECT: Attachment of 4th of July Banners Dear Mr. Uberuaga: In consideration of your request to attach banners to underground-fed, concrete street lighting poles belonging to the Southern California Edison Company, the following conditions shall be agreed upon: 1. The Southern California Edison Company shall be held harmless and indemnified against all loss, expense, claims, actions, cause of action, damages, cost or liabilities, including court costs and attorney fees, for injuries to or death of any person(s) including employees, agents and contractors of Edison, arising out of or resulting in any manner whatsoever from the attachment, installation, maintenance and/or removal of banners and assemblies on Edison-owned street light poles. 2 . It is agreed that all such materials shall be approved by the Edison Company prior to attachment or installation, and attached to Edison street light poles by means of a stainless clamping ring and in a manner that will not crush, crack or deform the street light pole. 3 . It is understood and agreed that should a street light pole be crushed, cracked, deformed or damaged in any other way by the attachment of such material, the city will reimburse Edison for any expenses for corrective action required including, but not limited to, the replacement of the street light pole. 4 . It is also agreed that said banners and assemblies shall be installed and maintained by the agency in a good, safe and workmanlike manner and in compliance with all applicable laws, rules, regulations, ordinances and decrees of all Banners Page 2 lawfully constituted federal, state, county or city legislative bodies, administrative agencies or tribunals pertaining thereto, including General Order No. 95 of the Public Utilities Commission of the State of California, and the California Occupational Safety and Health Act. 5. The city agrees to remove all such banners by July 25, 1990. Should the city fail to remove such material by the specified date, the city hereby authorizes Edison to remove such material and agrees to reimburse Edison for such removal and storage costs. This authorization is granted to attach banners on a temporary basis over this special event to Edison-owned street light poles upon receipt by the Company of one copy of this letter signed by a duly authorized official of the city. RECOMMENDATION Approve the agreement with Southern California Edison Company. ANALYSIS This agreement allows tr;e City to use certain Edison Company poles for parade banners and p'-ovides protection to the Edison Company for damages , if any, from such use. The poles have been used now for several years under the terms of this agreement without a problem. Box 190 Huntington Beach, Calif. 92648 SUBJECT: Attachment of Fourth of July Banners Dear Paul, With the recent approval of the Master Street Lighting Agreement between the Southern California Edison Company and the City of Huntington Beach, we can now move forward with the attached supplemental banner attachment agreement . As we have discussed in the past , this agreement is only for the attachment of Fourth of July banners and is not , nor will it be approved for other types of banners for other organizations . It is imperative that you communicate to those installing the banners that , after receipt of the signed agreement back to my office, the banners may be installed with the following guidelines : o Concrete street light poles only - no steel or wood street light poles . o Underground fed concrete street light poles only - any pole with overhead wires are not approved for attachment . o No wood utility poles - any attachments are in violation of State Penal Code. I would suggest that when presented to the city council for their action, that either you or your designated representative be given the authority to execute the document , as this will be a yearly transaction. We have reviewed the letter . It is essentially an indemnity agreement . The City Charter provides at Section 613 that the Council may authorize the City Administrator of other city officers to bind the city for the acquisition of certain supplies and equipment, but not otherwise. The execution of agreement with Edison is controlled by the main body of S613 which states that "the city shall be bound by contract only if it is made in writing, approved by the City Council and signed on behalf of the city by the Mayor and City Clerk or by a City Officer designated by the City Council and only upon the director of the City Council . " Each years agreement would of necessity need Council action. An ongoing authorization would not be allowable. Unless Edison specifically needs a resolution, the consent calendar would be the preferred method of approval . Please advise Art Folger if you need a resolution bearing in mind the above . Recommendation: Authorize the Mayor and City Clerk to execute the attached agreement between the City and the Edison Company on an annual basis. Analysis: In order to promote the City's 4th of July activities, the 4th of July Executive Board desires to hang promotional banners on street light poles at about 40 locations throughout the City. Before these banners can be attached to Edison Company poles, the City must enter into the attached agreement which indemnifies the Edison Company against liability and stipulates conditions for attaching and removing the banners. Funding Source: No City funds are required for the recommended action. Alternative Action: Do not approve the attached agreement and forego the promotional banners on street light poles.
