In order to 21 properly operate such system, it is necessary for Licensee 22 to use devices known, as "sign post transmitters", whi..h 23 may be attached to ;wooden poles or steel and marbelite F: 24 electroliers; and 25 D) It is to the inutua' benefit and advantage of the } 26 pasties hereto to pE mit the use of solely owned Edison 27 marbelite, steel, or wood pole:, or space owned by Edison 28 on jointly owned wood pales, for the purpose of installing, - 1 - 1 maintaining, and operating such sign post transmitters. 2 Now, Therefore, in consideration of the mutual promises, g covenants, and ccriditions herein contained, it is hereby agreed 4 ' by and between the parties hereto a- follows: 5 1. Definition;~ : The parties hereto m%itually agree 6 that for the purposes of this License, Agreement, the terms I 7 hereinafter set forth shall be defined as, and have the 8 meanings a,:cribeci ;,) each such: terra. 9 a) "Solely O n d Woody n Pale" is a wooden pole 10 owned and controlled by a single cntity (Utility) . 11 b) "('Jointly Owned Woodeii Pale" is a wooden pale 12 owned by tvo or mare entities (Utilities) for the 13 purpose of supporting; electric or communication con- 19; ductors or other facilities. c) "Steel Electro.Lier" is a solely owned tapered 16 steel shaft, externally equipped to support a street 17 lighting bracket, luminaire, and overhead service 18 conductors. 19 d) "r+ia.rbelite Electro7 ier" is a solely owned r 20 tapered pre-stressed concrete shaft equipped with 21 ecessar� internal support for service conductors and 22 external attachments for bracket and luminaire. 23 e) "T�uminaire" is a complete -Lighting unit I 241 consisting of a lamp and upllast, together with parts 25 designed to distribute light, to position and correct 26 the lamp, and to connect the lamp to the power <:apply 27 on the electrolier. 28 2. Subject to the terms and conditions contained in 2 J 1 this License Agreement, Edison hereby licenses and gives 2 permission to Licensee to constru :t, maintain, use, repair, 3 renew, operate and remove the said sign post trans_itters 4 on wooden poles solely owned by Edison or in space owned 5 by Edison on jointly owned wood poles , in accordance with 61 and rursuant only to the methods and specifications set 7 ( forth in that particular dccuinent attached hereto marked 8 Exhibit "A". and by reference incorpocv,ted herein and made 9 a part hereof. Furrier, subject to the terms and conditions 10 of this Licence Agreement, Edison does hereby individually 11 license and give permission to Licensee to install said 12 sign post transrn.ittert on Edison's solely owned steel and 13 marbelite electrolierc, ir. accordance with and pursuant i 14 only to the methods and specifications set Forth in that 15 particular document attached hereto marked Exhibit "B", 16 which is also by reference incorporated hereir. and made 17 a part hereof. 1s 3. Wnenever Licensee desires to place a sign post 19 transmittcr or transmitters on a solely owned wooden pole 20 or poles of Edison or in Edison owned space on a jointly r 21 owned wood pole or to a steel or marbelite street lighting 22 electrolier solely owned by Edison, the following procedure 23 shall be followed: 24 a) Licensee shall file with Edison, an "Applica- 25 ti.on for Attachment of Equipment to Pole" on the forms 26 similar to those attached hereto designated Exhibit { 27 "C", which document is incorporated herein and by 28 _ g � 1 reference made a part hereof. 2 b) Edison shall Have full authority to authorize 3 such attachment to solely ot.7zed wood, steel, or mar- 4 belite poles or in space oi,ned by Edison on jointly 5 oened woad poles. 6 c) No attachment; will be Made until the anplica- 7 Lion for the Name l:as been thus appr }ved. d) Licensee shall coiTanence and complete all 9 approved attachmenr.c a:, promptly as possible. Failure 10 to complete the installation within a reasonab-le 11 time, or 1,,..itiiin the time prescribed on any applica 12 tion, shall automatically revoke Vie right 'to place 13 sucl, attaclLnents, and Licensee shall not proceed to 14 make such attachments ,rjitlicut first reapplying and 15 receiving perm ssinn to so do as prescribed above. 16 4. lt is mutually understood and agreed between 17 Edison and Licensee that there shall be no rearrangement of. 18 facilities on either steel or marbelite electroliers owned 19 by Edison. it shall be the individual responsibility of 20 Edison, who owns the spa^e within which the at;'achment is 21 to be made, and Licensee, to arrive- at a satisfactory 22 mutual arrangement for any necessary relocation of facili.- 23 ties within said space, including the cost to Edison of 24 any necessary relocation of its facilities in said area. 25 5. Should Edison, at any time in its discretion, 26 determine that a rearrangement of Licensee's facilities on 27 an existing wooden pole or steel or marbelite electrolier 28 is required,, Edison will give written notice to Licensee of 4 - AM 1 the necessity for such rearrangement of Licensee's 2 facilities. Should Licensee elect to continue the use of 3 attachme-nts at said location, it will promptly in writing 4 notify Edison, of such fact, and �ci11, at such, time or times 5 as may le .-.pecified, r,-arrange or re"l-ocate its faci_ ities 6 at Licensee's expense. Said sign post transmitters shall be installed, 6 opei :? �d and .maintained by Licensee in a good, safe and 7 workmanlike manner and in compliance with all. applicable 8 laws, statutes, regulat-ions, ordinances and decrees ,of any 9 and all lawfully -=stituted Federal, State, County or 10 City legislative bodies, administrative _rencies or tri 11 burials pertaining thereto, including Cc ral Order Number 95 1.2 of the Public Utilities Commission of the State of Oaliforni ., 13 anO any and all supplements thereto or revisions thereof. 14 In particu?ar., Licensee promises and agrees in the instal- 15 laticn, operation and maintenance of said :,:i.gn post trans- 16 mitters to comply with all applicable existing and Future 17 provisions of the Federal Occupational Safety and Health 18 Act of 1970, and all applicable existing and future safety 1.9 statutes of the Stale of California, and the rules, regu- 20 lations and standards promulgated and issued by the A.dmin- 27 istrative Agency or Agencies of the State of California. 20- designated by law to enforce each safety statute and. to 23ti issue standards and regulations for the implementation 24 thereof. 25 9. As an express condition of the License Agreement, 26 Licensee hereby promises and agrees that such sign post 27 transmitters, whether mounted on wooden poles solely owned 28 by Edison or in space owned by Edison on a jointly owned b ,r a 1 wood pole or steel or rnarbelite electroliers solely owned 2 by Edison., shall not be placed in a. location which will. 3 require either in the initial. installation or operation 4 and maintenance of such: devices, any personnel, whether 5 employees of Licensee or of a contractor, to utilize any 6 type of equipment, or for any cuci-i wor-uiian or work;nen to 7 come within a proxi_myty of ten feet, or :less of oner-- 8 gized conductor: of over volts. unless such persc,i or 9 persons initially install.inG and later maintaining sv.ch io trazi mitter-7 are "qualified persons" as cuci_ are defined in 11 Title 8, Section of the Califorr-Aa Administrative 12 Code. 13 a) The Licensee does hereby further promise and 14 agree that any sucl- sign post t.rarismitter shall not be 15 mounted ot.. any luminaire because such would interfere :.6 with photo-cell locations and the l-.ne clearances 17 presently prescribed b,v General Order 95 of the Public 18 Utilities Couunission of the ;Matt: of Ca.liforuia. 19 10. It is mutually agreed by and between the parties 20 hereto that Edison shall have the right to have a repre- 21 sentative inspect the proposed location of any sign post 22 transmitter or transmitters prior to attachment, to have 23 such representative present during the work of attachment, i # 24 and to inspect the sign post transmitter or transmitters 25 after the attachment of each has been completed. It is 26 mutually agreed between the parties that Licensee shall pay 27 to Edison an administrative fee for each transmitter so f 28 attached of $ 4.00 It is further understood and k 1 agreed this charge may be modified from time to time by 2 Edison upon thirty (30) days ' written notice to Licensee. 3 11. As a part of the consi.deraticn for the granting 4 of this License Agreement, Licensee does hereby promise and 5 agree to indemnify and bold harrr.lest= Edison, and its 6 directors, officers, agents and employees, from any and 7 all ]_ass, claims, damages, Liability, actions, causes of 8 action, and all other liability of any nature whatsoever 9 for personal injur, ar death of any person or persons, or 10 damage to prupert; of any bind ovx,ed by any person or 11 persons, incl.ud.'ng property of Edison in any manner arising 12 out of, er alleged to have risen out of, the installatl.on, 13 operation and maintenance of said sign post transmitters by 14 Licensee. Licensee expressly aroes ti-:at the p gµ, provisions 15 contained in this Paragraph FTamber li ahall include any 16 liability of or charges or claims made against Edison, 17 and its directors, officers, agents and employees, resulting is from or arising out of the failure by Licensee to comply 19 . with the provisions of .Paragraph 8 of this License 20 Agreement. 21 12. This License Agreement shall become operative 22 as soon as Licensee and Edison shall have signed this 23 Agreement with respect to the ownership interest on the 24 wooden poles or electroliers. The rights conferred hereby 25 may be terminated by mutual agreement of Licensee and Edison. Unless sooner terminated by mutual written agreement, this 27 License Agreement shall continue in effect until one year 28 from date hereof and from year to year thereafter. The sign post transritter attachment equipment and all conduits and service equipment shall he approved by the utility pole owner(s) . 2. The sign post transmitter will be attached to the poles using a metallic bracket and through bolts. The antenna will point down. 3. The sign post transmitter will ilot be located in the pole 's climbing space. 4. When the sign post transmitter requires electrical service, the service wires shall be in HDG steel or PVC Schedule 80 conduit. HDG steel conduit will be used within 8 ft. of the ground. -2- 5. Sign Post Transmitter Glearances Circuits 300V and above A Circuits below 300V or the bottom of a transformer i case { �' 10 ft. minimum Edison A 24" Min'. Sign post transmitters requiring an external electric supply a. Service Equipment Service for a sign post transmitter shall not be run. to an eleciroli_er. The licensee shall run conductors underground to transmitters on utility electroliers. b. Marbelite Electroliers All wires shall. be run inside mar-belite electroliers. If the licensee desires an attachment at a location where there is an existing marbelite electrolier the utility will replace the electrolier at l.icenseeis expense an-r 'risk. The licensee will provide the pole supplier (not the utility) with detailed drawin.gs for shop work to be clone at the supplier' s yard at licensee' s expense. The licensee negotiates all details and payments directly with the supplier for the transmitter attachment and electric supply. Preparation of the electrolier for the attachment of the sign post transmitter and external electric i supply shall be completed before installation. C. Steel Electroli_ers All electric supply wires shall. be run inside steel electroliers for new installations . The procedure for installing supply wires in Marbel.ite electroliers will be followed. Outside attachment of electric supply wires in HDG steel conduit will be permitted on existing steel t� electroliers. This Agreement is raquired in performance of the City's contract with Law Enforcement Assistance Agency (L.E.A.A.) to implement an Automated Vehicle Locater System as a Phase III Project of the Computerized Command and Control. The City of Huntington Beach was awarded $238 ,900 ;.o develop an Automated. Vehicle Locater Sys- tem which will allow us to rapidly locate the closest vehicle to any reported police incident . The objective of the program is to provide for a more efficient use of personnel resources by reducing response time and increasing the quality of police service. A portion of the Automated Vehicle Locater System consists of approx- imately 500 small transmitters affixed to utility poles throughout the city. Through agreement with the Southern California Edison Company, they will allow the installation of these devices. The only requirement is that we pass an appropriate resolution and sign the License Agreement which calls for a one-time, non-reoccurring cost of $4 per installation as an administrative fee to defray the cost of installation inspection. The Police Department has suf- ficient funds within its budget to cover the expenditure which will be approximately $2,000. RECOMMENDATION It is requested that Resolution #4137 be approved by the City Council and the License Agreement signed by the Mayor.
