termed "Railroad , and the CITY OF HUNTINGTON BEACH, a municipal

corporation cif the State of California , herein termed "City'' ;
RECITALS :
The parties hereto desire to evidence by this instrument their
,
agreement with respect to the changing of protective signalizati.on at
the crossing of Edinger Avenue , Crossing Now 6NC•-30.20 over Southern
Pacific Company' s Stanton Branch t;rach in the City of Huntington
s Beach, County of Orange , State of California.
AGREEMENT:
NOW, THEREFORE, it is mutually agreed as follows:
1. Railroad shall furnish all necessary labor, materials , tools ,
and equipment to perform at fifty per cent ( 50%) cost to Railroad and
fifty per cent ( 50%) cost to City the work of installing two (2 )
California Public Utilities Commission. Standard No. 8 fleshing light
grade crossing signals augmented by automatic crossing gage arms , 1
actuated by grade crossing predictor together with actuating and

operating circuits and adequate i.�tstrument housing. Such :�nstalla-
tion shall include the removal of two (2) Standard No. 1 exossing
signs .
2 . Installation of and all materials for said signals shall
be in accordance with Railroad ' s usual standards , and subsequently ,

in compliance with the recommended standards of the Association of
Ameri enn Railroads,

3 � City agrees to reimburse the Railroad promptly upon Y
receipt of bills therefor fifty per cent (50%) for all costs and
expense incurred by Railroad for work outlined in Section 1 of this
agreement , excluding the removal of the two (2)' Standard, No, 1
crossing siigns .

4. After the installation of said signals has been completed ,

in place . The maintenance costs of said signals shall be npporti.oned �
in accordance with and pursuant to the provisions of Sziction 1202 .2

5� Installation of caid signals , with division of coats as
outlined above , shall be undertaken as soon as labor and materials
are available following execution of this agreement , and recciFl,
by Railroad of advice that the City has obtained an allocation from i
the California Public Utilities Commission crossing pr^tection fund.

6. Railroad shall submit to City a bill for its share of �
` the estimated cost promptly upon completion of installations which
bill City agrees to pay. Should the actual cost prove , upon

completion of audit , to be more or less than such estimated cost,
the difference shall be promptly paid by City or refunded by
Railroad , as the case may bes, The work to be performed by Railroad

` hereunder shall be undertaken as soon as labor and materials are

i available following execution of' this agreement and receipt by
Railroad of advice that the City has obtained an allocation from
Public Utilities Cc i4mission crossing protection funds, `

7. This agreement shall be binding upon and inure to the
benefit of the successors and assigns of the Railroad and the
assigns of the City.

RESOLUTION GRANTING ALLOCATION
City of Huntington Beach, State of Cclifornia, has .requested �
an allocation of not to excee=$1x93.15.OQ from the Crossing protection
Fund to assist said
city y in paying its share ofthe cost of construc ':
.Lng grade crossing; protection at the crossing of Warner Avanue and

the track of the Southern Pacific Company being Crossing No.
61\TC-31. 20. Existing protection consists of two Standard No.l crossing;
signs and proposed protection will. consist of two Standard No. 8
flashing light signals . The City of Hwitington Beach and the rail-
road have agreed to share equally in the cost of cons ruction of the
proposed protection. The request shows the estimated cost of such
protection to be $7 ,740. 00 and the city ' s share to be $3,870. 00. The `I
appropriation statute permits allocation from the fund of not more �
than one-half of the city ' s share . or a maxim= of $11 9335. 0.0• Being
of the opinion and finding that need has been shown for the instal-
lation of the proposed protection and for the allocation of funds

hereinafter made,
NOW, nHEREFORE, BE IT rESOLVED as fellows:
1. Pear;cant to Statutes 1961, Chapter 1302 (Public Utilities
Code sections 1231-1232) , there is hereby allocated from the Crossing
Protection Fund to the CIT`I OF THUDITINGTON BEACH, State of California,
an amount equal to one-half of the actual cost of said city ' s share
of the cost of constructing the indicated protection at the crossing
hereinabove mentioned, but not to exceed the maxim= amount of
$1. 1935. 00.
